Board Meetings

Hard to believe it is September already. I hope you have been enjoying your summer. My horse Raina, has probably been enjoying long trail rides and a laid back summer. I know I have. It was a weird summer not going to any shows or having the pressure of completing or accomplishing show goals by a certain date. Hopefully next year we will be able to return to our old normal as I did miss seeing a lot of you and catching up on the events of your life.

NODA’s schooling shows have started back up with new COVID protocols in place. I will admit, the first show back I was a little bit off my game and had to get back in the swing of things. There are three more shows this season – September 20th at Summit County Fairgrounds (1 ring show), October 3rd and 4th at Chagrin Valley Farms. The October 4th show will be a 1 ring schooling show, as unfortunately there will not be a championship show this year. NODA is seeking a new schooling show series management team. We are looking for one or two individuals to take over the positions of manager and secretary. These are paid positions and both Sally Burton and I are available to help train any interested individuals. Please contact either one of us if you are interested. We will also be looking for someone to take the position of the Jr/YR liaison. Maybe this is something one of you with a Jr/YR might be interested in. The Education Committee has been busy putting together various events over the summer. There were numerous trivia contests, with Big Dee’s Gift cards and a free NODA membership that were given out to the lucky winners. Many of you participated in our virtual ride-a-test clinic with Danielle Menteer and Barb Soukup, and received a lot of great feedback. The Adult Dressage Camp was a big success, even with the various protocols in place and some rain. We also held an educational Zoom meeting with Danielle Menteer covering Having an Effective Seat, which was enjoyed by all. Future Zoom meetings are being planned and so watch for details. Thank you to everyone on the education committee for all of your dedication and hard work. The Bylaws Committee is publishing the proposed updated NODA bylaws in this newsletter showing items that will be removed with a line through them and new wording underlined. In October’s newsletter we will publish the proposed bylaws as they will read if adopted. Please take time to review the changes. November’s virtual board meeting will be open to all members and we will vote on the changes that evening. Stayed tuned to the website and newsletter for details on the date, time and how to on join the November board meeting. As a reminder, if you received a year-end trophy in 2019, please return them to either Big Dees or Topline Stables (by appointment). Each person may take the quiz only once since the answers are revealed after you submit. A link for the google form trivia quiz will be posted on Facebook and the website (No google account is necessary to play).

Each quiz has a different theme and will consist of 10 multiple choice questions. The quizzes will be written by NODA board members and other NODA members who volunteer their expertise. 2020 Proposed Revisions to NODA By-Laws For membership review with mark-up’s showing deletions and additions PROPOSED NODA BY-LAWS REVISION NODA is a 501(C)3 Educational Organization and a Group Member Organization (GMO) of the United States Dressage Federation (USDF). All donations and contributions are tax deductible. From time to time our governing document (we usually call it our By-Laws) is reviewed to make sure it is accurate and current. Last year in 2019, an ad-hoc NODA committee (Fran Cverna, Kathy Kirchner, and Elizabeth Scalabrino) started to review our by-laws for currency, accuracy, and correct grammar. After By-Laws Committee, Executive Committee and Board review, the following are the by-laws being submitted to the general membership for approval. Deletions to the current by-laws are crossed out, additions are underlined. If you find this too confusing, don’t worry – next month’s newsletter will present the proposed by-laws without the cross-outs and underlines! The November Board Meeting will be an open meeting at which the membership at large can vote on the proposed changes to YOUR by-laws. The meeting will be an on-line “Zoom” meeting, and anyone can participate by phone or with a computer. Details will be provided next month. Constitution, and Code of Regulations and Bylaws of the Northern Ohio Dressage Association Revision Updated 8/17/2020 Article I: Name: The name of the Association shall be theNorthern Ohio Dressage Association. Northern Ohio Dressage Association is incorporated in the state of Ohio as a 501c3 nonprofit organization. Northern Ohio Dressage Association is a Group Member Organization (GMO) affiliate of the United States Dressage Federation. Article II: Purpose: The purpose of this Association shall be to promote interest in and the understanding of dressage through education, active participation, and support of regional and national dressage activities. Article III: Officers: The officers of the Association shall be a President, a Vice President, a Secretary, a Treasurer, and a Parliamentarian. These five officers shall serve as the Executive Committee. One person may not hold more than one office at a time Section 1. Term of Office. Officers, except the Parliamentarian, shall be nominated and elected every second year in odd number years. New officers shall commence their duties the first of January in even numbered years and shall serve for two years. Section 2. President. The President shall preside at all meetings of the Association and of the Board of Directors (See Article V.) The President may at any time call a meeting of the Board of Directors and shall do so at the request of four members of the Board of Directors. In the event that one of the five elected official positions shall become vacant prior to the expiration of the term of that office, the President shall appoint someone to fill the vacancy. Section 3. Vice President. The Vice President shall exercise any power or duty of the President in the absence of the President, and shall be included in all decisions and organizing responsibilities. The Vice President shall be the chair a member of the NODA Recognized Show Committee. Section 4. Secretary. The Secretary shall give notice of all meetings of the Association and of the Directors, and shall record and distribute minutes of such meetings of the Association and Board of Directors. and provide highlights for the Association newsletter. Minutes of such meetings are available upon request to all members. Section 5. Treasurer. The Treasurer shall keep complete records of all Association expenditures, shall NODA News 2020, Page 6

approve in writing all expenditures over the amount set annually by the Board of Directors, shall collect all monies due to the Association, shall maintain all Association financial records and, in the absence of a Fundraising Chair (see Article V Section 2), shall oversee all Association fundraising activities. In addition the Treasurer shall record, maintain and file or cause to be filed all necessary corporate Certificates Statements of Continued Existence and Statutory Agent Updates. Section 6. Parliamentarian. The office of Parliamentarian shall be filled by the outgoing President of the Association. If there is no outgoing President, the Parliamentarian shall remain in office until such time that there is an outgoing President. The Parliamentarian shall serve as the Association representative to the United States Dressage Federation annual meeting. If the Parliamentarian is unable to attend the annual meeting, a representative to the meeting shall be appointed by the Executive Committee. In the event that the outgoing President cannot serve, the President, with the approval of the Executive Committee, shall appoint the Parliamentarian. Section 7. Election of Officers. The Nominating Committee (see Article IV, Section 1) shall present the slate of proposed officers to the general membership. Additional nominations shall be taken from the floor at the September Board of Directors meeting of the Association. Ballots shall be distributed to all members in good standing of the current year either by mail, online voting or a combination. The Parliamentarian shall appoint 2 two members in good standing who shall to be inspectors of the election and who shall count all eligible ballots. The result of the election shall be announced at the annual awards banquet and/or in the Newsletter. Section 8. Meetings of the Executive Committee. The Executive Committee shall meet no less frequently than bi-monthly every other month to conduct the business of the Association. Executive Committee meetings may be combined with Board of Director meetings. Article IV: Committees: The following named Committees shall be standing committees of the Association: Section 1. Nominating Committee. The Parliamentarian shall chair the Nominating Committee. The Nominating Committee shall consist of the Chairperson, 1member of the Executive Committee, 1 one member of the Board of Directors, and 2 one members of the Association at large. The 2 two members at large shall represent diverse geographic areas. The Nominating Committee shall meet no later than August 15 of each election year, and present a slate to the general membership and take nominations from the floor as set forth in Section 7 of Article III hereof. Section 2. Additional Standing Committees. Additional Standing Committees of the Association shall be: - Awards Committee - Banquet - Correspondence/Handbook Branding Committee - Education Committee - External Relations Committee - Fundraising - Historical Historian Committee - Hospitality Committee - Liaison Adult Amateurs - Liaison Juniors / Young Riders (USDF Jr/YR Contact) - Liaison Professionals - Membership Committee / USDF Roster Contact - Newsletter Committee - NODA Recognized Show Committee - Publicity Committee - Schooling Shows Committee - Website/Social Media Committee Section 3. Additional Committees. The President may appoint additional committees, standing or ad hoc as the need arises, with the approval of the Executive Committee. NODA News 2020, Page 7

Section 4. Appointment of Chairpersons. The Chairpersons of all committees, with the exception of the Chairperson of the Nominating Committee and the NODA Recognized Show Committee, shall be appointed by the President and approved by the Executive Committee. Additional members of each committee may be selected by its respective Committee Chairperson. Article V: Board of Directors : Section 1. Composition. The Board of Directors of the Association shall consist of the Executive Committee of the Association and all current Committee chairs persons Directors at Large: For each officer, one additional member to the Board of Directors shall be elected from the membership at large to act as Directors at Large. In the event that the slate of Directors at Llarge is not filled, remaining positions shall be appointed by the new Executive Board at the first meeting of the year. Section 2. Election of Directors at Large. The election of Directors at Large follows the same procedure as stated in Article III, Section 7 for election of officers. Section 32. Board Meetings. There shall be an annual meeting of the Board of Directors preceding the first general business meeting of the year at which all incoming chairpersons shall be nominated and approved. The President shall call meetings of the Board of Directors as the need arises to conduct the general business of the Association. Section 4 Voting. Each member of the Board of Directors (as stated in Article V Section 1) is entitled to one vote at Board Meetings. Motions shall pass with a simple majority of those present. Motions may also be made using email distribution to all Board members and passed with a simple majority of respondents. Article VI: Removal from Office: All officers and, members of the Board of Directors and Committee Chairpersons shall be subject to removal from office for failure to satisfactorily discharge their duties satisfactorily. Removal proceedings shall occur at an open business meeting called solely or partially for this purpose, after 21 days notification to the membership either by mail or email. A 2/3 vote by members present shall be necessary for removal from office. Article VII: Membership: Section 1. Persons Eligible. Membership in the Association shall be open to all persons ,organizations and corporations which who subscribe to the purposes and objectives of this Association as stated in the Articles of Incorporation of the Association Article 2. The Association does not and shall not discriminate on the basis of race, color, religion (creed), gender, gender expression, age, national origin (ancestry), disability, marital status, sexual orientation, or military status, in any of its activities or operations. These activities include, but are not limited to: election of officers; selection of committee chairs, volunteers and vendors; and provision of services. The Association is committed to providing an inclusive and welcoming environment for all members, volunteers, subcontractors, and vendors. All and members shall be entitled to the rights and obligations of members. There shall be two three (3) classes of membership: Iindividual, and Ffamily/Supporting and organization/corporation.

Section 2. Dues. The classification of memberships and appointment of dues shall be determined by the Board of Directors annually at the annual meeting of the Board of Directors. Section 3. Voting. Each member of the Association who is a member in good standing shall be entitled to one (1) vote for the election of Officers and Directors at Large and for any changes to the bylaws of the Association. Family memberships and organizations/corporation memberships shall be entitled to one (1) vote. Section 4. Loss of Membership Privileges. Any member who is in debt to the Association due to non-payment or use of a bad check in payment for an Association event attended by the member shall forfeit all membership rights in the Association and shall not be reinstated to membership until such time as such indebtedness is absolved. Section 5. Open Meetings. There shall be a minimum of one open meeting each year. In election years, an the NODA News 2020, Page 8

oOpen mMeeting shall be take place in September and at such open meeting the slate of officers shall be presented by the Nominating Committee. Additional open meetings may be held throughout the year to further the purposes of the Association as set out in Article II., Section 6. Quorum. The eligible voting members present at any Open Mmeeting shall constitute a quorum for such meeting. The affirmative vote of a majority of the voting members present at that Opena Mmeeting at which a quorum is present shall be necessary for the authorization or taking of any action. Article VIII: Scholarships and Awards: Section 1. Scholarships. The Association shall fund annual scholarships to local riding clinics to assist in the education of its members. Scholarships recipients must be members in good standing of the Association and must meet all requirements for the scholarships as established by the Board of Directors. Section 2. Awards. Annual awards for achievement of excellence in the sport of dressage shall be presented to members in good standing who meet the requirements established by the Board of Directors of the Association or the donors of the awards. Article IX: Amendments: This Constitution may be amended by a majority vote of the members present at an open meeting called solely or partially for the purpose of amending this Constitution, or by either mail, online voting or a combination, after publication of the amended Constitution in the newsletter for two months.. Article X: Indemnification and Insurance: The Association shall indemnify the members of its Board of Directors and the members of all committees of the Association against liability arising out of their services to the Association to the full extent provided by Section 1702.12(E) of the Ohio Revised Code, as it may be amended from time to time, and by any other applicable law serving the same general purpose as that section. The Association may purchase and maintain insurance against its liability under this Article and against the liability of any person indemnified. Article XI: Successors: If the Association is dissolved, and at the time of dissolution has assets of any kind remaining after paying or making provision for payment of all of the liabilities of the Association, the Association assets will be transferred or conveyed to one or more nonprofit organizations engaged in activities substantially similar to those of the Association. If the Board of Directors in its sole discretion requests a determination by the members of the Association, the members of the Association entitled to vote under this Constitution shall, following such procedure as the Board of Directors may determine is necessary or desirable, select an entity or entities qualified under the then-applicable provisions of the Internal Revenue Code to receive tax-deductible charitable gifts to receive such assets and to continue, to the extent reasonably practicable, the programs of the Association. Article XII: Conflicts: Each member of the Board of Directors shall act at all times for the best interest of the Association and its programs and shall exercise the utmost good faith in all transactions touching on their duties to the Association and its programs. No member of the Board of Directors shall use his or her position in the Association for his or her direct or indirect financial gain or take any action intended to have an adverse effect on the Association or any of its programs or that may be reasonably foreseen to have such an adverse effect. NODA Dressage and More Camp 2020 Play by Play By Sally Burton Back in February when we first put out the applications for camp, we filled with 16 campers almost immediately. But due to COVID-19, many decided not to attend. Luckily, we quickly filled again with campers who, in the words of Maria, “I would come in hazmat gear if I have to!” On Thursday, July 30 we were lucky to have cool weather, sunshine and the sound of happy people pulling in to camp with trailers full of horses and all the horse gear we could ever need. Campers unpacked, set up, and got the feel of Stone Gate. The peace surrounded us almost instantaneously as we, a bunch of horse crazy women, descended on 171 acres of horse paradise. It was to be a true break from reality.

Saturday night we met again at the KOA under our pavilion to share pizza, salad and stories of the weekend at camp.

Since I chose to scribe for Jackie on Sunday morning instead of compete I wanted to get in one last ride. Early, before many people arrived, I saddled up and headed out on a long rein ride around the beautiful property to reflect on the weekend. We walked around the rings, onto the mountain trail obstacles, checked out cross country jumps, walked through the ponds and just chilled. The sense of Sunday we woke up to rain again. But that didn’t stop the peace and serenity filled me and calmed my soul. In excitement of our Mountain Trail Challenge. NODA’s 2020 Membership Year runs from 12/1/2019– 11/30/2020

Thank you to everyone who has renewed for 2020! As of 8/15/2020, we have 244 members, 160 Adult Amateurs, 33 Youth, 51 Professionals Compared to last year this time, we are down about 75 members, But we have 39 NEW members for 2020! 5 of our members are over 75 years old! 91 members from 2019 have not renewed Welcome New Members Giselle Fead Rebecca Salinger A BIG Thank You to all of you for supporting NODA with your membership this year. NODA’s First Ledger Kept by Treasurer Gail Patton With Historian Fran Cverna

1970 Financial Ledger One of the oldest documents in the NODA Archives is a bound Financial Ledger recording the Association finances from 50 years ago. Gail Patton was our first Treasurer and no one since then has been able to match her penmanship! It seems we started 1970 with $44.05 and ended the year with $256.80.
