KNOW THE STRENGTHS AND WEAKNESSES OF YOUR BUSINESS

To get the most out of your negotiations, you need to know your business, its strengths and its weaknesses. If you’re diligent with preparation, you can effectively highlight the strengths and address the weaknesses when you’re negotiating with potential buyers. Evaluate your position and predict potential issues.

KNOW WHAT YOUR BUSINESS IS WORTH

Be prepared with accurate financial information about the value of your business. This puts you in a better position to communicate that worth to a potential buyer.

You should also know your competitors and market trends. A competitive analysis will give you an idea of the value of similar companies, providing a base point for price expectations. A good understanding of market trends will prepare you to speak to potential buyers about future opportunities or risk mitigation.

KNOW YOURSELF

To negotiate, you need to know your negotiating strengths and weaknesses. Play to your strengths and create a plan to mitigate your weaknesses. For example, if you become easily frustrated and you can feel yourself getting angry about a clause, take a short time to regroup and come back to it when you’ve clearly thought about the entire situation. Staying calm and focused gives you the clarity to understand each issue and its strategic implications. Preparation, strategy and coordination will determine your level of success.

IT’S NOT ALL ABOUT THE PRICE

For many business owners, price might not be the most important factor in the negotiation. Take the time to evaluate and rank your priorities, so that you’re prepared to negotiate the right sale for you and your business. Before your enter negotiations, be sure you know what you want, where you’re willing to compromise and the areas where you plan to stay firm. It’s essential to have an ideal outcome in mind, but also understand that there will be trade-offs.

REDUCE YOUR RISKS

There are some actions you can take to reduce the negative impacts of sales negotiations. For one, be sure to prepare a nondisclosure agreement (NDA) in the early stages of the process. You don’t want to disclose sensitive business information to a potential buyer without a signed NDA. You should also ensure that books, files and records are complete and organized. A buyer will insist on seeing these records and, as a seller, you should be able to deliver them efficiently.

THE LETTER OF INTENT (LOI)

When a prospective purchaser decides to explore a possible transaction, the purchaser will issue a LOI. You need to review the LOI closely to ensure that it is clear and concise on the terms. You don’t want to sign the LOI only to find out later that certain verbal terms of the agreement were missing from the document. Be as clear as possible with the LOI and it will save time and possibly opportunities when it comes to the final purchase and sale agreement.

What is your target price? Are there specific terms and conditions that must be met? What are the specific of what you want to acquire? i.e., tangible assets, stock, people (skilled technicians), recurring revenues (subscriptions), intangible assets (patents, copyrights, brand).

You must be prepared to articulate how you justify your valuation - you need to analyse financial statements, cash flow, customer base, assets, and market position. Embrace moments of silence during negotiations. It encourages the other party to fill the void, potentially revealing valuable information or making more favourable offers.

KNOW CULTURAL DIFFERENCES

This is now more crucial than ever as we live in a global economy, we need to respect our differences. Some things that are acceptable in one culture may be totally unacceptable in another during the negotiation process, so it’s vital to understand each parties’ cultural backgrounds and how to manage these to ensure everyone is respected during the process.

Remember the best negotiations result in a win-win where the aim is to achieve a mutually beneficial agreement that addresses the needs and interests of both parties.

BUILDING AND SELLING A $20 MILLION BUSINESS

The experience of watching his parents lose everything in bankruptcy while he was still a teenager has become a powerful inspiration for Kobi Simmat, the author of How to Build a Business Others Want to Buy.

Kobi explained the impact this experience has had on his business life, “ I have lived in fear of losing a home again every day since then. That fear has driven me to succeed.”

During that time, Kobi built a business from nothing to a $20 million valuation then subsequent successful exit, but it wasn’t all plain sailing. He freely admits that, for the first ten years, he did what many business owners do - he did not have a clear idea of what he wanted from the business or even why he was in business.

Consequently, he fell into many common business traps (for Kobi, this meant “learning opportunities”). “I was in that terrible situation: marriage under threat, poor health, customers complaining, financial problems, tax office demands, and so on.”

So, what qualifies Kobi to write a book on business building?

THE TURNAROUND

Kobi’s fear of failure drove him to find answers that work. He engaged two advisers and started to improve the business.

“We increased prices to a fair level. Existing customers separated into those who valued our service and those who didn’t. This allowed us to focus on fewer customers, and profitability improved. We also identified our target market, which improved our customer acquisition process.”

From there, the business grew steadily until exponential growth was achieved in the last five years before the sale. During that time, he learned what gives a business value and what makes it healthy.

Kobi identified three main drivers of value from a buyer’s perspective

• The maturity of the management team,

• The level of recurring revenue, and

• The brand recognition in the business.

“If you sort these out, you can get your business super healthy, and you may not want to sell it.”

and they negotiated a sale. “The negotiation process was intense,” commented Kobi. “I was sitting opposite a panel of 12 lawyers who were skilled negotiators. I had to bring my A-game.”

NEGOTIATION SKILLS

Kobi maintains that every business owner benefits from acquiring negotiation skills. And, in a business sale situation, they are critical.

His three hints areGet educated.

He highly recommends the Harvard Law School Program on Negotiation, which includes a wide range of free reports covering the entire negotiation process.

Negotiate from strength.

Never try to negotiate when you are needy. “If you are needy, a professional negotiator will identify and exploit that weakness. I was in a position where I could say, ‘This is what I want. Take it or leave it.’ I conceded on some issues, but these were minor because I was in a strong position.”

Identify the impasse point

Kobi advises that you must have a “walk away” point and assess the other party’s impasse point too. “If you can run as close to an impasse as possible, then both parties are giving a little and achieving the best outcome possible.”

Having the necessary negotiation skills enabled Kobi to negotiate the successful sale of his business that was independently valued at $20 million.

WHAT METRICS SHOULD A SELLER FOCUS ON?

Kobi commented, “I discuss 21 key metrics in my book. Every business owner planning to exit must address these if they want the best outcome. We can’t cover them all, but here are a few.”

Profitability

“First, your business has to be profitable. If not, it’s love, trust, and pixie dust for the buyer. And, if the buyer is still keen, you need to identify ‘why’ to assist your negotiations.” Kobi explained that reliable future profit is always the objective for buyers: either from your business or the complementary effect on their existing business.

Recurring revenue

Kobi envisaged a revenue model similar to mobile phone plans when starting his business. Since then, subscription models have become much more common.

“Everyone knows selling to existing customers is easier than finding new ones. It’s even better if that arrangement is contracted. The buyer has confidence he can spend money buying customers contracted to buy from your business for a set period.”

Management Quality

The business owner must not be the centre of the business management team. The risks for the buyer increase significantly when the owner is the CEO. Kobi urges business owners to become the master who trains the apprentices.

“Make finding great people and training them well the #1 objective for your business. We spent a whole year focussing on our recruitment and training processes. If you want to scale a business, you need great people,” Kobi advised. He is adamant there is excellent talent available, “I do not accept that you can’t find great people.”

AND NOW?

These days, Kobi is still busy building new businesses. He also offers consulting services for business owners but warned, “I’ll only coach people who are prepared to implement. There’s no free lunches!”

And when asked for a final tip to improve any business, Kobi responded, “Add subscriptions to your business even if it’s not normal in your industry. Businesses that do not have recurring revenue may be a profitable buying opportunity for someone who can work out how to achieve that.”

“Absolutely!” say Steven Mostafa and Nadia Polzella of LINK Business Brokers in Melbourne. This multi award-winning team has worked together since 2020, but their paths to becoming business brokers were vastly different.

Steven was a foreman in the construction industry before transitioning to successful ownership of several hospitality businesses in Melbourne. He saw first-hand the value a business broker could add to the purchase or sale of a business, so when the opportunity presented itself, he happily joined the industry.

“Brokers from Klemms (the forerunner to LINK Melbourne) sold a few businesses I worked in, so I knew what a switched-on broker could do. That’s what got me into the industry.”

This team operates in the LINK corporate division, so the focus is on businesses in the $20 to $100 million range. However, Steven explained, “Everyday transactions for us would be $3 to $50 million.”

Utilising his network, Steven is most interested in construction, manufacturing (particularly furniture), and food distribution. Meanwhile, Nadia concentrates on hospitality and e-commerce with a broader focus on beauty and retail - “the more intricate businesses” as Steven describes them.

The motto ‘two heads are better than one’ definitely comes into play when considering different types of businesses. Working together and openly discussing the sales process allows this dynamic duo to execute

highly effective strategies for their clients - no matter what industry.

WHAT ABOUT IDEAL BUYERS?

They both agreed that matching potential buyers to the right businesses is valuable for longterm success as a business broker.

Today’s delighted buyer is potentially a seller in the future, so creating a professional relationship now may lead to additional business opportunities.

Nadia explained, “ We like to have a limit on the number of listings at any time because we want to look after our clients (both sellers and buyers) appropriately. We know exactly what kind of buyer is likely to succeed in that business. But, if it’s not a good fit, we explain why and point the buyer to a listing that better suits their requirements.”

She continued, “It would be unethical if we were to advise someone to buy a business that is unsuitable for them. If we don’t believe they have the hunger for that business, we will still help but not with that business.”

HOW DO YOU MANAGE THE NEGOTIATION PROCESS?

Steven and Nadia quickly acknowledge that negotiation skills are critical for all business brokers.

Steven elaborated, “We have worked hard to build a process to ensure buyers and sellers know what to expect. We are excellent at setting price expectations before introducing potential buyers to our seller clients. When we manage both parties’ expectations, difficult negotiations are rare.”

“Those expectations are established at the first meeting,“ added Nadia. “Constant communication and complete transparency also help to reinforce

the expectations we set initially.” While managing expectations goes a long way to avoiding lengthy negotiations, the inevitable differences still occur.

Nadia explained their approach, “Something that works well for us is to get both sides to meet faceto-face to reach an agreement. We find that parties can be as tough as they want by email or via third parties. But agreement is easier to achieve when they are

talking directly and can see the other person’s emotions and hear their natural language. We are all humans after all.”

Steven agreed, “Yes, we have just adopted a policy of a compulsory face-to-face meeting if we go back and forth with the solicitors three times on the same issue. Of course, the meeting can be electronic (we use Facetime frequently), but the key is that everyone can see each other. It’s a lot harder to say ‘No’ when you are looking someone in the eyes.”

And those expectations are helpful when a buyer makes an unrealistically low offer. Steven described it this way, “If a buyer says ‘I’ll offer $600,’ we’ll set the benchmark by replying that we are not taking any offers below $700 to the vendor and encouraging them to reconsider. We have done the research to establish a fair price range, so the offer must be in that range to be considered.”

WHAT ARE THE KEY STRUGGLES SELLING A BUSINESS?

The fast pace of change in the business world creates uncertainties for both sellers and buyers, and Steven believes that false expectations can be a struggle, particularly for vendors. “A vendor may have a price expectation based on an appraisal from three or four years ago. The reality is that market and economic factors will change in that time, and what may have been a reasonable expectation then is unrealistic now.”

Nadia nominated poor presentation as a related

impediment to a successful sale. “Are the financials and any other documentation readily available and supportive of the asking price? If buyers have to go through a frustrating process of requesting and waiting for information, they will often get cold feet and move on to other opportunities.”

Steven explained their approach to presentation, which has been developed to address these struggles. “We take a long time before we list a business for sale. We are extremely thorough when collecting information. We do not list the business until we have verified financials, memorandums, videos, and any other information ready for a potential buyer.”

Ideally, Steven and Nadia start working with a business two or three years before a sale. During that time, they complete a financial health check annually to update price expectations and to give the business owner advice on ways to improve profitability and processes to increase the value of the business.

They have developed an extensive

library of templates and checklists to streamline the health check process and to guide the business owner regarding the materials needed to support the sale.

“This means that by the time the owner wants to sell, we know the business inside out, the owner has reasonable price expectations, and the presentation of the business for sale will be impressive. All of this leads to a smoother sales process,” concluded Nadia.

HOW IS THE CURRENT BUSINESS SALES MARKET?

According to Steven and Nadia, the unusual economic conditions are having an impact on transactions. Steven commented, “Deals are still ticking along and thriving in some sectors, but they take longer to complete. Finance now takes up to twelve weeks instead of six. Overall, people are being more diligent, which takes time to work through.”

Nadia agreed, adding, “For hospitality businesses, finding and securing a buyer is a lot slower, but for other industries, it’s mainly the slow completion process Steven referred to.”

AND, WHAT ABOUT THE FUTURE?

This dynamic duo continues to be busy matching buyers and sellers to ensure everyone wins. Exiting a business is a normal part of the business cycle, and although businesses (and industries) thrive and fade, the need for business owners to sell and the desire for buyers to purchase their dream business will continue.

Steven’s final advice to potential sellers is, “Book us early. We want to work with business owners well before the final transaction to make sure we can achieve the best outcome.”

ROI percentage ranges/ multiples for various business types and at various levels of profit are published in the Business Values Newsletter based on information from the marketplace. BUT, these ranges apply to typical/ average risk profile businesses within each industry category. For an accurate assessment of ROI percentage/ Multiples to be used in a formal appraisal or valuation, a detailed risk profile of the business also needs to be worked through.

RISK PROFILE

When purchasers are weighing up which business to buy amongst a selection they may be considering, there is a large number of risk factors that they work through. Some of the main factors that apply to most small business types are summarised below.

• Level of profit: the higher the profit the better.

• Sustainability of profit: better if a level of profit has been sustained over a longer trading history.

• Potential for growth: better to buy a business that has clear potential to increase revenue/profits (i.e. such as a retailer in a new/growing suburb).

• Value of tangible assets: tangible assets are the stock, plant and equipment purchased as part of the business transaction. It is comforting for a purchaser to know that even if the business were to fail that the stock may still be sold off at cost value and plant and equipment at market value (i.e. if a business with no stock or plant and equipment were to fail (all value is goodwill) all of the value would be lost).

• Availability of finance: strong recurring revenue businesses such as real estate rent rolls, supermarkets etc are favoured by the banks. Also businesses which include a large portion of value within modern plant and equipment. Banks will lend a higher loan to value ratio for these types of businesses. As such purchasers are more likely to be able to secure finance to buy these types of businesses.

• Personal goodwill of the owner: essentially the less reliance on the current owner of the business involved in running the business, the better.

• Management/business systems/processes: the easier it is for someone to step in and run a business the better. This will typically require good systems and documented processes to be in place. Business purchasers also typically prefer a lower number of staff to manage rather than having the difficulty associated with a large number of employees.

• Quality/availability of financial records:

financial statements, profit and loss, balance sheet information needs to be accurate and up to date. Internal accounting software should allow for good reporting. Availability of trading records for at least the last four years is also preferred. Essentially the availability of good record gives a business purchaser, their advisers and bank, greater confidence in making a purchasing decision.

• Client profile: preferably recurring clients that are well spread such that no one client makes up a large percentage of revenue.

• Supplier profile and product range: best if there is no particular reliance on a single supplier such that each supplier could be replaced if necessary. A broader range of products/services sold also spreads risk. There is also a preference if the business has its own branding of products which is well known in the marketplace.

• Competition profile/barriers to entry: businesses which have limited competition in their industry niche are most sought after (i.e. those with a significant point of difference in products and services offered). Purchasers also prefer business types that have significant barriers to entry for new entrants. For example a single person trades business, in say plumbing or electrical does not attract strong purchaser interest or goodwill value.

• Premises/location/lease terms: the preference here is for well-presented premises and in a convenient location for customers. A reasonable rent and secure lease term is also important *it is also noted that businesses in smaller towns can sell at significantly lower values compared to those in the cities, given a smaller pool of purchasers in the marketplace.

• Working capital requirements: in the sale of small businesses it is typically only the plant, equipment, stock, work in progress and goodwill that are transferred as part of the sale transaction. If there is a working capital requirement (e.g. due to customers having longer payment terms than suppliers) then this will have to be financed by the business purchaser. Therefore the lower working capital requirements, the better.

• Trading hours: preference here is for five days rather than seven days and normal working hours rather than late nights/early mornings.

• Potential for disruption: for example through technology changes, government legislation or social/societal changes (i.e. aim not to be the video store owner!).

The above are only some of the main/common qualitative risk factors affecting ROI percentages/

business value. Often where a business has an average/typical risk profile within its industry type, the Business Values Newsletter ROI Tables can be used to calculate a ballpark business value estimate. Even in this scenario, care must be taken to use the ROI Table for the appropriate business type and at the correct level of profit.

However your author has seen examples of extreme risk profile cases such as:

• a single customer or supplier relied upon for more than 90% of revenue;

• large amount of working capital required; and

• sole trader businesses heavily reliant on owner’s technical skills and client relationships.

Transaction analysis for businesses sold with high risk factors such as the above, can in some instances see prices paid reflecting ROI percentages of twice or more (businesses worth half or less) than if based on the typical ROI range for the industry/profit level. A similar variance can apply for very low risk businesses.

Therefore, where any decision is to be made regarding a business that has significant financial impact, it is recommended that professional valuation advice be sought.

USE OF MARKET INFORMATION

There are essentially two methods of using market information in determining an appropriate ROI range for a business valuation.

1. Direct comparison approach.

2. Bulk market evidence/use of a set of comparables for analysis approach.

Both of these approaches are used in the marketplace for small businesses and recognised as appropriate methods for valuation within the International Valuation Standards of 2022.

DIRECT COMPARISON APPROACH

This method involves directly comparing the business being valued to individual transactions (i.e. the subject business compared to other businesses that have recently been sold on all main factors such as level of revenue, profit, tangible assets, analysed ROI percentage achieved as well as the aforementioned risk profile factors).

This approach should only be used where the valuer has access to detailed sales evidence such that the required level of direct comparison can be made to each individual sale. It is also suggested that at least four to six individual sales transactions of similar businesses are available, so that any one sale that appears out of kilter with the main market range can be identified.

The ROI applied to the business being valued can then be derived from the most comparable evidence. The direct comparison approach is often best suited to businesses that are commonly very comparable in risk profile (i.e. such as some franchise businesses).

BULK MARKET EVIDENCE / SET OF COMPARABLE ANALYSIS APPROACH

This approach involves contacting business brokers, use of sales databases such as the Australian Institute of Business Brokers’ “Bizstats” to source a large number of transactions of similar businesses to the one being valued. The level of detail obtained on individual sales is often limited to main datapoints including:

• sale date;

• sale price;

• annual revenue;

• maintainable profit and standard of profit used; and

• value of stock, plant and equipment.

In this approach the bulk set of comparables are analysed to derive return on investment percentages for each sale. The outlying individual sales (ones reflecting far different ROI’s to the main range) are then discarded. A main ROI range for the business type and size of profit is then established. This range can also be checked through discussions with brokers experienced in selling the particular business type.

The Business Values Newsletter price chart reflect this approach. For example, wholesale businesses with one owner (PEBITDA) standard of profit of around $250,000 have a typical ROI range of 35% to 55%.

The broker or valuer must then use their experience in analysis of the subject business’ risk profile to determine the most appropriate ROI within the range analysed (i.e. moderately higher risk businesses would have an ROI percentage towards the high end of the range applied and moderately lower risk businesses an ROI towards the low end of the range).

As previously mentioned, in some cases, businesses with extreme risk profiles have an ROI significantly outside the typical ROI range for that business type.

For ballpark value estimates, use of typical ROI ranges from the Business Values Newsletter can be used. However, where accurate appraisal/ valuation is required in situations where there will be a financial impact, it is recommended that professional valuation advice be sought.

THE GRAND HOTEL IN KIAMA HAS HIT THE MARKET FOR THE FIRST TIME IN OVER 20 YEARS.

The iconic hotel first opened in 1891 and has been a favoured watering hole for tourists and locals ever since. One of just two pubs in Kiama, the Grand Hotel is being offered for sale by Wollongong based hotel brokers, Tourism Property.

Broker Matt Davidson says Kiama carries an unrivalled appeal and rare tourism assets in the council area are always hotly contested. His agency was responsible for the sale of the Sebel Kiama in 2017, plus three sales of the Jamberoo Resort (now known as “The Lodge”).

Mr Davidson suggests the Grand Hotel is ripe for a new owner to maximise its potential, noting that Kiama is dreadfully

under-supplied for tourist accommodation with less than 200 motel rooms in the town.

“There are 20 traditional hotel rooms on the top two floors of the hotel. We feel that a renovation into boutique rooms with ensuites would add great value to the property.

He describes the hotel as having a mix of old world charm, steady income and serious potential.

The current owners have prepared concept plans for renovations, but have decided to seek a new owner for the property.

I have witnessed firsthand the difference it makes when the team have the training, tools, de-escalation techniques and confidence to face even the most difficult of customer interactions.

On a practical level, the following steps are recommended when dealing with an aggressive customer.

• Assess

Be observant to the signs of escalating customer behaviour. The customer may exhibit physiological signs including clenching of fists or facial muscles, sudden movements, moving into your personal space, physical

contact, shouting, throwing items or pounding a fist on a counter. These signals may alert you to escalating behaviour and help you to make a decision to exit the situation quickly. This is not a time to take chances and safety remains the highest priority.

• Calm

It is important to remain calm and in control. You can prevent or stop an amygdala hijack by breathing, slowing down, and trying to focus your thoughts. This action allows you to regain control and then choose a reasonable and appropriate way to respond to the situation.

• Exit or engage

You need to make an immediate decision whether or not to exit the situation immediately to ensure you not in any danger. Decide whether or not you are in a position to engage and have a conversation with the customer.

If you feel it is safe to do so, hear the customer out and let them vent their frustration. Empathise with their situation and in some cases, it may even be suitable to provide an apology. It is important to ask

questions to find out further details about their issue or problem and then take ownership for a resolution, outcome or explanation.

• Report

Depending on the severity of the situation, this may need to be escalated immediately to a manager, security, a duress button pressed or dial 000 for police. Post incident, a formal report should also be prepared and documented and details added to any customer notes and leadership informed. As these incidents can often be difficult to process, it is essential the team are given time and space, de-briefing is offered and if required, referral to external employee assistance or counselling.

6 STEPS FOR A SUCCESSFUL BUSINESS PARTNERSHIP

If you want to start a business partnership, my first piece of advice is, don’t. But if you’re headstrong and think things will be different for you, and you just can’t imagine going it alone, here are my top six tips for how to make that partnership work.

1. HAVE AN EXIT PLAN

A business partnership is like a marriage. Easy to enter into, hard to get out of. It takes so little to start a business that people are lulled into thinking it’s easy to actually build the business. You have a few beers with a mate at

the pub, come up with an idea, pay your ASIC fees and you’re off and running! You’ve barely ‘dated’ or had an in-depth discussion around values, goals or money: how to resolve conflict, what you’ll spend money on, who will do what or how success will be measured. At least with a marriage, you hang out together for a few years, write some vows and spend time mulling over the magnitude of your decision. You think about what you’re doing before you do it. Before you commit to a business partnership, you need to think

about the exit plan and create a pre-nuptial of sorts as to how you’re going to get out of it, before you get into it.

2. WRITE A DIS-AGREEMENT

Like marriages, most business partnerships start with high hopes and good intentions, so while the goodwill is still good, use that time to write a dis-agreement Yes, a dis-agreement. It’s similar to a pre-mortem in that you act as if a specific disagreement has already happened, and you create an action plan for how to fix it. If or when the conflict does arise, you have a strategy and can deal with it quickly without a lot of emotional turmoil.

3. SHIT TEST YOUR ASSUMPTION

When you get married, you commit to a life partner. When you start a business partnership, you commit to a business partner and their life partner, and that person often has a thing or two to say about how things run and get done. The partnership can get, as Princess Diana said of her own marriage, ‘very crowded’ because each person comes to the partnership with a bunch of assumptions, most of them unwarranted, unrealistic and almost certainly unspoken. If those assumptions are not shit tested, teased out or interrogated the partnership is doomed to fail.

4. CHOOSE YOUR PARTNER CAREFULLY

I get very worried when I see two technicians get together as business partners. It’s a guaranteed recipe for failure, unless both have a high degree of emotional awareness and take active steps to minimise conflict.

The best way forward is for one to take on the role of CEO and for the

other to stay on as the technician. This is still not ideal as that technician still thinks they have the deciding vote as to how things get done—which

they don’t—which will cause a raft of other issues. Ideally, a third party takes on the role of CEO so the technicians can get on with the work they like and do best.

5. HAVE AN UNCOMFORTABLE CONVERSATION

What if you’re already in a toxic partnership? What if the goodwill has gone and you can’t instigate any of these precautionary measures? If that’s the unfortunate case, you need to be prepared to have some uncomfortable conversations. It takes two to tango so for every grievance you have with your partner, they will probably have one with you too. Before you launch into this strategy for dealing with an underperforming

partner, display some curiosity into your own actions to ensure you see the whole situation from their perspective.

6. SET THE CADENCE FOR COMMUNICATION

Resentment festers if it’s not dealt with quickly. The longer you leave it, the harder it is to fix, so it pays to nip it in the bud by scheduling regular catchups with your partner. You can’t leave these meetings to chance. They need to be

scheduled, diarised and attended. Don’t let apathy set in. As time goes on, one or other of the party will want to reduce the cadence of the quarterly.

I know it’s controversial to say that you should not partner with someone to build a business. Every accelerator, incubator and angel investor will tell you the opposite, but I don’t see overwhelming success come from forming a business partnership. I see bitterness, regret and resentment. However, if you are hell bent on building a partnership and you simply can’t do it alone, follow these principles and you’ll minimise the likelihood of conflict and increase the chances of success. The future of your business depends on it.

The physical act of codifying conversations and lead numbers not only supports you to never forget opportunities amongst the chaos of day-to-day business, but it allows others to jump in and help and creates tracking that you can use to measure your ROI. If introducing a CRM software system feels like a big jump, use a spreadsheet for not. Anything is better than emails and phone calls alone.

2. ADD VALUE FOR FREE

A simple, powerful tool to converting leads to customers is to offer some kind of nonmonetary value along their journey to buying a product. Similarly there is no way for you to make improvements unless you can guarantee that those improvements will be similarly followed through in the same consistent manner.

Consistency will also support your business to scale up, down, across countries or even through franchises without any loss of performance.

Once you have achieved these 6 fundamentals it is likely your sales process would have improved significantly. Beyond this, you can start exploring ways of improving it using modern psychological principles or technology.
