I was recently listening to a podcast that shared the idea of a “word of the year” and how it can encompass multiple parts of your life. That in 2024, you can walk through life with that word as your centrepoint. If you want to get healthy this year your focal word could be “health” and every decision you make comes back to “Am I choosing the healthy option”. This could relate to so many aspects of your life such as physical, mental, financial or relationships. If you have stumbled across Bsale you are most likely looking to buy or sell a business this year. If you are a business owner looking to retire, your focal point could be “retirement” and getting prepared for that moment. Every decision you make in your personal and business life will centre around… “Am I choosing the option that will help me retire?” It takes alot of planning to successfully exit a business, especially for business owners relying on it to fund their retirement. You need to start thinking well before you list it for sale. Our feature interview this edition is with the passionate and successful Andrew Latter from Infinity Business Brokers. usiness Founder Syndrome (BFS) is a term that encapsulates the challenges and issues faced by business owners who have nurtured their enterprises from inception. These founders often find it incredibly difficult to step back or disengage from their businesses. As a business broker I encounter BFS frequently, and I thought it was time to explore how it not only affects the founders themselves but also significantly impacts the process of finding a suitable buyer when it comes time to sell the business.

WHY DO OWNERS DEVELOP BUSINESS FOUNDER SYNDROME At its core, BFS is characterized by a founders deep personal connection to their business. This

connection is not merely financial; it is emotional, psychological, and often forms a large part of the founders identity. Founders with BFS are typically heavily involved in all aspects of their business, from strategic decision-making to daily operations.

SYMPTOMS OF BFS Micro-Management: Founders may struggle to delegate tasks, believing that no one else can do the job as effectively as they can. Resistance to Change: They may resist new ideas or innovations, especially if these suggest a significant shift from the original vision or operations of the business. CASE STUDY: INDUSTRIAL BUSINESS TURNAROUND A relevant case study involves an industrial business we represented, where the owner was working 60 hours a week and his wife contributing 30-40 hours. When we initially took this business to market, potential buyers were deterred during the prospectus review stage due to the high level of owner reliance. Recognizing this challenge, we advised the owners to take the business off the market. During this period, the owners

promoted a high-performing team member to an operational manager role. They dedicated time to documenting and improving processes, thereby systematically reducing the business's dependence on them. This strategic move proved to be transformative. Six months later, the business re-entered the market with a new value proposition, highlighting its improved operational structure and reduced owner involvement. The impact was immediate and significant. The business attracted a broader range of interested parties and ultimately sold for 25% above the previous asking price in less than four months. This case underscores the value of addressing owner reliance and illustrates how strategic internal changes can substantially enhance a business's marketability and value.

CONCLUSION Business Founder Syndrome is a significant barrier to business succession and sale. f you don’t turn your business brokerage into a “systemised digital” business brokerage in 2024 you won’t have one to worry about in 2025. These topics span a large spectrum, so let’s look at each part in turn.

Social Media. The business broker should be the thought leader in the small business arena. Most business owners are ignorant about some areas of their business. However the area where they are most deficient is in the value of their business, how to improve it and how to sell it. The business broker is the expert in this field and should be leading the way in educating the small business owners about what their business is worth and how to get it ready

for sale. This will be through the digital platforms. Content. To be a thought leader you need to disseminate your thoughts to those you would propose to lead. The world has been crying out “Use Video!” for the last five years. Now is the time to make that a professional video. If people stop and watch and even click on the video, then your chances of being shown regularly on the platform skyrocket. It doesn’t stop at video, however. Blogs, white papers, interviews, testimonials and any content that proves you are the thought leader will be used regularly. Communication. Like all business owners, business brokers were forced to communicate via video


conferencing tools during Covid. Some did it better than others. The challenge for 2024 is to revert to at least some measure of personal communication. This is easier when the client is around the corner, but we will need to get out of our comfort zone, get in the car or on the bus and visit our potential client. On the other side of the coin, if we are forced into remote communication, professional business brokers will do better via Teams, Zoom, Google meet or other tool. The leading brokers in 2024 will have better backgrounds, improved audio, increased use of tools like whiteboards and online presentations/videos to complement the presentation. The Sale Process. Digitalisation comes to the fore in the sale process. The modern broker will have online data rooms, online document execution, due diligence, and even contract exchange under the control of digital processes.

SYSTEMS Franchising has been around in Australia since the late 60s, with the advent of petroleum, automotive and later, fast-food systems. However, systemisation has not yet fully arrived in the business broking industry. The business broker of 2024 will have mastered systemisation. The broking company will not list a business that they don’t have a buyer for, and will not list the business for sale unless the listing price is reasonable and achievable. It sounds like a pipe dream, however it is being lived out right now in the offices of the modern day business broker. A smart CRM system, Intelligent use of AI and data analytics, combined with a strong team of humans on the ground, will deliver this result for leaders in the field of business broking in 2024.

large firms hiring people who have no understanding of the game and expecting them to learn on the job, usually at the cost of their clients. You will, however, see the growth of large offices with specialist support teams, enabling the key negotiator to complete deals. These offices will be broken up into their component parts, with each of the support team members knowing exactly what their role is in making sales happen.

SUMMARY: You don’t go to a doctor and just “hope” you will be cured. Same with your dentist, your lawyer, your accountant. You expect that with their learning and experience, they will deliver the result you are entitled to. The business owner of 2024 should similarly expect this of their business broker. Nothing less should be expected. Nothing less should be delivered.

Education has been a key feature of life for Travis Latter, the newly appointed education chair at AIBB. He started his own successful Registered Training Organisation (RTO) 23 years ago, which resulted in a long association with the RTO industry. “I sold that RTO before becoming the CEO of another RTO. I also consulted to RTOs leading to their purchase by a public company.”

SO, HOW DID YOU TRANSITION TO BUSINESS BROKING? “About seven years ago, my mate said, ‘Hey Travis, I’m struggling to find somebody who knows anything about selling RTOs. Do you reckon you could help me sell mine?’ I dived into that project and absolutely fell in love with the opportunity.” “Business broking combines three of my loves - numbers, training and sales. WHAT DO YOU REGARD AS KEYS TO A SUCCESSFUL BROKERAGE? Travis attributes much of his success to four elements. First is strong, clearly defined

Whether a client wants to take a “big picture” approach to the transaction or prefers to focus only on the next step, they have the information to guide them. “Our processes make me accountable to our client and the other parts of the system,” explained Travis. “Without strong processes that are rigidly followed, things can go pear-shaped very quickly.”

The second element is to always act with the right intent. Travis focuses on acting with honesty, transparency and fairness in all his dealings. He elaborated on this by saying, “It used to be that people did business with people they liked. Then it became doing business with people you trust. I personally believe that we’ve moved on from that. Now people do business with people they have confidence in.” Being a reliable provider of the information needed to facilitate a sale will demonstrate all parties can confidently make decisions based on their dealings with Infinity.


Next is a focus on continual servitude. As Travis explained, “My job is to make your job as easy as possible.” Travis believes cultivating this attitude is vital to maintaining the right intent. “If you adopt an attitude of service to others, you will act honestly, transparently and fairly.” Continuous improvement is also part of Travis’ philosophy. He freely admits he is not perfect, but by striving to learn from any mistakes and seeking opportunities to make small improvements, Travis knows he is better equipped to assist his clients.

The final element is a detachment from the result. Travis is quick to clarify, “I don’t mean I don’t care about the result, but by focusing on continuous improvement, serving clients, acting with the right intent and adhering to processes, I achieve more (and happier) results.” “By detaching from the result, I can focus on what is really important for a successful outcome.”

HOW DO YOU PLAN TO DEVELOP EDUCATION IN AIBB? Travis emphasised the contribution of previous Chairs

of the Education Committee, who have worked to establish a strong base for broker education. “I’ve also got a committee around Australia committed to growing education and making members accountable for their own education.” “I’m trying to take education to the next level because if members are not pushing themselves to develop, other people will leapfrog them. That’s the reality these days. You can’t rely on what you did ten years ago to be better tomorrow.” Travis agrees that experience is a valuable educator, but many mistakes made while gaining that education can be avoided with targeted professional development. The Committee has developed a calendar of online and in-person events so brokers can plan their professional development well in advance. In addition to the specialist courses, there will be opportunities for those new to the profession and very experienced brokers. There will also be opportunities for non-members to participate in two Online Forums during the year. Travis sees education as an opportunity to enhance further the professional standing of business broking in general and AIBB in particular.

WHAT IMPACT HAS TECHNOLOGY HAD ON BUSINESS BROKING? Travis highlighted online content as a significant change. “We’ve all got websites listing businesses for sale, so buyers can do more research before talking to us. The typical buyer is more informed about a particular business and other comparable businesses.” Travis confirmed it is currently a buyers' market, with buyer 23


confidence buying a sale-ready business.” “This means ensuring the financial statements are up-to-date, where compliance is an issue (like RTOs), ensuring that’s complete, ensuring your systems are operational and be talking to your business broker.” “Unfortunately, less than 10% of businesses are 100% ready to sell, so consulting with a broker to work on what needs to be done is critical.” It can take years to identify opportunities to improve the value of the business, implement them and wait for the results to be reflected in the financial statements. Business owners planning to sell the business eventually (and isn’t that most) and wanting to maximise the sale price are advised to speak to a business broker now. With the broker’s guidance, the groundwork for an orderly and profitable sale will be laid and, quite often, the burden of operating a business can be reduced. Any business operator would welcome the opportunity to experience less stress in their business.

Align resolutions with business goals — Your resolutions and goals don’t have to line up on a one-to-one basis. You’ll undoubtedly have goals that don’t support your resolution (especially if you only pick one resolution). You might need to add new goals to support your resolution.
