Annual Reports Won’t Be Just About Nos. Now

In the US, there was resistance by companies to disclose CEO’s compensation as a proportion of the Employees’ remuneration. But in India there doesn’t seem to be a pushback from the companies

t is a very important announcement by SEBI that according to the new companies act, it is mandatory for companies to make a mention of the CSR activities per business responsibility reporting. Economic Times on Wed. 7th October, 15 have reported that Annual Reports won’t be just about nos. now and the companies are required to disclose info on remuneration ratio, CSR spends, product recycling system etc. The detailed report said and we quote: “Indian companies are including in their annual reports this year information they had not disclosed earlier, thanks to the New Companies Act and business responsibility reporting mandated by markets regulator Sebi. Annual reports this year include the ratio of remuneration of each director to the median employee’s remuneration; the amount spent on corporate social responsibility (CSR) and its breakup; number of sexual harassment cases, child labour and forced labour cases; number of employees with disabilities and those hired on contract; number of stakeholder complaints and employees to whom skill training was given. Besides, there is no info on companies’ mechanisms to recycle products and waste, to support whistle-blowers, to prevent and report frauds, to protect human rights and to source sustainably. “It is a good thing from a perspective of greater disclosure. In the US, there was resistance by companies to disclose CEO’s compensation as a proportion of the Employees’ remuneration. But in India there doesn’t seem to be a pushback from the companies,’’ said Shriram Subramanian, founder and Managing Director of InGovern Research Services. Most of this information is part of the business responsibility reporting, which Sebi has mandated to be part of the annual report for the top 100 companies by market capitalization with effect from financial year ended in or after December 2012. “Corporate India has typically been very compliant and this new reporting is not an insurmountable challenge. It will take a little time

as companies are getting used to it” said Shailesh Haribhakti, Chartered Accountant and Director on the boards of companies including ACC, Blue Star, Ambuja Cements and Torrent Phrma. “While it increases the cost of compliance, companies will soon automate their processes,” he said. “The disclosures are clearly onerous for companies. But being large companies, they have the necessary resources to disclose,” said Subramanian. “Hopefully, Sebi will extend it to all the listed companies over the next few years.” As this kind of reporting becomes mandatory for all companies, it is likely to result in better governance as companies gradually move to fix their systems and processes to improve their ranking on these criteria. It may seem to be a small step on the regulatory front in a bid to encourage more corporate disclosure, but it is likely to herald a new era for corporate India. This kind of socio-economic reporting will also bring in the much-needed transparency in the functioning of companies, facilitate, policymaking in the government, help employees better evaluate their current and prospective employers and empower investors to better assess the companies in which they invest. Besides, over time, the criteria of reporting may gradually get refined and be more comprehensive. Acknowledging and reporting is the first step towards change and 2014-15 may well go down as this year of the beginning of this change in Corporate India.

Unquote The business today has moved from a notion of just looking at financial returns. Companies are increasingly looking towards shared value wherein aspects of social returns are being brought to centre stage for sustaining their competitive advantages. We at ICCSR would like to remind the Indian Corporates that future for those look bleak who are still ignoring cause of “social returns” and in 20 years down the line they would not be even existing in the list of great companies……….. CSR News Tenon Group Adopts Government School

enon Group, an integrated security and facility management corporate, unveiled the newly renovated building of Rajkiya Uchch Vidyalaya at Jhajjhar in Haryana. The school was inaugurated by Ratan Bala Rajain, mother of Major Manjit Rajain, Group Chairman, Tenon Group amongst a packed audience which included students and teachers. The event witnessed a huge turnout of the local populace. The students were in high spirit as they sang a welcome song and performed yoga at the occasion. In the first phase, the renovation includes new classrooms, hall & an adjoining veranda, toilet facilities, new light fixtures and fans, waterproofing of the walls and ceiling, tiling of the walls, painting of the hall, fixing of the doors, windows & ventilator, construction of 6 toilets - 3 for boys & 3 for girls, installation of the water cooler along with a storage tank and water pump, clearing and levelling of the play field for the children to play kho-kho etc. Speaking on the occasion, MajorRajain, Group Chairman, Tenon Group said, “This initiative to renovate the building of Rajkiya Uchch Vidyalaya at Jhajjhar was a defining moment for us. It was a proud moment for me personally to the see the bright, eager and happy faces of the students. It has reinforced my belief that we have done the right thing by supporting and empowering the students by investing in the educational and sanitation infrastructure. We intend to continue our association with the school and gradually make this into a model school.”

Robin Raina Foundation To Build Homes

O

n the occasion of Gandhi Jayanti, the Robin Raina Foundation (RRF), announced to build another 1000 Mahatma Gandhi Homes for the slum dwellers of Bawana in Delhi and overall 6000 homes for the homeless in North India. A $20 million investment by RRF will go into supporting the cumulative rehabilitation plan making it one of the largest private charity initiatives in the country. The foundation has already built 1732 homes among host of other initiatives in the area for the underprivileged sections of the society. Says Philanthropist and Founder of RRF, Robin Raina who has emerged as the voice of the have-nots worldwide with his single-minded dedication to providing hope to the under privileged sections of the society, “In the basket of miseries, not having a roof over one’s head can perhaps be counted as the worst of worries any underprivileged faces. With a large portion of the underprivileged surviving without a roof over their head, Mahatma Gandhi Homes wll serve as an RRF initiative to provide much needed social security for such families.” According to India’s 2011 Census there are 449,761 houseless households/ families existing in our country and if our PM has to meet his promise of giving a roof to every head in India, there is a need to build about 55,000-60,000 houses each year to give shelter to all of them by 2022. Bear in mind that the worrying part is the rise in urban homes, which has grown at 20 per cent in the decade from 2001 to 2011. November 2015 | CSR Today | 5

Ihg To Raise Funds

olleagues across InterContinental Hotels Group’s (IHG) corporate office and hotels in India took part in IHG Race Around the World, an event that aims to raise awareness and funds for the global hotel company’s disaster relief programme, IHG® Shelter in a Storm. The company encouraged its colleagues from all over the world to participate in as many activities as possible during the week-long event. Close to 650 colleagues from IHG’s corporate office in Gurgaon, and hotels including Crowne Plaza Greater Noida and Crowne Plaza Kochi responded by participating in a walkathon. The team from the recently opened Crowne Plaza Chennai Adyar Park also helped to clean up a public park near the hotel in conjunction with IHG’s year-long commitment to Swachh Bharat Abhiyan, a national campaign initiated by the Indian government to work towards a “Clean India” by 2019. With IHG making a donation for each act of participation, activities organised by IHG’s hotels and corporate office in India raised money for IHG Shelter in a Storm in the process. Shantha de Silva, Head of South West Asia, IHG said: “We are really excited to be joining IHG colleagues from across the world to raise awareness and funds for IHG Shelter in a Storm. The IHG Walkathon was not only great fun; it also motivated and engaged our colleagues while raising money for a fantastic cause.”

ir India, the ​national ​​ ​c​arrier, in association with The Lions Club of Mahim, Mumbai, organized a fun and recreational visit for 53 mentally challenged children from Mann’s Wellness Center in Mumbai,​recently, as part of their Corporate Social Responsibility (CSR) Program. This CSR program was aimed at providing these special children with an experience of seeing a plane and how the aircraft looks from within. The day started with these mentally challenged children visiting the simulator for some time followed by a visit to the mock up area to see the plane from inside at the old airport. The children were welcomed by the cabin crew who showed them how to open their table, sit comfortably, fasten their seat belt etc.

he/Nudge Foundation, a nonprofit focused on sustainable poverty alleviation at scale, announced a partnership with Godrej Saloni, a CSR initiative of Godrej Consumer Products Limited. The partnership focuses on imparting life-skills and beautician training at residential Gurukuls across India. The partnership hopes to help a 100,000 beneficiaries given the goal both The/Nudge Foundation and Godrej Saloni have individually set themselves of pulling 1 million people out of poverty by developing employability, by the year 2020. Commenting on the partnership, Poulami Pal, Deputy General Manager, Godrej Consumer Products Limited said, “There exists a lot of synergy between the goals at Godrej Saloni and The/Nudge Foundation. It made complete sense for us to come together in our efforts to eliminate poverty and provide those benefiting with not only a livelihood, but a life as well.” The/Nudge Foundation also recently announced a $200K donation from Nandan Nilekani, former CEO of Infosys and erstwhile Chairman of the Unique Identification Authority of India. Founder & CEO, The/Nudge Foundation, Atul Satija said, “With the partnership with Godrej, we have now taken a large step towards the fulfilment of our goals. With endorsements such as Mr. Nandan Nilekani and the Godrej group, The/Nudge Foundation is well poised to take on and eradicate the bane of poverty.” Through an innovative approach to poverty alleviation, The/ Nudge Foundation hopes to impart life-skills, literacy as well as livelihoods to the poor in an integrated fashion at residential “Gurukuls”.

he beauty of VERGE is that it is about optimizing systems, not components, through integration across disciplines. Few transitions embody the VERGE concept more readily than the shift to a distributed, renewable-powered electricity system. Humans’ global energy and environmental challenges are well known – there is 10 | CSR Today | November 2015

a 99 percent chance that 2015 will eclipse 2014 as the warmest year on record, and 2016 is expected to be even warmer. These challenges increasingly will affect the way we do business as well as the profitability of that business. To confront these problems, we need 21st century solutions, not retreads of 20th century ideas.

One antiquated system most in need of updating is our reliance on finite, centralized stocks of fossil energy, whose problems are increasingly apparent, to power the human enterprise. The 21st century solution is to live off energy flows. The sun alone provides 2,000 times more energy than humans consume each year, while other renewables could provide over five times total human energy needs indefinitely. In the 1980s, Ronald Reagan was fond of declaring that it was “morning in America,” and if the Gipper were around today even he might acknowledge that this applies to the U.S. solar industry as well. Annual solar installations have grown from 850 MW just five years ago to more than 8,000 MW forecast for 2015, while generation efficiency has increased sixfold. The solar industry expects 2016 installations to grow 50 percent more, exceeding the Department of Energy forecast for 2035. Much of this growth can be attributed to the precipitous drop in prices of solar PV systems, from $6 to $7 per installed watt in

From the centralized power grid perspective, the solution is to push increasingly smart electrons out to dumb, passive buildings to help them blunder through their daily existence. From this perspective, the emphasis on intelligence in the grid (such as smart meters) really is to provide better commodity consumption data to the supplier, not the consumer. by rob watson

n a major initiative, the Centre has called upon the corporate houses to extend their CSR support to make India the super power in the world of sports. Speaking at the Eastern India CSR Summit at Kolkata recently Union Minister of Youth Affairs and Sports Sarbananda Sonowal said, India is making steady progress in multi-discipline sports competitions like Olympic Games, Commonwealth and Asian Games and have won many world championships. He said, if the Corporate Houses spend a portion of their CSR funds towards promotion of sports, India will surely emerge as the super power in sports in the World. The Minister said, in this context, he would like to quote from the Memorandum of Association of Steel Plants Sports Board which was established in 1960 by SAIL and the then TISCO which is now known as Tata Steel. Its preamble states that ‘with the abolition of Princely States which hitherto used to patronise sports in the country, a void has been created and in order to fill this void, it is essential that the industries come forward to patronise sports in the country’. He said, the objective was not only to provide sports & recreation to its employees and their wards, but also to patronise budding talent to win medals for the country. Various Sports Promotion Boards have been created under Public and Private Sector Undertakings. And the role of these Sports Promotion Boards become more important especially in view of their reach in the remote areas. The Minister said, Indian Companies Act 2009 has now been suitably revised to include various Sports Promotion Schemes under its Corporate Social Responsibilities (CSR). He said, his Ministry has also suitably revised the Rashtriya Khel Protsahan

Puruskar which was introduced to encourage involvement of corporate and sports promotion boards in the development of sports in the country. According to the revised plan, Rashtriya Khel Protsahan Puruskar scheme, which was introduced in 2009, will now be given in four categories - Identification and nurturing of budding talent, Encouragement of sports through Corporate Social Responsibility (CSR), Employment of sportspersons and sports welfare measures and Sports for Development. He said, in the revised Scheme, eligibility criteria for all four categories have been prescribed. As ‘Training to promote rural sports, nationally recognized sports, Paralympics sports and Olympic sports’ have been included in the Schedule VII of the Companies Act 2013. Shri Sonowal said, the companies can now spend on promotion and development of sports from the funds earmarked for Corporate Social Responsibility (CSR), a specific category for ‘Encouragement of sports through Corporate Social Responsibility’ has been provided for in the revised Scheme. The Minister said, the Corporate Houses have to come forward to patronise budding talent selected as Olympic Probables to provide them training & competition exposure and inputs required for proper training, be it imported equipment; services of foreign coach, diet supplements and sports science back up. He said, CSR support for preparation of Indian Contingent for Olympic Games 2016, Commonwealth & Asian Games 2018 and Olympic Games 2020 is required. Shri Sonowal said, his Ministry has identified seven sports disciplines as Medal prospect disciplines in the Olympic Games 2016 and identified 75 core Probables and another 75 Probables will be selected shortly. The disciplines are:

Archery, Athletics, Badminton, Boxing, Shooting, Weightlifting and Wrestling. He said, under CSR, contribution of funds may be made towards National Sports Development Fund (NSDF) under Ministry of Youth Affairs & Sports, Govt. of India created for support to the talented sportspersons in their training and competitions and also for financial support to former Olympians in setting up their Sports Academies. Sonowal called upon to provide CSR support in setting up Specialised Sports Academy for Differently Abled Sportspersons. He said, he has already requested the Ministry of Social Justice and Empowerment to set up such Sports Academy with technical support from Ministry of Youth Affairs & Sports. The Specialised Sports Academy for Differently Abled Sportspersons will be first of its kind in India and it is the bounden duty of the Corporate Houses to support such noble cause. He said, it will be in the fitness of things if one Corporate House comes forward to take over the Academy and run the same professionally. The Minister said, while his Ministry financially supports creation of sports infrastructure in all States and UTs and a scheme has been launched to create Indoor and Outdoor sports facilities in every Block, however, he strongly feels that in line with the scheme of adopting parks and traffic islands by Corporate Houses, sports infrastructure may also be adopted under CSR scheme so as to provide support system in managing, maintaining and optimum utilization of sports infrastructure available in the country especially in remote areas under Swachh Bharat Abhiyan. Shri Sonowal expressed the confidence that the Corporate Houses will come forward and join the Prime Minister’s call for ‘Sab Ka Saath - Sab Ka Vikas’ and contribute whole-heartedly towards promotion of sports in the country. Centre Moves To Rectify Lacunae In Rural Health Architecture The National Democratic Alliance (NDA) government, led by Prime Minister Narendra Modi, is exploring ways and means to ensure proper utilisation of public spending on the system, confronted with multiple challenges. en years down the line since the National Rural Health Mission (NRHM) was put in place, challenges to ensure quality and affordable health services in large swathes of the country’s rural belts are being tackled with renewed vigour. Latest rural health statistics reveal that gaps are to be bridged and much has been accomplished despite a plethora of challenges on the road in the wake of increasing expectations in rural regions. Manpower has been increased and infrastructure refurbished for the rural health set up to match ever increasing aspirations of people who are becoming more aware of quality health services available in urban stretches and government endeavours to improve health care delivery in rural regions. At some places ,more facilities and manpower are required lest it cast an adverse impact on the services.The NRHM common review commission has undertaken a close look on the set up to improve services. The NRHM seeks to provide effective healthcare to rural population throughout the country with special focus on 18 States, which have weak public health indicators and infrastructure. The States are Arunachal Pradesh, Assam, Bihar, Chhattisgarh, Himachal Pradesh, Jharkhand, Jammu & Kashmir, Manipur, Mizoram, Meghalaya, Madhya Pradesh, Nagaland, Odisha, Rajasthan, Sikkim, Tripura, Uttarakhand and Uttar Pradesh. NRHM aims to undertake architectural correction of the health system to enable it

to effectively handle increased allocations and promote policies that strengthen public health management and service delivery in the country. It seeks decentralisation of programmes for district management of health and to address the inter-State and inter-district disparities, with emphasis on the 18 high focus States, including unmet needs for public health infrastructure. It also seeks to improve access of rural people, especially poor women and children, to equitable, affordable, accountable and effective primary healthcare. The last common review commission which had met late last year found some “encouraging facts” like adequate number of health facilities as per popula-
