GENERAL TERMS OF SALE FOR ANCILLARY AND SUPPLEMENTARY SERVICES 1 - APPLICATION AND ENFORCEABILITY OF THE GENERAL TERMS AND CONDITIONS OF SALE EXPOSIMA, 70 avenue du Général de Gaulle 92058 Paris la Défense, cedex, a limited company with capital of €160,000, registered in the NANTERRE companies register under number 392145181 (hereinafter referred to as the “organiser”) is organising the 2011 SIMA exhibition (hereinafter referred to as the “event”). Within the context of this event, ancillary and supplementary services are offered to companies exhibiting directly at the event and to their co-exhibitors. Consequently, each ancillary service order implies acceptance in full and without reservation by the applicant of these general terms and conditions of sale. Unless previously and formally agreed in writing by the organiser, no special condition shall prevail over these General Terms and Conditions. 2 - RESERVATION OF ANCILLARY SERVICES: SPONSORING OF EXHIBITOR WORKSHOPS, INTERNET SERVICES, ADVERTISING INSERTS, EXHIBITOR WORKSHOPS AND CONFERENCES FOR THE GENERAL PUBLIC, ON-SITE DISTRIBUTION... NON-EXHAUSTIVE LIST. All ancillary service reservation requests must be sent to the organiser on the order forms included with this pack. No requests will be accepted by telephone. Only reservation requests accompanied by 50% of the payment will be considered. Reservation requests for ancillary services from clients who are insolvent and/or overdue on any payment to the organiser and/or in litigation with the organiser or its group cannot be accepted. 3 - SPONSORSHIP The organiser offers exhibitors the option to sponsor certain events or products under the terms and conditions laid out below. Since sponsorship options are limited, when granting requests the organisers will take into account the date the request was received and the date payment of 50% of the amount due for the service ordered was made. The organiser reserves the right to refuse sponsorship requests depending on the products being offered and the number of requests made by exhibitors who are already registered. 4 – INTERNET SERVICES The organiser offers exhibitors the option to create a direct link between their own website and the event website, and of advertising it through banners on the event website. Since banner options are limited, when granting requests the organisers will take into account the date the request was received and the date payment of 50% of the amount due for the service ordered was made. The organiser reserves the right to refuse a request for Internet links or banners. Refusal of requests for Internet links or banners shall not give rise to claims for damages. The organiser is not responsible for the information displayed on external websites to which any links may point or which may be advertised by a banner. ARTICLE 5 – ADVERTISING INSERTS

5.1 Allocation of advertising space The organiser offers exhibitors / advertisers the option to have advertisements inserted into the following media: Visitor maps, catalogue, signboards, orientation maps, etc. With the exception of space provided for in the scale of pricing, no space can be guaranteed, notwithstanding anything stipulated in the advertising order. Since advertising space is limited, the organiser will allocate it in the order in which the advertising orders (and deposits of 50% of the total payment due for the service ordered) are received, as evidenced by the postmark. 5.2 Miscellaneous The organiser/publisher reserves the right to accept or refuse any request for an advertising insert. Refusal of a request for an advertising insert shall not give rise to damages. The organiser/publisher may not be held liable for the content and textual accuracy of advertising inserts. The organiser/publisher may not be held liable for any information provided or offers proposed. The production masters for the advertisements and logotypes must be submitted to the organiser before the stated deadlines. In the event of the organiser/publisher designing or altering an advertisement at the advertiser’s request, the text will be subject to the latter’s rereading and passing for press, which, countersigned for return, must be returned by recorded letter with advice of delivery and will constitute final acceptance for publication and agreement to pay the technical costs. Any press proofs not returned within forty eight (48) hours will be deemed to have been accepted. Press proofs cannot be guaranteed in respect of any document handed over or sent after the date set by the publisher. The advertiser may make keyboarding corrections to this proof, based on the initial text, but any text alteration after photo composition will incur authors’ correction fees which will be payable by the exhibitor/advertiser. 5.3 Technical costs Technical costs (advanced lay-outs, composition, photoengraving, correction or formatting) are to be borne by the advertiser, unless otherwise stipulated in the pricing. 5.4 Agency In the event of intervention by an agent, and if the agency contract between the advertiser and the agent (a copy of which will have been submitted to the organiser) so provides, payment may be made through the agent; the invoice sent directly to the advertiser will then state that the payment is not to be made directly by the advertiser, this being the agent’s responsibility. The advertiser is liable in all cases for payment in respect of the advertising order, under the terms and conditions stated in the pricing. 6 - TERMS AND CONDITIONS OF PAYMENT FOR SERVICES Payment for ancillary services shall be made in two payments: - a deposit of 50% shall be paid by cheque or bank transfer when the ancillary service is ordered. the balance of the invoice for the ancillary service sent to the exhibitor before the exhibition (accompanied by proof of publication of advertising insertions) shall be paid by cheque or bank transfer no later than fifteen days after the date of the invoice. No discounts will be granted for early or cash payments.


8 - CANCELLATION If the applicant cancels his/her ancillary service order, one and a half months at the latest before the event opens, the full amount of the instalment made for the ancillary services will be retained by the organiser by way of liquidated damages, even in the event of the cancelled service being resold to another exhibitor. If an applicant cancels their ancillary service order less than one and a half months before the event, the full amount due for the cancelled ancillary service will be payable to the organiser to compensate for any damages sustained, even if the cancelled service is resold to another exhibitor. Cancellation of an exhibitor’s participation in the event automatically entails cancellation of the ancillary services reserved. The organiser will retain the entire deposit due for these ancillary services (without prejudice to arrangements relating to cancellation of the space reserved), even if the cancelled service is resold to another exhibitor. Any exhibitor having cause to cancel their participation in the event undertakes to inform the organiser of this by recorded letter with advice of delivery. 9 - LATE PAYMENT PENALTIES In the event of a delay in payment, provision of the services may be suspended. Furthermore, all invoiced sums falling due that remain payable, whether identical or not to those appearing in the General Terms and Conditions, entail the application of penalties of an amount equal to one and a half times the rate of legal interest plus two percent. These penalties take effect on the day after the due date indicated on the invoice. 10 - DISPUTES Any complaint must be made by recorded letter with advice of delivery within ten days following the provision of the service, failing which the complaint will be null and void. In the event of a dispute, only the French text of these provisions shall be accepted and the Nanterre Commercial Court shall hold sole jurisdiction. 18. INFRINGEMENT The Exhibitor assumes responsibility for intellectual property protection and/or industrial property protection, together with the protection of all products, services and brands, in accordance with current laws and regulations. The Organiser is thus released of all liability in this regard, particularly in the event of disputes with another Exhibitor or visitor. In the event of the law courts finding that there has been an infringement - regardless of the date - the Organiser may request that the Exhibitor complies with any decisions taken. In the event of the Exhibitor failing to comply, the Organiser reserves the right not to admit the Exhibitor or to apply the sanctions provided for in these terms and conditions without the Exhibitor being able to claim any damages whatsoever. 19. ADVERTISING OF PRICES The prices of products must be advertised in accordance with current legislation and should be displayed so that the general public is able to read them clearly. Any announcements about price reductions (rebates, discounts) communicated to the public through labels, markings or other information on display must comply with legal requirements and regulations with respect to price advertising for consumers and may only be through posters on the insides of the stands. The maximum size allowed for these posters is 30 cm x 20 cm. 20. TAKE-AWAY SALES The Organiser reserves the right to prohibit or restrict any sales which involve immediate delivery to the buyer on the premises. Furthermore, should the Organiser authorise such sales, the Exhibitor must respect the regulations pertaining to takeaway sales that are in force on the day of the event. 21. SACEM DECLARATION Should the Exhibitor wish to broadcast music from their stand, they should inform the Organiser beforehand in writing. Furthermore, it is stipulated that the Exhibitor is solely responsible for ensuring that the intellectual rights with regard to music being broadcast are respected. Consequently, the Exhibitor must submit a declaration with regard to music being broadcast from their stand to the SACEM (the body in France that provides authorisation, collects payments of royalties and distributes them among the writers and music publishers that it represents) and ensure that proper payments are made. The Exhibitor guarantees the Organiser against any recourse or claims from third parties in the event of these obligations not being fully satisfied. 22. IMAGES / BRANDS The Exhibitor expressly permits the Organiser and the COMEXPOSIUM group: • to take photos and/or produce films - free of charge - representing it, as well as members of its team, together with the products on show at their stand. • to use these images freely on all types of media, for the purposes of advertising in particular, (including the Internet), in France and abroad for a period of five years starting on the date this registration request is signed.

• to use and reproduce its brand name, or company name, as a business reference for the purposes of communication on all types of media, (including the Internet), in France and abroad for a period of five years starting on the date this registration request is signed. 23. CATALOGUE Only the Organiser is entitled to publish the catalogue of the exhibition, or to have it published and distributed. Information to be published in the catalogue shall be provided by the Exhibitors under their own responsibility. The organiser shall under no circumstances be held liable for any omissions, errors of reproduction, typesetting or other which may occur. 24. REGULATIONS Exhibitors are required to know and to adhere to all regulations that are in force while the event is taking place, be they enacted by the public authorities or by the Organiser. These include - in particular - no smoking regulations in communal areas and regulations pertaining to Fire Safety and other Health and Safety requirements. Fire Safety and other Health and Safety regulations will be communicated to Exhibitors in the Exhibitors guide. Should the stand not be in compliance with said safety regulations, the Organiser will not approve the stand. 25. EXHIBITORS GUIDE All information pertaining to the Exhibitor’s taking part in the Exhibition will be provided in the “Exhibitors Guide” once stands have been allocated. These will be given to each participant and will also be available for consultation on the website during the event. The Exhibitors also undertake to adhere to insurance terms and conditions, to respect safety and regulatory prevention measures and to observe customs requirements, as well as directives for fitting out the stands. 26. CUSTOMS Each exhibitor shall be responsible for observing customs procedures in connection with equipment and products from abroad. The organiser shall not be held liable for difficulties that may arise in connection with such procedures. The exhibitor guarantees the organiser against any recourse and/or claims in this respect and will compensate the latter for any damage it may sustain through failure to respect the necessary customs formalities. 27. CANCELLATION OF THE EXHIBITION In the event of a force majeure, such as defined by French law, should the Organiser no longer enjoy access to the necessary premises in order for the Exhibition to be held, the Organiser reserves the right to cancel the Exhibition at any time, and to inform the Exhibitors in writing. In such an event, the latter would not have any right to compensation or indemnities whatsoever. Funds remaining available after payment of all costs will be distributed among the Exhibitors proportionately to the amounts paid by them, who, by express agreement, will have no recourse in any capacity or for any reason whatsoever against the Organiser. 28. “SPECIAL OFFERS” Companies which are members of AXEMA and SIMOTHERM as of 31 May 2010 and who are also members during the dates of the exhibition are eligible for special conditions. 29. LIABILITY OF THE ORGANISER The Organiser is exempted from all liability for losses which may be suffered by Exhibitors (including disturbance of possession and commercial prejudice) for any reason. 30. CLAIMS AND LITIGATION All claims must be submitted by registered letter with return receipt within ten days of the Exhibition closure. In the event of a dispute, only the French text of these provisions will be accepted, and the Courts of Nanterre shall hold sole jurisdiction. 31. SANCTIONS In the event of these general terms and conditions being infringed, the Organiser may - after formal notice has been given in the presence, if required, of a bailiff immediately close down the stand and prohibit the Exhibitor from entering it. In such an event, the Exhibitor may not claim any financial or material damages from the Organiser whatsoever. Any costs incurred by the Organiser’s involvement (bailiff fees and fees related to closing down the stand) will be borne by the Exhibitor. In all circumstances, if any infringement of these conditions is discovered, the Organiser will have the right to cancel this contract without prejudice to any damages that the Exhibitor may claim. Consequently, the Organiser will have the right to prohibit the Exhibitor from taking part in any other Exhibitions organised by the COMEXPOSIUM group for a period of three years. The general regulations for the holding of Trade Shows, Exhibitions and Conferences in France (which are included in the Exhibitors Guide and on www.simaonline.com) remains applicable to Exhibitors at the Exhibition and are not contrary to the provisions of this registration request and to the specific regulations.

7 - RESPONSIBILITY The exhibitor / advertiser will be solely liable for the contents (text and visuals) of their advertising insertions. They guarantee the organiser against any recourse in this respect and will compensate the latter for any damage it sustains as a result of publication of their inserts.
