President’s Message Hello Readers As we look back on the year 2023 , I am excited to share the accomplishments that have and are shaping our journey and the strategic initiatives positioning us for the future. Starting with the latest news first we successfully acquired Zeaborn Ship Management together with MPC – which we already have a good working relationship with through our joint venture Wilhelmsen Ahrenkiel Ship management. This acquisition reinforces our commitment to growth and quality and strengthens our commitment to excellence and exemplifies our focus on meeting and exceeding our clients’ expectations.

As we celebrate the past year’s achievements, let us carry the spirit of quality, commitment, and innovation into the coming year. I extend my deepest gratitude to each Wilhelmsen Ship Management family member for your dedication and hard work. Together, we have navigated through challenges, celebrated successes, and forged a path toward a promising future. We have revived the iconic Barber brand to deliver quality services to our tanker customers. Towards the end of last year, we created RightProc, our new upstream procurement company, which marks a significant milestone in our pursuit of efficiency and excellence. This venture reflects our dedication to providing top-notch solutions in the complex landscape of marine industry procurement. I am also proud to highlight our commitment to diversity at Wilhelmsen. We aim to revolutionize procurement by offering responsible upstream category management. We enable our customers to optimize their supply chains, futureproof them for new directives, and achieve greater value through this. Wilhelmsen and MPC Capital acquire Zeaborn

Wilhelmsen Ship Management (“Wilhelmsen”), a provider of third-party ship management services headquartered in Singapore, and Hamburg-based asset manager MPC Capital have agreed to acquire 100 % of the company Zeaborn Ship Management (“Zeaborn”). The acquisition is the consistent next milestone in the partnership between Wilhelmsen and MPC Capital and their ship management joint venture Wilhelmsen Ahrenkiel Ship Management (“Wilhelmsen Ahrenkiel”) and tanker specialist Barber Ship Management (“Barber”). Zeaborn manages a fleet of around 100 vessels, comprising of container ships and bulkers as well as tankers and multi-purpose vessels, which are managed from offices in Hamburg, Limassol, Singapore and Manila.

We are excited to expand our cooperation with MPC Capital, based on an already successful partnership. The acquisition of Zeaborn is our strategic move to expand and strengthen our market presence in the ship management arena. Creating a leading competence center for ship management With the full integration of Zeaborn into the joint technical management activities of Wilhelmsen and MPC Capital, the partners create a leading competence center for thirdparty ship management in Hamburg. After the integration of Zeaborn, the combined activities will continue to operate under the brand names of Wilhelmsen Ahrenkiel and Barber, respectively. The joint activities will be co-headed by Managing Directors Dr. Michael Silies and Michael Brandhoff. Michael Silies has been with MPC Capital since 2003 and has headed Wilhelmsen Ahrenkiel since 2020. Michael Brandhoff has been Managing Director of Zeaborn since 2021.

As a Hamburg-based company with an outstanding track record in shipping activities we feel many overlaps in tradition and values with the Wilhelmsen group as our partner. As such, we are excited to grow our ship management platform. With the integration of Zeaborn’s complementary client base and services we further strengthen our market position in the ship management business. Wilhelmsen and MPC Capital actively drive market consolidation The expanded joint ship management activities of Wilhelmsen and MPC Capital will continue to be managed from Hamburg with a total fleet of more than 150 vessels in technical management. Wilhelmsen and MPC Capital, both established groups with strong family ties, are thus actively driving market consolidation and advancing Hamburg’s position as a major ship management hub.

The closing of the transaction is expected for Q1 2024 and is subject to approval by the competent antitrust authorities.

Supporting our Customers for the EU ETS

The European Emissions Trading System (EU ETS), a cornerstone of the EU’s climate action strategy, stands as the world’s pioneering and largest carbon market. Effective January 1, 2024, the maritime industry will join the EU ETS, marking a significant step towards reducing greenhouse gas emissions.

The recently released European Union’s Monitoring, Reporting, and Verification (EU MRV) dataset for shipping’s CO2 emissions in 2022 reveals noteworthy year-on-year changes despite a modest reduction in the industry’s emissions. The EU MRV regulation mandates ships over 5,000 gross tons to report CO2 emissions to and from EU and EEA ports. This is the basis for the industry’s integration into the EU Emissions Trading System (ETS).

Paving the way with Hecla Hecla Emissions Management AS is our joint venture with Affinity Shipping LLP. The Company has been established as a neutral and independent provider of compliance services relating to the European Union Emissions Trading System (EU ETS). Hecla centralises the ETS value chain within one workflow and allows customer oversight through its digital platform.

The company’s offering will be the first of its kind, offering a complete outsourcing service for shipping ETS management. The service integrates technical ship management and carbon allowance procurement to support shipowners, managers, and operators in the new era of emissions compliance. Following the agreement in December among EU negotiators to include maritime shipping in the EU ETS, ship owners and operators will need to acquire emission permits for 40% of their applicable emissions in 2024, increasing to 70% in 2025 and 100% in 2026 and every year after that.

Being the former name of Wilhelmsen Ship Management, the brand name “Barber” is not new to many veterans in the shipping industry. Question: Assuming leadership of a “new” ship management company is a substantial undertaking. What motivated you to lead Barber Ship Management, and what challenges have you faced thus far?

Roine: My motivation is deeply rooted in my passion for the maritime industry and my belief in the potential for innovation and excellence. Leading Barber Ship Management is a privilege and a challenge. One notable challenge has been establishing trust as a newcomer. Nevertheless, we’ve remained focused on principles of transparency, safety, commercial value creation for the clients, operational excellence and sustainability, which have guided us through the initial phases of our journey.

Navigating the Waves of Change: A Deep Dive into Ship Management, Decarbonization, and Diversity at Wilhelmsen

Our CEO and president, Carl Schou, believes there are great opportunities for ship managers ahead. In an interview with Naftemporiki, one of Greece’s business news publications, he discusses today’s significant challenges the maritime industry faces and addresses topics like crew shortages, diversity and decarbonisation.

Question: What exactly are the roles and responsibilities of a thirdparty management company when taking over a shipowner’s fleet?

Carl: When a third-party management company takes over the management of a shipowner’s fleet, its primary goal is to ensure the efficient and safe operation of the vessels. In Wilhelmsen, we categorise it into four main elements: crewing, technical, emissions and OPEX management. The ship manager is responsible for recruiting a competent crew to operate the vessel and implementing systems and processes onboard to manage it. These systems and processes are required to ensure the crew’s safety and maximise the vessel’s operational reliability. In the new era of emission consciousness, the ship manager is responsible for monitoring the emissions and optimising operations to minimise emissions. These three elements collectively influence the vessel’s operational expenses. Therefore, the ship manager optimises operational expenses by adeptly managing all three facets. Striking a good balance among these four elements represents the art of ship management. It sets one ship manager apart from another. 12

Question: Shipping analysts predict that third-party management will enhance its presence in the Greek shipping market. Do you agree? What are the prospects of companies like yours in the future?

Carl: Yes, I agree. There are more opportunities and prospects now compared to 5 years ago. The barriers to managing ships have increased due to the increased regulatory regimes. For some ship owners to remain competitive, they must seek out reliable ship managers with established systems and processes that can manage their vessels costefficiently and comply with all regulations. Ship managers can provide access to economies of scale in bulk purchases, allowing ship owners to reduce their operating expenses considerably. How an owner selects the correct manager comes down to the owner’s profile. We are ship managers with a proven track record. For 48 years, we have consistently delivered our services to the shipping community under the steadfast ownership of the Wilhelmsen group. With over 160 years of maritime history, the Wilhelmsen group’s evolution from ship owners to one of the world’s largest maritime networks has paved a solid foundation of values emphasising doing things the right way and a strong people culture. We define ourselves as performance-driven people who value relationships and tradition while being ambitious in our goals. We are confident that we can attract Greek ship owners who resonate with our philosophy and are looking for a trusted partner to navigate the complexities of modern ship management.


Question: What are Wilhelmsen’s suggestions concerning decarbonisation? Zero-carbon fuels will probably not be viable for some years. How can shipping companies reduce fleet emissions amid a stringent regulatory environment?

Carl: We project that by 2030, approx. 70% of the fleet will still be on conventional fuel, while 20% will use LNG. The remaining 10% of the fleet will run on alternative fuels such as ammonia and methanol. We are focusing on the incremental changes that can be made to support our owner’s goal to reduce emissions. One key enabler is our established digital systems that track and monitor emissions. Our data warehouse enables extensive analysis and has led to the development of leading KPIs that can assist our shore employees and crew onboard to reduce fuel consumption. Crew competency is also crucial to achieve that. We are developing emission-conscious crew members to equip them with the knowledge and motivation to take initiatives that align with the shipowner’s emission reduction objectives. This holistic strategy encompasses technology, data-driven insights, and skilled personnel, positioning your operations for a sustainable and environmentally conscious future.

Question: Given the fact that there is a shortage of qualified officers, do you encounter difficulties when searching for new employees? How does the Russia-Ukraine war affect these efforts?

Carl:

We have actively recruited seafarers in traditional nations like the Philippines and India—however, our core strategy centres on developing our seafarer pool through our cadetship program. We firmly believe in nurturing and shaping our pool of seafarers from their cadet phase, as this approach consistently develops officers who possess the competencies and values aligned with our organisation’s standards. This dual-pronged approach addresses immediate staffing needs and invests in our maritime operations’ long-term sustainability and excellence.

Question: Wilhelmsen announced recently that Mrs. Rosemelyn De Villa Boongaling took over her first command on AS Patria. How does the company promote diversity practices in the maritime environment?

Carl: Mrs Rosemelyn is our 2nd female captain. Our first female captain is Ms Lee Eu Ran, who took over her first command in 2022. Both captains began their careers with us as cadets and steadily advanced. However, it’s important to note that female seafarers represent a small fraction, currently comprising only 1% of our seafaring team. To enhance gender diversity, we’re actively boosting our female representation through our cadetship program. Furthermore, we’ve established an internal female seafarer support group to foster open discussions concerning challenges faced onboard and personally. We’re committed to creating a thriving and inclusive environment for our female seafarers. We are proactively exploring ways to achieve this goal.

Seafarer shortages, particularly for officers, have persisted as an industry challenge for decades. Despite these ongoing shortages, the shipping industry has demonstrated remarkable resilience and adaptability to ensure the continuous operation of vessels, with no reported instances of ships being halted due to crew shortages.

A Meeting of Like-minded Stakeholders: Sustainable Shipping and the Maritime Industry

We had the pleasure of collaborating with Ships Service and Port Services to host the Sustainable Shipping Initiative (SSI’s) biannual members’ meeting in Singapore. SSI is a collective of stakeholders hailing from across the maritime industry. The members comprise various industry stakeholders, from charterers, ship financiers, owners and port authorities. This meeting hosted by Wilhelmsen saw SSI’s members come together to discuss multiple sustainability issues within the industry and exchange ideas on best practices for tackling these issues.

The first day began with members taking a tour around Ships Service’s Pandan Loop warehouse. Members got a firsthand look at Ships Service’s warehouse operations, relevant safety procedures to ensure the safety of the employees and efforts Ships Service is making in transitioning towards a greener future.

Our guide introduced guests to how Ship Service keeps track of the expiry dates of test kits.

After the warehouse tour, members hopped onto launch boats to tour the anchorage at the Port of Singapore. Guided by experts from Port Services, the tour provided a

comprehensive understanding of an anchorage’s function as a secure location where vessels could stop to refuel, replenish supplies, or await clearance from port authorities.

After the tour, the members returned to the meeting rooms at Pandan Loop. They embarked on earnest discussions about the future of SSI and its work at the COP28 climate summit. The first day wrapped up with delicious seafood at Long Beach @ Robertson Quay. Some topics discussed included the future of green steel, hurdles associated with

ship recycling, and ways the maritime industry could increase female representation amongst seafarers. This members’ meeting was an excellent opportunity for industry stakeholders to collectively share strategies and best practices to address the maritime industry’s crucial challenges. It also showcased collaboration and strength between Ship Management, Ships Service and Port Services. Gastech Singapore 2023: A remarkable four-day event

Gastech Singapore 2023 was the most significant global gathering for the natural gas, LNG, hydrogen, low-carbon solutions, and climate technologies industries. This remarkable four-day event came to a close on September

8th, 2023. Gastech 2023 saw participation from over 750 exhibiting companies, showcasing the latest cutting-edge products and innovations to a diverse audience of 44,957 energy industry professionals.

Here are some highlights: Sjømannskirken (Norwegian Seaman’s Mission, Singapore) joined us as part of our exhibition and showcased Norwegian Waffles. For every waffle our guests consumed, we renumerated Sjømannskirken with a fixed fee. The proceeds from this activity will be used to support Sjømannskirken’s cause for seafarers.

With a new strategic vision and robust asset base, Avenir is well-placed to weather a volatile market. The Oslo-stock listed company currently has a total fleet of 5 tankers in the water. The latest vessel to join the fleet was the 20,000-cbm Avenir Achievement in May last year. It also owns a smallscale LNG terminal in Sardinia, with assets/partnerships now operating in China, Malaysia, the Mediterranean, the Baltic Sea and the Caribbean.

Celebrating Excellence: Certifications and Awards

Automated Mutual-Assistance Vessel Rescue (AMVER) Award At the recent Nor-Shipping event in Oslo, Norway, we were honoured to receive an AMVER (Automated MutualAssistance Vessel Rescue) Award. Our participation in 2022 played a significant role in another exceptional year for AMVER, with 6,655 vessels achieving at least 128 days onplot, saving 376 lives. It is noteworthy that AMVER has been steadfast in its mission of saving lives at sea for the past 65 years. The AMVER system’s origins can be traced back to the tragic RMS TITANIC disaster in 1912. This incident spurred the development of a ship reporting system capable of identifying nearby vessels in distress and coordinating assistance. Initially known as the Atlantic Merchant Vessel Emergency

Reporting (AMVER) System, it was officially launched on July 18, 1958. The core principle of AMVER, which emphasizes mariners supporting one another regardless of nationality, remains strong. The ceremony, held at the U.S. Deputy Chief of Mission Residence, was graced by John Kerry, the United States Special Presidential Envoy for Climate. This momentous occasion was a tribute to 242 vessels owned and operated by 31 Norwegian shipowners, who were recognized for their unwavering dedication to maritime safety and invaluable contributions to global search and rescue operations. These individuals were given certificates and pennants as a token of appreciation.

This is the first time we have undergone an audit by RightShip, and the fact that we have achieved a badge on our first attempt is a testament to the hard work and dedication of the team. We are the second ship management company in Greece to obtain the DryBMS audit accreditation and the first that has been credited with both DryBMS and Crew Welfare accreditation. DryBMS is the latest and one of the most sophisticated quality standards for the dry bulk shipping sector.

Andreas’ Story: Shipping is more than just delivering packages

It reminded me of my days in the army, as the routines, group recreation, chain of command, and sense of togetherness were surprisingly similar. I witnessed stunning sunrises and sunsets at sea, spent time below deck and on the bridge with our friendly crew, and developed a deep respect for our seafarers’ professionalism and crucial role in the company.

My name is Andreas Wu Homme, and I recently completed a traineeship at Wilhelmsen Ship Management Singapore. One year ago today, my primary association with shipping was the ten extra dollars I had to pay for a package delivery. However, upon starting my traineeship at Wilhelmsen Ship Management, I discovered firsthand how much more the industry offers.

My time at Wilhelmsen Ship Management has now concluded, and I have returned to Bergen to finalize my degree. I will treasure the individuals, experiences, and knowledge I have gained. I am thankful to the Wilhelmsen Ship Management Team for always making me feel welcome. I extend special thanks to Esther Gan and Daniel Reinsborg for allowing me to gain experience and learn from them. My time at Wilhelmsen Ship Management has been an exceptional experience, and I aspire to incorporate the strong work ethic of the Wilhelmsen Team into my studies in Bergen.

I learnt how shipping encompasses various sectors and is more prevalent in our lives than I previously imagined from the computer I used to write this to the office building we worked in, both of which rely on materials that require shipping. Witnessing how sectors like finance, marketing, and sustainability also intertwine makes shipping a multifaceted and appealing industry for the future. My days mainly consisted of meetings, emails, and independent project work to expand my industry knowledge. Additionally, during my time at Wilhelmsen, I had the unique opportunity to live and sail with our crew to Laem Chabang and back for a week. On board, I observed their unwavering work ethic and experienced the camaraderie of being at sea together. 20

PMS Chennai Undergoes Refurbishment We are pleased to announce that our PMS (Planned Maintenance System) in Chennai recently underwent refurbishment, marking a significant milestone since its establishment in 2015. From a team of four members at its

inception, we have grown to a team of 10 responsible for handling PMS Projects and Support. The team focuses on providing technical support for PMS on a global scale.

We hosted a series of events during the week to capitalize on the opportunity where many decision-makers were in Busan. “SEAFAIRER” Roundtable, Singapore – delivering on seafarers’ rights On November 28, 2023, the maritime industry gathered in Singapore for a momentous roundtable event to discuss a fairer future for workers in its value chain. This invitation-only Chatham House roundtable, hosted by IHRB, SSI, Wilhelmsen Ship Management, Mission to Seafarers, and Rafto, brought together key stakeholders from across the industry, including shipowners, charterers, seafarers, and seafarers’ rights organizations. The event focused on the most pressing seafarer welfare challenges, including addressing human rights due diligence obligations, improving working conditions, and ensuring fair compensation. Seafarers themselves had the opportunity to share their experiences and insights, highlighting the importance of industry collaboration and government support in creating a more equitable maritime sector.

Kimchi (김치), a spicy, fermented Korean dish, can be made with Napa cabbage, Korean radish, and a paste of gochugaru (Korean chilli flakes), garlic, ginger, and other seasonings. It is a healthy and delicious side dish that can be enjoyed with various meals.

For those who would like to try making Kimchi at home, here’s a simple recipe you can follow

Ingredients: Napa cabbage Korean radish Gochugaru (Korean chilli flakes) Garlic Ginger Salt Korean pear juice

1 head 1 cup, grated 1 cup 6 cloves, minced 1 tablespoon, minced 2 tablespoons 1/4 cup (optional)

Instructions: 1 2 3 4 5 6 7 8

Quarter the Napa cabbage with a knife and remove any hard parts. Sprinkle the cabbage quarters with salt and let it sit for 2 hours. Rinse the cabbage thoroughly under running water to remove the salt. Combine the gochugaru, garlic, ginger, and Korean pear juice (if using) in a large bowl. Add the grated radish to the kimchi paste and mix well. Spread the kimchi paste evenly over the cabbage leaves. Place the cabbage in an airtight container and let ferment at room temperature for 1-3 days or until the kimchi tastes sour and bubbly. Store the kimchi in the refrigerator for up to 2 weeks.

Restoration of children shelters in Malaysia The most heartwarming aspect of lending a helping hand is witnessing the radiant smiles on children’s faces. In Malaysia, our dedicated team has taken a heartwarming initiative to support a project to enhance the living conditions of a home that currently serves as a sanctuary for 35 children in need. This home is part of a network hosted by SHELTER. This welfare organization has been offering shelter and care to children who have experienced abuse, abandonment, neglect, or are at risk since its establishment in 1981. In addition to offering financial assistance to facilitate the renovation of the home, our entire team in Malaysia has actively participated in a food donation drive. This collective effort aims to ensure the children’s well-being by providing them with nourishing meals. Our team members generously contributed essential items, including nutritious food and vital cleaning supplies.

Our engagement with the home continued. We decided to surprise the children with a treat to Kidzania, an indoor theme park featuring a replica town where kids can engage in role-play scenarios based on real-world jobs and earn play money. Before we sent the children off to the outing, our management team organized a heartwarming breakfast with the children and teenagers who are currently in the SHELTER network. During this special time together, we had delightful conversations, played games, and shared memorable moments with the young ones. The children had a fun time at KidZania where the entire theme park is an interactive city made for children that combines inspiration, fun and learning through realistic role-play. The children independently explored a scaled city and tried some exciting careers such as fireman, chef, etc.

Capt. Rajesh Tandon shared about the state of shipping in India. In his speech, Mr. Carl congratulated IMTC. He shared his vision for establishing India as a strategic hub to support our global operations and growth plans. As we immerse ourselves in our Silver Jubilee’s joy, we warmly welcome the newly graduated cadets, whose presence enhances our celebration. Unleashing the Power of Teamwork Self-defence workshop in Kuala Lumpur Our Kuala Lumpur team recently organized a self-defence workshop to provide a muscle workout session and educate its staff on self-defence techniques. Mr. Paresh, a certified International Muay Thai Trainer from Engage Life, conducted the workshop. Self-defence training also provides an excellent muscle workout, engaging them in various moves, dips, and dodges. This results in increased muscle strength and overall physical fitness. Regular sessions improve health and wellness, and the workshop also emphasizes situational awareness to help participants avoid unwanted situations.

The main takeaway from the session was acquiring basic self-defence skills and developing an awareness of their surroundings to prevent potential attacks. The workshop covered topics such as maintaining a safe personal space, understanding different mental awareness and preparedness in colour code, applying the RACE technique (Recognize, Assess, Communicate, Escape) in daily movements and being mindful to avoid potential harm. The workshop was a resounding success, with all 35 staff members thoroughly enjoying the interactive and engaging format. Participants gained valuable self-defence skills and developed a heightened awareness of their surroundings, fostering a sense of camaraderie and teamwork within the team.

FAME Fun Run in the Philippines Wilhelmsen-Smith Bell Manning, Inc. took part in an annual fun run organized by the Filipino Association for Mariners’ Employment, Inc. (FAME). The event, known as the 14th FAME “Go Marino Go! Healthy Body, Healthy Mind” Fun Run was held at the scenic SM by the BAY, Mall of Asia (MOA) in Pasay City. This year’s FAME fun run carried the inspiring theme of “Heroes Run,” a heartfelt tribute to our exceptional seafarers who are rightly celebrated as modern-day heroes, especially during these challenging times of the global crisis. Their unwavering service, sacrifices, and commitment have made an indelible impact on the maritime industry and beyond.

Teambuilding in Mumbai Our Mumbai team hosted a team-building day at Monteria Resorts, nestled amidst the tranquil outskirts of the city. The day was filled with a diverse array of activities, from archery and rifle shooting for the adventurous to zip-lining and climbing for the thrill-seekers. Indoor enthusiasts enjoyed games like cricket, badminton, carrom, and table tennis, while water lovers found solace in the refreshing swimming pool and rain dance setup.

Celebrating Good Times Annual Dinner in Malaysia Our KL Annual Dinner took place on September 8th at Le Meridien Kuala Lumpur. Organized by the WSM People Builder team, the event’s theme was “Cultural Diversity: Embracing Unity in Our Differences.” The gathering saw an impressive turnout, with 226 staff in attendance, reflecting their eagerness to reconnect. This event marked a significant milestone, as it was the first annual dinner since 2019, following the challenges posed by the pandemic.

Our lively emcee, Joel, brought the evening to life. We began with a video presentation tracing ship management’s history and progress over the years, followed by a message from CEO and President Carl Schou expressing appreciation for the dedication and hard work of the staff. A notable moment was when Carl presented a long-service gift to Rajiv Nigam, who had served for 37 years, signifying the company’s appreciation for his dedication and loyalty.

Rounding off the year with Tea As we bid farewell to another remarkable year, the People Builder team, comprised of members from different departments, organized a memorable year-end celebration. The team arranged the event in two sessions: a lively gift exchange and a delightful tea-time gathering. Employees participated in the gift exchange session, where we combined the Wheel of Fortune concept with a mystery gift exchange. Opening gifts from mysterious senders has never been so suspenseful because you can never anticipate what is in store for you. We hope our employees received what they wished for.
