Manual of Operations Objetive
Viptravelnet purpose is that the “USER” can vacation up to the maximum number of “VACATION INTERVALS” that is agreed to in contract, which consists of periods of 7 (seven) nights and 8 (eight) days programmable from Friday to Friday, from Saturday to Saturday and Sunday to Sunday, with a minimum occupancy accommodation for 2 (two) people, and up to a maximum occupancy of 8 (eight) people, regardless of whether it is adults or children, according to the requirements of the “USER” and subject to payment of a booking fee. The use of each of the VACATION INTERVALS will vary depending on the requirements and availability of the Destinations, the season and category of hotel. Viptravelnet mission is to promote, through its marketers, a software license for on-line reservations for destinations where the “USER” can get accommodation at the best price, so the “USER” can take advantage of the VACATION INTERVALS he/she is entitled to. Validity, Activation and Annual fee for the “SOFTWARE”. The term of this contract shall be for the amount of “WEEKS” contracted mentioned in the front of this document, counting from the date of activation (hereinafter referred to as the “Activation Date”) and that should be implemented through the “SOFTWARE” provided, with the understanding that it will have a validity for one year with an automatic annual renewal counted from the date of the signing of this contract during which the “USER” may use the “WEEKS” to which they are entitled by virtue of this instrument. The activation of the “SOFTWARE” shall be the responsibility of the “USER”, who shall pay a onetime activation fee of $ 35.00 (thirty-five and 00/100 USD). The “USER” shall have a period of 30 days to carry out said activation. Once the activation term has expired the present contract shall be null and void in its entirety, thus relieving any contractual relationship between the “USER”, SOFTWARE, DESTINOS Y TRADICIONES, SA de CV and “VIP-TRAVELNET. COM”. During the term of “SOFTWARE”, the “USER” can enjoy all the rights and benefits it provides. The “USER” recognizes that they may only re-
quest reservations through the “SOFTWARE” provided they have are current on the payment of contract price, the activation fee and the annual renewal fee for the “SOFTWARE”. The “USER” also understands that on the date of the signing of this contract the annual software fee is $99.00 USD (ninety-nine and 00/100 USD). The annual “SOFTWARE” fee shall be adjusted annually according to inflation rates in USA, the parties also agree that if the annual software fee is not paid on time, the “USER” shall pay a penalty of $ 25.00 USD (twenty-five and 00/100 U.S. Dollars). The “USER” hereby authoresses the “SOFTWARE” fee to be collected through I-Reservations Network “or by the collection company assigned for this collection. The “USER” understands and accepts that no amount will be reimbursed by the “I-RESERVATIONS NETWORK”, the “MARKETER”, or any agents, and/or providers of the following services accrued due to the use of “SOFTWARE”: 1.Activation fee, 2.- Annual fee, 3.- The payment of services for any confirmed reservation. The User understands and accepts that no amount shall be reimbursed by “VIP-TRAVELNET.COM”, the “MARKETER”, agents and/ or any vacation option service providers for the unused “WEEKS “ during the term of this contract or for any other concept, unless it is proven to be the unmistakable responsibility of the providers. Condominiums Occupancy. The “USER” understands that the condominiums units are single, double, triple and quadruple rooms, with a minimum occupancy accommodation for 2 (two) people up to a maximum of 8 (eight) people, depending on their availability at the Destination, room type, season and hotel category. Destinations. For all the purposes of this contract the term “DESTINATIONS” refers to all hotels and resorts for this software, which are within the following categories, respectively: three, four and five stars, in addition to the Destinations (eg. hotels and resorts) Grand Tourism and Special Category. Offices appointments. The “USER” cannot personally access the “SOFTWARE” corporate offices, marketers and/

or distributors; they shall be contacted by telephone or e-mail, under the understanding that any visit from the “USER” without an appointment will not be attended. Modalities. This “SOFTWARE” operates under two different vacations types: the first one, called “European Plan” (hereinafter referred to as “European Plan”), consists of the reservation and use of hotel accommodation only, the second one, called “All Inclusive Plan,” consists of the reservation and use of the chosen accommodation, plus food, beverages and other benefits, which shall vary depending on the concerned destination. The “USER” who chooses the European plan shall only pay the corresponding booking fee, which will vary depending on the destination, type of hotel, quality and season. Moreover, the “USER” who chooses the all-inclusive plan, in virtue of the present contract shall be permitted to access unique preferential rates destined for this program. Reservations. Any reservation procedure must be made at the request of the “USER” and subject to the following operating rules: a. The “SOFTWARE” acts only as an intermediary for hotel accommodation services, general travel, tourism and the promotion of various products so that, in virtue of the fact that it is not the direct provider of housing and miscellaneous services, any reservation depends upon the availability, the suppliers and the destinations maintain, on the grounds that it is essential to adhere to the respective booking procedure. b. The “USER” shall make the reservation request by contacting Viptravelnet by any of the following means: telephone, e-mail or through reservations@vip-travelnet.com.com, or through the www.vip-travelnet.com website and by using the “SOFTWARE” provided as a “USER” of the system through the folio number, “USER” name and password, or must direct the request by written or oral means to our Reservations department. c. The “WEEKS” granted by this “SOFTWARE” contract are not negotiable instruments, cannot be changed or redeemed for cash, or used as replacement lodging, nor can they be replaced by any other lodging program delivered by another company. It is to be used only by the “SOFTWARE” mentioned in this program, subject to payment by any business, group, individual or organization using this program as part of a promotion or incentive awards.
d. The “USER” is entitled to request the preferred destinations, and can book them on-line in real time through Viptravelnet website. If the “USER” has any special request he/she must complete the special reservation application form the preferred destination. No special request will be processed if the information provided is incomplete. e. Requests for reservations for each of the “WEEKS” must take place with a minimum of 48 (forty-eight hours) and up to a maximum of 12 months in advance. g. In accordance with the provisions of this “SOFTWARE” all reservations are subject to availability at the Destinations based on the principle of “first come, first served”. h. The “USER” understands that in the event that there is no availability at his/her preferred destination; “VIP-TRAVELNET.COM” will offer alternative accommodations according to the other destinations included in the “SOFTWARE”. i. The “USER” may request a reservation selecting 3 different places and 3 deferent’s dates and an agent will contact the “USER” to inform those regarding available lodging options and the amount of the applicable fee. j. All reservations shall be duly confirmed once the “USER” receives written confirmation from Viptravelnet and/or its travel services affiliated companies. It is the “USER’S” responsibility to check all the details of the confirmations, and the corrections of the same or notify the travel services affiliated companies to make the relevant adjustments. The changes requested by the “USER” regarding any aspect of a duly confirmed reservation, may be regarded as annulling the same with a charge to the “USER(S)”. Viptravelnet or services affiliated companies are not required to amend any duly confirmed reservations, at the Customer’s request. k. The terms and conditions of this software use license contract are not designed to represent the terms and conditions of participating hotels or resorts; they are based only on the terms and conditions of this “SOFTWARE”. l. Customers recognize Viptravelnet right to change, substitute or add any resort, hotel, destination or promotion without prior notice. m. No reservation shall be confirmed until such time as the “USER” does not pay bookings fees. n. Each “European Plan” reservation should cover

the absorption or occupancy rate, and this fee is per week plus tax and may be anywhere from a minimum average on up for (3) three, four (4) and (5 ) five star category hotels can range from $ 99.00 up to $ 699.00 and in hotels of Special Categories can range from $ 700.00 to $ 1,599.00 or up. o. Viptravelnet is not a direct provider of services offered by the destinations, but merely acts as a broker. p. All doubts or questions regarding the use, complaints and comments should only be directed to the Customer Service department at mservices@vip-travelnet.com. q. The travel services discounts are subject to special promotions by the “SOFTWARE” availability; so they may vary depending on the travel service providers, tourist destinations and seasons. The “USER” can book and buy airline tickets at the lowest available rates. Cancellation of Reservations. Once the reservation has been confirmed no changes or cancellations will be accepted. There will be no refunds for canceled reservations on the part of Viptravelnet or its travel services affiliated companies. In case the “USER” does not show up at the Destination on the date confirmed on the reservation, the reserved vacation shall be understood to have been used, by which the “USER” shall lose his/her right to use it afterwards, and no refunds nor reimbursements shall be granted, even when the vacation interval has not been used. Complaints regarding the accommodations. Any complaints regarding the accommodations or services provided by the participating Destination, hotel and resort must be made directly and as quickly as possible to the appropriate person within that destination, hotel or resort. If the “USER’S” complaint is not attended satisfactorily, then the “USER” should send a written communication directly to the Viptravelnet e-mail address mservices@vip-travelnet.com, minutely detailing the reason for dissatisfaction. This must be done within a period not to exceed 10 (ten) business days after leaving said destination, hotel or resort. Third party representations. The “USER” acknowledges that the only benefits agreed upon between the parties are those consigned and/or arising from this contract. Non Compliens of confirmed reservations. If the “USER” has a duly confirmed reservation, and does not receive the same, the Destination will
be required to obtain or pay for the “USER” lodging in another hotel or resort of equal or better quality, also having to pay for his/her transportation to said place, plus any other expenses caused by not honoring his/her reservation, in which case the “USER” also acknowledges that the “SOFTWARE” or its affiliated travel services companies are not liable for the Destination’s negligence and noncompliance. The “SOFTWARE or its affiliated travel services companies will only: • Help the “USER” to secure the services that would solve his/her emergency, negotiating with the Destination for compensation under the referred terms. • Assist the “USER” in demanding compensation on the part of the Destination for noncompliance under the corresponding applicable law. Unforeseeable circumstances. The “USER” acknowledges that the “MARKETER”, the “SOFTWARE” or its affiliated travel services companies shall not be liable in the event of harm or damages occurring during his/her transportation to the Destination or during his/her stay at the same, provided that it is a fortuitous event, force majeure or negligence, reticence or negligence of any third party not affiliated with the “MARKETER”, the “SOFTWARE” or its affiliated travel services companies, including the Destinations.
