Observations & Conversations The noose around our neck is loosening up just enough for us to take shallow breaths and actually get a few deals done, at least on the leasing side of our business. RECon is just around the corner, and we’re gearing up for the BIG ICSC show in Vegas. Even though attendance probably won’t be anywhere near what we hope for, my bet is that there will be some quality leads and potential deals walking the floor. I think the noose around our neck is loosening up just enough for us to take shallow breaths and actually get a few deals done, at least on the leasing side of our business. Retailers are negotiating 2011 and 2012 store openings in earnest. As far as the acquisition aspect of our industry, they’re still in the waiting game. I recently spent some time with a group of executives that focus on acquisitions, talking about why they are sitting on the sidelines and their obstacles to finding deals. We also discussed their predictions of when buyers of shopping centers are going to pull the trigger and actually start closing on acquisitions in order to place their pent-up funding (there’s lots of cash sitting around waiting for the right time to buy). Their frustrations are that there isn’t enough good product with attractive Cap rates on the market, and that when something does hit the market, it usually has a commitment to buy within days. The conversation took a turn, however, when we started talking about traditional and well-known banks. The consensus was that wellknown banks aren’t actively placing loans and they are even more inert if you need to restructure an existing loan. The group predicted that within the next two to three years the lid on acquiring shopping centers will be blown off, with a bulk of the product on the market coming from banks that need to move it off their balance sheets. I’m hearing a lot more reports lately about developers being appointed receivers of shopping centers; that’s the first indication that banks are moving from retreat mode to screaming a mantra of “Oh sh*t! I better unload this as fast as I can.” My hunch is that we won’t see anything like a revival or reincarnation of the RTC, but I’ve been surprised before. Some good news is that I’m starting to see private equity companies investing in healthy retailers with the intent to grow the concept QUICKLY. Consumer Capital Partners is the private equity firm behind Smashburger, and projections call for the chain to grow sevenfold in the next five years. Also, CCMP Capital Advisors, LLC recently bought the majority stake in Francesca’s Collections for around $200 million. The chain of ladies’ apparel stores is no stranger to growth from tapping into the PE world. In ’07, Bear Growth Capital Partners (Bear Stearns’ private equity fund) acquired a minority ownership position when the company had 67 stores in 22 states. Two years after Bear Stearns dipped their little toe, the chain has grown to about 160 stores in 33 states. I’ve seen several of their stores, and they were in the 1,000 to 1,500 sq.ft. range with merchandise at moderate to budget price points. CCMP is also involved with Quiznos and The Vitamin Shoppe. Franchises are being touted as the saving grace right now, because they are getting a lot of buzz when talk comes to retail growth and new concepts. A company new to the franchise arena that I particularly see poised for growth is TireMax. The tire service centers use 4,000 sq.ft. to 7,000 sq.ft. spaces with a customer waiting lounge offering free Wi-Fi and plasma screen TVs. The company operates 15 locations in TX and is franchising the concept mainly in the southeastern and southwestern regions of the

U.S. The concept looks clean and compact, with all the conveniences of a fast turnaround of service, along with amenities for the customers while they wait. I’m also hearing about lots of new franchise concepts that are attempting to rollout. The reality is that most franchisees of a new concept typically have zero credit and landlords aren’t going to entertain TI or, God forbid, a build-to-suit for specialty use, such as an automotive service facility or a daycare. If you’re a high net-worth individual looking for a new career path, it might be easier to get credit, but lately most of the deals that I’ve seen pitched to landlords from franchisees have been turned down because the franchisee doesn’t have enough credit and the landlord is unwilling to spend one dime on retrofitting the space. Most landlords that I’ve spoken to are hesitant to do a ground lease, even when the franchisee has a concept with decent credit, if the concept has a special-use building. Granted, the landlords that are signing leases right now feel good that they have activity, but most of the deals I hear getting done are at below-market rents. These guys are taking their haircut with the attitude that a decent tenant paying below market is better than no tenant at all. Leasing today is still far from easy, but it’s gotten better in the past few months. I’m also starting to hear about new developments in the pipeline, and most of them are designated at mixed-use. Plus, I read the wire services almost daily for construction permits and zoning approvals for retail projects nationwide, and there’s definitely been an uptick in that activity since the beginning of the year. That’s another good sign. The Southeast is where I’ve seen the most activity from developers that are getting in front of approval boards to pitch their proposed centers in the past few months. I don’t think there will a huge number of new projects breaking ground in the next 12 to 24 months; however, considering that there has been virtually no new construction in the past year, this too shows that a turnaround in the market is possible.
