Definitions and Incorporation In these terms and conditions the Seller or Company means Sally Salon Services Limited (where the order is placed in the United Kingdom) or Sally Salon Services (Ireland) Limited (where the order is placed in the Republic of Ireland) or any subsidiary or associated company. The Buyer means a purchaser of goods from the Seller under these terms and conditions.

Delivery The Seller can arrange delivery in the event that collection is not possible. Delivery will be completed when the goods have been delivered by the Seller to the address provided by the Buyer or when the goods have been collected by the Buyer. For large items and/or orders the Buyer is advised to have assistance on hand as couriers will only deliver to premises kerb side and will not enter premises or deliver up stairs. If delivery up or down stairs or into premises where there are hazardous conditions is required by the Buyer, prior agreement must be obtained from the Seller and an excess delivery charge will apply. The Buyer must ensure any obstacles, such as door ways, are catered for. If a delivery is unable to be completed for reasons outside the control of the Seller, a second delivery charge will apply. The times quoted (if any) are so quoted in good faith, but shall not be binding. Certain items can take up to 16 weeks to deliver or be ready for collection. The goods will be the responsibility of the Buyer from completion of delivery. The Company accepts no responsibility whatsoever for any delay in delivery. Please ask in store or a Regional Equipment Manager for further details on estimated delivery times. Charges will be at current courier rates, and quotes for individual orders will be provided upon request. Collections The Seller will give the Buyer 24 hours advance notice when the order is ready for collection. The Buyer shall collect the order within 48 hours of the Seller giving it notice. Assembly Please note that most equipment requires some assembly which will be the responsibility of the Buyer.

All transport and handling costs incurred by the Seller in getting the goods to the store ready for collection will be charged to the Buyer and the Buyer agrees that such charge can be deducted from any deposit monies (if any) paid on account. Returns When goods have been ordered in error or are not as expected, the Company may accept a return in the following circumstances and subject to the following conditions: • • •

A request must be made in writing to the Company within 28 days of collection or delivery The goods must be in their original condition (including outer packaging), unused and in perfect saleable condition Any refunds or credits will be subject to the deduction of a handling fee equivalent to 10% of the price of the goods being returned or all transport costs incurred by the Seller in delivering the goods to the delivery address or to the store where collection was to take place, whichever is the greater Delivery costs in returning the goods to the Seller are the responsibility of the Buyer. Where the Buyer wishes to return the goods because they are faulty, the Seller has the right to attempt to repair the fault in the first instance failing which the Seller can either exchange the item or refund the price of the faulty item including any applicable delivery charges paid by the Buyer and the Buyer’s reasonable costs in returning the item to the Seller.
Risk and Title Risk in goods passes to the Buyer on receipt by the Company or its designated carrier (whichever is the earlier) of a proof of delivery note signed by the Buyer or person reasonably acting on his behalf at the delivery address as stipulated on the order or on personal collection by the Buyer. The Buyer should ensure the goods are in satisfactory condition before signing as this may affect future claim that the goods were either damaged in transit or on collection. Title of goods remains with the Company until payment has been received in full in cleared funds.

The Buyer agrees that until payment has been received in full, the Buyer will hold the goods on a fiduciary basis as the Seller’s bailee and the Buyer will safe guard the goods at all times. Until ownership in the goods passes to the Seller, the Seller (or its appointed agent) may at any time require the Buyer to deliver up the goods and, if the Buyer fails to do so promptly, the Buyer permits the Seller (or its appointed agent) to enter any premises of the Buyer or of any third party where the goods are stored in order to recover them. Guarantee All items are subject to the manufacturers warranty and warranty conditions. Certain restrictions apply, please ask for more details. Failure to comply with the warranty conditions will invalidate your ability to rely upon the guarantee. Where a claim on guarantee is made it must be accompanied by the original receipt of purchase. All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from all orders for goods supplied by the Seller to the Buyer. Liability and Limitations The Seller supplies goods for internal professional business use only and the Buyer warrants and agrees that it is and those under its control and/or direction are competent and qualified in using the goods, that the Buyer is purchasing the goods strictly on a business to business basis and agrees not to use the goods for any re-sale purposes. The Seller will not be liable for any injury, loss, damage, costs or expenses caused by unqualified persons using the goods or from the misuse of the goods by trained or untrained persons. The Company does not attempt to exclude its liability for death or personal injury caused by its negligence or fraudulent misrepresentation. The Company shall have no liability to the Buyer for damage to goods caused by incorrect installation by the Buyer or its agents or if the goods have been tampered with or have had parts added to them which are not original and/or have not been authorised by the Company or the manufacturer. The Company is not liable for damage to goods caused by normal wear and tear. Fragile items (eg glass or mirror) and/or consumable items (eg neon lights and bulbs) should be inspected immediately upon receipt and any defects should be notified to the Seller within 48 hours of receipt. Failure to do so will invalidate the Buyer’s warranty rights for these components. The Company shall not be liable for any loss of profit, loss or revenue, loss of business opportunity, loss of goodwill or any indirect or consequential loss whether the loss arises from a breach of duty in contract, tort (including negligence) or in any other way. The Company’s total liability for any claims howsoever arising shall not exceed the price of the goods supplied by the Company to the Buyer which are the subject matter of that claim. General All goods are subject to availability. The Seller and Buyer do not intend that any of these terms and conditions shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person other than the Seller and Buyer or any company within the Seller’s group of companies. The Seller may assign its rights under these terms and conditions. The Buyer has no reciprocal rights of assignment. Each of the paragraphs of these terms and conditions operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. If the Seller fails to insist that the Buyer performs any of its obligations under these terms and conditions, or if the Seller does not enforce its rights against the Buyer, or if the Seller delays in doing so, that will not mean that the Seller has waived its rights against the Buyer and will not mean that the Buyer does not have to comply with those obligations. If the Seller waives a default by the Buyer, the Seller will only do so in writing, and that will not mean that the Seller will automatically waive any later default by the Buyer. Data The Seller is committed to preserving the privacy of its customers. The Seller may use the Buyer’s personal data for administrative purposes and keep this information for a reasonable period. The Seller may also contact the Buyer by post, email, SMS or telephone to let the Buyer know about any products or services or special promotions that the Seller thinks may be of interest to the Buyer. The Buyer will be given the opportunity to opt out of receiving marketing communications on each occasion. The Seller may also share the personal data with companies within the Seller’s group some of whom may be located outside of the EEA. The Seller may also disclose or share the personal data in order to comply with any legal obligation or to protect the rights, property, or safety of the Company, its customers or others. This includes exchanging information with other companies and organisations for the purpose of fraud protection and credit risk reduction.
