Coach in question will have the burden of proof to show that the complaint is not valid (not MTM). Health Coaches should keep a log of all messages sent and received (opt-in/out). They may need this information trail if a complaint is received, to avoid termination.

4.3 - Client Buying is Prohibited Bonus buying is strictly and absolutely prohibited. “Bonus buying” includes: (a) The enrollment of individuals or entities as Health Coaches or Clients without the knowledge of and or execution of an Health Coach Agreement or Client agreement by such individuals or entities; (b) The fraudulent enrollment of an individual or entity as a Health Coach or Client; (c) the enrollment or attempted enrollment of nonexistent individuals or entities as Health Coaches or Clients (“ghosts”); (d) The use of a credit card by or on behalf of a Health Coach or Client when the Health Coach or Client is not the account holder of such credit card; (e) Purchasing MTM merchandise or services on behalf of another Health Coach or Client, or under another Health Coach’s or Client’s I.D. number, to qualify for commissions or bonuses

4.4 - Business Entities A corporation, limited liability company (“LLC”), partnership or trust (are referred to in this section as a “Business Entity”) may apply to be a MTM Health Coach by submitting its Certificate of Incorporation or Formation, Partnership Agreement or trust documents (these documents are referred to as the “Entity Documents”) to MTM, along with a properly completed Business Entity Registration Form. If a Health Coach enrolls online, the Entity Documents and Business Entity Registration Form must be submitted to MTM within 30 (thirty) days of the online enrollment (If not received within the 30 (thirty) day period, the Health Coach Agreement shall automatically terminate). A MTM business may change its status under the same mentor from an individual to a partnership, LLC, corporation or trust, or from one type of entity to another. There is a $30.00 fee for each change requested, which must be included with the written request and the completed Health Coach Agreement. The Business Entity Registration Form must be signed by all of the shareholders, partners or trustees. Owners of the entity are jointly and severally liable for any indebtedness or other obligation to MTM

4.5 - Changes to a MTM Business 4.5.1 - General Each Health Coach must immediately notify MTM of all changes to the information contained on his or her Health Coach Application and Agreement. Health Coaches may modify their existing Health Coach Agreement (i.e., change Social Security number to Federal I.D. number, or change the form of ownership from an individual proprietorship to a business entity owned by the Health Coach) by
