RENTAL TERMS AND CONDITIONS The following terms and conditions apply to this Services Agreement (“Agreement”) between (“Client”) and Hollywood Photo Booth (“Provider”) dated : 1. Client agrees to the following: a. C lient will provide (i) reasonable access to, (ii) a 120-volt electrical outlet within 10 feet of, and (iii) a level, concrete-like surface for the performance area. (iv) two chairs and one table no less than 4’ in length for any Green Screen or Stationary Instant Print Event. b. Client will bear full responsibility for any damage caused to Provider’s equipment during the Event by Client and/or Client’s guests. c. Client will indemnify Provider against any and all third party claims arising out of or in connection with the Event, except for claims that result directly from Provider’s own conduct. d. If for any reason Provider is unable to fulfill its obligations under this Agreement, Provider’s liability to Client is limited to the return of any payments received or a reasonably prorated portion of said payments. Under no circumstances will Provider be liable for any other form of damages, including without limitation direct, indirect, consequential, incidental, or lost profits damages. e. Deposit and payment – In order to reserve Provider’s services for the date of the Event, a deposit in the amount of $___ must be received no later than 30 days prior to the Event (or immediately upon execution of this Agreement if it is entered into within that 30-day period). The remaining balance is due prior to the Event Start; otherwise, the agreed-upon services will not be provided and Provider will be entitled to retain the deposit, in addition to any other legal remedies it may have for Client’s nonpayment. f. D ate changes and cancellation – If (i) Client requests a change to the Event Date within 30 days prior to the Event and Provider is not available on the new date requested, or (ii) if Client cancels the Event or Provider’s services for any reason within 30 days prior to the Event, Provider will be entitled to retain the deposit. 2. Provider agrees to the following: a. S et-up and breakdown – Provider agrees to transport all equipment to the Event Location, to arrange for the set-up of the equipment no later than one hour prior to the Event and to remove all equipment at the conclusion of the Event for no additional charge. b. O peration and servicing -- Provider agrees to provide fully operational equipment for the duration of the Event which will be operational for no less than 80% of the agreed-upon Operating Hours, and which will only be non-operational for such periodic on-site maintenance and servicing as may be required. c. O n-site technician -- Provider will ensure that an experienced, on-site technician is present and operating the equipment for the duration of the Event. d. Provision of ordered services – Provider will provide to Client the services indicated above e. O nline viewing of photographs by Client and guests – Provider agrees to post the photographs taken during the Event on its website, in a publicly accessible gallery along with the photographs of other events, for online viewing by Client and Client’s guests. 3. Client and Provider agree to the following: a. Entire agreement – This Agreement constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous oral, written and implied agreements. This Agreement may be amended only by a a writing signed by both Client and Provider. b. Resolution of disputes – Any and all disputes and claims arising in any way out of this Agreement, excluding only Provider’s claims for payment for the services provided, will be resolved in the following manner: First, Client and Provider will attempt to resolve any such claim or dispute through a voluntary mediation in Los Angeles, California, administered by the American Arbitration Association (“AAA”) under its Commercial Mediation Procedures. If a party fails to respond to a written request for mediation within 30 days after service or fails to participate in any scheduled mediation conference, that party shall be deemed to have waived its right to mediate the issue in dispute and will have no right to commence an arbitration of the dispute. If mediation is unsuccessful, the dispute will be resolved through binding arbitration administered in Los Angeles, California by the AAA under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. c. Applicable law – This Agreement is governed by and interpreted under the laws of the State of California, notwithstanding the choice of law principles of any jurisdiction. If any provision of this Agreement is found to be invalid or unenforceable for any reason, the remainder of the agreement will be given full force and effect to the maximum extent possible.
