Career Advancements Katherine Siwek recently became the compulsory program director and USA Gymnastics girls team coach at Achievers Gymnastics Center in Siwek Denton. Siwek spent 12 years as the women’s assistant gymnastics coach at Seattle Pacific University and also previously

worked for ASI Gymnastics in Keller. She received her bachelor’s and master’s degrees at Seattle Pacific, where she was on the gymnastics team. ■ Darrin Siver, vice president of PACCAR, was recently named Peterbilt’s new general manager, according to company officials. Peterbilt is a subsidiary of PACCAR Inc. Siver will replace Bill Kozek, who took a new position as pres-

ident of Navistar International Corp., whose subsidiaries and affiliates produce several brands of commercial and military trucks, diesel engines and school and commercial buses. Silver has 20 years of experience with PACCAR, most recently serving as general manager of PACCAR Parts, company spokesman Todd Acker said in an e-mail Tuesday afternoon. Kozek spent 26 years at PACCAR Inc., where he most recent-

ly served as vice president and general manager of Peterbilt Motors Company. ■ Dr. Ron Aldridge, former chief executive of Health Services of North Texas, spent 12 1/2 years with the nonprofit agency before retiring May 17. Aldridge, 69, Aldridge said he thought

it was a good time to leave the agency, which focuses on improving the quality of life of undeserved people in North Texas. The agency was founded as AIDS/Denton Inc. by a volunteer group that saw a need for education and support services for people with HIV and their families. Aldridge said he will continue to volunteer his time to the Health Services of North Texas Foundation’s board.

District change in bus provider costs jobs Durham School Services, a student transportation provider, reported to the Texas Workforce Commission that 67 positions in Little Elm will be cut beginning June 30. The company provided its layoff notice to the commission April 23 as part of the Worker Adjustment and Retraining Notification Act. It protects workers, their families and communities by requiring employers to provide notification of pending job cuts. School officials said they reduced their costs by contracting with GoldStar Transit for the 2013-14 school year. 5-4

‘Good Morning Texas’ showcases Denton Members of the Denton community bundled up and headed to the downtown Square to show support for their city. For days, the Denton Convention and Visitors Bureau had spread the word through social media that WFAA-TV’s Good Morning Texas On the Road team would come to the Square for a live broadcast. Staff from Beth Marie’s Old Fashioned Ice Cream & Soda Fountain came out with their cart, and folks with the Denton

The students — Vini Deraj, Jonathan Gallaway, David Olsen, Hayden Richardson and Nathan Wood — wanted to pick a project where their work might have an impact, so they picked the new Denton Animal Shelter, according to Olsen. Labinal moves to new site in Denton Safran Group’s Labinal Inc. inaugurated its new site at the former Russell-Newman building, 3790 Russell Newman Blvd. The 130,000-square-foot location serves as Labinal’s new American headquarters and is double the footprint of its previous building. Labinal produces wire harnesses for customers including Boeing, Sikorsky and Bell Helicopter. Building renovations included automatic lighting controls, high-efficiency light fixtures and updated insulation. The facility now uses less water and has an energy management system, officials said. Labinal has 700 employees and is looking to accommodate future employment growth, the news release stated. ■

Investing wisdom from Omaha “If you are not confused about the economy, you don’t understand it very well.” — Charlie Munger, at the 2013 Berkshire Hathaway annual meeting

ach May, we trek to Nebraska to pay homage to the Oracle of Omaha. Home to Berkshire Hathaway, Warren Buffett’s massive conglomerate, Omaha becomes the “Woodstock for Capitalists” the first weekend of May as more than 40,000 shareholders, investors and Buffett devotees converge on the Midwestern town. This year’s annual shareholders’ meeting was pleasantly bereft of drama. In recent years, the focus turned to massive deals —

Jonathon FITE | like the Burlington-Northern Santa Fe acquisition in 2010 — insider trading allegations against key lieutenants (David Sokol in 2011) and Buffett’s backing of hated Wall Street firms like Goldman Sachs even while Congress pilloried them during hearings in 2012. No, the 2013 meeting focused on more relevant concerns like who will run Buffett’s company

after he moves on. Buffett assured the masses some changes in operating structure would likely ensue, but that the managerial talent bench was deep and well cared for. The one twist to this year’s trek was Buffett’s inclusion of a noted “bear” — a short seller named Doug Kass who did not believe Berkshire’s future was very bright. While more selfpromotional than insightful, Kass took soft-gloved jabs at Buffett’s baby. But Warren was quick to note how strongly the insurance, rail, energy, and housing businesses were performing — not to mention a sterling equity portfolio benefiting from the rise off the 2009 lows. Even at 82 years young, Warren proved he is still very

much on his game. But the star of the show had to be Charlie Munger, Warren’s curmudgeonly wizened business partner. As shareholders continued to press the two octogenarians about the implications of today’s monetary and fiscal policies, Charlie quipped the quote above. It seems Charlie was channeling his inner Yogi Berra as he most aptly described how portfolio managers might struggle to predict what the future holds for the economy. It’s a tough call. We survived the pivotal election, the looming fiscal cliff, the dreadful sequester. As of this writing, broad measures of the U.S. stock market have rallied more than 15 percent or so, two years worth of typical gains in less than six months. Some might say the massive money printing of the last four years is finally starting to kick in. This could be the first

leg of a multi-year rally as investors who have missed out finally jump on board. This is true. But one of my favorite quotes from Humphrey Neill, author of the famous investing book, The Art of Contrary Thinking, goes “never confuse brains with a bull market.” As value investors, we must fight the temptation of greed when markets are rising just as much as we have to fight the bouts of fear when markets are falling. If you inspect the Dow or S&P 500, these indexes are trading for roughly 16 times the earnings of the companies which comprise the benchmarks. This is very much in line with the indexes’ long-term averages. But given today’s low interest rates, these valuations seem far from overheated. Unfortunately, as a FITE | CONTINUED ON PAGE 11

Contracts: When is one in writing required? O

ne of the most frequent questions asked of attorneys goes something like this. Question: X and I verbally entered into an agreement concerning [insert subject matter here]. X didn’t perform his part of the agreement. Can I sue him over that agreement? Verbal agreements may be enforceable where they contain all of the legal elements necessary to form a contract. That is, there is an offer made by one party, an acceptance of the offer by another party, consideration exists, and the agreement is not otherwise illegal or against public policy. Consideration may be in the form of goods or money, or may be nothing more than mutual promises of each party to perform in accordance with the agreement. Certain contracts which have been held to be illegal or against public policy in Texas are gambling debts, Mary Carter agreements, and unreasonable non-compete agreements. In situations where it appears that an otherwise enforceable contract exists, the law will not enforce a verbal contract or promise unless it is

This legal rule is called the Statute of Frauds and is codified in Section 26.01 of the Texas Business & Commerce Code. The Statute of Frauds applies to the following types of promises and agreements: ■ promises from an executor or administrator to pay the debts or damages of the decedent; ■ guaranty agreements; ■ an agreement made in consideration of marriage or nonmarital conjugal cohabitation; ■ a contract for the sale of real estate; ■ a lease of real estate for a term longer than one year; ■ an agreement that is not to

be performed within one year; ■ an agreement to pay a commission on the sale or purchase of an oil or gas lease, royalty, or mineral interest; and ■ an agreement, promise, or warranty of cure relating to medical care or results by a physician or health care provider — excluding pharmacists. There are other types of agreements which must be in writing and signed by the party to be bound, such as: ■ loans from certain financial institutions (Tex. Bus. & Com. Code Section 26.02); ■ contracts for the sale of goods for a price of $500 or more (Tex. Bus. & Com. Code Section 2.201(a)); ■ agreements between parties or attorneys touching a lawsuit (Texas Rule of Civil Procedure 11); and ■ agreements seeking commissions from the sale or purchase of real estate (Texas Occupations Code Section 1101.806(c)). Where a contract appears to meet the terms of the Statute of Frauds, the writing must contain within itself or by express reference to another writing all

of the essential or material terms of the parties’ agreement. The contract terms must be ascertained from the writing without resort to outside verbal testimony or writings not referenced in the contract. Certain terms of a contract may be implied by a court if not specifically addressed, such as the time for performance, time and place of payment, and in certain situations, price. In a contract involving the sale or lease of real estate which is subject to the Statute of Frauds, the writing must contain within itself, or by reference to another existing writing, sufficient data or other means by which the land may be identified with reasonable certainty. Failure of the contract to contain a proper legal description in these situations will render the contract unenforceable under the Statute of Frauds. Of course, there are always exceptions. Where one of the parties to an agreement partially performs the agreement, a court will not apply the Statute of Frauds. “Partial performance” occurs when one party to the agreement performs his

part of the agreement and in reliance suffers a substantial detriment for which there is no legal remedy, while the other party would reap an unearned benefit. For example, a seller agrees to sell his house to a buyer for a specified price, but the agreement is never reduced to writing and no deed to the property is ever delivered to the buyer. In reliance of such verbal agreement, the buyer takes possession of the house, pays the agreed price, maintains and improves the residence, pays the property taxes, insures the dwelling, and otherwise does all the things that an owner would do. If the seller then refuses to deed the property to the buyer following the buyer’s performance, the law will not render the verbal agreement unenforceable under the Statute of Frauds. R. whole, they are no longer cheap either. In our own portfolio, which has bested the market’s rise these last few months, we hold fewer positions and much more cash than we did just back in December. The companies we still own are either modestly cheap world dominators or insanely cheap special situations. Our world dominators will do fine over time. Our special situations often have specific catalysts that once unlocked can generate tremendous returns. This portfolio construction still results in an overall portfolio with lots of untapped value, even in spite of our larger cash position. If the markets continue to run, we should perform nicely. Ideally though, we will see a wicked correction in the coming months which re-instills a

healthy sense of fear in the general populace. While this sentiment is shocking to some, it is during these times that our cash piles can be best put to work to generate long-term returns. At the end of the day though, if you spend a lot of time worrying about what next week or next month holds, you are expending a lot of fruitless energy. We think Charlie has it right — if you understand what’s going in the economy today, you are likely to end up very confused about what you should do. So instead of forecasting GDP trends, interest rate movements or unemployment levels, we simply focus on value. We spend our time understanding the key drivers of a handful of businesses we understand well. This enables us to get a comfortable estimate of what we think the company is worth. If we can buy it cheaply, we are

happy to do so. If we can’t, we simply wait. Travel this summer is a mixed bag as some remain cautious about making trips — both abroad and closer to home. Some industries are seeing increases while others report the same amount of business as last year or less. But one local economist believes confidence in the overall economy will lead to a busy summer for businesses in the travel industry, especially after several years of tightening belts and staying closer to home. As job growth and the econo-

Bookings at airlines, hotels and resorts have all been up this year, and Clower says the capacity utilization of the air carriers right now is very strong, meaning the flights are filling up. This is because of increases in both business and leisure travel, with an increase

in more traditional vacations instead of the recent trend of staycations. “I think the airports are going to be pretty crowded for most of the summer,” Clower said. “I think we’re going to see a little boost, which we would call a response to pent-up demand. For families who have had to do staycations or have been more cautious about their spending, this will be the first big vacation that they have in a couple of years.” TRAVEL BY AIR Summer air travel will see

the largest volume since 2008, with 209 million passengers expected globally from June through August, according to Airlines for America, the largest American airline trade association. Of the 209 million travelers, about 27 million of those flyers will go to international destinations, a new record, the association reported. Katie Connell, the managing director for airline industry public relations and communications at A4A, said the predictions are based on Bureau of Transportation Statistics and other factors such as recently macroeconomic and industry trends. “We attribute the uptick in air travel to rising household net worth and corporate profits, strong airline operational performance and recent relief in energy prices,” Connell said in an e-mail. This is the largest volume of summer travel the industry has seen since 2008, when more than 210 million people flew. TRAVEL BY TRAIN National rail operator Amtrak also expects increased ridership this July and August, though the organization does not release projected figures. They are expecting heavy ridership this summer based on

Currently, three Amtrak routes go through Texas, the most popular being the Texas Eagle, which travels from Illinois to California and stops in Dallas and Fort Worth. Ridership on the line grew 12.8 percent from fiscal year 2011 to fiscal year 2012, Leeds reported, and for October 2012 to March 2013, the route saw another .2 percent growth.

right after the holidays, sometimes it is at least six months ahead of time.” DENTON HOTELS Gina Atkinson, director of sales at Courtyard by Marriott Denton at 2800 Colorado Blvd., said her location is off to a good start this summer. The Courtyard by Marriott Denton has 92 rooms, and during the week it is occupied between 75 to 100 percent, Atkinson said. “We have yet to see a drop in the weekday corporate business

travel,” she said. “However, I am sure we will see that decline starting mid-June and July, as we usually do, because those visiting Denton for business will be taking off for their own family vacations.” Atkinson said graduation and events at universities and local high schools help the hotel have strong weekends. TRAVELING CLOSER TO HOME Rod Burch with Pro Tech Automotive at 2105 Sadau Court, Suite 100, in Denton said he saw a lot of customers last week getting their cars maintained. “Some of them were thinking of traveling after school got out,” he said. Most of his customers were preparing to go outside of the area like Galveston or even outside of the state to Florida. This year, compared to last, Burch said he saw the same number of customers stop by to get their cars repaired or get maintenance done so they could travel. Denton sought special legislation to start a natural gas utility during the last session of the Texas Legislature. Senate Bill 1230 allows the city to build not only a combined heat and power plant but also a high-pressure pipeline in the industrial park. The bill included language that superseded the city charter,

which critics have said bypassed Denton voters. ■

Custom saddle maker opens Denton shop

In his lifetime, leather craftsman and custom saddle maker Mark Hurley has made 819 saddles. Many of them he made while he worked at Luskey’s/ Ryon’s shop in Fort Worth. After 23 years specializing in roping saddles with Luskey’s/Ryon’s, Hurley decided to open his own shop in Denton, off Interstate 35 next to Smith

Brothers, in January 2012. The 24-by-36-foot barn that houses Hurley Saddlery has all the equipment he needs to create custom saddles, from the leather to his tools to the trees — the initial foundation for the saddle. The shop also makes custom albums, coasters, purses, cellphone and tablet cases and other items. 5-17

Unemployment down in city, county Denton city and county

In April, the county rate dropped by four-tenths of a percentage point from 5.7 percent in March to 5.3 percent and the city’s jobless rate also dropped by one-tenth of a percentage point in April to 4.9 percent after remaining unchanged in February and March. A year ago, the city had a 5.2 percent unemployment rate, while the county’s rate was 5.8 percent.

Blake Shipp, vice president with the commercial retail division of The Weitzman Group, handled negotiations for the seller, Nebraska Book Co., in cooperation with GA Keen Realty Advisors of Melville, N.Y. The sale involved a number of adjacent retail, apartment and commercial buildings, which incorporate a total of 37,951 square feet, a press release said. Voertman’s occupies 29,900 square feet. The name of the buyer was not disclosed. Officials with Voertman’s could not be reached for comment. ■

Highland Village home sells via auction

A Highland Village home placed on auction sold for $715,000. The five-bedroom, five-bath house was auctioned in May. John Marshall of the public relations firm Marshall & Associates, which helped with the sale, said in an e-mail that eight registered participants put down $25,000 in order to bid, as requested by the auction group company. The auction was conducted by the National Auction Group Inc. of Gadsden, Ala., which specializes in the auction of highend properties. The property was appraised in 2012 at $782,234, according to Denton Central Appraisal District records. ■

Jada Enterprises buys Lewisville site

Jada Enterprises acquired the George W. Bush Presidential Library’s former holdings building, located at 1725 Lake Pointe Drive in Lewisville. Jada Enterprises bought the building from Lincoln Property Co. GSA, LLC. Located in Lewisville’s tech center, the 84,410-square-foot facility sits on about 5.6 acres. It

includes about 23,630 square feet of office space, another 36,308 square feet of production space and about 26,202 square feet of warehouse space, a news release said. The building was built in 1998. Dan Spika with Henry S. Miller represented the buyer and Michael Peinado with Lincoln Property Co. represented the seller. ■

Denton hospital earns ‘A’ for safety

Texas Health Presbyterian Hospital Denton earned the Leapfrog Group’s “A” grade for patient safety, according to a news release. The LeapFrog Group is Washington, D.C.-based employer-driven hospital quality watchdog that provides grades to hospitals based on their safety in preventing errors, infections, injuries and medication mixups.

The city’s engineering department has proposed another traffic circle for Denton, this time to manage traffic near the University of North Texas. Members of the Denia neighborhood saw the sketches at a

distribution center in Denton, German grocer Aldi Inc. opened a grocery store at 1105 S. Loop 288 last month. “Real estate construction is a funny thing,” said Christopher Wille, director of operations for Aldi. “We always want to be at the right spot. So sometimes we have to wait for the right location.” In 2009, Aldi opened a 500,000-square-foot distribution center at 2500 Westcourt Road in Denton at an estimated cost of $50 million.
