CII Registered Education Provider Program 17Feb10.doc 1. PURPOSE. The purpose of the CII Registered Education Provider Program (CII REPP) is as follows: 1.1. Provide members of the Construction Industry Institute (CII) and the general public with a qualified corps of instructors familiar with CII Best Practices and other publications, available to teach at CII member organizations and other venues. 1.2. Insure the quality and currency of instruction on CII Best Practices, research findings and other products. 1.3. Monitor the perception of recipients of Provider instructions of the effectiveness of the material being presented. 1.4. Provide for the continuing development and upgrade of CII education materials. 1.5. Enhance cooperation between CII and providers of educational and instructional materials. 1.6. Advise CII members and the General Public of qualified instructors on CII Best Practices and other publications. Providers complying with the CII REPP will be listed on CII promotional media as CII Registered Education Providers. These will be the only education providers that will be listed on such media as such media is revised following Provider registration. 1.7. Colleges, universities, other organizations as well as individuals partnering with CII in delivering instruction on CII publications and products may apply for full or partial waiver of the requirements of the CII REPP. 1.8. The CII REPP will be reviewed annually and adjusted as necessary. 2. SCOPE. 2.1. The CII REPP applies to all individuals or organizations that wish to be referred by CII to seekers of professional instruction on CII research findings and other publications. 2.2. Providers are not holders of licenses or franchises for distribution of CII products.

CII Registered Education Provider Program 17Feb10.doc 2.3. The CII REPP supercedes prior agreements between CII and academic institutions for the offering of CII educational products. 3. DEFINITIONS. 3.1. CII. The Construction Industry Institute. A consortium of leading owners, engineering and construction contractors, and suppliers collaborating on important industry issues by providing guidance on best practices discovered through research and offering implementation, education, and other programs based on its research program. The CII is based at the College of Engineering of The University of Texas at Austin. 3.2. Event. A structured occasion such as a course, class or seminar for the purpose of delivering instruction on CII research and products. 3.3. General public. An organization that is not a member of CII or an individual that is not employed by an organization that is a member of CII. 3.4. Participant. An individual attending a Provider Event. 3.5. Provider. A party who agrees to furnish educational instruction in accordance with this program. 4. REQUIREMENTS. 4.1. Providers in this program understand that CII reserves the sole and exclusive right to allow and/or terminate their participation in this program if CII has determined that the participant has acted contrary to the requirements of this program. CII reserves the right to accept candidates for this program in its sole discretion and in accordance with its mission, vision and business plan. 4.2. If a Provider ceases participation in this program it agrees that it will immediately discontinue all use of CII REPP and CII logos and will no longer represent that it is a CII Registered Education Provider. 4.3. Providers agree to abide by the criteria noted herein and accept full responsibility for the quality assurance of the instructional programs that they offer. 4.4. Providers shall grant CII member organization participants a 10% discount from the Event fees that apply to the General Public.

Providers agree to abide by all applicable laws and regulations and are responsible for any taxes and fees assessed by applicable jurisdictions. 4.6. CII reserves the right to amend and/or discontinue this program at any time. In the event that the program is discontinued during the term of a Provider’s registration the Provider will continue to be listed on CII’s web page and/or promotional materials until the registration expires. 4.7. Providers shall furnish attendees at each Event with appropriate documentation of attendance in the form of certificates of completion or equal (See Attachment A). 4.8. Providers shall present CII developed material in such a way that the product remains consistent with the content, form and quality of the original CII material. The content of the material may not be altered. CII will be given full credit as the developer of the material. The CII produced material may be supplemented by the Provider and all supplemental material will be properly identified by the Provider to reflect the source. The organization and layout of the material will be consistent with that of the CII produced documents. 4.9. CII periodically updates information concerning the current edition and version of CII publications and products. Provider will insure that only the current version, as indicated in the most recent CII product catalog is used in Provider Events. 4.10.

CII, at its sole discretion, may audit any Provider class, course or

Event free of charge to assess compliance with this program. 4.11.

Provider shall incorporate CII comments into the material Provider

prepares for instruction. 4.12.

If CII notifies Provider, after review of material produced by

Provider, that Provider’s materials are below acceptable quality standards, Provider agrees, on a product-by-products basis, to discontinue distribution of such materials and to make all necessary corrections or to destroy all remaining stocks.

CII produces education modules on a variety of subjects. These

education modules consist of an Instructor’s Guide and a Participant Handbook. 4.13.1.

Provider shall purchase a minimum of one copy of the

Instructor’s Guide for each education module for each subject that will be presented under the terms of this Program. Provider shall also purchase a minimum of one copy of subsequent revisions to the Instructor’s Guide. 4.13.2.

Use of the CII Instructor’s Guide in preparing for and

presenting the instruction is recommended. 4.13.3.

It is recommended that the Participant Handbooks published

by CII be provided for Event participants. 4.14.

Providers shall maintain rosters of attendees at each Event,

including the title of the presentation, material presented, and the names, title and organization of each instructor and participant. These records shall be maintained for a minimum of one (1) calendar year after completion of the Event, or as required by applicable jurisdictions, (See Attachment B). 4.15.

Provider’s offerings shall be designed around clearly defined

learning objectives and structured to achieve the stated learning objectives. 4.16.

Providers shall at all times conduct their Events in an ethical,

professional and lawful manner respecting the rights and worth of all participants. 4.17.

Providers shall not discriminate on the basis of race, ethnic origin,

gender, nationality, disability, religion or sexual orientation. 4.18.

Provider shall furnish CII with markups of CII material that Provider

suggests require revision and/or correction. CII shall apply reasonable efforts to accommodate Provider’s requests subject to available funding and in accordance with CII priorities.

Provider shall employ CII designated and/or approved instructor

evaluation forms at each Event. These evaluations may be hardcopy or completed via input at a CII designated web site, (See Attachment C). 4.20.

Provider shall comply with all laws and regulations with regards to

CII intellectual property and shall comply with CII’s latest copyright restrictions. 4.21.

Unless otherwise provided by separate agreement with CII,

publications purchased by Provider from CII at a discount shall only be distributed in conjunction with a Provider Event. 5. MARKETING BY PROVIDER. 5.1. Provider shall fully comply with CII copyright and intellectual property protection requirements included herein. 5.2. When publicizing its participation in the CII REPP, Provider may use only CII furnished CII Registered Education Provider logos. 5.3. In marketing its services Provider shall only reference CII in conjunction with an Event. 5.4. Provider shall make no statements or representations indicating or implying that CII has accredited, certified, sponsored, endorsed, or guaranteed any of Provider’s products, publications or services. The only statement Provider may make is that Provider “has been reviewed and approved as a provider of instruction in CII published materials by the Construction Industry Institute (CII).” 5.5. All other marketing statements by Provider in connection with this Registered Education Provider Program are to be approved by the CII Associate Director for Education. 6. COPYRIGHTS AND INTELLECTUAL PROPERTY. 6.1. The CII copyright mark is “© [year] Construction Industry Institute ®. This copyright shall appear on all CII publications and products. 6.2. Provider shall provide proper notice to participants in Provider’s offerings of CII ownership of its copyrights and marks and require participant’s adherence to CII copyright statements.

Provider shall not use the letters “CII”, the phrase “Construction Industry Institute” or any CII trademark, service or certification mark in any domain name, e-mail account or company name. 6.4. Providers shall not reproduce CII publications in any medium for use or distribution without express written permission from CII. CII publications may be purchased at a discount from CII. 6.5. CII products and publications are available to non-members of CII, including Providers, by purchase; however, no copies may be made in any medium or distributed and no modifications made without prior written permission from CII. Contact CII to purchase copies. Volume discounts may be available. 7. PROFESSIONAL DEVELOPMENT UNITS. 7.1. Provider is responsible for assigning continuing education credits (CEUs) or professional development units (PDUs) to its Events on the basis of Provider’s own educational program. 7.2. At a future date this program may be enhanced to include the requirement that Providers award predetermined Continuing Education Units [CEUs], Professional Development Units [PDUs] or value their Events at a specified Professional Development Hour [PDH.] 8. ADMINISTRATION. 8.1. This program will be administered by the CII Associate Director for Education. 9. REGISTRATION PROCESS. 9.1. The intent of the CII REPP is to provide for the continuing development and upgrade of CII education materials. This section explains the registration process.

9.2. Registration as a CII Registered Education Provider is available to institutions and individual instructors. Individual Instructors or presenters must be Individual CII Registered Education Providers or on the staff of an Institutional CII Registered Education Provider. 9.3. Candidates for registration will submit the information requested below. 9.4. The period of registration will be one year from the date of registration. 9.5. Registration of candidates to be Individual CII Registered Education Providers will consist of submittal and acceptance by CII of Provider’s Registration Application, (See Attachment D), including the following items: 9.5.1. A resume describing the candidate’s experience in the capital project industry. 9.5.2. Evidence of providing adult education instruction for a minimum of three (3) years. 9.5.3. A letter of recommendation from a minimum of three (3) attendees at a candidate’s class or workshop. 9.5.4. Evidence of involvement in the teaching of subjects from CII’s body of knowledge for at least three (3) years or participation in CII activities for at least three (3) years. 9.5.5. Evidence of experience in the capital projects industry in the capacity of academic, engineer or constructor for at least 10 years. 9.5.6. A copy of the candidate’s certificate of completion (diploma) of a 4 year degree from an accredited college or university or a higher degree program if available. 9.6. Registration of candidates to be Institutional CII Registered Education Providers will consist of submittal and acceptance by CII of Provider’s Registration Application, (See Attachment E), including submittals for each instructor in the organization, (See Attachment E-1), similar to that required for Individual CII Registered Education Providers.

CII in its sole discretion may waive all or part of the registration criteria for Individual Instructors and Institutions that have a previous record of successfully providing effective instruction based on CII products. 10. ANNUAL REGISTRATION FEES & DISCOUNTS. 10.1.

Fees.

10.1.1.

The registration fee for an Individual CII Registered

Education Provider (instructor) shall be approximately $2,500 per calendar year. This fee will be credited towards the purchase of CII publications by the CII Registered Education Provider for the period of registration. The registration fee does not apply to Instructors providing services under the auspices of an Institutional CII Registered Education Provider. 10.1.2.

The fee for an Institutional CII Registered Education

Providers will be approximately $10,000 per calendar year. This fee will be credited towards the purchase of CII publications by the CII Registered Education Provider for the period of registration. 10.2.

CII in its sole discretion may waive all or part of the registration fees

otherwise due from Individual Instructors and/or Institutions that provide significant “in-kind� assistance in the execution of CII programs and mission. 10.3.

Discounts to Providers.

10.3.1.

Providers will be allowed to purchase CII publications at a

discount from the list prices listed on the latest CII products catalog available from CII in electronic or printed media at the time of purchase. 10.3.1.1. Non Profit organizations who are Institutional CII Registered Education Providers will receive a discount of 65%. 10.3.1.2. For Profit organizations who are Institutional CII Registered Education Providers as well as Individual CII Registered Education Providers will receive a discount of 50%.

11. REGISTRATION RENEWAL. 11.1.

Registration renewal is accomplished by submittal of the

registration renewal application, (See Attachment F or G), and fee in effect at the time of renewal, including the following items: 11.1.1.

Rosters of attendees at each class at which CII material was

offered, including the title of the presentation, material presented, and the names, title and organization of each participants in the class. 11.1.2.

Evaluation by Provider instructor(s) of the material presented

at the Events, (See Attachment H). 11.1.3.

Completed participant evaluations of the CII Registered

Education Provider instructor(s) on CII designated and/or approved forms, (See Attachment C). These evaluations may be hardcopy or input into a CII designated web site. 11.1.4.

Copy of syllabus if requested by CII.

11.1.5.

Copy of material presented if requested by CII.

12. PROGRAM ROLLOUT. 12.1.

Upon approval, this program will become effective. All parties

currently listed as instructors on CII’s web site and promotional media will be advised of the CII REPP and given the opportunity to join. 12.2.

New Providers will be processed for registration and then listed on

CII’s web page and promotional literature as their applications are approved. 12.3.

Beginning on or about April 1, 2006 only CII Registered Education

Providers will be listed on CII’s web page and other promotional media. 13. PROGRAM TERMINATION. 13.1.

CII may terminate this program at its own discretion by notifying

Providers no later than at the time of registration renewal.
