GOVERNANCE COMMITTEE
Arranges for a review of the organization’s financial records; reviews the results of reviews, financial records (including income statements, balance sheet and budget), tax documents, investments and fund balances; conducts a risk assessment for the organization; and reports all findings and recommendations to the Board. The Bylaws require that the President appoint a chair and at least two Members who shall not be current board members or officers. EXECUTIVE COMMITTEE Executive Committee acts between meetings of the Board on all matters not otherwise delegated to the Board or the Members. The Bylaws establish the committee as the President, Vice President, Immediate Past President (when the Immediate Past President is a member of the Board), Treasurer, and Secretary and require that all actions of the Executive Committee must be reported to the Board no later than the next regular meeting of the Board. For 2016‐17, the committee will:
Governance Committee ensures the Board is performing at optimal levels by soliciting nominations from the CAAE membership and nominating Board candidates; ensuring that the size, leadership and composition of the Board are appropriate; and overseeing governance structures and policies (including committee structure, conflict of interest and other policies, and bylaws). The Bylaws require that the Committee consist of three current Board members and two other members not currently on the Board, including the Immediate Past President. Current members of the Governance Committee may not be nominated for open officer or board member positions. This committee is established in the Bylaws. For 2016‐17, the committee will: • E xpand the demographic analysis to compare the Board of Directors composition to overall CAAE membership composition; • W ork with the committee to intentionally address demographic gaps, especially relating to diversity of backgrounds; and • R aise the profile of the Call for Nominations to the board, seeking to the increase the number of potential candidates above the last year, including announcing the vacancies as part of the business meeting at the Winter Institute. CAAE president J T. Forbes welcomed members to the winter meeting.
Approval of Minutes (July 19, 2016)
Mr. Forbes asked for approval of minutes. Scott Westerman moved approval and Steve Hall seconded the motion. The minutes were approved.
III. Treasurer's Report
Todd McCubbin, Treasurer, provided the highlights of the financial report. McCubbin shared the independent audit from last August. It was a clean audit report. Net assets were $178,314. This fiscal year half-way through. 75k against corporate sponsorships of 80k. Memberships also on track. The Winter Institute is the first big expense. Expenses are at 30% of goal to date.

Membership
Laura Wayland, Membership Chair, reported that we have 84 members - seven new this year with two in process: Syracuse, UCI, San Diego State, Ohio University, and University of Louisville; University of Illinois and McMaster. Five institutions did not renew in part due to transitions. We are approaching the five year mark for our current criteria and the committee will be surveying membership for their insights about the criteria and where we should evolve, too.

Governance Committee
Barbara Dick, Governance Chair, requested nominations for the board. There will only be one opening in the upcoming fiscal year, but the committee would like to build a pipeline and next year we will have up to five open positions.
VI. Research/Census Update
Committee co-chair Hoopes Wampler reported that 70 institutions filled out CAAE member census fully (which is about average with past years). He reminded members it is a requirement. There was a drawing for airfare among those who completed the surveys and Rich Engel was picked. Committee co-chair Howard Wolf reported that we've tried to downsize/right size research agenda and focus on getting more value out of the census. The Research

Committee is exploring a relationship with AlumnIQ to determine if we can make the census more useful in terms of gleaning data plus to bring more functionality to the website as well to our overall communications, etc. There was a brief discussion related to the Voluntary Alumni Engagement in Support of Education (VAESE) survey that is not seen as legitimate. Forbes will followup with the survey organizers and report back to board.
VII. President's Update
Forbes reviewed our membership engagement metrics via a slide deck. Membership growth has been steady with net gain of four members. There has been a steady institute participation as well. High water mark for this Winter Institute. Reviewed the board's primary areas of focus for the year: affinity partners and sponsors, awards, communications, governance, institutes, membership, research, and strategic plan. 90% of what we've set out to do we are on track in achieving. Update from CASE – strategic plan has moved into implementation, and the organization will be investing up to 2 million dollars. Governance of CASE is being actively reviewed with an eye to how one would establish a global governance structure. Career Central is a dynamic new option on the website. The summer intern program is a strong program that CASE is actively seeking participation by member institutions. There is an alumni metrics track force with active participation from CAAE members - Jimmy Buck, Lisa Lewis and J T. Forbes. The work is part of the Commission on Alumni Relations agenda and will eventually go to the CASE Board of Trustees. There will be much consultation through the process.
VIII. Discussion of CAAE Strategic Framework
The current strategic plan timeframe concludes this year. Barbara Dick, Donna MacPhee, Jeff Todd and Sterly Wilder are on a working group to consider how CAAE’s next plan should evolve and to identify the major strategies and plan elements to guide us going forward. The committee recommends adapting a strategic framework that gives board the flexibility to develop annual plans, but is also consistent with the mission. The draft strategic framework was shared with the attendees.
