In December, the BPP Board of Managers approved changing the network participation application process from individual physicians enrolling (and having to individually complete and sign the application and agreement) to reflect group enrollment with an individual participating physician joinder agreement. This change was necessary primarily due to the Purchasers (i.e.: commercial payers/insurance companies, such as Aetna, AvMed and WellMed) under negotiation not being equipped to handle individual physician participation (e.g., such payers typically contract by tax identification number). Additionally, the BPP Board of Managers determined that leveraging group leadership to assist with communication will help further BPP’s efficacy and success, while still ensuring accurate and timely notification of contracting opportunities. Attached please find a summary of the material changes to the BPP Participation Agreement, which effectuate the Board’s recent decision. Also included are the revised documents for your review and submission. Please complete and return the following: One per group • Group Application • Group Participation Agreement • Group Business Associate Agreement One per individual participating physician • Provider Application • Joinder Agreement In anticipation of finalizing shared savings agreements with commercial payers in the coming weeks/months, and in an effort to maintain a seamless transition of membership, we are looking to expedite the changeover. Summary of Material Changes to BPP Participation Agreement – Feb. 2016 In December, the BPP Board of Managers approved changing the network participation application process from individual physicians enrolling (and having to individually complete and sign the application and agreement) to reflect group enrollment with an individual participating physician joinder agreement. This change was necessary primarily due to the Purchasers under negotiation not being equipped to handle individual physician participation (e.g., such Purchasers typically contract by tax identification number). Additionally, the BPP Board of Managers determined that leveraging group leadership to assist with communication will help further BPP’s efficacy and success, while still ensuring accurate and timely notification of contracting opportunities. Below, please find a summary of the material changes to the BPP Participation Agreement, which effectuate the Board’s recent decision. Attached please find the revised BPP Participation Agreement and a new Joinder Agreement for your review and submission. Individual vs. Group (change reflected throughout agreement) The Participation Agreement is now between Baptist Physician Partners and a Group, an entity that employs or contracts with Providers for their services, bills Medicare and other third party payors under its Tax Identification Number for these professional services, and has the authority to bind itself and its Providers. Contract Approval Person (CAP) Notification (pg. 3) Prior to entering into any Clinically Integrated Purchaser Contract, BPP must provide notice by certified mail to the Group’s CAP. If the Group’s CAP determines that the Clinically Integrated Purchaser Contract does not meet the standard of value, the CAP must provide notice to BPP of the Group’s intent not to participate in such Clinically Integrated Purchaser Contract. Our current Participation Agreement requires such non-participation notification to be provided to BPP within one month of the CAP’s receipt of such notice from BPP. The new language clarifies that such notice of non-participation from the CAP must be received by BPP within thirty (30) days of the postmark date on such notice from BPP. Otherwise, the Group would be bound to the Clinically Integrated Purchaser Contract. Shared Savings/Incentive Compensation Payment Responsibility (pg. 4) The following language was added as a new Section 5.g. as a result of recent negotiations with Purchasers, and their request to have language inserted in our Participation Agreement clarifying that the Group and its Providers will only look to BPP for the pass-through of any shared savings payments under BPP negotiated Clinically Integrated Purchaser Contracts: “With respect to Clinically Integrated Purchaser Contracts negotiated by BPP, Group agrees, and shall cause the Providers (i) to look solely to BPP for the payment of incentives to reward and recognize the Providers’ efforts to improve quality, cost–effectiveness and efficiency pursuant to such BPP negotiated Clinically Integrated Purchaser Contracts, and (ii) to not bill Purchasers


(or their affiliates, or their health plan beneficiaries) for such amounts due from BPP pursuant to such BPP negotiated Clinically Integrated Purchaser Contracts.” This language does not restrict the Group’s ability to bill Purchasers for “covered services” rendered to such Purchasers’ members based on the Group’s underlying provider participation agreement with the Purchaser. Provider Applications / Termination (pg. 6) All of the Group’s physicians who have Active medical staff privileges at a Baptist Health hospital must apply to become a member of BPP within 60 days of the effective date of the Group’s agreement. Each Provider must also submit an application and executed Joinder Agreement to initiate the membership review process. Of note, physicians with any class of privileges may apply, but this requires at least all Active physicians to apply. BPP may also terminate this Agreement in its sole discretion if any one or more of the Group’s physicians who has Active medical staff privileges at a Baptist Health hospital has not applied to become a member of BPP within 60 days. Joinder Agreement Each individual Provider must submit an executed Joinder Agreement, binding him or her to the terms and conditions of the Group Participation Agreement. The Joinder Agreement clarifies that the individual Provider is subject to the terms of the Group Participation Agreement, and that the individual Provider’s participation in BPP may be terminated pursuant to BPP’s policies or if the Provider no longer maintains privileges at any Baptist Health hospital. Once a Provider is no longer employed by the Group contracted with BPP, such Provider’s participation in BPP will automatically expire. The affected patients would be reassigned to other Providers within the Group and/or BPP. If the departed Provider wishes to remain in BPP, he/she must reapply. Once the Group executes the new Participation Agreement and the Joinder Agreements are signed, the previously signed individual Participation Agreements are automatically terminated.

AgeWell Advanced Care Unit ACE medical model Patients in the Advanced Care Unit receive the ACE (Acute Care of Elders) model of care, which consists of an interdisciplinary team of experts with specialized training, experience and interest in caring for older adults. Team members include: social workers, physical therapists, occupational therapists, dieticians, pharmacists, registered nurses, nursing assistants, geriatricians, hospitalist physicians and a geriatric clinical nurse navigator. How does the Advanced Care Unit (ACU) differ from other medical units? This 12 Bed unit, located at Baptist Medical Center Beaches Hospital’s, offers patients and family members:  An environment adapted for needs of elderly patients (e.g., lighting, flooring, furniture, etc.)  Caring concerned nursing staff fully trained in the geriatric ACE model of patient care  Comprehensive functional information collected to address common health issues of frailty  Protocols and procedures focused on geriatric issues  Focus on function, mobility and early ambulation  Medication review and management to address potential risks of polypharmacy  Discharge planning that begins after a patient is admitted Admission Criteria and Process The ACU has been designed to address challenges that older patients often face during a stressful hospitalization. The goals of the ACU include: maintaining or improving functional status, reducing length of stay, decrease discharge to transitional care unit or nursing home, decreasing adverse events (delirium, falls, etc.), increasing education and connection to community resources and reducing readmissions.  

Admission may be through Emergency Room or direct admission process from referring physician Admission criteria o 65 years or older o acute medical diagnosis (non-elective) o non-cardiac observations admits going to med/surg o community resident o ability to actively participate in care plan Exclusion criteria o residents of long-term care facilities or terminally ill/hospice patients o need for higher level of care (progressive unit, critical care unit, etc.) o need for specialized care such as surgery, orthopedic, psychiatric or patients with primarily cardiac diagnosis

What is Health Coaching? Health coaching is a partnership with the patient. Throughout the partnership, the health coach will be a supportive mentor, motivating him or her to make positive health choices that will impact his or her overall wellbeing. The health coach will educate, support and guide to help the patient achieve personal health goals. The patient will be connected to appropriate resources, programs, and tools. Who are the health coaches? Baptist Health staff at the Y Healthy Living Centers, JCA Wellness Connexion, or Wolfson Wellness with a bachelor or master’s degree in health education and/or registered nurses with training in behavior change. March Events Williams Family YMCA in Mandarin March 1 from 10:30-11:30am, HeartWise Prevention Series: Class 4 – “Eat you way to a healthy heart”, join Nancy Crain, PA-C, for the last class of the series as she explores what a heart-healthy diet looks like, and how we can easily incorporate it into our daily lives. March 3 from 6:00pm-7:00pm, Concussion Safety, Dr. Michael Yorio, MD, and sports medicine specialist will be discussing the impact of concussions, warning signs and how to stay safe during team and youth sports. Starting March 5 from 10:00-11:00am & 11:15-12:15 pm, Prenatal Yoga, ($13) Come share the experience with other women and empower yourself through yoga, meditation, and guided visualization. March 9 from 6:00 – 9:00pm, Family & Friends CPR (Infant/Child) ($25) This American Heart Association course will give you hands-on practice with CPR and choke-saving skills for an infant and child. March 10 from 6:30-8:00pm, Happiest Baby on the Block ($40) is a nurse-led class focused on teaching parents how to incorporate five simple techniques to promote their newborn’s calming reflex, and includes the basics of infant massage. March 15 & 22 from 6:30pm-9:00pm, Becoming Parents Series, ($55) for a 2 part session to train new parents on the introductory care for infants. Training includes : bathing, safe swaddling/sleeping, infant massage, comfort cues, and feeding tips.

Starting March 14 from 6:00-7:30pm, Mindful Meditation Series, ($20) A 4 week series focusing on thoughts, breathing, and relaxation for a more compassionate outlook on life. March 15 from 6:30-7:30pm, Mary Ellen Wechter, MD, MPH, will be discussing the importance of seeking care and the resources available for women who experience symptoms due to fibroids and endometriosis. March 16 from 6:30-9:00pm, Dads to Be Class ($35) This class is designed to answer the concerns and questions of the soon to be father. March 22 from 6:00-7:00pm, Diabetes Alert Day, Sirlys Arcon-Rios, MD, will discuss prevention techniques and risk factors for Type II diabetes and share how to manage life after diagnosis. March 31 from 12:30am-1:30pm, Jonathan Balog, will share his knowledge on colon cancer and how to stay healthy. He will discuss prevention, management and treatments available.
