MANAGEMENT REPORT

Analysing cargo by type, we can see that liquid bulk and general cargo have increased whilst dry bulk movements have decreased. 2013 saw liquid and dry bulk at an all-time low whilst general cargo recovered from the low point of 2009 to achieve a new record high. The growth of general cargo is not only important for the Port Authority as it generates the most revenue, but also for the companies within the port as it generates the greatest added value.

The Port of Santander’s activity during 2013 was marked by stability in both throughput and income and moderate growth as regards financial results.

THROUGHPUT

The port handled 1,700,274 tonnes of general cargo during 2013, which is 35% of total throughput and 1,198,032 t was ro-ro traffic. Timber, steel products and automobiles movements were up and the most noticeable decrease was in paper and pulp.

Total throughput was 4,928,746, or 3.26% less than 2012, which was more than 5 million tonnes. However, vessel calls increased by 3.17% from 1,293 in 2012 to 1,334. Total GT rose by 8.34% from 19,920,085 in 2012 to 21,582,224. This result is in line with the national port network where total tonnage handled fell by 3.4% in the same period.

FINANCIAL RESULTS

Automobile traffic increased by 16.9% or 309,111 units, which is 44,587 more than 2012. The following table shows the relative importance of Volkswagen and Renault, which together account for 70% of total vehicle traffic.

Turnover for 2013 was 19,098 million euros, very similar to 2012 when turnover was 19,224. This means that the 3.26% fall in throughput was reflected in a 0.65% decrease in income. The table shows the evolution of throughput and turnover during the last ten years.

Liquid bulk makes up 5% of the total throughput and there was an increase in bio-ethanol exports. Dry bulk, which comprises 60% of total throughput, was the only the only category which was reduced. This was mainly due to the drop in imports of coal and foodstuff imports (cereals as well as feed and sugar). However, cement imports grew strongly by more than 70% from 217,590 t to 371,178 t and manganese imports also rose by 40%. The total number of passengers was 209,821, an increase of 7.9% compared to 2012. Cruise passengers accounted for 13,475 and the rest were ferry passengers from the UK routes. The Port of Santander received 12 cruise calls during 2013, two more than the previous year and it is expected that this sector will grow further.

During 2013 income from occupation fees rose compared to 2012, whilst fees from usage fell. Occupation fees, both from cargo and vessels, contribute most to the port’s turnover. Significant financial income was also generated during 2013.

Our cost control policy, which was put in place some years ago, is still in place and we have managed to achieve a 5% reduction in operating costs.

Two significant ratios should be highlighted:

• The evolution of the ratio: tonnes exported / tonnes imported, which shows exports are continuing to gain ground. The ration in 2002 was 0.2 and in 2013 it stood at 0.8.

Staff costs have increased, but this is due to the payment of supplements from previous years, pending the extension of the wage agreement and to the bonus paid in December 2013. Salaries are still frozen and no new employees have been contracted.

This increase in income, together with cost controls has resulted in a positive operating result which is a marked improvement on 2012: 763,415.38 euros in 2013 compared to 107,561.79 euros in 2012 and a much more favourable balance of 2,754,201.91 euros compared to 345,952.03 euros in 2012.

INVESTMENTS

OTHER ACTIVITIES

There was a marked reduction in investments during 2013 compared to previous years with a total expenditure of 1.76 million euros.

During 2013 the Port of Santander maintained the ISO 9001/ ISO 14001, the new vehicle handling quality certification and came first in ANFAC’s Logistics Evaluation for the second year running.

The renovation of the Gamazo dock area accounted for the greater part of the budget with a cost of 540,000 euros, the remainder being used for smaller projects.

A high level of teaching and cultural activity was maintained throughout the year through CITAP and directly by the Port Authority itself.

Although investment expenditure was exceptionally low, 2013 saw the start of important projects such as Raos Dock 1, the Gamazo Dock and Raos Dock 9, which will be the subject of further investment during 2014.

CITAP organised the VI Coastal and Port Engineering Master Course during the VI Port Cluster Innovation Seminar, the XIII Ibero-American Port Technology and Environmental Management Course, Port City Motors and Trends for Change Seminar, as well as editing various publications, organising work experience and technical visits and co-organising a number of courses and seminars.

PORT ESTATE 2013 saw the introduction of two amendments affecting port property, one in respect of the Definition of Port Spaces and Uses within the Port of Santander the other being Amendment No. 12 to the Port of Santander’s Special Plan.

The Palacete del Embarcadero hosted nine exhibitions and the Cabo Mayor Lighthouse Arts Centre received more than 22,000 visitors.

A number of concessions were also granted, the most important being: (1) Installation for the Reception and Loading of Sodium Products to Solvay Química S.L. (2) A lot measuring 82,781 m2 on the Raos Central Quay for use as a Vehicle Logistics Centre to Bergé-Automotive Logistics (3) Cargo Warehouses to Cadevesa (4) Floating Pontoons in the Molnedo Basin to various sports clubs and associations. The concession awarded to “Nueva Montaña S.A. del Hierro y del Acero” now GSW was also extended and increased in area. Finally, progress has been made on the Agreement for the Redevelopment of Santander’s Waterfront and further agreements have been signed which have made various unused port areas available to the city.

The four countries which always head this ranking: United Kingdom, Russia, Belgium and Brazil accounted for 2,447,228 tonnes, over 50% of total overseas trade. Goods traded with the United Kingdom and Belgium are primarily ro-ro, automobiles and other ro-ro type traffic due to the various established regular lines operating to and from these two countries. In broad terms, trade with Brazil and Russia mainly comprises sodium carbonate and coal, respectively.

The pie chart shows the predominance of Volkswagen and Renault with 70% of the total between them.

The North Margin ro-ro traffic is mainly forest products and general cargo on trailers. Ro-ro at Raos is vehicle traffic and machinery on trailers and trucks. Vehicle traffic comprises nearly 80% of ro-ro through these quays. The ferries account for all of the ro-ro traffic on the Almirante and Malia単o quays and this will be dealt with separately.

Vehicle traffic has recovered well this year, increasing by 16.9%. In real terms, 44,587 more vehicles have passed through the Port compared to 2012.

FERRY TRAFFIC (RO-RO Y PASSENGERS) * The two ferries which operate to the three ports on the south coast of England carry a significant volume of passengers and cargo. * A new regular service was introduced in November linking the Port of Poole and Santander. * The following is an analysis of the overall volume of the two lines and a comparison with 2012:

The predominance of the Ferries linking Santander with the UK is clear (ochre). The number of weekly calls was reduced and, although a new service was introduced in November, the levels of previous years have not been reached. However, ro-ro traffic with Belgian ports increased (red). The cargo here is mainly steel products, chemicals, paper and construction material.

Containers handled in the Port of Santander are usually larger than 20’. Of a total of 1,169 TEU’s handled 761 (65%) are handled on cassettes from Finland. The rest correspond to IMO1 export traffic.

BALANCE DE SITUACIÓN

PROFIT AND LOSS

The Port Authority of Santander’s assets increased by three million euros or 0.93% during 2013.

Income for the 2013 period was over 2.75 million euros, an increase of more than 700% over the previous year. This can be broken down as follows:

Fixed assets, comprised almost entirely of property, are the port’s greatest resource – more than 316 million euros. At the close of 2013 they showed an increase of more than 9 million euros or 2.95%.

The decrease in current assets – short term credit and cash – of nearly 19 milllion euros during 2013, represents a fall of more than 46% on the previous year’s figure. This can be broken down into short term investment reclassified as long-term investment and the receipt of credits due under the T3 litigation process. Non-current liabilities were reduced by more than 2 million euros. Current liabilities have been reduced by 11 million euros during 2013. This was also as a result of the payments from the T3 litigation process.

Operating profit rose by nearly 655 million euros, from 107 million euros in 2012 to 763 million euros in 2013 (+613%). The financial result for 2013 rose by 1.75 million euros to 1.99 million euros (+735%).

This variation is mainly due to the amounts transferred from the Treasury to the Port Authority to meet the liabilities arising from the annulatory sentences regarding incorrectly applied T3 tariff.

Working capital was reduced by 8 million euros approximately, staying above 19.5 million euros, which is a sign of the excellent financial capacity of the Port Authority to meet short term liabilities. Working capital decreased by approximately 8 million euros during 2013, standing at over 19.5 million euros, showing an excellent capacity to meet short-term liabilities.

6.1. BRIEF DESCRIPTION OF THE MOST IMPORTANT WORKS

a construction schedule has been drawn up which includes an operational study of the moorings. The works commenced in November 2013 with completion due in nine months. Tests will be carried out to determine the exact requirements of the terrain in any given area.

Redevelopment of the area around the Gamazo Dry Dock The area was declared a Cultural Heritage Site by the Government of Cantabria and forms part of the port’s estate. It comprises the Dock, the surrounding area, the iron railings and pavement to the north and the former pump house. In view of the time passed since it was used for ship repair, it is now in need of refurbishment with low-maintenance materials. The works will be carried out on the dock itself, pump house, fencing and other elements including general paving of the area, all of which have been approved by the Ministry of Culture. The works commenced in the autumn of 2013. Improved draught on Raos Quay no. 1 Dry bulk shipments are increasingly scaled to the future possibilities of the Panama Canal and these vessels exceed the 13 m draught available at Raos Quay no. 1. Having looked at the alternatives following a series of geo-technical studies to determine the best solution to achieve at least 14.5 metres draught,

Additional studies have been carried out which will lead to a new version of the Raos 9 project, which was not offered for tender due to the conditions of the MAGRAMA which included new obligations for the Port of Santander which were not previously applicable. The complexity of these conditions means that the tender will take up much of 2014.

Redevelopment of the Gamazo Dry Dock Esplanade These works are designed to recover run-down facilities in the San Martín de Bajamar area for water sports use through paving, demolition of ruined former carpentry workshops, construction of a ramp for leisure craft and other complementary services. The project was drawn up in 2012 and included detailed topographic and bathymetric surveys. The works were tendered in February 2013 and completed in September of the same year.

6.2. INDUSTRIAL SAFETY 6.2.1. INTRODUCTION In the report entitled “HEALTH AND SAFETY POLICY IN THE WORKPLACE” dated 25 January 2010, the Chairman of the Port Authority of Santander states that: “Health and safety in the workplace is a fundamental component of both maritime and land-based activities related to port traffic and services and the management of the port area and they are the responsibility of everyone working within the organisation. With this in mind, the Port undertakes to: • Prevent harm and detriment to the health of its workers. • Promote the implementation of best practice in health and safety in the workplace. The aim being to raise the level of protection of the workforce through the development of an appropriate management sys- tem based on prevention. The PAS will provide all necessary resources, organisational as well as material, to reduce work-related accidents and illnesses as much as is technologically possible. Likewise, the Port will meet all legal requirements in the matter of Health and Safety in the Workplace as well as any other requirements which may be undertaken voluntarily.”

OTHER WORKS The balustrade of the Cabo Mayor lighthouse, which had been damaged in an accident, was replaced. The works were held up due to the building contractor filing for insolvency.

6.2.2. PORT OF SANTANDER EMERGENCY PLAN A Passenger Help Office for ferry passengers awaiting embarkation, was completed during the summer.

No incidents requiring activation of the Interior Port Emergency Plan were recorded during 2013. Neither were any such incidents recorded in the facilities located within the Port Service Area

The paving on the front line of Raos Quays 2 and 3 was partially replaced at the beginning of 2013, the works were carried out in stages allowing the quays to continue operations. Repairs were carried out to the joints between the caissons on Raos 5 which had been leaking and causing damage to front line paving.

6.2.5. HEALTH AND SAFETY IN THE WORKPLACE MANAGEMENT SYSTEM(OHSAS 18001:2007)

6.2.3. EMERGENCY DRILLS Article 18 of Law 31/1995 Prevention of Accidents in the Workplace obliges employers to inform workers of health and safety risks, protection and prevention measures as well as the measures set out in article 20 of the Law. In this respect and in compliance with the said articles, an evacuation drill was carried out in the administrative buildings of the Port Authority of Santander.

A Health and Safety in the Workplace Management System was introduced during 2010 in line with the OHSAS 18001.2007 requirements. The certification of the Health and Safety in the Workplace Management System was approved by the Certification Organisation on 6 May 2011. The Maintenance Audit was carried out on 12 April and the certifying organisation issued the following report:

The drill took place on 6 November 2013 at the Port Authority Headquarters building. The fire alarms were sounded and all personnel and visitors evacuated the building by the staircase and gathered at the assembly point on the east side of the Multi-Use Hall. The offices of the logistics company UPM were also evacuated.

“The Port Authority of Santander has a Health and Safety in the Workplace Management System which complies with the Audit criteria (OHSAS 18001:2007) and which, being well implemented, justifies the maintenance of the certification.

In order to improve on previous drills, an evaluation was made of the evacuation times, the fire detection systems, emergency exits and emergency team response times.

The results of the audit and sampling show that the management system covers any possible risks deriving from any internal or third party legal or regulatory incompliance”.

6.2.4. ACCIDENTAL MARINE POLLUTION CONTINGENCY PLAN Royal Decree 253/2004 sets out the pollution prevention and control measures to be implemented in hydrocarbon loading, unloading and handling operations in the port and establishes the conditions for the approval of the various contingency plans and their contents. It also sets out the guidelines for the environmental, meteorological and oceanographic studies. The Port of Santander’s Accidental Marine Pollution Contingency Plan and the Report on the environmental, meteorological and oceanographic conditions were approved by the Board of Directors on 30 June 2006. The Contingency Plan was not activated during 2013.

6.2.6.HEALTH AND SAFETY COMMITTEE Article 38 of the Health and Safety at Work Act of 1995 establishes that companies with 50 or more employees should form a Health and Safety Committee (HSC), whose members should be drawn equally from management and staff, to regularly and periodically assess the company’s risk prevention practices. The Port Authority of Santander HSC is made up of four Prevention Delegates and four representatives from Port Management.

6.2.7. 6.2.8 PREVENTIVE RESOURCES COMMITTEE Section 3 of Article 10 of Royal Decree 171/2004 states that “The principal company must ensure that contractors and subcontractors within its workplace have established the necessary communication channels”. In view of this and notwithstanding the other Health and Safety measure measures to be adopted by the other companies, the Port decided to constitute a Port of Santander Preventive Resources Committee to monitor, coordinate, cooperate, inform and train companies contracted

6.2.11. EUROPEAN ROAD SAFETY CHARTER The Port Authority of Santander renewed its commitment as a signatory of the “European Road Safety Charter” on 9 September 2009. The European Charter is a programme promoted by the European Commission whose aims are:

• To promote and support associations, schools, universities, companies of any type or size and local European authorities in the adoption of road safety measures in Europe.

The Port Authority of Santander is keen to bring the issues of quality and the environment to the forefront of the port’s activities. A number of basic principles such as continuous improvement, client satisfaction, strict compliance with legislation, prevention of pollution at source and sustainable development have been incorporated into the port’s management policy.

• To recognise the contribution of society to road safety. • To facilitate the acquisition and exchange of knowledge in the matter of road safety within the European Union.

The current mission of the European Road Safety Charter is to further promote and support this community with a view to reducing the number of road traffic victims between now and 2020.

6.3.3 NOISE LEVEL MONITORING The Port Authority’s annual monitoring programme monitors levels within the port perimeter as well as background levels generated by non-port activities (mainly city traffic) on a representative day of port activity, 08.00 to 22.00 hrs. The measurements for 2013 showed that all the values were below the limits set by the Port of Santander’s Environmental Regulations (65 dBA for the control points closest to the urban residential areas: 1, 2, 3, 4, 11 and 12 and 70 dBA for the remainder). In the majority of cases the difference between the background and the overall noise levels was not sufficient to effect an evaluation. Most of the control points are affected by traffic and the readings at points Nos. 2 and 3 were affected by construction works inside the port. .

Spillage Run-off water is analysed periodically in accordance with the Port Authority’s Spillage Monitoring Programme. The following parameters are monitored: pH, BOD5, COD, solids in suspension, ammonia, oils and grease. The pollution parameters are checked regularly and the effectiveness of corrective measures at the check points is entered in the Environmental Department’s Spillage Reg- ister. The most recent analyses show higher levels of pH, BOD5 and COD in 6 of the 37 check points.

6.3.4. WATER QUALITY AND SPILLAGE MONITORING Water Quality and Hydrological Planning Royal Decree 399/2013 of 7 June 2013 approved the Hydrological Plan for the Demarcation of the Western Cantabrian Zone in compliance with the Water Legislation Revised Text and the Water Framework Directive. The consideration of all of Zone 1 of the port as highly modified transitional water bodies, in accordance with the Port Authority’s submissions and in compliance with the criteria established in the Hydrological Planning Directive.

Monitoring of spillage parameters, implementation and consolidation of corrective measures (operational measures, cleaning and specialized facilities) and user requirements all help us to improve the quality of the run-off.

Highly modified water bodies ES087MAT000150, ES087MAT000160 and ES087MAT000170 : Bay of Santander, Port, Interior and Uplands.

Cleaning of basins and other common water areas The Port of Santander Cleaning Service “pelican-type” launch recovered a total of 274.06 t of solid waste from port waters during 2013.

6.3.5.3. PORT AUTHORITY The Port Authority is registered as a Small Quantity Generator of Hazardous Waste (reg. no. PP/CN/136/2002) in compliance with Decree 42/2001 which created and regulates the register within Cantabria. Most of the hazardous waste generated by the Port Authority comes from maintenance and conservation of infrastructure, maritime signalling and machinery. The type and quantity of waste generated by these activities is not uniform, which accounts for the year on year variations.

The Declaration of PCB Possession was filed in 2013 in compliance with Royal Decree 228/2006 governing the elimination and management of PCB’s and PCT’s and equipment which may contain them, declaring the presence of PCB’s in 9 transformers in concentrations of between 50 and 500 ppm.

6.3.6. SOIL MANAGEMENT There were no contamination events during 2013 and no decontamination action was taken. Approval for the decontamination project of the Allion Española S.A. Concession is pending. The most recent quality control check on the subterranean water in the Port’s piezometric network was made in September 2013 to establish the evolution of the control parameters and evaluate their environmental status. The conclusions of the Evaluation of Acceptable Risks report for 2013 find that the levels of contamination found in the subterranean waters of the areas investigated in the Port of Santander do not pose an unacceptable risk to health to people working in the area or for residents living close by, taking into account current and future usage.

6.4. TECHNOLOGY

Port of Santander participation in courses and congresses with environmental content

6.4.1. INTRODUCTION During 2013 the Technology and Information Systems Division has updated all its services, which range from server and storage systems to the renewal of users’ desk-top equipment.

•13th Ibero-American Port Technology, Operations and Environmental Management Course • Master Coastal and Port Engineering (module IV 2012-2013)

Among the reasons for this renewal was the increased use of IT resources within the organization, updating of operating systems necessitating an upgrade to hardware and the Port of Santander’s commitment to the quality of electronic services which has justified the replication of the data centre in the DPC of the Service Coordination Centre.

• Intranet/Internet Communication The general public may consult the Port Authority’s Quality and Environmental Policy, ISO 14001-9001 certification, Port of Santander Environmental Regulations, Sustainability and Annual Reports via the port’s website. Port Authority staff may also access the full content of the Quality and Environmental Management System through the port intranet.

The activities carried out fall under three headings: 1. Renewal/upgrade of Central Services. 2. Renewal/upgrade of employee desktops.

6.3.9. ENVIRONMENTAL INCIDENTS 3. Negotiation of TISD service contracts. The most frequent incidents relate to: The total number of interventions registered and dealt with by the TISD was 1,565 – 20% higher than the previous year. The port’s website is used and accessed by existing and potential clients as well as the general public.

- Dust affecting third parties: vehicles, port users and neighbours. There were 20 incidents of which 13 involved temporary stoppages to prevent contamination of other cargoes or impact on neighbours. - Minor spillage of fuel/residues in the port basins, mostly of unknown origin (9 incidents). - Spillage of fuel, oil and refrigerant from vehicles/machinery onto port quayside paving mostly caused by accident or inadequate use of containers (8 incidents). - Spillage of general cargo onto quayside (4 incidents). - Non-compliance with Environmental Regulations or contract conditions with regard to environment matters (2 incidents). - Residue abandoned in the Service Area (1 incident). - Floating waste recovered from the sea (1 incident).

There were 429,529 visits during 2013 compared with 400,029 in 2012, an increase of 7.37%. Access via mobile devices made up more than 40% of the total compared with 25% during the previous year.

6.4.2. RENEWAL AND REPLICATION OF CENTRAL SERVICES The central servers and iSCSI storage systems were upgraded to 21TB during the first half of 2013. This reduced maintenance costs and guaranteed uninterrupted service as replica servers were installed in two separate locations: DPC Sotoliva and DPC Service Control Centre using the old server and storage equipment.

When the source is unknown, the Port Authority undertakes the cleaning and management of accidental spillages, waste dumping and minor spillages into the basins. When third parties are affected by dust the Environmental Regulations call for temporary suspension of activities to prevent or correct the problem and monitoring of operations.

The new PAS systems are configured as follows:

2 24 port Gigabit network switches, level 3 5 year guarantee 24 x 7

The installation provides solutions for problems such as communication breakdowns, hardware failure, power supply failures, etc. The replication consists of the native data reproduction between both storage systems, so that data is available to employees on both systems immediately. The operative system of the physical servers was updated with the latest version of VMware and all 35 virtual servers were migrated to this new version. The meteorological services of the PAS were updated during 2013 integrating the previous two stations into a single station on Raos Quay 8. This station provides meteorological data to PAS Environmental Services, port clients and users through our Port Services Management as well to the online weather service to a wide variety of end-users.

6.4.3. RENEWAL/UPDATING EMPLOYEE DESKTOPS The process of updating the Port’s desktop computers started in 2013 and is due for completion in 2014. Depending on the workload involved, one of the following solutions will be applied:

• Multi-function copiers. Once the contract with Ricoh had terminated offers were sought for the supply and installation of multi-function copiers. The aims of the tender were: • Creation of a centralised printing, copy and scanning system linked to the active directory. • Technological improvement • Cost reduction • Standardisation of equipment to improve maintenance

• VDI. For those employees who do not require large calculation or graphic capacity, providing financial and administrative savings. 30 VDI’s were installed during 2013. • For those employees who require large calculation or graphic capacity or both, hardware and software and software has been replaced with the most up to date equipment available. Windows 7 has been adopted as the operating system throughout the port..

Offers were received from five companies: • Canon. • Konica-Minolta. • Ricoh. • Llorente ofimática. • Digital Cantabria. The contract was awarded to Konica-Minolta who presented a very reasonable technical offer and the best price.

6.4.4. NEGOTIATION OF IT DIVISION SERVICE CONTRACTS There were two tenders for external services: • Mobile phones. The previous Movistar contract period concluded mid-2013 and offers were sought for a further 24 month period. The aim was to reduce costs and improve services. Offers were considered from three operators: • Movistar. • Vodafone. • Orange.

6.4.5. RENEWAL OF THE U.T.M. SYSTEM The maintenance contract for the equipment which handled the Unified Threat Management was renewed. The new equipment consists of two Fortigate 330A HA with more memory and processing capacity and more connection ports along with functional and administrative improvements. These systems are located between the internal, internet and DMZ and allow communications between one area and another to be optimised and monitored.

The technical aspects of all three were very similar so cost was the deciding factor which led to Movistar being awarded the contract. Blackberry has been dropped and Google Android adopted as the mobile operating system.

6.4.6. USE OF THE PAS ELECTRONIC RESOURCES There was a decrease of 6.4% in the number of visits to the Port’s website www.puertosantander.es during 2013. This is due to the increased visits during the last four months of 2012 to search for job offers causing an increase of 7.37%.

6.5. HUMAN RESOURCES AND LABOUR RELATIONS The “Conditions and procedures for the modification of salaries within public bodies” were published on 1 February 2013. Four aspects of these conditions were relevant to employees of Port Authorities and the National Port Authority:

Two partial retirements were authorised with no replacements due to problems involving legislation and Social Security. There will be two replacements from the existing labour pool during 2014 working 75% of normal hours in line with Article 13 – Temporary Contracts of the II National Port Authority and Port Authorities Collective Labour Agreement.

The amount allocated for Social Action during 2013 may not exceed 50% of the amount allocated for 2012. Since the amount allocated in 2012 had already been reduced by 50% this means that there was an accumulated decrease and, therefore, only a 25% reduction of the Social Fund during 2013.

Two staff retired at age 65 during 2013. One of these vacancies was filled on a permanent basis. Unfortunately, another member of staff died during 2013. The Employee Portal was consolidated during 2013, allowing the status of employees to be consulted online.

During 2013 Port Authorities and the National Port Authority may not contribute to pension plans or collective insurance policies including contingency for retirement.

Employees can consult and manage the following: • Their own personal and administrative data, requesting correction where appropriate. • Salary details by month/year. • Pension plan contributions. • Absence (holidays, days off) record of daily hours worked. • Certificates, Tax Returns. • Record of training courses. • Working calendar.

Personal contracts outside collective labour agreement. The resolution states that clauses may not be agreed which imply the consolidation in whole or in part of retributions in case of termination of employment or incortporation into another post within the organisation or the acknowledgement of any retribution superior to that corresponding to the post held without prior agreement from the CECIR.

gulations” for Environment staff; “English”, “Risk Prevention in Manual Cargo Handling”, “Risk Prevention – Data Screens”, “Communicate Effectively with your Colleagues”, “Fire Prevention and Extinguisher Operation”, “First Aid” and “Coordination of Business Activities” for staff from various departments. On 25 September 2013, the Training Commission decided unanimously to offer English classes to all staff and a deadline for applications was set. Potential students undertook a test to establish their level and grade classes accordingly. The process ended with a total of 54 students spread across the following levels: Elementary, Pre-Intermediate, Itermediate and Advanced.

6.5.1. TRAINING CARRIED OUT DURING 2013 AS in previous years training focused on the development and completion of training activities set out in the 2012-2015 Training Plan; Industrial Health and Safety and improving standards of English. There were 17 training activities, some in various groups, so there was a total of 23 courses with 672 course/hours attended by 265 students, giving a total of 1351 student/hours. The average overall evaluation by students was 4.5, on a scale of 1 (low) and 5 (high). Likewise, the students immediate superiors gave the courses a very positive reception.

6.5.2. The International Technology and Administration Centre (CITAP) is a training and research project aimed at the port sector and promoted by the University of Cantabria, the Menéndez Pelayo International University, National Ports Authority, Government of Cantabria and the Port Authority of Santander.

Rodrigo Martínez-Val Peñalosa Vice Rector of Innovation and Development Projects and Sebastián Coll Martín, Vice Rector of Internationalisation and Las Llamas Campus of the Menéndez Pelayo International University replaced Salvador Ordoñez Delgado and Mª Cruz Díaz Álvarez.

In the current economic climate, faced with austerity measures and cost control, the Centre’s focus during its fifth year has been on consolidating its training activities and expanding its research possibilities within its financial and operational constraints.

During the meeting the Commission dealt with matters such as the incorporation of the new members, presentation of the 2012 Activity Report, activities carried out from January to October 2013, the status of the International Post-Graduate Centre of the Cantabria International Campus and the preliminary programme of activities for 2014.

The Centre’s activity during 2013 falls under three headings: “Institutional and Corporate Mangement” sets out the governance work carried out by CITAP’s Management Commission, whilst the second and third sections describe training and research activities.

The operability of the Centre was also discussed. Since CITAP cannot be constituted as an independent entity at the moment, interim measures must be put in place to administer the Centre and its activities. The Commission decided to form a special committee made up of Sebastián Coll, Vice Rector of Internationalisation and Las Llamas Campus of the Menéndez Pelayo International University; Juan Enrique Varona, Vice Rector of Institutional Relations and CCI Coordination of the University of Cantabria; Francisco Álvarez García, Head of the Department of Administration and Legal Services of the Port Authority of Santander assisted by Irene Maestra Onteniente of the University of Cantabria and José Ramón Ruíz Manso, Head of Corporate Activities of the Port Authority of Santander.

7.1.2. INSTITUTIONAL AND CORPORATE MANAGEMENT: GOVERNANCE 7.1.2.1. Management Commission CITAP’s Management Commission, which administers and monitors its activities comprises two representatives from each of its founding bodies. The Commission met on 14 November 2013.

CITAP’s antecedents and legal framework were discussed and various management options were presented ranging from an analysis of the possibilities of the current agreement and its novation to the idea of linking CITAP to another legal entity. The members agreed to study the more viable proposals in greater depth and meet again to discuss their finding prior to presenting them to the Monitoring Commission.

7.1.2.2 CITAP Operational Committee The committee formed to study interim management measures met on 11 December in the office of the Vice Rector of Institutional Relations and CCI Coordination of the University of Cantabria, with the presence of Enrique Alonso DĂ­az, Director of the University of Cantabria.

Morenafilms The visit by Morenafilms was related to the construction of the “Botín Centre” on the Albareda Quay as the Foundation had commissioned an hour long documentary by the director Carlos Saura on the construction of the Centre and irts geographic, social, cultural and economic context.

University of Catania Matteo Ignaccolo and Elena Cocuzza, professors of the Department of Civil and Environmental Engineering of the University of Catania, (Italy) visited us to learn about the Port of Santander and its port-city relations with particular regard to the redevelopment of the waterfront, the Botín Centre and the renovation of the area where the World Sailing Championships 2014 are to be held.

On 7 and October Mr Saura and his team filmed various aspects of the port’s activities such as the fish auction hall and loading and unloading operations, staff and port facilities, etc. Menéndez Pelayo International University During August, César Nombela Cano the Rector of UIMP visited the Port of Santander, accompanied by Pilar Cano Dolado Vice Rector Postgraduate and Research Rodrigo Martínez Peñalosa Vice Rector of Innovation and Development Projects and Sebastián Coll Martín, Vice Rector of Internationalisation and Las Llamas Campus.

International Experts Maruja Redondo Gómez, Adilson Luiz Gonçalves and Vilma Redondo Gómez took part in the Roundtable Discussion: Motors and Trends for Change in the Port City. During their stay CITAP organised a series of interviews with the University of Cantabria and UIMP so that the visitors could get to know them firsthand and discuss the possibilities of future collaboration.

They were received by the Chairman of the Port Authority of Santander, José Joaquín Martínez Sieso accompanied by the Port Director Cristina López; David Marcano Ceballos, Head of Planning and Operations and the Head of Corporate Activities, José Ramón Ruiz.

They were received on behalf of the University of Cantabria by Juan Enrique Varona and Fernando Etayo Vice Rectors of Institutional Relations and Coordination of Cantabria International Campus and Academic Courses, respectively. They were welcomed at UIMP by Sebastián Coll Martín, Vice Rector of Internationalisation and Las Llamas Campus.

The Port Authority and the UIMP have worked actively together on cultural and training projects for a number of years.

They also visited the Institute of Environmental Hydraulics where they were received by professors Iñigo Losada and Mauricio González.

The Rector and his new team were able to get a firsthand view of the port and its services through a presentation given by Cristina López as well as a guided tour of the quays and facilities.

7.1.3.3.2. University Visits

RETE At the end of the year CITAP received a visit from Emanuela Forguetta of RETE. The visit was related to the design, content and operation of the RETE Digital Platform, which was conceived and developed in Santander and in which the Port of Santander, as a member and coordinator of the Santander Hub, has collaborated closely.

As usual Citap organised university and professional visits to the Port of Santander. There were thirteen visits during 2013.

7.1.3.4. Other training activities: collaborations

Collaborations with the University of Cantabria

Through CITAP the Port of Santander was invited to participate in the V Conference on Historic and Territorial Heritage which has been organised by the Faculty of Philosophy and Letters of the University of Cantabria since the 2007-2008 academic course.

Port-orientated Masters Courses Along with its own training activities, CITAP continued with the Port of Santander’s collaboration with the University of Cantabria and its postgraduate programme, directly or indirectly connected with the port and maritime transport sector.

Directed by Miguel Cisneros Cunchillos and Virginia Cuñat Ciscar, the conference took place on 7 and 8 March in Santander and Laredo, respectively and focused on Maritime Heritage. Carlos Limorti, Coordinator of Cultural Activities of the Port of Santander, gave a presentation entitled “Dialogues between art and port: port spaces and artistic activities”.

OFFICIAL MASTER IN PORT AND COASTAL ENGINEERING The collaboration in this Master consisted in the presentation of the Ports module, between 31 May and 14 June at the La Cerda Lighthouse facilities.

The Seminar of Written Culture took place during the first term of the 2013-2014 academic year and was directed by the students from the University of Cantabria’s Master in History and organised by the Historiographic Science and Techniques Division of the Department of Modern and Contemporary History. Carmelo Rodríguez Díaz, Head of the Port Authority of Santander Documentation Centre gave a presentation on 10 December entitled “The Port of Santander Library, an atypical bibliographic resource”.

EXPERT COURSE IN INTERNATIONAL TRADE AND TRANSPORT AND MASTER IN INTERNATIONAL TRADE, TRANSPORT AND COMMUNICATIONS CITAP provided lecturers, port facility visits and student work experience placement during 2013.

The aim of these conferences is to use the experience of professionals from different areas of culture to reflect on the different uses and importance of the written word as a tool in our society.

On 12 November José Llorca gave a presentation entitled “Portrelated Consequences of Changes in Economic Geography” for the opening and closing acts of the XIII and XIV Master Award.

ANFAC CONFERENCE – PORT OF SANTANDER Location: Santander. La Cerda Lighthouse and Magdalena Palace Date: 27 September Organisers: Port of Santander and National Association of Automobile Manufacturers (ANFAC) This meeting analysed the role of Cantabria and Santander as an automobile industrial and logistics centre in which the Port of Santander plays a key and pioneering role in a number of initiatives designed to improve maritime vehicle transport. ANFAC’s heads of communication and logistics, David Barrentos and Miguel Aguilar held a press conference prior to the event.

INTERNATIONAL PORT FORUM The development of Lake Titicaca and its binational socioeconomic influence Location: Puno. Peru Date: 28-29 November Organisers: National Port Authority of Peru This conference was organised as part of the National Port Authority of Peru’s strategy to develop the country’s port system. In addition to specialists from the National Port Authority and national, regional and local administrations, there were also national and international speakers from Bolivia, Colombia, Argentina and Spain. David Marcano Ceballos, the Port of Santander’s Head of Planning and Operations gave papers entitled “Factors in the development of Port City models” and “Criteria for the planning and operation of passenger terminals”. 7.1.4. RESEARCH, INNOVATION ANDSCIENTIFIC PRODUCTION Research and innovation work during 2013 covered three main areas.

7.1.4.1.RETE A member of RETE, the Port of Santander is also a promoter of one of the associations’s “Advanced Nodes” which has the support of the UIMP. There were three main areas of collaboration with the Association during 2013: Scientific Committee At the beginning of 2013 the Port of Santander was again appointed member of the Scientific Committee of RETE, being represented by CITAP and participating in the meeting which constituted the Committee in Barcelona on 1 March.

RETE Digital Platform A new RETE website was designed and put into operation during 2013. This resource will facilitate interaction and communication between RETE’s members as well as organisations and professionals involved in the port city environment and help promote specialized social networks and scientific communities and their training and research activities. Project: “Motors and Trends for Change in the Port City” RETE’s mission is to act as an observatory of the trends, processes and phenomena which are transforming port cities. In 2013 it promoted the project “Motors and Trends for Change in the Port City”, which was conceived and structured by CITAP.

7.1.4.2. PROJECTS Prototype digital scientific port magazine A group of students from the CESINE University Centre continued the study, research and design of the digital scientific port magazine. “PORT TRENDS” was finally published in June in an online format. 7.1.4.3 PORT-INNOVA: COMPETITION – INNOVATIVE IDEAS FOR THE PORT OF SANTANDER CITAPM also set up the PORT-INNOVA initiative which aims to promote the participation of Port of Santander employees in the organisation’s innovation strategies and policies by stimulating their creative capacity thus generating a regular flow of ideas. Seven judges evaluated the ideas and announced their unanimous verdict on 27 November:

Project “Ontology of Cantabria. Digitalisation of the historical document resources of the Port Authority of Santander” In December of 2012 the Port Authority of Santander and the University of Cantabria signed a collaboration agreement to carry out this project. The digitalisation was carried out in stages. The first stage, completed in mid-August consisted of 63 files and 16,009 pages, 334 maps and 40 photographs were digitalized with a resolution of 400 ppi, each image being saved as a TIF and JPEG. The second stage comprised 98 files.

7. 2. CANTABRIA INTERNATIONAL CAMPUS

This course was an international cooperation initiative between the National Ports Association and the Organisation of American States Inter-American Ports Commission with the collaboration of the Port of Santander and is part of the academic programme of the Menéndez Pelayo International University and University of Cantabria, Cantabria International Campus.

The Course aimed at aiding the technical training and placement of professionals within the Latin American port sector contained two specialist elements “Port Operations” and “Port Environmental Management” which were both 175 hours (7 ECTS credits).

MEETING OF THE REPRESENTATIVE COMMITTEE OF CANTABRIA INTERNATIONAL CAMPUS At the end of June CITAP took part in the meeting of the Representative Committee of Cantabria International Campus held in the Auditorium of the University of Cantabria. The meeting was attended by representatives of the institutions involved in the project which is led by the University of Cantabria and UIMP and aims to facilitate the flow of knowledge by linking the University, companies, social groups and public bodies.

7.4 INTERNATIONAL ASSOCIATIONS As in previous years the Department of Corporate Activities represented the Port of Santander in the two organizations which aim to promoted the improvement of port city relations, the International Association of Cities and Ports (AIVP) and RETE. 7.4.1. 7.3 TRAINING AND RESEARCH PUBLICATIONS Publican, the University of Cantabria Publications Service and the Port Authority of Santander published “Geotechnical Atlas of the Bay of Santander. Estimation of geotechnic parameters by statistical methods”.

The Port of Santander was invited to take part in the first meeting of the Board of RETE following its election in Genoa at the end of November 2012.

The author was David Marcano Ceballos and the material was compiled for his doctoral thesis. The academic rigour typical of this type of work is combined with an effort to be of practical use to professionals involved in planning and construction, for whom it provides an overview of the terrain surrounding the Bay of Santander.

The Real Alcazar of Seville hosted two events connected with RETE from 23 – 25 April. The first “Programme MED-SEATOLAND. Project Final Seminar Objectives, results, next steps for the future”, co-financed with FEDER funding and organised by the Planning Department of Seville with participation from various members of the Association.

A meeting was held with the presence of the current Chairman Emilio Brogueira (Administraçao dos Portos do Douro e Leixoes. Portugal), Vice Chairman Javier Gesé (National Ports Authority), José Joaquín Martínez Sieso, Chairman of the Port Authority of Santander and Chairman of RETE until December 2012 as well as José Luis Estrada and José Ramón Ruiz, members of the Scientific Committee.

The second, entitled “Seville: Keys to the Port City” was an opportunity to present the Seville Advanced Node. Finally, the second meeting of the RETE board was held in the Port of Seville’s boardroom with the presence of the Port Authority of Santander.

The Council meeting on the afternoon of 6 June; “SMART CITIES – SMART PORTS” AND PORT CITY RELATIONS Conference held on 7 June with the participation of Juan Antonio García, Quality Systems Technician of the Port of Santander who gave a paper entitled “DSS-APS: smart support tools for port management decision-taking”. 7.4.2. AIVP INTERNATIONAL ASSOCIATION OF CITIES AND PORTS (AIVP) Location: Helsinki. Finland Date: 13 June Organisers: AIVP and Municipality of Helsinki

On 6 June RETE held its board meeting in the Port Authority of Tarragona boardroom and the Santander Hub was invited to present the Association’s digital platform.

The International Association of Cities and Ports is a non-profit organization constituted under French law in 1989. Its headquarters are in Le Havre (France) and it brings together public and private entities to help facilitate exchanges between cities and ports, help develop port cities and put itself at their disposal in a consultancy capacity. The 2013 Annual General Meeting was hosted by the Municipality of Helsinki.

Digitalisation of the photographic archive has continued and includes 90 new headings and 2,195 entries which contain nearly 4,900 images. Work has also been carried out to review and improve the descriptions of the previous entries, allowing more accurate consultation than previously.

7.5.1 DOCUMENTATION CENTRE The Port of Santander stores all of the documentation generated by the various Port departments either during the terms set out prior to subsequent storage in intermediate or historical archives or to save office space and provide easier documentation access.

7.5.1.2. Library – Press Library The Library now contains 6,926 titles, which means 290 new books have been incorporated. 65 of these came from exchange agreements, mostly with Cantabria University and some from donations, with the rest being acquisitions from various departments.

The Port Archive is both intermediate and historical. It also houses the Library containing all of the reference publications used in the port through the years. The Documentation Centre receives all of the periodical publications, which are then registered and distributed. It also receives and distributes publications edited by the port. Consequently, work is split between the General Archive, Library, Press Library and various other resources such as photographic, map and video archives.

The Press Library has 312 titles, nine more than the previous year. The main task here is the handling and distribution of publications to readers. All articles containing references to the port are registered and digitalized and 666 new articles were added during 2013. 7.4.1.3. Fondo de publicaciones A new title was incorporated during 2013: “Geotechnical Atlas of the Bay of Santander. Estimation of geotechnical parameters through statistical methods” and distribution of the publication has continued.

7.5.1. RESOURCE MANAGEMENT – SERVICE AREAS 7.5.1.1. General Archive The documentation in the Archive covers the period from 1872, when the Junta de Obras del Puerto de Santander was created, until the present day. The documents come from three sources: the Junta de Obras del Puerto itself, predecessor of the Junta del Puerto and the current Port Authority; the Organisation of Port Works (OTP), the former stevedoring company and the documentation abandoned by the former Company of Fishermen at the old fish auction quay.

7.5.2. SERVICE MANAGEMENT 30 new researchers have used the Archive making 62 consultations of 102 files, 30 books, 2 journals and 10 maps. The advances in digitalisation processes mean that many of the reproductions can be supplied in digital format, making the task easier for both the user and the Centre.

2013 saw the consolidation of the two systems put into operation in previous years; documentation provisionally stored in the carpentry shop was finally organised, consultations and transfers were dealt with and progress was made in the digitalisation of document and photographic resources. 1,050 new files have been incorporated, 695 of which along with 80 books come from 27 transfers from various departments throughout the year. The rest come from stored material.

19 of these consultations were made to the Photographic Archive, which is mainly digitalised. Amongst the consultations in 2013 was the collaboration on a centenary commemorative publication for Ferroatlántica as well as documentation supplied for two exhibitions celebrating the 120th anniversary of the explosion of the “Cabo Machichaco”, one in the Central Library organised by the Historical Archive and the other in the Palacete del Embarcadero, organised together with the Port Authority. Relations have also been maintained with OHL, the company in charge of the construction of the Botín Centre.

Thanks to an agreement with the University of Cantabria to collaborate on the macro-project “Ontology of the Heritage of Cantabria”, the fifth phase of document digitalisation has commenced. “Project 4” has digitalised 177 new project files, which are made up of 39,000 pages, 1,400 maps and 130 photographs.

The Documentation Centre dealt with 80 internal requests from 32 members of staff for 165 files, 31 books and three journals. There were 38 document transfers and 25 required some form of copy, many of them were handled through the port’s intranet. The remainder were simple consultations, resolved either directly by the interested party visiting the Archive or by phone or email.

The activity of the Cabo Mayor Lighthouse Arts Centre has been sadly affected by the death of Eduardo Sanz and the space normally used for temporary exhibitions has been given over to an exhibition of works by the artist himself. Two books related to lighthouses were presented, however: “El Faro de los Acantilados” and “Lo demás es oscuridad”.

The main thrust of last year’s cultural activities was the support for the exhibitions staged at the Palacete del Embarcadero. Amongst these were “So close and so different”, paintings by Eduardo Sanz, Isabell Villar and Sergio Sanz, organised jointly with the UIMP, which unfortunately and regrettably became a tribute to the Painter Eduardo Sanz who had died some months previously.

School and group visits have continued and there were guided visits to the exhibition “Inmersión al Machichaco”, which were conducted by the designer of the exhibition himself, Pedro Blanco. The travelling exhibition “Comics a Puerto” was staged in Tarragona and Avilés.

The exhibition “Inmersión al Machichaco” commemorating 120 years of the catastrophe which devastated a good part of the port and the city, was the most well-attended event of the year with 6,000 visitors.

2013 saw progress on the Botín Centre on the Albareda Dock as well as the facility built for the 2014 World Sailing Championships at the concession authorised to the Royal Spanish Sailing Federation.

PORT-CITY RELATIONS Port of Santander Waterfront Redevelopment Project Important progress was made with regard to the “Port of Santander Waterfront Redevelopment Collaboration Agreement”, signed by the Municipality of Santander, Government of Cantabria, National Ports Authority, Ministry of Development and the Port Authority of Santander.

Work on the San Martín esplanade was carried out and the “Santander sailing test event” held in September prior to the world championship in 2014. The Port Authority of Santander has invested 566,280 euros in these works.

The agreement laid down the guide lines for the “Waterfront Redevelopment Project, setting out the commitment of each of the entities involved in the project, defining the mechanisms which would ensure its execution and specifying the works to be carried out in the various areas of the waterfront as well as the costs involved.

New parking facilities and embarkation buildings have also been put in place for ferry passengers following the redevelopment of the Albareda Quay at a cost of 146,297.228 euros. On 6 June 2013 an amendment was made to the “Collaboration Agreement for the Redevelopment of the Santander Waterfront” with the creation of a “Monitoring Committee” as a means of resolving problems of interpretation and compliance and formed by two representatives from each administration, which will serve until the planned Consortium is eventually constituted. The amendment also foresees the formulation of a Special Interior Redevelopment Plan by the Municipality of Santander covering the whole waterfront via an international tender and under the supervision of all involved parties.

The project seeks to enhance Santander’s position at the heart of Cantabria, making the waterfront a focus for tourism and talent and strengthening the business network to generate wealth and employment. This double aim can be achieved through the application of urban and port planning measures which will improve the waterfront environment and surrounding area. This in turn will lead to the consolidation of a sustainable strategy to develop the competitiveness of the Port of Santander through the improvement of its facilities and services and development of new infrastructures.

As well as these port-city projects, which give the Santander waterfront a new functionality, 2013 also saw the start of works on the Gamazo Drydock with a budget of 1,124,351.38 euros, which is to be opened up for public use and access.

The “Redevelopment Project” is designed to provide Santander with a waterfront which will make the city and bay a cultural benchmark which will serve as a catalyst for the rest of the city’s cultural resources, both the port facilities such as the Palacete del Embarcadero and Cabo Mayor Arts Centre and those of the city such as the Regional Library, Maritime Museum, Festival Hall, etc.

During 2013 two agreements were signed which will allow the works to be extended to other sensitive areas of the port and city have given impetus to the Waterfront Project.

During 2013 the Port Authority of Santander, along with the other involved parties, has taken steps to ensure that these initiatives go ahead and are completed in 2014 to provide a new and open waterfront with an innovative design which will be sustainable and relevant for all city dwellers.

COMMERICAL EXPANSION

The Port attended meetings of the various associations of which it is a member: Cruise Europe, Atlantic Alliance and Costa Verde Cruise.

During 2013 the Port’s commercial activity was primarily focused on the cruise sector. All client enquiries were dealt with by the Client Service Centre.

The port received twelve cruise calls in 2013. Plaques were presented to the four vessels calling at the port for the first time: Quest for Adventure, AIDAstells, Artania and Thomson Spirit.

Cruise During May the port took part in the Cruise Europe Association International Conference in Le Havre, France. An announcement was made during the festival that the Port of Santander had been selected to organise the event during 2015.

Customer Service The Port’s Customer Service website was accessed on82 occasions during 2012.

The Port took part in both of the Seatrade Cruise Fairs. The first took place in Miami during March and the port had its own stand as in previous years. This is the most important industry exhibition and is a prime showcase for the port as a cruise destination. The Spanish ports exhibit within the “Ports of Spain” pavilion which is coordinated by the National Ports Authority.

11.1. Description of the Port of Santander Facilities The Port of Santander’s commercial facilities have been built up within the bay over the last thirty years of the twentieth century and the specialised terminals are now in place and the adaptation to the new requirements of maritime trade is now complete. 11.1.2. Maritime access facilities The Port of Santander is located within the estuary of the Bay of Santander and access to the commercial quays and basins is via a navigation channel. This channel allows access for vessels of up to 11.50 m draught with no length or beam restrictions. 11.1.3 Quays and handling and storage areas: port terminals The Port of Santander has 5,250 m of quays and a total land area of 256 Ha. Covered storage capacity is 122,772 m2 and there is an additional 758,651m2.

11.1.4. Other port facilities The Port of Santander also houses a number of non-commercial port facilities which are nevertheless important to other economic and social sectors of our community such as the marina as well as local logistics and industrial businesses.

Fishing Malia単o Basin The Port of Santander has a fishing port with a recently constructed dock, warehouses, auction hall, ice factory, box storage and washing facility and waste transfer depot, which have significantly improved the quality of services. The auction hall service is currently managed directly by the Port Authority of Santander. Fishing Activities Area

Recrational The Port of Santander has 3 marinas (Marina de Santander, Puertochico and Marina de Pedre単a) with up to 1.300 moorings mainly for recreational - fishing boats.
