Welcome to the evolution

As our 40th anniversary approaches in 2019, I’m reminded of how far we’ve come as a firm. From the highs to lows, recessions to booms, our growth from a classic accounting firm to a full-service accounting, tax, and business advisory organization speaks to the dedication, resilience, and commitment we have to each other and to our clients. It is this journey – 40 years in the making – that brings us where we are today – poised to be a leader for the evolution of our clients, new and old. Even though some things might have changed – we know some things

about us will always stay the same. We have always been a firm that stays focused on what counts, and today that focus is on evolution; the evolution of our industry, our business model, the make-up of our professionals, and the evolution needs of our clients. Over the next two decades, six firms joined and Citrin Cooperman moves to its current NYC headquarters, located at 529 Fifth Avenue and the firm opens an office in New Jersey.

Citrin Cooperman sees aggressive growth as 16 firms joined and 4 new locations opened in White Plains, NY; Philadelphia, PA; Norwalk, CT; and Grand Cayman. Citrin Cooperman Wealth Management, LP is formed, the SALT Practice is launched, and the firm joins Moore Stephens, a worldwide association of independent accounting and consulting firms.

The years between 2011 and 2018 have marked the firm’s biggest evolution to date. In this time, firm revenue exceeds $100M, and then $200M, for the first time. A total of 13 new firms joined and 6 new locations opened including Long Island, NY; Bethesda, MD; Braintree, MA; Woburn, MA; Providence, RI; and Ahmedabad, India. The Citrin Cooperman affiliation Apexium Financial LP is formed, the Firm launches a new website and the advisory services line is realigned to include the enhanced and new suite of advisory service offerings. 2018: Four firms joined in Citrin Cooperman’s Bethesda, New York City, Philadelphia, and Boston-Metro offices, as well as several lateral additions to the partnership bringing in enhanced service offerings and new practice leadership. This year also saw the launch of the Citrin Cooperman Strategic Alliance, a network of domestic accounting firms.

Business Trends Today TECHNOLOGY In 2017, global economic growth approached three percent — the highest rate since 2011, according to the United Nations’ 2018 World Economic Situation and Prospects report. As we close out 2018 and look to 2019, executives have a strong sense of confidence about economic conditions and growth prospects for the coming year. As leaders develop strategies to address market challenges and create advantages for their organizations, innovation accelerates, along with the opportunity to strengthen the workforce. Services Update ACCOUNTING ADVISORY SERVICES Citrin Cooperman’s Accounting Advisory Services Practice goes beyond the typical to help our clients anticipate and prepare for the impact the fast-changing regulatory arena can have on their business. REVENUE RECOGNITION The effective dates for ASC 606, revenue from contacts with customers has come and gone. Both private and public companies are affected by this complex new standard, making it extremely important for clients to understand how to navigate the changes. If you are still feeling overwhelmed and behind on adoption, our revenue recognition advisors can help prepare you to transition to the new guidelines as seamlessly as possible. Knowing how impactful this is for businesses, Citrin Cooperman created a dedicated team to provide regular updates to clients and colleagues of the firm. This team helped to generate a series of webinars and in-person presentations across all firm offices, addressing the application of the standard with industry-specific considerations. LEASE ACCOUNTING With new accounting standards on lease accounting and the resulting increased transparency in financial reporting for leasing arrangements going into effect in 2019 for public companies and 2020 for private companies, there promises to be a significant impact to all organizations. Citrin Cooperman has extensive experience advising clients across a range of industries throughout all aspects of lease accounting. Our professionals are skilled at providing technical guidance in the areas of accounting, tax, compliance, and reporting, consulting

on existing lease agreements and on new lease structuring and strategies, as well as measuring leasing assets and liabilities. In addition, we can help our clients resolve issues that may arise from adopting the new standards and protocols, assist you in identifying practical expedients that may be beneficial to your organization, provide guidance to overcome complex hurdles and implement lasting processes for compliance with new rules and regulations. INTERNATIONAL TAXATION SERVICES As of November 2018, Leon Dutkiewicz, Jr. joined the firm to lead Citrin Cooperman’s International Taxation Services Practice. He brings with him a strong bench of international tax and consulting expertise to advise clients in an increasingly global marketplace. Leon will work with Citrin Cooperman’s existing core team of international tax professionals on international tax planning and compliance, as well as advisory and more complex client situations. This now expanded practice group will continue to advise across many industry sectors, and provide guidance to clients on the constantly changing tax environment, including the recent implications of the Tax Cuts and Jobs Act of 2017. LITIGATION & DISPUTE ADVISORY SERVICES AND VALUATION ADVISORY SERVICES Formerly known under one umbrella as Valuation and Forensic Services, the practice split into two this year, now operating as Litigation and Dispute Advisory Services, led by partner, Colleen Vallen, and Valuation Advisory Services, led by partner, Mandeep Trivedi. This transition will allow the members of each service line to become even more deeply focused on their areas of specialty and to provide clients with a wider range of solutions tailored to each unique situation.

We stay up-to-date and ahead of the curve Industry Update GOVERNMENT

Michael Stephens joined the firm this year as a partner and leader of the Government Practice. His background includes more than 30 years of experience with governmental, quasi-government, and not-for-profit organizations. Organizations both familiar and unfamiliar with the sector encounter unexpected accounting standards, policies, laws, and regulatory requirements. Citrin Cooperman can guide governmental entities through the new normal of today’s increased scrutiny and complex regulations. Our dedicated practice includes a team of professionals with deep expertise in the governmental sector. We serve governmental entities from small towns to independent stand-alone special purpose governmental entities. We also serve a wide array of government contractors in the areas of engineering, technology, communications, defense, security, intelligence, and professional services. NOT-FOR-PROFIT

In June 2018, John M. Eusanio, CPA, CGMA joined the firm as a partner and leader of the Not-ForProfit Industry Practice. John came to the firm with an extensive background in the not-for-profit sector. He previously worked in the national office for a Big 4 accounting firm, servicing not-forprofit organizations at a local and national level. In just a short time, John has made a strong impact on the firm and Not-For-Profit Practice, with an introduction of regular thought leadership articles on emerging industry matters and industry presentations at various conferences and roundtables. John is focused on expanding the practice resources for the firm and establishing more innovative ways to assist clients in achieving their organizational missions to serve their communities.

CANNABIS ADVISORY

After serving the industry for a number of years in an informal capacity, Mitzi Hollenbeck and Shawn Howard, both partners of the firm, formally launched the Cannabis Advisory Service Practice in January 2018. Along with a group of dedicated partners and directors, this group identified the need for highly qualified and specialized services that were not readily available to clients in this emerging industry. With the depth and breadth of talent in the firm, Citrin Cooperman was in a unique position to be able to fill the void for these companies and their investors who demand top-notch talent and services. The Cannabis Advisory Services team offers industry-focused tax, accounting, and advisory services to companies that produce, distribute, invest, and/or provide products and services related to the cannabis industry. The advisors in this space have quickly gained the knowledge and solidified the relationships necessary to become thought leaders for this unique, highly-complex, and ever-evolving market. MANUFACTURING & DISTRIBUTION Citrin Cooperman’s Manufacturing and Distribution Practice gained two new practice leaders this year, Mark Henry of the Boston Metro office and John Giordano of the Melville, NY office. Of all of the industries Citrin Cooperman serves, the manufacturing and distribution (“M&D”) industries combined make one of the largest books of business that Citrin Cooperman serves, making it a distinct focus of the firm. The M&D practice has partners across all of our geographies with client experience in these industries, and the group is excited to reposition under their leadership and put some new energy into this long-standing practice. The leaders will work together to further develop internal resources to continue to deliver superior client services while also identifying more impactful ways to educate clients on industry updates and best practices. The practice group also supports the manufacturing sector of Moore Stephens International, dedicated to collaborating with accounting and business advisory firms across the globe on the state of these industries and how to best service them.

Footprint Expansions & Enhancements

NEW YORK CITY

In 2018, Citrin Cooperman made some significant renovations and enhancements to some of our existing offices to allow for more comfortable and modern space. Additionally, we have also opened a few new locations and are getting ready for another move later in 2019. BRAINTREE In 2018, the Braintree office went through a renovation to make room to accommodate the growth brought on from the partners and staff of the firm of Sharkansky who joined in June of 2018. The renovation brings 8 new offices allowing for 41 total offices, 16 new cubicle spaces with a total of 72 now. The Braintree location also took space on the 2nd floor to have an onsite training room. The expansion was completed in early December of 2018. In addition to renovating the space, new furniture was also purchased and the redesign of lower cubicle walls and more modern structure to allow for a more open and current environment. A renovated kitchen is currently in the works as well with new furnishing and a new layout that will increase collaboration space. LONDON In November 2018, with the admittance of D&H Global Tax LLC, Citrin Cooperman now has access to office space in London, England that can accommodate four professionals.

NEW YORK CITY Citrin Cooperman’s headquarters location at 529 Fifth Avenue in NYC underwent some renovations in 2018 to allow for additional space on the 9th floor. The expansion has provided the firm with 6 additional single offices, 4 shared offices, and 21 cubicles – as well as a new reception area, additional conference rooms, and 2 new wellness rooms. PROVIDENCE In late spring of 2019, Citrin Cooperman’s current Providence, RI office will be moving to a new location at 500 Exchange Street in the heart of Providence’s business center. The location is a Class A space in Providence and the office will occupy 19,000 square feet with room to accommodate about 20 offices and up to 80 cubicles as well as a series of conference rooms. Some building amenities include a cafeteria, gym, walking proximity to the Providence train station, security, and access to informal meeting space.

TYSONS

TYSONS As of January 1, 2019 Citrin Cooperman opened a new office location in Tysons, VA at 1750 Tysons Blvd to help further expand their existing DC Metro footprint in Bethesda, MD. The Tysons office occupies just over 2500 square feet with room for around 10 professionals and a conference room. Building amenities include a variety of restaurant options for both employees and more formal, corporate meals, covered parking availability, car charging station, conferencing facility, and fitness center. The building is also in walking distance to the Ritz Carlton and Tysons Galleria Mall and is accessible to the Capital Beltway at Route 123.

TRANSACTION ADVISORY SERVICES INDEPENDENT SPONSOR INDUSTRY REPORT The merger and acquisition landscape has experienced a significant evolution over the past decade, with the introduction of a new type of private equity dealmakers: independent sponsors. As their numbers have swelled to an estimated 2,500 in the U.S., independent sponsors have gained more acceptance from business owners and investments bankers. Furthermore, when valuation multiples have soared, they have also become a source of quality deal flow for family offices, private equity funds, and SBICs. Citrin Cooperman issued a follow-up Independent Sponsor Report in 2018, after initially launching the survey in 2017. The results continue to explore the opportunities and challenges that independent sponsors face today, but featured an expansion of economic terms, in response to feedback from the past year’s participants. ECONOMIC SUMMIT Citrin Cooperman’s Boston Metro and Providence offices held the firm’s first Economic Summit, with the theme of ‘Business Planning for Tomorrow’s Economy.’ The summit provided insight into the economic outlook for New England businesses, and discussed the state of global, national, and regional economies with special attention on performance of financial, labor, and real estate markets. The seminar was kicked off by a nationally-recognized keynote speaker, followed by a panel of regional thought leaders in the areas of finance, private equity, and real estate. Looking forward, the New England team will host a second economic summit in October 2019, bringing forward a dynamic panel of thought leaders to discuss the current economic landscape for businesses throughout the region. WOMEN AT THE WHEEL Successful women all across the country are building and growing businesses, and paving the way for more women to become future business leaders. When these women share their unique backgrounds, challenges they’ve faced, and relationships that helped with their success, they provide valuable lessons in leadership for the women currently mapping out their own journeys. Citrin Cooperman continues our annual Women at the Wheel events, hosted across multiple firm locations, to provide a venue for these highly successful women leaders to guide rising female leaders in driving their businesses.

TAX CUTS & JOBS ACT In December 2017, the Tax Cuts & Jobs Act was signed into law, representing the largest overhaul of the United States tax code in over thirty years. Understanding how vast and complex these changes are, Citrin Cooperman placed a focus on providing clients with a clear understanding of the changes and what considerations should be made under the new tax legislation. Impacts vary by industry, and tax strategies and credits vary by company structure. Our Tax Practice worked closely over the course of the year with all service lines and industry groups across the firm to provide regular communications and events to address changes and impacts for both not-for-profit and for-profit organizations. As we move into the first tax season with this law in effect, the firm will continue to advise clients on what tax strategies should change, and what should remain the same.

Our firm is committed to working hard to serve the needs of our clients and the communities in which we live, work, and play. As caring, service-minded individuals, each of us desires to improve the lives of others. We encourage our staff to give back to the community. The Citrin Cooperman Cares (CC Cares) Committee organized several programs and initiatives in 2018, dedicating resources, time, and dollars to give back to local organizations. Programs included breast cancer walks and bake sales, food drives, holiday giving, toy drives, coat drives, and more. Seeking to promote the welfare of others, especially by making charitable donations to good causes and being generous and benevolent, is what makes Citrin Cooperman proud. The firm encourages staff to give back and on June 4, 2018, that’s exactly what we did! All Citrin Cooperman offices closed for business and gave back to their local communities by donating their time to local organizations during our annual CC Cares Day of Service.

CHARITABLE FRIDAYS The philanthropic mission of Citrin Cooperman is to improve the quality of life in our communities and to encourage and support the charitable efforts of the employees of Citrin Cooperman by contributing to the charitable organizations in which our staff are involved. Once again, throughout 2018, employees were asked to donate a nominal amount to a specific charity chosen, including Team Rubicon – Hurricane Florida Disaster Relief, Swim Across America: Making Waves to Fight Cancer, METAvivor, and Runway of Dreams Foundation. The firm was proud to match all donations made. DONATIONS Citrin Cooperman recognizes that it is the company’s responsibility as a good corporate citizen to help enrich our surrounding communities and those in time of need. One of the key parts of our company’s vision is to “enhance life and community.” Citrin Cooperman encourages all employees to use their resources to better the communities in which we work and live. In addition to volunteering, Citrin Cooperman provides monetary donations to local organizations throughout the East Coast. SCHOLARSHIP PROGRAM Citrin Cooperman has been committed to helping graduating high school students majoring in accounting or business by providing scholarships to deserving students. Our four-or-five-year scholarship program is designed to help high school students defray their upcoming college tuition costs. Citrin Cooperman is committed to our communities by helping these students achieve their career goals as we recognize the value of education as a vital foundation and fulfillment of a rewarding career. Eligible students, in each region where we have offices, go through a selection process via a scholarship application, essay, and interview process. Since 2005, we have awarded over $400,000 in scholarship grants to future accountants and entrepreneurs. HOMELESS OUTREACH PROGRAM This year was our third annual Homeless Outreach Program! Our Citrin Cooperman volunteers packed bags filled with food, and a ton of hats, gloves, scarves, and other warm clothing items. On one weekend morning, volunteers split into groups and distributed these bags to the homeless on the streets of New York City. We distributed over 50 bags of food and clothing to those in need. BREAST CANCER AWARENESS In October, Breast Cancer Awareness Month, all Citrin Cooperman office locations participated in “Making Strides Against Breast Cancer” walk-a-thons all across the East Coast. All proceeds from the walk and donations went to The American Cancer Society. Almost all of the offices also hosted their own Breast Cancer Bake sale, where funds were raised for the organization as well. As a firm, we raised almost $4,000 from the bake sales alone!
