The City of Weslaco And TEDSI Infrastructure Group, Inc. Professional Engineering Services Dated: March 24, 2008 Supplemental Agreement No. 2 THIS SUPPLEMENTAL AGREEMENT NO. 2 is made pursuant to the terms and conditions of Section 2.3. of the Agreement made by and between CITY OF WESLACO, action herein by and through the City Council, hereinafter called the “Owner,” and, TEDSI Infrastructure Group, Inc., professional engineers of Mission, Texas, hereinafter called “Engineer”. PART 1. SCOPE OF WORK The purpose of this Work Authorization is for the Engineer to provide services for Sugarcane Road (Mile 9 North). The scope of services to be provided by the Engineer is identified in Attachment “B” – Services to be Provided by the Engineer attached hereto. PART 2. LUMP SUM COST The lump sum cost for services under this Supplement Agreement No. 1 - Authorization is $5,500.00. This amount is based upon the costs outlined in the Estimated Fee Proposal attached hereto as ATTACHMENT “D”. PART 3. PAYMENT Compensation and payment to the Engineer for the services established under this Work Authorization shall be made in accordance with Article/Part/Section 4 of the Agreement. PART 4. PERIOD OF SERVICE This Work Authorization shall become effective on the date of final acceptance of the parties hereto, , and terminate on completion of services as indicated in Attachment B, Services to be Provided by Engineering PART 5. RESPONSIBILITIES AND OBLIGATIONS This Authorization does not waive the parties’ responsibilities and obligations provided under the Agreement. PART 6. ACCEPTANCE AND APPROVAL This Supplement Agreement is hereby accepted, approved by City of Weslaco City Council on ____ day of _________, 2014 as indicated below and effective as of ____ day of _________, 2014.

ATTACHMENT “B” Services to be Provided by the Engineer Sugar Cane Rd – Westgate east for 0.45 miles The Engineer shall provide the following engineering services required for the staking of existing ROW on Sugar Cane Rd. The Engineer shall maintain a direct line of communication and coordinate very closely with the City of Weslaco.

A. FIELD DESIGN SURVEY SERVICES

FIELD SURVEYING 2. Right-Of-Way Staking on Sugarcane Rd: a) Stake the existing ROW along Sugarcane Rd. to aid in adjustment of utilities and construction of the proposed roadway.

Addendum 2: M-5 Texas Enterprises LLC, 2GS LLC and Salinas Construction Technologies Ltd. Bid Bond: M-5 Texas Enterprises LLC and 2GS LLC. The lack of Bid Bond and Addendum does not impact the apparent low bidder. Texas Cordia Construction LLC is the apparent low bidder on Base Bid, Add on Bid 1 and Add on Bid 2. Apparent low bids are lower than Engineer’s Estimate on the Base Bid, Add on Bid 1 and Add on Bid 2. RESOLUTION NO. 2014-26 RESOLUTION OF THE CITY OF WESLACO, TEXAS AUTHORIZING REVIEW OF TEXAS GAS SERVICE COMPANY'S, (“TGS”) COST OF SERVICE ADJUSTMENT (“COSA”) TARIFF; APPROVING OF A JOINT REVIEW OF TGS’ APPLICATION ALONG WITH OTHER CITIES SERVED BY TGS; HIRING LEGAL AND CONSULTING SERVICES TO NEGOTIATE WITH THE COMPANY AND DIRECT ANY NECESSARY LITIGATION AND APPEALS; REQUIRING TGS TO REIMBURSE ALL REASONABLE COSTS ASSOCIATED WITH CITIES’ EFFORTS IN THIS RATEMAKING EFFORT; FINDING THAT THE MEETING AT WHICH THIS RESOLUTION IS PASSED IS OPEN TO THE PUBLIC AS REQUIRED BY LAW; REQUIRING NOTICE OF THIS RESOLUTION TO TGS AND LEGAL COUNSEL WHEREAS, on or about May 1, 2014, Texas Gas Service Company, a division of One Gas, Inc., (“TGS” or “Company”) filed with the City of Weslaco (“City”) a Cost of Service Adjustment (“COSA”) Tariff seeking to increase natural gas rates to all customers residing in the City; and WHEREAS, it is in the public interest for the City to participate with other Valley Cities Served by TGS in the COSA filing in order to protect the interests of the City as well as the interests of TGS customers residing and conducting business within the City; and WHEREAS, the Cities Coalition will conduct a review of the Company’s application and will hire and direct legal counsel and consultants to prepare a common response and to negotiate with the Company and direct any necessary litigation; and WHEREAS, pursuant to a settlement agreement between the City and the Company dated August 14, 2009 provides that costs incurred by cities associated with this proceeding are to be reimbursed by the Company. THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF WESLACO, TEXAS: 1. That the City is authorized to participate with other Valley Cities in TGS’ COSA filing to protect the interests of the City and protect the interests of TGS customers residing and conducting business within the municipal city limits. 2. Subject to the right to terminate employment at any time, the City hereby authorizes the hiring of Geoffrey Gay of the law firm of Lloyd Gosselink Rochelle and Townsend, P.C. and Karl J. Nalepa, of the consulting firm R.J. Covington Consulting, LLC to review the Company’s filing, negotiate with the Company, make recommendations regarding reasonable rates and to direct any necessary administrative proceedings or court litigation associated with an appeal of the COSA filing.

3. That the City’s reasonable legal and consulting expenses shall be reimbursed by TGS. 4. That it is hereby officially found and determined that the meeting at which this Resolution is passed is open to the public as required by law; and the public notice of the time, place, and purpose was given as required. 5.
