President’s Message... Magic Members, Business Constituents & Bumper Sticker Politics Late in July, I announced my plans to leave TwinWest on August 31 for Minnesota Retailers Association, where I’ll serve as president of the statewide trade group representing Minnesota’s retail industry. The decision to leave TwinWest after four and a half years was not a simple one. As I reflect on this organization and its over 30 year history of serving businesses in the western Twin Cities, here are a few lessons I will take with me. Members are the magic. If you have been to a TwinWest event where I have been at the podium, you’ve probably heard me say ―members are the magic.‖ TwinWest draws its strength from active members. Between the Chamber, Foundation, PAC, and Emerging Leaders Council, over 60 members set our direction and watch over our programs and initiatives. Add committees and taskforces, and the number of involved members jumps to over 200. It’s unique and it’s the magic. Businesses are practical. Over the past decade, business leaders have become more pragmatic and less tied to political ideology. As a result of this practicality, TwinWest makes very few political decisions. This is true in TwinWest’s policy decisions made each year in our Business Agenda along with the programs we construct. Jobs are the answer. If you want quality schools, great roads, and effective transportation systems, along with all the other things we crave as a society, you don’t need higher taxes--you need more jobs to expand the tax pool. It used to be if a business added 200 jobs to a community, we’d throw a figurative parade. Today, we recognize and celebrate the importance of simply adding two jobs. Bumper sticker political statements are not solutions to complex problems. At TwinWest, we lead conversations about difficult issues like transportation, workforce, early childhood education, economic development, tax reform, and healthcare, to name a few. None of these issues can be fixed by a statement on a bumper sticker and each requires real conversation between people with differing opinions. This is one of the reasons our Legislative Breakfast is so popular. Stories are sometimes more effective than numbers. As business leaders, the temptation is to analyze problems based on the surrounding empirics. Truly helping people understand the importance of job growth in the western Twin Cities requires us to go beyond the numbers, it’s about the lives of real people, real business owners, and real employees. We need to continue to get better at the seemingly lost art of storytelling. Continued on page 3... TwinWest Chamber of Commerce

...President’s Message Magic Members, Business Constituents & Bumper Stickers ...Continued from page 2 Dedicated staff can figure out anything. At the height of the poor economy, TwinWest knew our focus needed to be on helping businesses and communities grow, not on making sure the Chamber had enough pencils. Often times we would say, ―we’ve trained 30 years for today,‖ emphasizing that during the tough times your Chamber should be strong, and we were. Thank you to the TwinWest staff for making sure the focus stayed and stays on members and our mission. Be a business constituent. One of my first president’s letters in Directions magazine made the case for why business people should act as if they are business constituents, even if they don’t vote where their business is located. To their credit, government officials from city halls to congressional offices are listening to TwinWest business leaders. Interchangeable terms: TwinWest and business community. A goal of mine at TwinWest has been to have people use the terms ―TwinWest‖ and ―business community‖ interchangeably. The greatest compliment your Chamber receives is when someone comes to the organization to find out what business is thinking. We’ve learned that respect produces this desired result. Today, city councils, county commissioners, school administrators, and community leaders are truly interested in having productive conversations with the business community through TwinWest. Thank you to each of you for making every day at TwinWest rewarding. I look forward to crossing paths in the future.

Meet the 2012-2013 Board Chair Mike Sowada Prepares to Lead the TwinWest Board of Directors Entrepreneurism is in his blood. As Mike Sowada, former president of Minnesota’s darling internet company, VISI, prepares to lead the TwinWest board of directors this fall, it’s easy to understand his vision for the Chamber. According to Sowada, ―TwinWest is positioned to help entrepreneurs succeed, and what Minnesota needs today is more successful entrepreneurs to get our economy moving.‖ Sowada is no stranger to entrepreneurialism and leadership roles. In addition to his newest startup, Data Center Advisors, and serving on a few corporate boards of directors, he has spent years coaching youth sports teams. Sowada has coached soccer teams for three of his daughters, focusing on ages six to 11. ―Whether it’s business or sports, there are three important things to master…1) basic skills, 2) strategy, and 3) tactics. Add

passion—the one common thread among successful people—and you have success,‖ says Sowada. As Sowada prepares to chair the TwinWest board following Greg Korstad (Larkin Hoffman Attorneys) there are a few things he plans to keep top of mind. First, he is concerned that Minnesota is not entrepreneur friendly. According to Sowada, Minnesota’s taxes, regulations, and rules make it difficult for entrepreneurs to grow. In addition, he contends that Minnesota needs to develop a business climate conducive to entrepreneurialism along with a culture to support entrepreneurial efforts. ―Right now our approach to entrepreneurs is fragmented instead of supportive. Minnesota’s entrepreneurs don’t have a lot of infrastructure available to them,‖ according to Sowada.

When asked why he is interested in chairing TwinWest’s board of directors, Sowada replied ―I am a big fan of the organization and I love the concept of the TwinWest Foundation. Not many organizations similar to TwinWest are effective. I look forward to seeing the business side of the Chamber and building our reputation.‖ TwinWest welcomes Sowada to his board chair role October 1.

Sowada’s leadership fits well with TwinWest as one of the organization’s value statements centers on entrepreneurialism. (ENTREPRENEURSHIP: We operate with an entrepreneurial spirit. We are proactive, innovative, creative and forward thinking.) As Sowada settles in to his leadership role, we look forward to his impact on TwinWest and member organizations. Success TwinWest... Member Article | Help! My Best Employee Quit and Is Taking My Clients by Leonard B. Segal, Esq., Oberman Thompson & Segal, LLC If your Vice President left and started a competing business, could you prevent it? If your best salesperson quit and started soliciting your clients, could you stop it? If a former employee was using your trade secrets, what would you do? Do not wait until it is too late - take steps now to protect your business. What can you do? Many things, but one key ingredient may include the use of noncompetition agreements. The enforceability of such agreements varies from state-to-state. In Minnesota, such agreements are enforceable if properly drafted and implemented. But what does that mean? While the details go beyond the scope of this article, here are two key ingredients: 1. Consideration: An individual must receive adequate consideration in exchange for a non -compete agreement. In other words, the individual must get something of value in return for agreeing to the non-compete

restrictions. The lack of adequate consideration is a sure fire way to doom your non-competition agreement. In Minnesota, the job itself may constitute adequate consideration, but the individual usually must be informed before starting the job that the job offer is contingent upon the employee agreeing to the non-compete agreement. Companies often fail to give a potential new employee the non-competition agreement – or even to inform the individual that such an agreement is required – until after she starts employment. By then, it is usually too late. For current employees in Minnesota, the job itself is not sufficient consideration for a noncompete agreement. Rather, such a ―midstream‖ agreement requires adequate, independent consideration separate and apart from the job. 2. Reasonableness: The time period during which an individual is restricted from competing must be reasonable. In addition, the geographic scope within which an individual is restricted from competing must be reasonable. Often, companies now use customer restrictions that restrict the customers with which a former employee can

work. Such a customer restriction may substitute for, or complement, a geographic restriction. Although there is no fail proof way to determine reasonableness, the lack of reasonable restrictions is a common ground on which non-competition agreements are challenged. Non-competition agreements can be an effective tool for employers to protect their business. To receive the maximum benefit from such agreements, however, they need to be carefully prepared and properly implemented. * This article is being provided for informational purposes and should not be relied upon or used as legal advice in any particular situation. Each situation is different and those differences can lead to different results. Employers that are considering the use of non-competition agreements would be well-served to hire an attorney experienced with such agreements.

Volunteer Superstar Kirk McDonald— August/September Volunteer Superstar TwinWest is very happy to honor New Hope City Manager Kirk McDonald as its 2012 August / September Volunteer Superstar. Month in and month out, Kirk always makes sure to provide our local business community with comprehensive updates about what’s going on at the city at the Crystal / New Hope Business Council.
