NAM was established in 1997 and it is a new landmark in Ningbo area. NAM’s vision is to become an international shopping center for auto parts and accessories. SAGW is the largest and most advanced enterprise for manufacturing automobile transmission assembly in China. In 2002, SAGW’s production capacity reached up to 600,000 sets of transmissions in terms of longitudinally-mounted manual transmission, transversally-mounted manual transmission and automatic transmission sub-assembly, covering sedan, light passenger vehicle and jeep. Annual

sales revenue of SAGW reaches 2.4 million RMB. SAGW is also the specialized manufacturer for many kinds of automobile accessories, such as gearboxes, spiral bevel gears, synchronizer assemblies, fly wheel ring gears and forks. Eric Huang, Chairman and CEO of Detroit International Auto Salon together with Tony Hung , Manager of marketing department visited China Hubei Chuwei Axle Incorporated Company in September. Chuwei has four workshops and a special casting factory which produces 60,000 tons of casting . They also have more than 500 sets of production Equipment and testing equipment for automobile spare parts,manufacturing and assembly. The company is equipped with advanced numerical controlled machine tools, processing centers and 3-dimensional Measuring Device, with total assets of more than RMB 110 millions. Their main products includes main reductor assembly,brake assembly,front and back bridge assembly and all kinds of pedal parts for Dongfeng series. Front and back axle assembly consists of EQ1092.EQ1118.EQ1141G,and EQ1240G etc. They are capable of producing 5000sets of front

To Learn from Korean Companies— DIAS attended Korea Product Show 2009 宏健國際 出席芝加哥 Korea Products Show2009展會見聞 Organized by KOTRA (Korea Trade Investment Promotion Agency), "KOREA EXPO 2009" at Chicago's Navy Pier on September 10-12, 2009 presented unparalleled opportunities of relationship building, learning, and networking to enhance participants' global business strategies. Exhibition showcased Korea's leading manufacturers in automotive, construction, information technologies, m e d i c a l e q u i p m e n t , g r e e n e n e rg y, and consumer products. Participants included over 70 companies such as Hyundai Motor Company, Hyundai Heavy Equipment, and LS Cable. DIAS has attended this show to discover, in the era of economic challenges, what effective strategies Korean has been using to entering the North American market. DIAS has interiviewed several Korean automotive parts companies’ representatives on how do they establish meaningful business relationships with North American OEMs and aftermarket.

知識經濟產業 政府坐貿易投資后臺 芝加哥Navy Pier風景宜人,在初秋適宜的溫度下,不 少人在湖邊徜徉。2009年9月10日至12日的韓國產品 展(Korean Products Show)就在這里的展覽大廳B座 舉行。參展的韓國廠商有75家,展出產品范圍包括汽 車機械、建筑施工、電子、家用品、綠色能源。我們 了解到,這次展會是由韓國知識經濟部(Ministry of Knowledge Economy)和韓國貿易投資促進局(Korea Trade- Investment Promotion Agency)聯合舉辦的。這兩 個機構都是韓國政府直屬的機構,可見韓國政府在促進 國家外貿投資方面的努力。 展廳的布置根據產品的分類劃分為了五個區域,每個區 域由不同的顏色標識出。精致而不為過,充滿了科技 感。剛進展廳,電動車的展示便讓人感覺到新能源時代 的氣息。電子狗、音樂播放器、空氣加濕器等小型電子 商品又提醒了人們——這是韓國產品的大宴,因為電子 產品和IT業正是韓國的強項。在場的接待人員都身著韓 國服飾,晚宴的接待也穿插的韓國歌舞表演。甚至在展 廳的后排,還有專人在為人宣講“是韓國人發現了新大 陸”,改寫歷史的意圖頗為有趣。 這些均讓我們深刻的 體會到韓國人的民族自豪感。做生意的同時也不忘文化

Korea Trade-Investment Promotion Agency (KOTRA), together with the Ministry of Knowledge Economy, hosted the KOREA EXPO 2009 in Chicago from 9/10 through 9/12. Products from Korea were displayed, including automotive, machinery, construction, green energy and electronic components. Daniel Lee, assistant manager of Korea Detroit, shared his experience about Asian companies working in global markets. Enterprises in Asia, especially in Japan and Korea, have grown up rapidly with the assistance from their government, service support and in finance for global market. China is currently in the phase of changing from a manufacturing to a service industry. A lot of Chinese enterprises are willing to open their international market. Learning from these success stories may be a shortcut and possible be good guidance for us. DN: What is the role for KOTRA in Korea Expo 2009? What is the reason for Chicago to be selected as the city of the Expo? Daniel Lee: KOTRA was founded in 1962 with the mission of promoting trade and investment with Korea. KOTRA has been organizing all kinds of fairs and activities to help Korean companies working with global market.KOTRA has also organized Korean companies to participate in trade shows worldwide. The "KOREA PAVILION" in SAE World Congress, as an example, is led by KOTRA. KOTRA has branch offices in major cities of the United States including Chicago, Dallas, Detroit, Los Angeles .. etc. Each office has its own assigned jobs. The KOTRA office in Detroit focuses on automotive industry. The KOTRA office in Chicago coordinates all branch offices in the United States. Korea has a long history of working in Chicago. Chicago’s economics based on mutiple industries such as automotive, construction, finance, railroad…ets. Also, Korea officially attended the Chicago World Fair in 1893. DN: How does the economy downturn in the United States affect Korean companies? Daniel Lee: Korea is the 7th largest trade partner with the United States. In year 2008, our total trade amount had reached 8 billions USD. From this, we can find Korea

is working heavily with the United States. Even though the automotive industry has been experienced significant downturn, Korea automotive industry is only slightly donw. Other industries such as green energy, electronics are on the rise. Overall, even though the export amount of automotive industry has declined, the total amount for export has increased for 5 percents. DN: A lot of exhibitors in the Expo spoke highly about the service and supports given to them by KOTRA. How does KOTRA help those companies working in the US market? Daniel Lee: KOTRA has helpedorean companies getting support from banks, and other financial institutions for their finance needs. Also, as a marketing arm, KOTRA has invited potential buyers to the Expo for networking opportunities. DN: What do you think of the Chinese auto part industry? Are they now in competition with Korea companies? Daniel Lee: Companies have their focus on different territories. At this moment of time, Chinese companies are competitive in price. However, China is also a great market for Korean companies. A lot of Korean companies are also working with their Chinese customers. DN: What would you suggest for Asian enterprises to do in order to enter the US automotive market? Daniel Lee: As I often suggest with Korean companies, business is just like relationship. It takes time for developing your customers. The US automotive industry has developed its own supply chain. Normally it takes about 3 to 4 years to join this loop. However, some companies failed with persistent patience. Also, fuel efficiency is major issue for the auto industry. Companies that work to improve the efficiency of engines, and develop lighter materials and parts are providing valuable solution to improve energy savings.

General Motors Co. reached a deal Tuesday to sell its money-losing Swedish subsidiary Saab to Koenigsegg Group AB. The companies signed a stock purchase agreement that would give the group 100 percent of Saab's shares, GM Europe said in a statement. Koenigsegg Group is a consortium of private investors that includes Koenigsegg Automotive AB, a tiny Swedish maker of $1 million supercars. "This contract is an important step in the journey to a potential deal," GM Europe President CarlPeter Forster said in the statement. "We will continue to work with all parties to define the final details and ensure a fast closure of the deal." Automotive News September 9, 2009 China's Beijing Automotive Industry Holdings Co. has signed a deal to take a stake in Koenigsegg Group AB. The agreement is supposed to help the Swedish firm finance its bid to takeover Saab Automobile from General Motors Co. "This is an important step on the road toward a new Saab. We have a well prepared business plan, an important partnership and we are ready to proceed without state financing," Koenigsegg CEO Christian von Koenigsegg said in a statement. No financial terms of the memorandum of understanding between Koenigsegg and BAIC were given. The two companies plan to work together on expanding Saab's and BAIC's products in China and other international markets, according to a release. "We are now completely convinced that we will be able to complete the deal by the end of October," Saab spokesman Eric Geers said. "This naturally also offers fantastic opportunities for Saab in the Chinese market. It is clear that this will help Saab hugely." BAIC, China's fifth-largest automaker, dropped out of bidding for Saab sister brand Opel in July. BAIC sold 12,063 cars under its own brand in 2008, 18.7 percent more than in 2007, according to the Automotive News 2009 Guide to China's Auto Market. The automaker has joint ventures in China with Hyundai Motor Co. and Daimler AG's Mercedes-Benz. Koenigsegg, backed by U.S. and Norwegian investors, struck a deal earlier this year with GM to buy the Detroit automaker's money-losing Saab business, but questions remained regarding the financing of the deal.

Chrysler uses the partnership's four-cylinder engines, made in Dundee, Mich., in the Jeep Compass and Patriot crossovers and the Dodge Caliber and Avenger and Chrysler Sebring cars. -- Discussed bringing Fiat diesel engines to North America to replace a Cummins engine for trucks, according to news reports. China's Ministry of Commerce, which must approve the Hummer acquisition, had turned back the application because it was lacking detail, the Legal Evening News reported. "We are still trying hard," an unnamed spokesman for Tengzhong was quoted as saying in response by China News Service. The deal would mark the first major Chinese acquisition of a distressed U.S. auto asset during the current economic downturn. Sichuan Tengzhong Heavy Industrial Machinery, a little-known firm based in land-locked southwest China, raised eyebrows when the deal for the

premium off-road Hummer brand came to light three months ago. Tengzhong's bid for Hummer requires approval in China from both the commerce ministry and the National Development and Reform Commission, a powerful planning agency. Opposition dies down The company's lack of experience in the car industry has stirred doubts, while state media said the Chinese government would likely harbor objections to a Chinese company acquiring a gasguzzling SUV brand. Opposition has quieted down in recent weeks after China's commerce ministry sounded a more positive note on the deal, saying Tengzhong's move was normal for a company seeking to take advantage of the global downturn. GM and Tengzhong have said they will not disclose the financial terms of the deal. Bankers familiar with the situation have said Hummer could fetch about $100 million in cash in addition to other commitments -- far less than the $500 million GM had expected Hummer to bring when it went on a sale in June 2008. 心靈雞湯 / Chicken Soup

懷念我的母親   2009年9月20日下午四點二十分(美國底特律時間) 內人從台灣來電告知,生我、養我、育我、教我的偉大母 親已安息主懷,享年九十高壽。九十的高壽乃是何等的福 氣,何況她是安息主懷,毫無病痛、毫無牽掛、毫無牽絆 放開人世間的一切勞苦,直奔天堂,在天堂享受更好更美 的福樂,這乃是更大的福氣。雖然心中不捨與難過,但想 一想,用文字來記錄這一個月來,我們母子的互動,作為 獻給她最後與最好的禮物。   記得大約在兩週前,二哥來電要我回去看看媽媽,因 為養老院告知,媽媽陷入沈睡,叫不起來吃飯,量血壓及 檢查一切正常,只是一直睡,睡得很熟、很甜很沈。我握 著她的手,向我的主禱告,謝謝主的保守,保守我的媽媽 長命百歲到今天,今天在地上睡,明天回到天上也是睡, 只要我們信主,有主的保守,在地如在天。謝謝主在地上 有他的保守,將來回到天上,仍然是同一個主,仍然保守 我們,賞給我們永遠的平安與喜樂。   雖然當天媽媽沒有醒來跟我講半句話,但母子連心和 來自神的安慰,我就滿有確據地到台中上班,隔天弟妹也 捎來消息,媽媽一切恢復正常醒來了,也有進食。後來又 因工作關係忙進忙出,週一9月14日自中國大陸回來,適 巧中國大陸來的客人,我就在週二下台中和客人會面,送 客人到嘉義後,我就再回到員林看媽媽,到了養老院,養 老院的看護說,媽媽在宏仁住院,我就轉到宏仁的205號 病房看媽媽。   205病房是個單人的病房,陳設簡單沒有加護病房的 那些儀器設備和管子,媽媽眼張的大大地看著天花板, 當我叫她的時候她沒有應聲,反而閤上了眼,任我再怎麼 叫她,我一直喊,甚至大聲地喊,她都沒醒過來,連眼也 沒張開,繼續睡她的覺,我擰她和打她的手,好像沒有知 覺,這時候我哭了,我叫我媽媽,我的媽不理我,好似她 不要我了,我有種被拋棄的難過,這時候我閉上眼睛向我 的主耶穌禱告,求我的主賞賜給我一個禮物,求主耶穌叫 醒我的媽媽,我只要能夠跟她講上幾句話,我就心滿意足 了。   禱告完媽媽還是沒有醒來,我決不放棄,於是我到夜 市去吃了一下晚餐,順便也買了一個潤餅,這是媽媽和我 都喜歡吃的潤餅。當我回到醫院的時候,我喜出望外,媽 媽醒了。媽媽親切地叫我的名字,我們母子倆那天晚上聊 得好多好多。早在夜市吃晚飯的時候,我已告知內人,媽 媽隨時都有可能回天家,我決定留在醫院睡覺陪她,我問 媽媽餓不餓?她說不餓。我問她要不要吃潤餅,她說沒牙

齒,牙齒尚在修理中,我說我去拿,她說不用了。我再問 她我來過,但怎麼叫不醒你,她說她作了一個夢,作一個 令她睡得又香又甜的夢。她沒有告訴我夢的內容,我沒有 追問在夢中夢到誰,她倒勸我把潤餅吃了,我邊吃邊哭, 不曉得是難過地哭,還是高興地哭。我問她,八個孩子中 她最疼誰,她說她每個都疼,都是她生的,所以她都疼。   我一直以為我最孝順她,她應該會說她最疼我,直到 後一刻,她仍然非常清楚地說,每一個都是她生的,所以 她都疼,媽媽的愛何等偉大,何等無私。看護阿姨這時送 進來一碗米麩,我覺得好榮幸也好高興能有機會親自餵我 的媽媽,我一邊讚美和誇獎她,她就一口一口地吃完了, 整碗的米麩吃完後,我就說我們來睡覺吧,她說好,我們 要不要關燈,她說不用。作完了睡前的感恩禱告,我再一 次地感謝我的神,是他在照顧著我的媽媽,陪伴她及安慰 她。即使我們睡覺都有主相陪和保守,使我們睡得安穩。   我們作兒女的實在虧欠父母太多,但是又何奈為了工 作,我們必需長年在外奔波勞碌,我們真的可以少作一點 多陪家人一點嗎?   護士小姐每兩個小時進來檢查一下,我不懂她們為什 麼作這麼頻繁的檢查,一直到天亮起床後,媽媽氣色很 好,我們母子仍然有禱告有交流,拉著媽媽的手說,媽媽 你最近胖了,她說:不是胖了,是打針打多了手腫大,我還 用口水擦擦以後才消退的。"從205病房的陳設,從媽媽 穿紅色的病人衣服,我都可以感覺將是媽媽安息的地方, 我們只是不知道何時,但可以感覺時候近了。   我把握一分一秒和媽媽相處的時間,七點鐘看護阿姨 送來了早餐,當天的早餐是豆漿和包子,我把包子泡在豆 漿裏,包子鬆軟成膏狀,我一口一口地用誇獎和鼓勵餵 她,媽媽把整個包子和豆漿吃完了,我好高興。幫媽媽服 侍早餐完後,我依依不捨地向媽媽道別,到台中去上班。 臨走前媽媽仍然是一樣的叮嚀"凡事要小心一點。"好似 她永遠不放心我們在外面的一切,過馬路要小心一點、開 車要小心一點、作人作事作生意要小心一點。   從小上學到大了,我已經為人的父親了,媽媽還是永 遠的媽媽,她這輩子跟我講的最後一句話還是我剛開始上 學要出門前的那一句話"凡事要小心一點"。她的愛、她 的關心就濃縮在這一句話。雖然她沒有受過任何教育,但 是她對子女的愛是一樣的偉大,媽媽,再一次說"我愛妳 ",我很高興您安息在主的懷抱裏,那一天我們母子可以 再一次地在天堂再相聚,那時我們就不再分離。

Yu Chang 盧明培 律師 Warner Norcross & Judd LLP 華諾傑律師事務所 ayuchang@wnj.com 616.752.2783 當我們所在的華諾傑律師事務所被邀請為底特律汽車沙龍寫一個法律專欄時,我不知道讀者會對什麼有興趣,特別是那些尋求進入美國市場,或最近在美國成立了業務的中國公司。 在我作為密歇根律師的職業生涯中,我曾有幸與不同的中國和亞洲的商業企業合作,其中一些人已成為我們事務所的客戶,少部分人只是簡單地探討。由於可以理解的對制度的缺乏瞭解,一般 的中國商人,就像之前德國或日本商人在早期創業過程中所遇到的那樣,掙紮於美國的法律制度之中。 在我最好的客戶名單中,有一些是中國/亞洲的企業。我知道他們中有人起草了自己的合同的(結果發現,雖然用非常好的英語書寫,但因為所寫條款不符合法律規定而不能被強制執行) ,當 他們根據條款提交訴狀,以使針對他們的案件被駁回,結果被法官告知他們必須出庭;或成立了一個股份有限公司(而不是有限責任公司),主要是擔心有限責任公司在亞洲可能會被看作是一 個小公司(而沒有考慮到實體的選擇有可能影響稅收中節稅的可能)。 對於那些考慮如何應對美國法律制度的中國企業,這裏有幾點可以考慮: 複雜的法律體系 美國司法體系是非常複雜的。法院系統是由聯邦和州法院組成。有多種來源的法律條文:包括聯邦和州法院的判 決,聯邦和各州的法律,法規的行政機構和地方政府的條例。從一般人的角度來看,法院之間的區別和不同來源的 法律可能過於學術化或太無相關性。底線是,龐大的法律和法規讓一般人不可能確定哪些法律條文和法律規定適用 於他們。事實上,有些方面的業務可能在亞洲的是不被管制的,而在美國是被嚴格管制的。 法律的執行 美國法律和規章的執行是非常嚴格的。如果一個人被發現有違反規定,處罰將按法律的條文進行。不遵守法律的後 果可能各不相同,某些違法行為可能會導致高額罰款甚至監禁。另外除了受到處罰,如果習慣於不遵守或無視法律 規定也將會極大地影響到中國公司的在商業界信譽。 高風險的訴訟 美國的律師的數目比世界上其他地方加起來的都多(在2008年,美國有一百十六萬個律師,相對的,中國約有14萬 個),如果按年計算,也擁有更多的訴訟。一個商人在美國被訴訟的可能性將比大多數其他司法管轄區都要高。為 了避免不必要的訴訟費用,中方企業在處理業務以及應對與員工,供應商,銷售商,客戶,服務供應商,第三方甚 至廣大公眾的關係時,應該非常小心。訴訟在美國是非常昂貴的,採取措施以儘量減少訴訟的風險是一個很好的投 資。 合同中的作用 在美國,商業人員一般都認為合同將會得到尊重。如果有任何違反合同規定的,對方典型的做法是考慮提出起訴。 因此,公司應準備應對潛在的訴訟,任何合同都必須經過深思熟慮,並由一個經過合同書寫訓練的專業人士擬定, 有時候,不簽訂服務合同比簽訂一個有模糊條款的書面合同更好,因為其中的條款解釋可能對當事人不利。合同書 寫不是一個語言能力問題,一個英語文學教授,沒有法律的專業培訓,可能無法起草一個能保護當事人的利益的合 同草案。舉例來說,我知道一個亞洲的企業家,他對自己的英語水準很有信心,他的合同中有條款提到爭端可以提 交到中國仲裁,但卻沒有進行任何進一步的聲明。因為沒有經過法律培訓,這位企業家沒有意識到,他的仲裁條款 是不足以讓密歇根州法院用此來作為阻止法院訴訟和阻止執行仲裁裁決的依據。 律師的作用 在美國,律師被視為商業顧問,經常參與決策過程。他們的參與是早期的,而不僅僅是在交易完成後。這是因為法 律規定很大地影響著交易協定的條款和條件。如果律師參與的太晚,將會使交易各方很難在業務層面重新協議。因 此,最好讓律師參與于早期的業務問題解決過程中。否則,合同將可能無法提供明確和保護各方利益的目的。 選擇律師 外國人通常喜歡雇用那些講自己相同語言的律師。雖然語言能力和文化理解是絕對重要的因素。但是這兩 個因素不應取代實質性的專門知識。您應該把聘請律師的專門知識放在首位。在美國,一名律師擁有超過一個或兩 個領域的專長是極為罕見的,因此,應謹慎使用那些試圖在多個領域代理客戶而不使用其他律師幫助的律師。 上述各點包括一些商業人士容易忽略的建議。如果一個商業人士選擇不去考慮一些法律問題,他或她也許可能會安 然無事。但律師不是算命先生,他們無法預測何時該公司將不會被起訴,以及何時將被追究法律責任。律師通常側 重于查明問題並進行風險控制,他們認識到,一些企業家是令人難以置信的冒險家;律師只有對那些尋求風險控制 的人有用。
