contract & conditions
1 By advertising in the Modern Beauty Catalogue each party automatically agrees to the contract & conditions as outlined below. 2 Here on in, Modern or Modern Beauty will be recognized as a division, is in direct association and is published by Modern Beauty Supplies Inc. The prices as outlined are considered an integral part of the advertising agreement between the parties involved. No other agreements, unless acknowledged and signed by both parties, shall be binding on Modern.
3 All advertisements designed and submitted by the advertiser must be approved by Modern Beauty and submitted as per the deadlines outlined in the closing schedule (see pg
4). Modern reserves the right to reject or revise any submitted advertisements under any conditions even if previously accepted or acknowledged. This is inclusive of any reason at any time without any liability. Modern Beauty reserves the right to revoke any design discounts based upon design submissions that do not meet, but are not limited to, the following requirements: (i) do not follow the Modern branding guide, (ii) was not submitted as per the deadlines outlined in the closing schedule, (iii) did not receive formal approval from Modern Beauty, (v) no references were made directly to Modern without consent first, (iv) product deals and/or ad design have not been changed since the previous issue.
4 Modern’s pricing contract involves that all agreements for advertising bulk discounts involve a specified minimum number of advertisements published within a specified period
and are promptly paid for. In the event of Advertiser’s cancellation of the advertising contract or failure to publish an advertisement although having paid for the specified number of advertisements, or if at any time Modern establishes that the Advertiser is unlikely to publish and/or pay for agreed upon amount in its entirety specified during the term of the agreement, any rate discount will be retroactively annulled. This includes previous advertisements published in Modern possibly deriving a short-rate, hence it is imperative that Advertiser reimburses Modern for the short-rate. Modern’s contract short-rate is defined as the difference between the rate charged dependant upon the agreed frequency and the higher rate based on the reduced frequency of advertisements actually published and paid for within 30 days of invoice. Following, the Advertiser will thereafter pay for advertising at the current open rate. Any and all merchandising programs that are executed by Modern reliant on the advertising that is cancelled, will be consequently paid for by Advertiser in full.
5 Orders thirty (30) days beyond the contract closing date will be accepted only at the current prevailing rates and will be based on space availability. All advertising shall be paid in
Canadian dollars within a thirty (30) day period following the indicated invoice date. The Advertiser agrees to pay the total amount invoiced and rendered by the Publisher. Orders containing incorrect rates will be regarded only as clerical.
The cost of the said services must be paid in full within 30 days of the publication of the advertisement. In the case of non-payment, Modern holds the right to terminate the contract at its discretion without any prior notice. In the event where the Advertiser’s contract is cancelled, the reserved space shall be billed and must be paid in full according to the most current rate card if the rates are lower in the contract.
In the event where advertisements submitted or published contains (i) names portraits/photographs of things or people (living or dead), (ii) testimonials, and/or (iii) trademarks, copyrights, service marks, or private material, the Advertiser represents that is has the right to authorize such publications, and that it is fully authorized and licensed to advertise such materials. The Advertiser agrees that it is fully liable and indemnifies the Publisher against all damages, losses, or expenses of whatsoever nature arising out of any and all such claims.
Any errors or omissions by Modern in the printing, layout, typesetting, etc. in the publication and/or advertisement for which the Publisher may be held responsible, the reimbursement will not exceed the cost of the contracted space reserved or the spot that included the error. Furthermore, the Publisher is not, in any circumstance, responsible for consequential damages that include loss of profits and/or income.
Space, conditions, and rates are subject to change without notice. All bulk discounts are only applicable during the publication period in which they apply and must be taken by the Advertiser within the upcoming publication period of a two (2) month period or they will be deemed expired.
10 All schedule of reserved months and size of space must accompany all orders and are binding to the Advertiser upon receipt unless otherwise terminated in writing prior to the closing date(s). Space reservations are not considered by the Publisher as orders or contracts, and are not binding in any way.
11 Cancellations must be submitted in writing and are not binding to the Publisher unless received at least forty-five-five (45) days prior to the advertising closing date. Order cannot be changed nor cancelled without the acknowledgment and acceptance of the Publisher. If order cancellations are not received within the specified time limit, the Advertiser agrees that it will be held fully responsible for the cost of such advertisements.
12 All contracts accepted are subject to acts of God, natural disasters, accidents, fires, or other occurrences that are beyond control of Modern and may prevent full creation, publication, or distribution.
13 All parties involved agree that the details contained in the contract will be treated with full confidentiality and proprietary information shall not be disclosed to third parties. M MEDIA KIT 2014
