Know Your Contract

Grossbart, Abdulaziz, Gossbart & Rudman When you bid on a job you need to understand what work is involved, what materials you will use, and what subcontractors or material suppliers you will be using. But do you understand the rest of the contract? In the Greg Opinski Construction, Inc. v. City of Oakdale case, it is seen why it is important to have a complete understanding of what is in your contract. This matter went to trial for various other issues, but the issue at hand in the appeal is all that is discussed for purposes of this article. This particular case came about because of seven months of job delays, unapproved change orders, construction defects and non-payment. The contract called for the job to be completed within 300 days. It laid out very specific change order procedures for which either the contract time or price could be changed. There were two acceptable avenues to have a change order accepted. The first was execution of the change order by mutual agreement in writing. In other words, the contractor determines that a change order is necessary and submits the written change order to the City, which in turn approves and signs the change order making it an accepted change order. The second way was to ask the engineer for a formal decision on the requested change order and to give written notice of the claim to not only the engineer but the other party no later than 30 days after the event of the occurrence. To clarify this, if a change order

that the contractor submitted to the City was not accepted (signed), the contractor could petition the engineer for a decision with respect to that same change order, if it is done within 30 days of the need for that change order first

being realized, and the City was also notified in writing of the petition. The liquidated damages were $250 per day for those days after the 300 in the contract. The project was 7 months late. The City refused to pay almost $200,000 towards the balance of the contract and change orders, which the City refused to approve, and kept the funds in retention. The City also alleged defective conditions. During trial, it was determined that the cause for the delay was actually the fault of the City, not the contractor. However, the City still

claimed that the liquidated damages were due it because Opinski not only did not submit a change order for the time increase to finish the job, but Opinski also did not submit a claim to the engineer for the time increase or the other change orders that the City refused to approve. After careful review of the contract documents, prior case law, and statutes, the court ruled in favor of the City for $54,000 plus interest, and just over $3,000 for the defects. The court further stated that the City withholding the monies in retention was reasonable because it was allowed to withhold up to 150% of the amount in dispute. The court went on further to state that Opinski’s claims were rejected because Opinski did not submit its claims in the manner laid out by the contract within the correct time frame laid out by the contract. The appellate court sent the case back to the trial court to figure out the difference of what was awarded to the City and what was left of the retention in escrow. The difference of which was to go to Opinski. Because Opinski was not familiar enough with the contract that was signed, Opinski lost out Continued on page 14

EPA’s “New” Renovation, Repair & Painting Rule Applies to You!!

Contractors, Painters, Landlords!

Beginning on April 22, 2010 renovation, repair and painting contractors must: • be “RRP certified” • use lead safe work practices when working in homes built before 1978. The RRP rule affects contractors, property managers and others who disturb known or presumed lead-based paint during renovation activities done for compensation. The includes most repair, remodeling and maintenance jobs, such as window replacement, weatherization and demolition. The rule applies to any work that disturbs painted surfaces in residential houses, apartments and child-occupies facilities such as schools and day-care centers built before 1978. Fines for violating RRP Rule requirements can be up to $37,500 per incident.

Firms must have one or more “Certified Renovator” assigned to jobs where lead-based paint is disturbed. To become certified, a person must successfully complete an EPA training course conducted by an EPA-accredited training provider.

All renovation workers must be trained. They can be trained to use lead safe work practices on-the-job by a Certified Renovator if the work is not HUD regulated, or they can become Certified Renovators themselves.

Firms performing renovation, repair or painting work must also become certified. This can be accomplished by applying to EPA and paying a fee.

FALL PROTECTION It may seem that a job can be performed more efficiently without spending the time to protect against falls. However, falls remain one of the top causes of fatalities in construction. Workers have fallen off edges of every description, especially floors and roofs, and through openings in floors, roofs, and walls. Fall protection is required whenever a worker faces serious risk of injury, including:

 on structures where a worker could fall more than 7 feet  on thrustouts, trusses, beams, purlins, and plates at heights over 15 feet  on a sloped roof To prevent accidental falls at worksites, guardrails and toeboards or other effective barriers to falls should be used. However, there will be areas where guardrails or other barriers are not feasible. In these cases, workers must use approved personal fall protection systems or positioning devices. Two basic types of person fall protection systems that require tie off are fall arrest and travel restraint. Fall arrest systems stop a fall within a few feet of the worker’s original position. A full body harness is required with a fall arrest system. The system typically consists of a full body harness, a lanyard, a rope grab, a lifeline, and a lifeline anchor. A fall arrest system must be worn when working on a rolling scaffold that is being moved or when a worker is getting on, working from or getting off suspended access equipment. A travel restraint system prevents falls by restraining a worker from getting too close to an unprotected edge. This system usually consists of a safety belt or full body harness, a lanyard, a rope grab, a lifeline, and a lifeline anchor. When conventional fall protection or personal fall protection are not practical, safety nets must be used instead. Before using safety nets, check to see that the nets are hung with enough clearance to prevent a falling person from hitting the surface or structure below. Safety nets should be placed within 10 vertical feet and never more than 30 feet below the working surface. Nets must extend at least eight feet beyond the building or structure. If the vertical distance from the working level to the net is greater than 5 feet, then the net must extend 10 feet beyond the building. A net from 10 feet to 30 feet below the working surface must extend 13 feet. If you use any type of fall protection equipment, including personal fall protection or safety nets, be sure to check that you are using the right equipment for the job, labeled as meeting the requirements of the American National Standards Institute (ANSI), and that the equipment is in good condition. Whenever feasible, employers should always set up temporary floors, guardrails, toeboards, or other physical barriers to falls, instead of having workers rely on tying off and nets for fall protection. When not feasible, personal fall protection or safety nets must be used. No work should proceed unless the necessary fall protection is in place. The use of fall protection can prevent serious injury and save your life.

PROTECTIÓN CONTRA LAS CAÍDAS Odría parecer más efectivo realizar un trabajo sin emplear el tiempo necesario para protegerse contra una posible caída. Sin embargo, las caídas siguen siendo una de las principales causas de accidentes mortales en la construcción. Se producen caídas desde todo tipo de superficies con bordes, especialmente pisos y tejados, y por aberturas en pisos, tejados y paredes. Se requiere protección contra caídas siempre que un trabajador se exponga a un riesgo grave de lesión, incluyéndose:

 estructuras en las que un trabajador pueda caer más de 7.5 pies,  travesaños para colgar andamios, armazones de tejado, vigas, largueros y plataformas de más de 15 pies de altura,  tejados inclinados Para evitar las caídas accidentales en los lugares de trabajo, debe hacerse uso de pretiles y tablas de pie u otras barreras eficaces contra las caídas. No obstante, habrá lugares en los que no sea factible colocar pretiles u otras barreras. En tales casos, los trabajadores deberán usar sistemas protectores contra caídas o dispositivos de posicionamiento que estén aprobados. Dos tipos básicos de sistemas protectores personales que requieren ataduras son los de detención de caídas y los de restricción de desplazamiento. Los sistemas de detención de caídas paran la caída a unos pocos pies de la posición original del trabajador. Con este tipo de sistemas se requiere un arnés corporal completo. El sistema consta habitualmente de los siguientes elementos: un arnés corporal completo, un acollador, un agarre de cuerda, una soga y el elemento de sujeción de la soga. Se deben usar sistemas de detención de caídas cuando se trabaje en un andamio rodante en movimiento o cuando un trabajador se esté subiendo, bajando o trabaje en un equipo de acceso suspendido. Los sistemas de restricción de desplazamiento evitan las caídas impidiendo que el trabajador se acerque demasiado a un borde no protegido. When change orders were denied, Opinski needed to follow the second course of action by petitioning the engineer, who required that particular work to be done and would have approved the change orders. When Opinski was done with the job other contractors were still working on the project, Opinski should have had substantial completion signed off on for its part of the work or submitted a change order so as not to be responsible for the liquidated damages as laid out in the contract. If Opinski knew its contract, this would have only cost $3,000 for the defects rather than over $65,000! Make sure you know what your contract says and that you refer to it frequently on the job so that something like this does not happen to you!
