CONFIDENTIALITY AGREEMENT Commercial Plus, LLC (“CP”) has agreed to share certain confidential information (“Information”) with the party receiving the Information (“Recipient”) from CP, which concerns the performance of a certain gasoline service station(s) and/or convenience store(s) and/or car wash(es) located at the address(es) to be provided (collectively the “Property”). Recipient acknowledges that receipt of the Information is beneficial and advantageous to Recipient and that Recipient’s efforts in connection with the Property are enhanced by possession of the Information. Therefore, for mutual promises, covenants and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Recipient hereby agrees to the following terms and conditions in exchange for receipt of the Information. 1) Recipient agrees that CP has made no representations and has provided no warranty regarding the reliability of the Information for the purpose of forecasting the future performance of the Property. Recipient acknowledges that some or all of the Information provided by the owner of the Property (“Seller”) are estimates of future market and economic conditions. All potential buyers are hereby advised that said market and economic conditions are variable and subject to change. 2) Recipient understands, acknowledges and agrees that there are inherent risks in using the Information to project, estimate or forecast the future performance of the Property, and that past performance does not necessarily provide a reliable indicator of future performance. All potential buyers must take appropriate measures to verify the Information and the reasonableness of the estimated future market and economic conditions used in the Information. Recipient further acknowledges that the Information has been prepared to provide summarized, unverified information to prospective purchasers, and to establish only a preliminary level of interest in the Property. Recipient further understands, acknowledges and agrees that CP has not made any investigation, and makes no warranty or representation, with respect to the income or expenses for the Property; the future projected financial performance of the Property; the size and square footage of the Property; the presence or absence of contaminating substances, PCB’s or asbestos on the Property; the compliance with State and Federal regulations as they affect the Property; and/or the physical condition of the Property. The Information is not a substitute for a thorough due diligence investigation, and Recipient is advised to conduct their own due diligence investigation. 3) Recipient agrees that it, its principals, affiliates, assignees, shareholders and successors in interest shall not make any claim of any nature, or file a lawsuit in any court of competent jurisdiction seeking compensation for damages in connection with the future performance of the Property resulting from reliance on the Information. 4) Recipient, its principals, affiliates, assignees, shareholders and successors in interest forever release, discharge and acquit CP from any liability or claims resulting from the use of the Information in connection with the Property. 5) Recipient, its principals, affiliates, assignees, shareholders and successors in interest fully agree to indemnify, defend and hold harmless CP from any liability, claim or lawsuit in connection with the performance of the Property resulting from the use of the information. 6) Recipient agrees that the Information is to be considered strictly confidential and proprietary to CP and Seller, and Recipient shall hold the same in confidence and shall not use the Information other than for the purposes of its business, and shall disclose it only to its officers, directors, or employees who have a specific need to know. Recipient will not disclose, publish or otherwise reveal any of the Information received from CP to any other party whatsoever except with the specific prior written authorization of CP. The Information, as applicable, includes, but is not limited to, the following: Property Profile Lease Term and Lease Rent for Leased Properties Retail Lease Term and Rent for Dealer Operated Properties Marketing Brochures Proforma Profit and Loss (and recasts if applicable) This Information is for assets being offered for sale in the state of Arizona.
