ULTIMATE! SOFTWARE PRODUCTS LIMITED USE LICENSE AGREEMENT This is a legal agreement between you, the end user, and Ultimate! Software Products, Inc. By opening this sealed disk package, you are agreeing to be bound by the terms of this license. If you do not agree to the terms of this agreement, promptly return the unopened disk and the accompanying manuals to the place you obtained them for a full refund. 1.

LICENSE. Ultimate! Software Products, Inc. (USPI) grants to you a non-exclusive, single-user license to use the enclosed program; Ultimate Call Accounting, Attention Shoppers, Echo, OnTime4Class, InnService, or OnTime4Class (the SOFTWARE). This license may be assigned to an individual person or to an individual single-user, non-networked computer. If assigned to a computer, the SOFTWARE must be used only on that computer. If assigned to a person only that person may use the SOFTWARE, but he or she may use it on any computer so long as no other person uses the SOFTWARE. You may not install the SOFTWARE on computers connected with a network unless every user of the SOFTWARE obtains a license from USPI.

COPYRIGHT. The SOFTWARE is owned by USPI or its suppliers and is protected by United States copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other copyrighted material (e.g. a book or musical recording) except that you may make one copy of the SOFTWARE solely for backup or archival purposes. You may not copy the written materials accompanying the SOFTWARE.

OTHER RESTRICTIONS. You may not rent or lease the SOFTWARE, but you may transfer the SOFTWARE and accompanying written materials on a permanent basis provided you retain no copies and recipient agrees to the terms of this Agreement. You may not reverse engineer, decompile, or disassemble the SOFTWARE. If SOFTWARE is an update, any transfer must include the update and all prior versions.

DUAL MEDIA SOFTWARE. If the SOFTWARE package contains more than one copy of the software on different media, then you may use only the media appropriate for your single-user computer or LICENSED COMPUTER NETWORK file server. You may not use the other disks on another computer or computer network, or load, rent, lease, or transfer them to another user except as part of the permanent transfer (as provided above) of all SOFTWARE and documentation.

LIMITED WARRANTY. USPI warrants that (a) the SOFTWARE will perform substantially in accordance with the accompanying written materials for a period of one year from the date of receipt, and (b) any hardware accompanying the SOFTWARE will be free from defects in materials and workmanship under normal use and service for a period of one year from the date of receipt. Any implied warranties on the SOFTWARE and hardware are limited to one year. Some states do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you. CUSTOMER REMEDIES. USPI's entire liability and your exclusive remedy shall be, at USPI's option, either (a) return of the price paid or (b) repair or replacement of the SOFTWARE or hardware that does not meet USPI's Limited Warranty and which is returned to USPI with a copy of your receipt. This Limited Warranty is void if failure of the SOFTWARE or hardware has resulted from accident, abuse, or misapplication. Any replacement SOFTWARE will be warranted for the remainder of the original warranty period or one year, whichever is longer. THESE REMEDIES ARE NOT AVAILABLE OUTSIDE OF THE UNITED STATES OF AMERICA. NO OTHER WARRANTIES. USPI disclaims all other warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the SOFTWARE, the accompanying written materials, and any accompanying hardware. This limited warranty gives you specific legal rights. You may have others, which vary from state to state. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall USPI or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of or inability to use this USPI product, even if USPI has been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. U.S. GOVERNMENT RESTRICTED RIGHTS The SOFTWARE and documentation are provided with RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is subject to restrictions as set in the subparagraph (c) (1)(ii) of The Rights in Technical Data and Computer Software clause at 52.227-7013. II. OTHER Ultimate! PRODUCTS Besides OnTime4Class, Ultimate! Software Products has developed many other applications over the past sixteen years. These applications are sold nationwide via our vast dealer network. Ultimate Call Accounting, Ultimate InnService for Strata CIX, Ultimate Care-Giver, and Smoke Signal are also found to be highly beneficial to meeting the needs of businesses. The following are of specific interest to schools and factories: Call Accounting Software takes data from the phone system regarding incoming and outgoing traffic and organizes data into reports. It serves as both a troubleshooting tool and management aid. Contact Roy Catron at 262-789-9654 for more information and/or to see a demonstration. Ultimate Smoke Signal allows several individuals to be called or text messaged at one time and to hear a pre-recorded message. For factories, it can be used to call employees for contests, promos, health insurance updates, or to wish a happy holiday. Schools can remind staff and parents about meetings, recruit volunteers for projects, reach parents of an emergency situation or alert staff of a lock down. Mobility Programming automatically enables classroom phones to operate by time of day and day of week. For example, while a class is in session the teacher will only receive urgent calls. IV. ONTIME4CLASS DEFINED Ultimate! Software Products' OnTime4Class helps schools (See Appendix A), factories, libraries and penal institutions (See Appendix B) “Stay on Schedule.” The OnTime4Class Software includes menu driven options for setting up schedules, zones and sounds. It also includes easy to use windows interface for schedule changes, viewing, and printing of the daily schedule. Below are two diagrams of how the external hardware is connected.

CAPACITIES •

OnTime4Class can be programmed for up to 100 zones, dependent upon the capacities of the customer’s supplied overhead paging system and/or telephone system.

• The software comes supplied with approximately 40 pre-programmed sounds. However, there is no limit to the number of sounds that can be programmed. •

Ten standard schedules and additional six can be added for holidays, exam days and special events days

A rolling 18-month calendar for planning for special events and schedules ahead of time.

• Ten programmable alert buttons for things like tornado alerts, intruder alerts and the like.

Each class, grade, or school grouping (or in the case of a factory; each office, floor, or area) can have a separate schedule, zone, and tone – reduces staff requirement and training costs while increasing flexibility

Schedule up to 18 months in advance (as below indicates) – provides for long range planning

On Time4 Class picks its schedule at midnight every night - allows changes to be programmed prior to the next day Override current schedule for special events – easy to change the schedule for a pep rally or a holiday Default daily, weekly, and weekend schedules – set up in advance, but flexibility is provided if a change is required Print the schedule as needed – make sure staff is informed Manual override – Disable the automatic bell ringing schedule in case of an emergency

Tones can be included from any .WAV file created by the user – add a new sound or tone Record your own tone – the school song could be used to indicated time for an assembly (or in the case of a factory or department store, a message can be played instead of an alarm) There is no limit to the number of sounds that can be used Each tone can be played to a different zone – campuses that have a grade school, a middle school and a high school (or in the case of a factory, different areas) can all have a unique sound

It can be operated through on a network with PcAnywhere, Vnc, www.gotomypc.com or remote desktop from Microsoft. However, only one person can use it at a time. If you wish to put OnTime4Class on your server, this can be done also, as long as only one person at a time uses it. You may need to also consider the security risks if doing this. We use time clock software so Internet access is needed. (This keeps the computer clock on time)

InnService for Strata CIX™

Customers often request additional features that were not included as part of the original application. Ultimate! reserves the right to charge for additional features. These charges will be discussed with the dealer, prior to making them. The rate for a Standard Custom Code (SCODEA) is a flat fee. For a Non-Standard Code (NCODEB) the rate is variable and defined in writing with approval by the dealer. All changes to the software are installed via pcAnywhere® or other remote desktop software and must be paid for by credit card prior to installation. (Amex, VISA, MasterCard) The software warranty is for one year. There is no charge for support during this time. If you are about to make any changes to the computer system, we encourage you to call our tech support number for verification on the possible impact to the OnTime4Class software. There may be a trouble-shooting fee to you, the dealer, for our involvement to resolve a problem should an operational difficulty occur because a change was made by the user or you. This is a credit card only charge prior to our logging in via PcAnywhere® or other remote desktop software to assist you or your customer.
