s holders of huge amounts of personal data on candidates and contractors, staffing companies and in-house resourcing teams are particularly at risk from the forthcoming General Data Protection Regulation (GDPR), with fines of up to €20m (£17.8m), or 4% of global turnover, if they fail to get their house in order. They also leave themselves open to potential claims for damages from individuals whose rights have been infringed. However, the risk is heightened because recruiters (known in the legislation as ‘data controllers’) are also responsible for ensuring that organisations with whom they share this data, such as payroll companies,

database management companies and job boards (known as ‘data processors’ in the legislation), are also GDPR-compliant, and that the rights of data subjects are protected. “The GDPR establishes specific requirements for engaging data processors. Importantly, it only allows this when the processor has provided an adequate guarantee that it has implemented sufficient measures for the protection of personal data,” says Sybille Steiner, partner at law firm Irwin Mitchell. “People are just beginning to wake up to how big this is, and the more you ignore it the higher the risk,” adds former recruiter Helen Haddon, founder of Comply GDPR, a consultancy that specialises in advising recruiters on the subject. Controllers cannot simply “turn a blind eye” to processors’ activities, says Steiner. “The GDPR imposes liability on

both data controllers and processors for non-compliance, whereas under the Data Protection Act only data controllers had liability. Broadly, processors will only be liable if they fail to comply with their obligations under the GDPR or with the lawful instructions of their data controllers. Controllers will be liable in all other circumstances for breaches of the GDPR.” So with the clock ticking, what are the key things recruiters should be doing to ensure their suppliers are up to scratch when it comes to GDPR?

If you share personal data with third parties (such as a payroll company) then you must have a GDPR-compliant data sharing agreement in place. This means reviewing your data-sharing arrangements, and where necessary, changing them to ensure compliance with the GDPR – for example, ensuring they set out the subject matter and duration of the processing, the nature and purposes of the processing, and the type of personal data and categories of data subjects. If contracts are not already in place, they will need to be drawn up, as they are required under the GDPR when it comes into force.

GDPR places a much greater emphasis on transparency and accountability. Controllers should ensure that all decisions made in relation to data processing, including the appointment of data processors, is clearly documented and the reasoning behind decisions is set out clearly. Documenting everything you do in relation to GDPR is absolutely essential to protect you in the event of an investigation by the Information Commissioner’s Office (ICO).

Map out the whole of your supply chain, focusing on all those with whom you share personal data. This could include data shared with clients, security-vetting companies, job boards, payroll and umbrella companies and IT companies, as well as data sent to the cloud and data transferred abroad. As well as candidate and contractor data, this could include data on your own staff. Don’t forget that many suppliers themselves share your data with other organisations.

As a data controller you should ensure you fully understand what steps your suppliers (data processors) are taking to comply with the GDPR and to keep personal data secure. You should also set out specific processes and policies you expect data processors to follow. These policies could include what they must do when they receive a request from a candidate to delete or change their data, or on how long to keep records where there has been no contact with the data subject.

Ensuring GDPR-compliance becomes part and parcel of the tendering process when suppliers compete to win your business.

Sending a pro-forma to suppliers asking them about their data privacy and protection policies and processes, available from advisers working in this area, is a good first step to determining their level of GDPR compliance. A more comprehensive approach is to ask suppliers to carry out a privacy-impact assessment. Such assessments are a key way of demonstrating a ‘privacy by design’ approach, which is one of the key principles

of the GDPR. Once the assessment is completed, ask the supplier to tell you what actions they took as a result. Under Article 28 of the GDPR, data controllers are required to actively monitor processors’ compliance with GDPR. Under the GDPR you, as a data controller, have the right to audit and physically inspect the offices of data processors. Take advantage of this to check that data is kept physically secure and their processes are robust. If you have lots of suppliers, it is probably not practical to visit them all, so take a risk-based approach. If it is a fairly big company with, say, five staff dealing with your payroll, then it is probably less risky than a small, one-person supplier.

Written policies and processes are all very well, but without staff understanding them and adhering to them, they aren’t worth the paper they are written on. It is well documented that the vast majority of data protection breaches come from staff, rather than from IT departments.

Under the GDPR, it is an offence for staff not to be adequately trained. So question suppliers about their staff training. Ask to see the company’s training logs. Ensuring that your suppliers’ staff are adequately trained is likely to be a mitigating factor should there be an ICO investigation, as it is an area which the ICO is particularly hot on.

WHAT IS THE GDPR? The General Data Protection Regulation (GDPR) is an EU Regulation designed to strengthen and unify data protection for all individuals in the EU. The regulation comes into force on 25 May 2018 and, despite Brexit, applies to the UK. The GDPR applies if the data controller (organisation that collects data from EU residents) or processor (organisation that processes data on behalf of the data controller, such as cloud service providers) or the data subject (person) is based in the EU. It also applies to organisations based outside the EU if they collect or process the personal data of EU residents. The regulation imposes new responsibilities on both data controllers and data processors, based on eight principles including data accuracy, and data being held only for limited purposes. There are fines of up to €20m or 4% of global turnover for breaches, as well as the likelihood of claims for damages by individuals. The GDPR builds on the Data Protection Act 1998 in the UK, in giving individuals greater rights, most noticeably the so-called ‘right to be forgotten forgotten’ – for their data to be deleted.

Pay particular attention if data is being transferred outside the EU. The EU has decreed that certain countries, such as India, do not meet the necessary threshold data for data privacy

and protection, and that it is illegal to send data on EU citizens there without certain safeguards. You will need to carry out a risk assessment to decide whether there is adequate protection for the rights of the individual, whose personal data you are transferring. For more information, see the ICO website. Look for independent verification that your suppliers operate to high standards. One such is BS 10012 Personal Information Management System, launched in March. Although this standard does not guarantee GDPR compliance, it gives a strong indication that the supplier takes the protection of private information seriously. Over the coming years, expect to see the launch of a kite mark and of a specific GDPR standard.

Ask suppliers if they have appointed a data protection officer (DPO). A DPO is responsible for overseeing data protection strategy and implementation to ensure compliance with GDPR requirements. Having a DPO is a good indicator that an organisation takes data privacy and protection seriously. Henley Business School recommends that organisations don’t use a data processor unless it has a DPO.

If you are unhappy with what you find out from your suppliers, you then need to decide whether the matter is so serious that the contract should be terminated immediately, or whether the supplier should be given an opportunity to improve. If you decide on the latter, make it clear to the supplier what improvements you

expect, and set a strict deadline. After the GDPR comes into force, the safest option will be terminating the contract. Even when you terminate a contract with a supplier, your responsibilities under the GDPR don’t end. Should you end a contract, the supplier will be responsible for making sure that all the data you shared with it is deleted. Ensure this commitment is written into the contracts you have with suppliers from the beginning.

Don’t wait until next year to take action. As we get closer to May 2018, suppliers will become inundated with demands from clients asking them about their GDPR-readiness. The sooner you contact them, the better the chance of a response, leaving you more time to act, should there be any problems.

Don’t underestimate the time or effort needed to check the GDPR-readiness of your suppliers. For smaller recruiters, the administrative burden is likely to prove particularly heavy.

Get legal advice, but don’t wait, as there is already a shortage of lawyers with GDPR experience and expertise.
