Committee Secretary/Public Officer Project Australia is a community organization helping people launch not-for-profit initiatives that focus on Australian needs. The organization is an incorporated association in NSW. We provide four things: Innovative Inspiration: Hear new ideas and encouraging stories from some of Australia’s most exciting social innovators Startup Resources: Access hundreds of tools to help kick-start, support and grow your Australian community project Planning Processes: Develop your project plans through use of our online collaborative platform and built-in templates Project Advice: Receive free consultancy covering all aspects of starting and sustaining a successful not-for-profit Our Committee of Management is currently seeking a Secretary to perform legal, regulatory and administrative duties, as well as general involvement in Project Australia committee work and activities. If you’re passionate about social change and social innovation, and want to be involved in one of Australia’s most active organizations in supporting and enabling social entrepreneurs, we would love to hear from you. Time Commitment: 3-5 hours per week, based in Sydney. Remuneration: This position is undertaken in a voluntary capacity. Reports to: Chairperson Key Duties and Responsibilities: -

Committee meeting minutes and meeting preparation Committee member recruitment and induction Committee administration Ensuring compliance with the constitution and any legal or regulatory requirements Ensuring that members’ and committee meetings are held and associated documentation, including minutes, is maintained in accordance with the Incorporated Associations Act, the constitution and regulatory requirements Providing advice to the Committee members in relation to the Incorporated Associations Act, the constitution and other regulatory or statutory requirements Maintenance of a member’s directory Advising the Committee on corporate governance principles Carrying out the instructions of the committee, implementation of organizational strategy and giving effect to the committee’s decisions Ensuring Committee member insurance Coordinating Committee evaluations Development, implementation, communication and maintenance of compliance policies, processes and procedures The Company Secretary is included in the definition of officer and, therefore, has a duty of care and diligence, to act in good faith, use powers for a proper purpose and not to misuse information

Experience:  Previous experience with not-for-profit organizations desirable  Familiarity with non-profit governance principles  A legal background or experience desirable
