The vendor warrantsthat thesegeneralconditions 1 to 28 are identical to the generalconditions I to 28 in the standard folm of contract of sale of real estate prescribed by the Estate Agents (Contacts) Regulations2008 for the purposesofsection 53A ofthe Estate Agents Act 1980. The warrantiesin generalconditions 2.3 atd 2.4 rcplace the purchaser'sright to make requisitionsand inquiries. The vendor warrantstlat the vendor: (a) has,or by the due date for settlementwill have,the right to sell the land; and (b) is under no legal disability; and (c) is in possessionofthe land, either personallyor through a tenant;and (d) has not previously sold or ganted any option to purchase,agreed to lease or granted a preemptive dght which is ourent over the land and which gives another party rights which have priority over the interestofthe pwchaser; and (e) will at settlementbe the holder ofan unencumberedestatein fee simple in the land; and (0 will at settlement be the unencumbered owner of any improvements, fixtures, httings and goods sold with the land. The vendor further warrantsthat the vendor hasno knowledge of any ofthe following: (a) public rights ofway over the land; (b) easementsover the land; (c) leaseor other possessoryagreementaffecting the land; (d) notice or order affecting the land which will not be dealt with at sâ‚Źttlement,other than the usual rate notices and any land tax notices; (e) legal proceedingswhich would render the sale ofthe land void or voidable or capabteofbeing setaside The warrantiesin generalconditions 2.3 and 2.4 are subject to any contrury provisions in this contract and disclosuresin the Vendor's Statement. Ifsections 137B and 137C ofthe Building Act 1993 apply to this contract,the vendor warants that: (a) all domestic building work carried out in relation to the construction by or on behalf of the vendor ofthe home was canied out in a proper and workmanlike manner;and (b) all matedals used in that domestic building work were good and suitable for the purposefor which they were used and that, unless otherwise stated in the contract, those materials were new; and (c) domestic building work was carried out in accordancewith all laws and legal requirements, including, without limiting the genemlity of this warranty, the Building Act 1993 and regulationsmade under the Building Act 1993. An omission or mistake in the description,measurementsor area of the land does not invalidate the sale. The puchaser may not: (a) make any objection or claim for compensationfor any alleged misdescriptionofthe property or any deficiency in its areaor measuements;or (b) require the vendor to amendtitle or pay any cost ofamending title.

Services 4.1 The vendor does not represent that the sewices are adequate for the purchaser's proposed use of the property and the vendor advises the purchaser to make appropriate inquiries. The condition of the services may change between the day of sale and settlement and the vendor does not promise that the services will be in the same condition at settlement as they were on tlte day of sale. 4.2 The purchaseris responsiblefor the connectionolall servicesto the property after settl€mentand the payment of any associatedcost.

Consents The vendor must obtain any necessaryconsentor licencerequired for the sa1e.The contract will be at an end and all money paid must be refunded if any necessaryconsentor licence is not obtainedby settlement.

Transfer The transler of land document must be preparedby the purchaserand delivered to the vendor at least 10 days before settlement. The delivery of the tansfer of land document is not acceptanceof title. The vendor must prepare any document required for assessmentof duty on this transactionrelating to matten that are or should be within the knowledge ofthe vendor and, ifrequested by the purchaser,must provide a copy ofthat document at least 3 days before settlement.

Release of company charge The vendor must provide at settlementa releaseof the property from any registered charge lodged r.lnderthe Corporations Act 2001 (Cth) if requested in writing to do so at least 21 days before settlement. This obligation does not apply if the chargeeis the propdetor of a registeredmortgage over the land. The vendor must pay the registrationfee ifeither party requiresregistmtion oftlat release.

Builder warranty insurance The vendor must provide at settlementdetails of any current builder warranty insuance relating to the propefiy ifrequested in writing to do so at least2l days before settlement.

General law land This condition only applies if any part of the land is not under the operation of the Transfer of Land 9.1 Act 195E. The yendor is taken to be the holder of an unencumberedestatein fee simple in the land if there is an 9.2 unbroken chain of title stafiing at least 30 years before the day of sale proving on the face of the documentsthe ownershipofthe entire legal and equitableestatewithout the aid of other evidence. The purchaseris entitled to inspectthe vendor'schain oftitle on requestat such place in Victoria as the 9.3 vendor nominates. 9.4 The purchaseris taken to have acceptedthe vendor'stitle if: (a) 2l dayshave elapsedsincethe day ofsale; and (b) the purchaserhas not reasonablyobjected to th€ title or reasonablyrequired the vendor to remedy a defect in the titl€. 9.5 The contractwill be at an end if: (a) the vendor gives the purchasera notice that the vendor is unable or unwilling to satisfy the purchaser's objection or requirement and that the contract will end if the objection or requirementis not withdrawn within 14 days ofthe giving ofthe notice; ard (b) the objection or requirement is not withdrawn in that time. If the contract ends in accordancewith general condition 9.5, the deposit must be retumed to the 9.6 purchaser and neither pafiy has a claim against the other in damages. General condition 10.1 should be read, in respect of that part of the land which is not under the 9.7 operation of the Transf€r ofLand Act 1958, as ifthe referenceto 'registeredproprietor' is a reference to'ownet'.

The puchaser must pay all money other than the deposit: (a) to the vendor, or the vendor'slegal practitioneror conveyancer;or (b) in accordancewith a written direction of the vendor or the vendor's legal practitioner or conveyancer. At settlement,paymentsmay be made or tendered: (a) in cash;or (b) by draft or chequedrawn on an authoriseddeposirtaking institution; or (c) ifthe parties agree,by electonically tmnsferring the payment in the form ofcleared funds. For the purposeof this generalcondition 'authoriseddeposit-takinginstitution' meansa body corporate in relation to which an authority under subsection9(3)ofthe Banking Act 1959 (Cth) is in force. The purchasermust pay bank fees on up to three bank chequesat settlement,but the vendor must pay the bant feeson any additional bank chequesrequestedby the vendor.

The depositmust be releasedto the vendor if: (a) the vendor providesproof, to the reasonablesatisfactionofthe purchaser,that either(il there are no debts secured against th€ property; or (iD if there are any debts,the total amountofthose debts do not exceed80% ofthe sale price;and (b) at least28 days have elapsedsincethe day ofsale; and (c) all conditions ofthe Sale ofLand Act 1962 have been satisfied. Ifthe purchaseris liable to pay GST, the purchaseris not required to make payment until provided with a tax invoice, unlessthe margin schemeapplies. Ifthe particularsof sale specify that the supply made under this contmct is a 'farming business': (a) the vendor warrantsthat lhe property is land on which a farming businesshas been carried on for the period of5 yearsprecedingthe date ofsupply; and (b) the puchaser wanants that the puchaser intends that a farming businesswill be canied on after settlementon the property. Ifthe paxticularsofsale speciry that the supply made under this contract is a 'goirg concern': (a) the parties agee that this contractis for the supply ofa going concern;and (b) the purchaserwarrantsthat the purchaseris, or prior to settlementwill be, registeredfor GST; and (c) the vendor warants that the vendor will carry on the going concem until the date ofsupply.

While any money remains owing each of the following applies: (a) the purchasermust maintain full damageand destructioninsuance ofthe property and public risk insurance noting all parties having an insurable interest with an inswer approved in writing by the vendor; (b) the purchasermust deliver copies ofthe signed insuranceapplication foms, the policies and the insurancereceipts to the vendor not less than l0 days before taking possessionof the property or becomingentitled to receipt ofthe rents and profits; (c) the purchasermust deliver copies ofany amendmentsto the policies and the insumncereceipts on each amendmentor renewal as evidenceofthe statusofthe policies from time to time; (d) tle vendor may pay any renewal premiums or take out t}re insuranceifthe purchaserfails to meet theseobligations; (") insurancecostspaid by the vendor under paragraph(d) must be refunded by the purchaseron demandwithout affecting the vendor's other rights under this contract; (0 tie purchaser must maintain and operate the property in good repair (fair wear and tear excepted) and keep the property safe, lawful, structurally sound, weatherproof and free from contaminationsand dangeroussubstances; (g) the property must not be altered in any way without the wdtten consentofthe vendor which must not be unreasonablyrefusedor delayed; (h) the pwchaser must observeall obligationsthat affect owners or occupiersofland, (i) the vendor and/or other person authorised by the vendor may enter the property at any reasonabletime to inspectit on giving 7 days wdtten notice, but not more than twice in a year.

The vendor carriesthe risk of loss or damageto the property ultil settlement. The vendor must deliver the property to the purchaserat settlementin the same condition it was in on the day ofsale, exceptfor fair wear and tear. The purchaser must not delay settlementbecauseone or more of thâ‚Ź goods is not in the condition required by generalcondition 24.2, but may claim compensationfrom the vendor after settlement. The purchaser may nominate an amount not exceeding $5,000 to be held by a stakeholder to be appoinled by the parties if the property is not in the condition required by general condition 24.2 at settlement. Breach A party who breachesthis contact must pay to the other party on demand: (a) compensationfor any reasonablyforeseeableloss to the other party resulting from the breach;and (b) any interestdue under this contact as a râ‚Źsult ofthe breach.
