Draft of Minutes of February 8, 2012 Meeting Subject to approval/change at the March 14, 2012 General Meeting FRIENDS OF THE OLDHAM COUNTY PUBLIC LIBRARY Wednesday February 8, 2012 President Tony Acree called the meeting to order at 6:30 p.m. In attendance were officers Tony, Mary, Suzie, Faye and Carol, FOCPL Board Member Hugh Blair and Friends Linda Goin, Saundra Thacker, Sally Lackner, Elizabeth MacLean and Library Director Susan Eubank. The January 11, 2012 General Meeting Minutes were unanimously approved as written on a motion by Linda Goin. Faye Frank presented the Treasurer's Report showing a balance of $7,934.18. Our fiscal year runs January through December. The Friends will be opening a bank account when the 501(c)(3) approval is complete. On a motion by High Blair the vote was unanimous to open our account at Citizen's Union Bank in LaGrange. Tony announced that the State of Kentucky has approved our non-profit status. On a motion by Suzie Lloyd the Friends unanimously voted to amend our name to “Friends of the Oldham County Public Library” from the previously filed “Friends of the Oldham County Library”. Tony will send in the Articles of Amendment. On a motion by Sally Lackner the Friends unanimously voted to accept a Conflict of Interest Policy which was suggested by the IRS for 501(c)(3) filing. This Policy must be signed by all officers and Board Members of the Friends. On a motion by Saundra Thacker the Friends voted unanimously to authorize the expenditure of the $300 required to file the 501(c)(3) paperwork. April 14 is Library Workers Day and members asked Susan for suggestions of gifts the Friends might give to the staff at the three branches. Susan gave numbers and shift information for staff. Events: Sally Lackner reminded everyone that the LAFTA exhibit of art made from the Romance novels we donated will be on display at the AAOOC Gallery 104 in LaGrange until March 10. She also reminded us about the Members' Art Show at the Library in April. Thus far six people have indicated an interest. The works of art are not


insured by the Library while on display. The Entry Form will specify the legalities and our right to refuse to display a piece. Logistics and display methods were discussed. There is interest in having a February/Valentine's musical evening in 2013. New Business: Susan reported on recent developments in the planning for a new Goshen library branch. She will take several of the Friends' ideas concerning plans of action to the Library Board. March 7 is Library Legislative Day in Frankfort. Three Library Board members as well as staff will be going and Susan encourages the Friends to attend. She will make appointments with legislators and designate people to be present. The Rally at noon in the Rotunda is the last event of the trip. Everyone is encouraged to wear yellow. Sally will send a notice in the Digest asking who will be attending. Sally Lackner discussed our social media presence. The Library and the Friends each have a Facebook page. These should be kept current. Sally has had a request from the Buckner Elementary School PTA to donate used children's books to fill a basket for their Spring Fling. On a motion by Carol Snyder the group voted to contribute books to this cause. Executive Committee: The Executive Committee is looking at April for the selection of a Nominating Committee and the subsequent election of new officers in May. At the February 1, 2012 Executive Committee meeting, per Article IV, Section 5 of our Bylaws, the officers appointed Suzie Lloyd as Vice President until the next election. The vacancy was created when Annice Johnston resigned and was elected to the new Friends Board of Directors. Respectfully Submitted, Mary Wells, Secretary
