LMRE BOARD MEETING HIGHLIGHTS, FEBRUARY 2022 To provide additional transparency to the membership, highlights of the board meetings each month will now be published in the monthly Ohio Cooperative Living (OCL) magazine. Due to the expansive number of topics and discussions, these are only the highlights. In accordance with the Code of Regulations, full meeting minutes are available to all members in person at the co-op during regular business hours.

Call to order Meeting was called to order at 6:02 p.m.

Attendance All trustees were present as well as legal counsel, general manager, and senior staff.

Approval of the consent agenda A motion was made, properly seconded, and carried to approve the consent agenda consisting of prior meeting minutes, new members, collection report, delinquent graph, deceased estates, and outage reports.

LMRE action items All properly motioned, seconded, and approved. • An abbreviated version of the meeting minutes will now appear in OCL. • The board reviewed the co-op safety reports and the Ohio’s Electric Cooperatives (OEC) safety reports. • Update to Service Policy SP 404, “Bankruptcies,” and Service Policy SP 410, “Security Deposits.”

Requirements Study for 2021 was presented, and it was noted the fuel costs were above LMRE’s adjusted increased amount. • The engineering and operations department gave a department report. • The IT department reviewed the “tech tip” about the importance of using surge protectors. • Human resources reviewed Personnel Policy PP 309, Service Policy SP 403, and Service Policy SP 409 with no recommended changes at this time. • The communications department gave a department report and update. • Key accounts/economic development gave a department report.

Legal Counsel reported on legal matters involving the co-op and the December and January National Rural Electric Cooperative Association (NRECA) legal reporting service bulletins with the board.

Cooperative associations reports Reviewed the Buckeye Power/OEC president’s report.

Other associations • Reviewed Cooperative Finance Corporation Solutions, CoBank trustee opportunity, and NRECA 2022 proposed resolutions.

• LMRE Credential Committee nominees.

• It was reported that the Legislative Conference’s COVID guidelines for the 2022 meeting have caused all other Ohio cooperatives to pull out of attending this conference.

Departmental reports

Board training

• Justis Clifford, director of communications, appointed as chair of the LMRE Election Committee.

• The finance and accounting department reported on the monthly financials.

NRECA 930.1 Ethics and Governance: Implementing the New Accountability meeting reports were reviewed.

• The general manager reviewed the weekly reports with the board, reported on the organizational structure of the cooperative, and gave updates to departments with upcoming changes. Next month, a new report will be added about strategic priorities. Lastly, an overview of the Buckeye Power
