Contract Naming, Identity & Identity System (Business Card, (1) Letterhead, (1) Envelope, (1) e-signature - Design & Layout Assignment Number: 19AND001 Project Summary

Currently named axIOM, a company that has a unique neuro diagnostics niche in the market is looking to create a launching brand campaign. Within the campaign a new name and identity will be established with a potential three word description or activated tagline to work with the identity to be applied in a variety of marketing and customer centric applications. The naming process is a creative process. Procurement of the name legally, is complete through an intellectual property lawyer. Our concepts will be reviewed and searched via internet for any challenges or similarities. The design of the final logo will have a black & white application and color will be added once black & white has been approved. You will receive one black & white final logo, One full color logo, logo digital file. Additional marks or avatars from the development to be considered for use will require an additional production and design fee if to used on any/or all collateral. Once logo is approved logo is protected by trademark until Annie Black secures trademark through their Intellectual property lawyer. Once a logo, icon has been approved by name and designed we will design a business collateral package that includes Business card, Letterhead, Envelope design and an e-signature for you to use. Printing will be a separate cost. Terms of Acceptance Time For Payment Upon acceptance of this contract, we will request payment as specified : on front. The grant of any license or right to use the firm’s copyright is conditioned on receipt of full payment. Default In Payment The Client (Annie M. Black) shall be responsible for all collection costs and legal fees necessitated by non-payment of any invoice. Estimates/Contracts The fees and expenses shown are minimum estimates only. Final fees and expenses shall be shown when invoice is rendered. The Client’s approval shall be obtained for any increases in fees or expenses that exceed the original contract by ten percent (10%) or more. Revisions All contracts for design and other professional services shall include a maximum of three (3) round of revisions. Revisions include typographical treatment, color schematics or overall design modifications. Further revisions will be billed to the client at an hourly rate of one hundred and fifty ($150.00) dollars per hour. Changes The Client shall be responsible for making additional payments for changes required by the Client in original assignment. However, no additional payment shall be made for changes required to conform to the original assignment description. The Client shall offer the Agency (M3 Applied Design) the first opportunity to make any changes. Payment Structure The Client shall be responsible for making payments specified on the contract. Year long retainers will be required to be paid on date specified on front. any payment delay may result by Agency a delay in design and materials until payment is issued and received by Agency. Expenses The Client shall reimburse the Agency for all necessary expenses arising from this assignment, including the payment of any sales taxes due on this assignment, and shall advance $_________ to the Agency for payment of said expenses. Cancellation - 50% rule In the event of cancellation of this assignment, ownership of all materials, including the copyrights and the original artwork, shall be retained by the Agency, and a cancellation fee for work completed, based on the contract price and expenses already incurred, shall be paid by the Client. Design & Development Only In the event of the Client on any assignment requests in verbal or written communication that they (the Client) will be handling the printing or manufacturing of all and any material designed by the Agency. The Client will be held responsible for the production and arrangement of documents, adjustments to digital files and art and files to the specifications of the vendor (printer or manufacturer). Print specifications, variables in printer relationships in terms of paper selection and/or printing techniques, and/ or any corrections, misprintings, typographical errors, printing complications or approvals of matchprints, bluelines, die-lines, color, paper-samples, material samples and or mock-ups will be the responsibility of the Client. The Agency will not be held liable or accountable. Ownership and Return of Artwork The Agency retains ownership of all copyrights and original artwork, until payment is complete in full then the Agency passes on the full rights and rightsof use to The Client. If the Client does not fulfill their payment obligation... whether preliminary or final, and the Client shall return such artwork within thirty (30) days of use unless indicated otherwise below: ____________________________________________________________________________

Releases (M3 designs the logo, then informs you to protect the logo),. In some cases I have had several client(s) not do this step. A third party would use the name and logo and protect it then send the client a cease and desist letter, the client would then forcefully request that I absorb the original project and design create a new identity for no additional cost. This is a protection clause in case you decide not to protect your logo/brand and it protects me and my company from anything that could occur if someone takes action. The Client shall indemnify the Agency against all claims and expenses, including reasonable attorney’s fees, due to uses for which no release was requested in writing or for uses which exceed authority granted by a release, obtained by the Agency. Approval Policy Any and all design projects will require an approval form to be signed by The Client. An authorized or signed approval form releases Dan McElhattan III, M3 Applied Design from any grammar, clerical errors, or misinformation supplied by The Client or approved by The Client. Therefore, any errors on a signed approval form are the responsibility of The Client and not The Agency. Modifications Modification of the Agreement must be written, except that the invoice may include, and the Client shall pay, fees or expenses that were orally authorized in order to progress promptly with the work. Uniform Commercial Code The above terms incorporate Article 2 of the Uniform Commercial Code. Code of Fair Practice The Client and the Agency agree to comply with the provisions of the Code of Fair Practice, a copy of which may be obtained from the: Joints Ethics Committee P.O. Box 179, Grand Central Station, New York, New York, 10017 Warranty of Originality The Agency warrants and represents that to the best of his/her knowledge, the work assigned hereunder is original and has not been previously published, or that consent to use has been previously published, or that consent to use has been obtained on an unlimited basis: That all work or portions thereof obtained through the undersigned from third parties is original, or, if previously published, that consent to use has been obtained on an unlimited basis: that the Agency has full authority to make this agreement: and that the work prepared by the Agency does not contain any scandalous, libelous, or unlawful matter. This warranty does not extend to any uses that the Client or others may make of the agency’s product which may infringe on the rights of others. Client expressly agrees that it will hold the Agency harmless for all liability caused by the Client’s use of the Agency’s product to the extent such use infringes on the rights of others. Limitation of Liability Client agrees that it shall not hold the Agency, of its agents or employees, liable for any incidental or consequential damages which arise from the Agency’s failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused by the intentional or negligent acts or omissions of the Agency, or a third party. Dispute Resolution Any disputes in excess of $5,000.00 arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgement may be entered in any court having jurisdiction thereof. The Client shall pay all arbitration and court costs, reasonable attorneys fees, agency timeand legal interest on any award of judgement in favor of the Agency.

Credit Lines Agency and any other creators shall receive a credit line with any editorial usage. If similar credit lines are to be given with other types of usage, it must be so indicated here: Design by M3 Applied design.
