Terms of Trade: Medical & Safety Solutions Ltd (NZ) Effecti ve from 01 October 2011 1. Terms (1.1)These terms of trade and pri ci ng on a ny goods and servi ces tha t this terms and trade documents is a ttached to supersede any previous s tanda rd terms and conditi ons a greed between the pa rties and governing the provision of servi ces and/or goods by Medical & Sa fety Solutions Ltd (NZ) to the customer. (1.2) All goods and servi ces supplied by Medi cal & Safety Solutions Ltd (NZ) to the cus tomer will be upon these terms of tra de unless otherwise agreed in wri ting (1.3) Medi cal & Safety Solutions Ltd (NZ) a gents or representa ti ves ha ve no authori ty to make any oral representa tions , s ta tements, wa rra nties, condi tions or agreements tha t conflict with these terms of trade. 2.0Payment (2.1) The pri ce for the goods and servi ces will be as quoted in wri ting by Medi cal & Safety Solutions Ltd (NZ) to the cus tomer. In the absence of a wri tten quote, Medi cal & Sa fety Solutions Ltd (NZ) s tanda rd cha rge applies . The sta nda rd cha rge of Automa ted External Defibrillators (AED) and Automated External Defibrillator Consumables can be viewed and downloaded from www.medicalsafetys olutions .co.nz All quotes and charges are exclusive of GST and GST will be payable by the customer in addition to such payment. (2.2) All freight, couriers , tra vel cos ts, and any other cha rges in rela tion to the servi ce provided will be in addition to the quoted pri ce and will be pa yable by the cus tomer. (2.3) Where Medi cal & Sa fety Solutions Ltd (NZ) organises servi ces wi th other businesses on your behal f, a processing fee of 8% will be added to the quoted pri ce provided by the supplier prior to commenci ng the work or placing the order. Clients outside of Auckland ma y be liable for a $25 surcha rge to cover toll calls duri ng the course of a project. (2.4) Pa yment for all goods and servi ces mus t be made by the cus tomer to Medical & Sa fety Soluti ons Ltd (NZ) nomina ted Bank Account on the 14th da y of Medical & Sa fety Solutions Ltd (NZ) invoi ce. Medi cal & Safety Solutions Ltd (NZ) ma y a t i ts option issue a monthl y interi m invoi ce for work where the deli very of servi ces is over a peri od exceeding one month. (2.5) If the client fails to make pa yment on the due da te Medi cal & Safety Solutions Ltd (NZ) reserves the ri ght to impose a late penalty fee cal cula ted a t 5% of the total balance outs tanding by the client. On outs tandi ng invoi ces of 1000.00 NZD where a late penalty fee has been imposed will also ha ve an admi nistra tion fee of 25.00 NZD (2.6) Any expenses , disbursements and legal costs incurred by Medical & Sa fety Soluti ons Ltd (NZ) i n the enforcement of any rights contained in these terms of trade will be paid by the cus tomer, including any reasonable soli ci tor’s fees or debt collection a gency fees. 3. Service Variables (3.1) Medi cal & Sa fety Solutions Ltd (NZ) endea vours to be as a ccura te as possible in all work undertaken and suppl y of any goods and servi ces . (3.2) Medical & Sa fety Solutions Ltd (NZ) (as a ccura tel y as possible) predi cts the time requi red to complete va rious projects on beha lf of the client. Where a project ti me and pri ce has been previousl y a greed to before undertaking work on behalf of, Medi cal & Sa fety Solutions Ltd (NZ) will not al ter the contra ct by ei ther increasing or decreasing invoicing totals to compensate for a change in completion ti me. (3.3) However, where addi tional servi ces a re requi red which ha ve not been outlined i n the contra ct, Medi cal & Safety Solutions Ltd (NZ) reserves the ri ght to invoi ce for extra time and/or servi ces . 4. Provision of Services Medical & Safety Soluti ons Ltd (NZ) will : (4.1) Use all reasonable skill and ca re in provi ding the goods and servi ces in a timel y and efficient manner. (4.2) Not be liable for any dela y or non -performance provi ding goods or servi ces if the dela y or non -performance is a ttributable (di rectl y or indi rectl y) to ci rcums tances beyond its reasonable control . (4.3) Not be obliged to a ccept any order for goods or servi ces made by the Cus tomer and will be enti tled, in i ts sole dis cretion, to refuse to provide or perform all or any such goods and servi ces . (4.4) Medi cal & Safety Solutions Ltd (NZ) ma y wi thdra w a quota tion for the provision of goods and servi ces at a ny ti me before i t is a ccepted by the cus tomer. All quota tions will lapse without noti ce 30 da ys a fter gi ven. (4.5) The cus tomer will not cancel any contra ct or servi ce pa cka ge (in full or in pa rt) without fi rst obtaining the wri tten consent of Medical & Safety Soluti ons Ltd (NZ) 5.0 Liability and Indemnity (5.1) With the exception of express wa rranties contained in these terms of trade, all wa rra nties and representati ons in respect of goods and servi ces supplied a re excl uded to the extent permi tted by la w. (5.2) In no event will Medi cal & Sa fety Solutions Ltd (NZ) be liable to the cus tomer or any other pa rty for any loss or da mage a rising di rectl y or i ndi rectl y in connection wi th Medi cal & Sa fety Solutions Ltd (NZ) servi ces and goods , thei r use, misuse or otherwise including (but without limi ta tion) any l oss of profi t, business, revenue, goodwill or anti cipa ted sa vings . (5.3) Medi cal & Sa fety Solutions Ltd (NZ) will not be liable to the cus tomer or any other pa rty for consequential , special, puniti ve or exempla ry l oss, damage or liabili ty a rising di rectl y or i ndi rectl y out of or rela ted to the a greement a nd provision, performa nce of or failure to perform the servi ces by Medi cal & Sa fety Solutions Ltd (NZ) whether in contra ct, tort (negligence), for brea ch of s ta tutory duty or any other principle of legal liability. 6.0 Warranty (6.1) Subject to the conditions of wa rranty set out in Clause 6.2, Medi cal & Safety Solutions Ltd (NZ) wa rrants tha t if any defect in any workmanship manufa ctured by Medi cal & Sa fety Solutions Ltd (NZ) becomes appa rent a nd is reported to Medi cal & Sa fety Solutions Ltd (NZ) wi thin twel ve (12) months of the da te of deli very then Medi cal & Sa fety Solutions Ltd (NZ) will (a t the Medical & Sa fety Solutions Ltd (NZ)s sole dis cretion) repai r the defect or replace the workmanship . The condi tions applicable to the wa rranty gi ven by Medical & Safety Soluti ons Ltd (NZ) a re the following (6.2) The wa rranty shall not cover any defect or da mage which ma y be caused or pa rtl y caused by or a rise through Failure on the pa rt of the Cus tomer to properl y maintain any Goods .

(6.3) Failure on the pa rt of the Cus tomer to follow any ins tructions or guidelines provi ded by Medi cal & Sa fety Solutions Ltd (NZ). (6.4) The continued use of any Goods after any defect becomes appa rent or would ha ve become appa rent to a reasonabl y prudent opera tor or user; or Fai r wea r a nd tear, any a ccident or act of God . (6.5) The wa rra nty shall cease and Medi cal & Sa fety Solutions Ltd (NZ) s hall therea fter in no ci rcums tances be liable under the terms of the wa rranty i f the workmanship is repai red, al tered or overhauled without the Medical & Sa fety Solutions Ltd (NZ)’s consent (6.6) In respect of all claims Medi cal & Safety Solutions Ltd (NZ) shall not be liable to compensate the Customer for any dela y in ei ther repla cing or repai ring the workma nship/Goods or in properl y assessing the Cus tomers claim. (6.7) For Goods not manufa ctured by Medi cal & Safety Solutions Ltd (NZ) the wa rranty s hall be the current wa rranty provided by the ma nufacturer of the Goods . Medi cal & Safety Solutions Ltd (NZ) shall be under no liability wha tsoever except for the express condi tions as detailed and s tipula ted in the manufa cturer’s wa rranty. 7.0 Termination These Terms of Trade ma y be termina ted by noti ce in wri ting as follows : (7.1) By Medi cal & Sa fety Solutions Ltd (NZ) if the cus tomer commits any a ct of bankruptcy, enters into any a rrangement wi th its creditors or (in the case of a company does any a ct whi ch would render i t liable to be liquida ted), or if a res olution is passed or proceedings commenced for the liquida tion or volunta ry a dminis tra tion of the cus tomer or i f a recei ver is appointed in respe ct of all or any of the customers assets . (7.2) By Medi cal & Safety Solutions Ltd (NZ) i f the cus tomer is in brea ch of these terms and condi tions. (7.3) By Medical & Sa fety Solutions Ltd (NZ) upon completi on of the deli very of the servi ces and goods and pa yment in full by the Cus tomer. (7.4) By mutual agreement of the pa rties. 8. Intellectual Property (8.1) The customer a grees and a cknowledges tha t Medi cal & Sa fety Solutions Ltd (NZ) is the owner and/or li censee of the intellectual property ri ghts in s ys tems and documenta tion, know-how and other intellectual property whi ch ma y be utilised in the provision of the servi ces or goods provided to the customer a nd tha t the customer obtains no ri ghts and or interes ts in such intellectual property by vi rtue of its purchase of the servi ces and /or goods from Medi cal & Safety Solutions Ltd (NZ). (8.2) You unders tand tha t all wri tten ma terial, computer softwa re used in the process of implementa tion of any goods , servi ces or progra mme remains the property of Medi cal & Sa fety Solutions Ltd (NZ). You release Medi cal & Sa fety Solutions Ltd (NZ) from any responsibility for legal or other problems tha t ma y a rise from the use of any wri tten copy produced on your behal f. 9. 0 Confidential Information (9.1) Due to the na ture of work conducted, a ccess to confidential business informa tion ma y be requi red. All such informa tion and documenta tion will be treated wi th utmos t securi ty. (9.2) Unless specified, Medical & Sa fety Solutions Ltd (NZ) reserves the ri ght to work wi th other businesses in similar indus tries . If you’d prefer tha t Medi cal & Sa fety Solutions Ltd (NZ) does not work wi th other companies you deem to be in competi tion wi th your own, please sa y so prior to engaging i n any long term agreement. Wherever possible we will endea vour to accommodate your requests . (9.3) Nei ther pa rty will dis close informa tion whi ch is confidential to the other pa rty to a thi rd pa rty unless c ompelled to do so by la w. (9.4) Medi cal & Sa fety Solutions Ltd (NZ) reserves the ri ght to use 3rd pa rty contra ctors where necessa ry to add capa ci ty to current workload. Contra ctors employed by Medical & Sa fety Sol utions Ltd (NZ) a re qualified to ca rry out thei r role, highl y professional and compl y wi th standa rd employee confidentiality requi rements as detailed above 10.0. Miscellaneous (10.1) Nei ther pa rty ma y assign a ny of i ts ri ghts or obliga tions under these Terms of Tra de without the prior wri tten consent of the other. (10.2) Every noti ce gi ven under these terms and conditi ons will be suffi cientl y gi ven i f deli vered personall y, pos ted or successfull y emailed to the intended recipient at his /her or thei r last known address or email address . (10.3) Nei ther pa rty will be liable for a ny dela y or failure for the performance of any of the obliga tions imposed on them under these Terms of Trade if such failure is beyond the reasonable control and wi thout fault or negli gence of tha t pa rty, provided that this clause will not extend to excuse the consequences of insol vency or financial diffi cul ty. (10.4) These Terms of Trade consti tutes the enti re a greement between the pa rties whi ch supersedes any prior a rrangement or unders tanding whether wri tten or oral rela ting to the subject ma tter of this agreement. (10.5) These Terms of Trade will be governed by the laws i n New Zealand and the pa rties submi t to the non-excl usive jurisdi ction of the Courts of New Zealand. 11.0 Changes to Terms of Trade

(11.1) Medical & Safety Solutions Ltd (NZ) reserves the right to r eview these terms and conditions at any time and from time to time. If, following any such review, there is to be any change in such terms and conditions, that change will take effec t from the date on which the Seller notifies the Customer of such change. AED & Cardiac Arrest. When a person suffers a sudden cardiac arrest, chances of survival decrease by 7 to 10 percent for each minute that passes without defibrillation. A victim's best chance for survival is when there is revival within 4 minutes. What is an Automated External Defibrillator? An Automated External Defibrillator (AED) is a small, lightweight device used to assess a person's heart rhythm. If necessary, it administers an electric shock to restore a normal rhythm in victims of sudden cardiac arrest.. Built-in computers assess the patient's heart rhythm, judge whether defibrillation is needed, and then administer an appropriate level of shock. Audible and/or visual prompts guide the user through the process. How does an AED work? A microprocessor inside the defibrillator analyzes the victim's heart rhythm through adhesive electrodes (some AED models require the person to press an ANALYZE button). The computer then advises the operator whether a shock is needed. When the operator responds to the prompt to give a shock, an electric current is delivered through the victim's chest wall through adhesive electrode pads. Why are AEDs important? AEDs can restore a normal heart rhythm in victims of sudden cardiac arrest, which may be a heart attack or sudden death. New, portable AEDs enable more people to respond to a medical emergency that requires defibrillation. When a person suffers a sudden cardiac arrest, the chance of survival decreases by 7 percent to 10 percent for each minute that passes without defibrillation. When a person's heart stops beating, why should an AED be used? When a heart's rhythm goes into an uncoordinated electrical activity called fibrillation, the heart twitches ineffectively and can't pump blood. This condition often accompanies severe heart attacks when the patient's heart appears to have stopped beating. The AED delivers electric current to the heart muscle, momentarily stunning the heart, stopping all activity. This gives the heart an opportunity to resume beating effectively. AEDs require very little training to use. The machine automatically diagnoses the patient's condition, determines the current versus desired heart rhythm, and determines whether or not shock is needed. 1. The first prompts tells the user to connect the electrodes to the AED and to stick the adhesive electrode pad(s) to the victim's bare chest. The electrodes send the heart's electrical rhythm data (ECG) to the AED unit. 2. The AED then analyzes (and sometimes displays) the ECG heart rhythm. It checks characteristics such as frequency, shape, slope, amplitude and heart rate. Based on these characteristics, the AED determines whether or not a shock is needed. 3. If a shock is needed, the AED will prompt the user to either press a button to deliver the shock, or to stand back to deliver the shock automatically. The AED starts building up the requires electrical charge and then delivers an electrical shock to the victim. 4. The AED next re-analyzes the heart rhythm to determine if another shock is needed. If so, another shock is administered. 5. If a "shockable" heart rhythm is not detected, the AED will prompt the user to check the victim for a pulse and to perform CPR.

The Unit has been unpacked to install the battery and electrodes and has gone through the initial self testing.

Please fully read the operation manual and become familiar with the unit prior to placing in use.

Please record expiration date of pads and battery and implement an audit system for this.

We advocate that all Advisory Defibrillator's and Monitors are fully serviced and Bio-Cert every 12-24 months by qualified Clinical Engineers.

This is an expected quality standard done by all Hospitals and becoming normal practice in Medical Clinics that have patient diagnostic medical equipment.

This is over and above the AED self testing and promotes safe clinical standards and reduces adverse events.

All testing and Bio Certification is done to the manufacture specifications.

We hold an independent contract with clinical engineers that are experienced with your unit and can perform this with one day service.

HeartSine Technologies devices are based on years of experience in defibrillator design and manufacture. The scientifically acknowledged Smart Biphasic technology guarantees an optimal analysis and electrical shock therapy. The combined battery and electrode is unique and economic. The electrodes which are marked by additional graphics are placed on the skin of the victim. All other steps are advised via oral instructions. The device is water resistant and can therefore be used in problematic areas like swimming pools, on the beach etc. The integrated battery is durable between 3.5 and 5 years (after Date of Manufacture) according to the model as well as the electrodes. There are no additional costs with different expiry dates of the electrodes or the battery, only one date to monitor.
