2019-2020 LEGEND SEEDS, INC. DEALER AGREEMENT

for all Legend Brand, JSC Brand, Nuseed Brand, Corn, Soybean, Alfalfa, and any other products offered by Legend Seeds. This agreement (“Agreement”) is entered into between Legend Seeds, Inc., a South Dakota Corporation, hereinafter referred to as “Legend Seeds” and following (name) hereinafter referred to as “DEALER”.

The dealer will receive published dealer pricing, provided yearly. The Legend Seeds Dealer will carry out all duties associated with being a Legend Seeds Dealer. This includes promotions, proper handling of paperwork and working with Legend Seeds personnel to increase Legend Seeds sales in the dealer’s area and to ensure good communications and public relations between the dealer, his customers and Legend Seeds. The Legend Seeds Dealer agrees to pay for all products ordered according to Legend Seeds terms and conditions (please refer to 2019 Dealer Manual). If the dealer fails to make payment according to such terms, the dealer agrees to pay a monthly service charge not to exceed 1% or the applicable legal rate on any past due balance and agrees to pay all expenses of collection including reasonable attorney fees. The dealer will also forfeit all discounts and be invoiced published retail prices at this time. Warranties: Legend Seeds warrants the purity and germination of its product as shown on the tags, labels and shipping documents and that the seed sold in these bags are as described on the label with legally recognized tolerances. Limitation of Warranty: Performances of seeds may be adversely affected by moisture, temperature, improper storage and handling, improper use of fertilizers and chemicals, insects, diseases, environmental conditions or other factors beyond the control of Legend Seeds. The Legend Seeds Dealer is not an agent or employee of Legend Seeds and shall have no authority to make any promise, guarantee or commitment on behalf of Legend Seeds in any manner. Neither party shall voluntarily assign this agreement in whole or in part without prior written consent of the other party. Legend Seeds Dealer warrants that Dealer will sell seed containing patented traits (“Licensed Seed”) only to Customers who have signed appropriate license agreement (herein after referred to as a Technology/ Stewardship Agreement) with the owner or licensee of the patented traits (said owner or licensee is herein referred to after to as “Technology Provider”) and also only if said Technology/Stewardship Agreement has been accepted by the Technology Provider. This request is for Business Credit and authority to be a Legend Seeds Dealer. I authorize my banker, PCA, FLB, or FHA office to disclose full credit and financial information concerning myself and my operations, to my Legend Seed Representative. This information is given to Legend Seeds in confidence and is to be used exclusively by them or their Agents in their administration of my account. MONSANTO Legend Seeds, Inc. (“Licensee”) has received a license from Monsanto Company (“Monsanto”) and where applicable an involved third-party co-licensor that permits Licensee to offer corn products and soybean products incorporating certain technology protected under patents owned by Monsanto and where applicable an involved third-party co-licensor. These products are marketed with one or more trademarks owned by Monsanto. The license under which Licensee offers Licensee’s Monsanto authorized brand of seed containing such patented technology is a limited license that limits who may purchase and sell Licensee seed containing such patented technology (“Licensed Products”) and the conditions under which those transactions may take place. Before (“Dealer”) may purchase or sell Licensed Products, Monsanto requires that Licensee obtain Dealer’s commitment to the provisions set forth below, which enforce the limited nature of Monsanto’s license to Licensee. Dealer agrees as follows: 1) Dealer warrants to Monsanto and Licensee that Dealer will only sell Licensed Products to growers who have signed a Monsanto Technology/Stewardship Agreement that has been accepted by Monsanto. 2) Dealer will not present a Monsanto Technology/Stewardship Agreement or sell Licensed Products to any grower who is listed as “not authorized” by Monsanto at www.corn-states.com or to any grower for whom Dealer has received from Monsanto a specific notice not to sell. 3) Dealer will not sign a Monsanto Technology/Stewardship Agreement for a grower other than when the Dealer is the grower. 4) Dealer will not sell Licensed Products to a wholesaler or other reseller or buy Licensed Products from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to this Agreement. 5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Products and copies of signed Monsanto Technology/Stewardship Agreements. The records for sales and transfers must include the names, addresses, dates, quantities, variety(ies) and/or hybrid(s), lot numbers, beginning inventory counts, net seed purchases and transfers in by lot number, ending inventory counts, and seed volumes sold or transferred out including seed given away as promotion seed, test plot seed, replants, and authorized disposals of excess seed. Licensed Product reported as “dumped” will not be sold for planting purposes nor will it be transferred for disposal as packaged goods. Such records will be maintained for at least three (3) years from the close of the Fiscal Year in which they were sold or transferred (with Fiscal Years ending August 31st). 6) Dealer will only sell Licensed Products in the United States and will only sell Licensed Products for use in the United States. 7) Dealer agrees to participate in Monsanto grain channeling programs and resistance management programs, including reporting of grower sales information, distribution of grain marketing and resistance management materials, training of personnel, cooperating with Monsanto and/or EPA audits for compliance, and other activities as may be communicated from time to time. 8) Dealer agrees to cooperate fully in efforts to protect intellectual property rights Monsanto or Licensee may have in Licensed Products, and agrees to notify Monsanto and Licensee whenever Dealer has a reasonable basis for concluding that such rights may be infringed. 9) Dealer grants Monsanto the right to audit Dealer’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with its limited right to sell and transfer products containing Monsanto technology. 10) Dealer acknowledges that Dealer may be prohibited from dealing in Licensed Products and Licensee may terminate this Agreement with Dealer as a result of any breach by Dealer upon written notice from Licensee.

BASF LICENSEE shall include the following model provisions in its written dealer and distributor agreements prior to the transfer of any soybean seed that includes a BASF LibertyLink® event (“Licensed Soybean Product”) to a dealer or distributor. All model provisions need to be included for authorized dealers or distributors (each a “Dealer”) to distribute/sell Licensed Soybean Product on behalf of LICENSEE (“Legend Seeds, Inc.”). 1) Dealer will only distribute Licensed Soybean Product to growers who have a current and valid executed BASF Grower Technology Agreement (BGTA) from BASF Agricultural Solutions Seed US LLC (“BASF” as successor-in-interest to Bayer CropScience LP) (“BASF”) for planting within the USA. Dealer will not distribute Licensed Soybean Product to growers who have been designated as NOT AUTHORIZED on a BASF website or if the Dealer has received a specific notice not to sell. 2) Dealer is not authorized to sign BGTAs on behalf of other growers. However, Dealer may sign a BGTA on its own behalf if Dealer is a grower. 3) Dealer may not wholesale Licensed Soybean Product unless provided written authorization from Retail Seed Company or BASF. 4) Dealer will keep and retain complete records with respect to the sale and transfer of Licensed Soybean Product. The records for sales and transfers must include the names, addresses, dates, quantities, hybrid or variety names, and lot numbers. Sales and transfers include seed volumes sold or transferred out including, but not limited to, Licensed Soybean Product given away as promotion seed, distributed for test plot, used for replants, and disposed as excess or damaged seed. Dealer must also keep inventory records for Licensed Soybean Product to include beginning inventory counts, net seed purchases and seed transfers, and ending inventory counts. Such records will be maintained for at least five (5) years from the close of the fiscal year in which they were sold or transferred. 4) Dealer will fully participate in BASF product stewardship programs as designated by BASF and/or Retail Seed Company. These programs will include reporting of Grower sales information, distribution of educational materials, training of Dealer personnel and cooperating with BASF and/or audits, and other activities. 5) Dealer will fully cooperate in efforts to protect BASF’s intellectual property rights and agrees to notify BASF and/or Retail Seed Company whenever Dealer has a reasonable basis to believe that these rights have been infringed. 6) Dealer grants BASF the right to audit Dealer’s books and records for up to five (5) calendar years prior to the date of the audit and grants BASF and its agents and affiliates permission to inspect any premises used for Licensed Seed Product to verify Dealer’s compliance with the obligations set forth in this Agreement. 7) BASF is an intended third-party beneficiary of this Agreement and may enforce this Agreement as if it had been entered into between Dealer and BASF. 8) Dealer shall defend and indemnify against, and hold BASF, its affiliates, and the employees, directors, officers and agents of each of them, harmless from, any loss, damage, claim, cost, fines, liability or expense (including court costs and reasonable fees of attorneys and other professionals) incurred or arising from: (i) Dealer’s breach of this Agreement (including without limitation, a breach of or, failure to comply with, its representations and warranties made in this Agreement); (ii) any claim by Dealer or any third party relating to or arising from the production, sale, distribution or use of Licensed Soybean Product, any plant grown therefrom or the performance of any of them; and (iii) any claim whether by Dealer or any third party for any presence of a LibertyLink® soybean event in biological material that is not meant to contain such event; regardless of the cause of such claim. 9) Upon termination or expiration of this Agreement, Dealer will promptly return all Licensed Seed Product to Retail Seed Company.10) BASF and/or Retail Seed Company may terminate this license if Dealer breaches any of the foregoing provisions or in the event that Licensee’s underlying agreement with BASF is terminated or expires. Dealer agrees that Sections 4 through 11 (inclusive) shall survive termination or expiration of this Agreement. CORTEVA (“Enlist License”) from Dow AgroSciences (“DAS”) and M.S. Technologies, L.L.C. (“MS Tech”), where collectively DAS and MS Tech are referred to herein as “Licensors”, that permits it to offer soybean products incorporating Licensors’ Enlist™ technology protected under patents owned or by Licensors (“Licensed Soybean Products”). Licensed Soybean Products are marketed with one or more trademarks owned by Licensors. The Enlist License is a limited license that limits who may purchase and sell Licensed Soybean Products and the conditions under which those transactions may take place. Each Licensor is a third-party beneficiary of the written distributor agreement between Licensee and a Distributor (“Distributor Agreement”). Licensors may enforce the Distributor Agreement as if it had been entered into between the Distributor and Licensors. The obligations of the Distributor under items 5 and 9 below shall survive termination of the Distributor Agreement. Distributor agrees as follows: 1) Not to sell Licensed Soybean Products to growers who have not entered into a valid, in-force Technology Use Agreement; 2) Not to present a Technology Use Agreement or sell Licensed Soybean Products to any grower who is listed as “not authorized” by Licensors at www.agcelerate.com or another website as indicated by Licensors, or to any grower for whom Distributor has received from Licensee a specific notice not to sell; 3) Not to sign a Technology Use Agreement for a grower other than when the Distributor is the grower; 4) Not to sell Licensed Soybean Products to a wholesaler or other reseller or buy Licensed Soybean Products from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to the subject Distributor Agreement; 5) To keep and retain complete and original records with respect to the sale and transfer of Licensed Soybean Products for at least the prior three (3) calendar years; 6) To only sell Licensed Soybean Products in the United States and to only sell Licensed Soybean Products for use in the United States; 7) Licensors are committed to the proper stewardship of its products and expects those with whom it contracts to handle all Licensor technology and material containing Licensor technology in an appropriate manner. 8) To cooperate fully in efforts to protect intellectual property rights Licensors or Licensee may have in Licensed Soybean Products, together with an agreement to notify Licensors and Licensee whenever the Distributor has a reasonable basis for concluding that such rights may be infringed; 9) To grant Licensors or Licensee the right to audit Distributor’s stewardship compliance during the term of the agreement, Distributor’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Distributor’s compliance with its limited right to sell and transfer Licensed Soybean Products; and 10) To acknowledge that Distributor may be prohibited from dealing in Licensed Soybean Products and Licensee may terminate the subject Distributor Agreement with Distributor as a result of any breach by Distributor upon written notice from Licensee. GREENLEAF 1) Dealer will only sell Licensed Products to Growers who have signed a Syngenta Seeds, LLC Stewardship Agreement (or in Canada, the equivalent agreement) that has been accepted and not revoked by GreenLeaf. 2) Dealer will not present a Stewardship Agreement or sell Licensed Products to any Grower: (i) for whom Dealer has received from GreenLeaf a specific notice not to sell; or (ii) who is listed as not authorized to purchase Agrisure® Licensed Products on a GreenLeaf website in the event GreenLeaf implements a website listing Growers not authorized to purchase Licensed Products and Dealer is so advised and provided appropriate access to such website. 3) Dealer will not sign a Stewardship Agreement for a Grower unless that Grower is the Dealer. 4) Dealer will not sell Licensed Products to a wholesaler or other reseller unless GreenLeaf gives written authorization to Dealer to sell Licensed Products to that specific wholesaler or other reseller. 5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Products and copies of signed Stewardship Agreements. The records for sales and transfers must include the Grower names, Grower addresses, Grower technology number, dates, quantities, variety(ies), lot numbers, beginning inventory counts, net seed purchases and transfers by lot number, ending inventory counts, and seed volumes sold or transferred out including seed given away as promotion seed, test plot seed, replants, and authorized disposals of excess seed. Such records will be maintained for at least three years from the close of the Crop Year in which they were sold or transferred. 6) Dealer agrees to participate in any grain channeling programs and resistance management programs, including reporting of Grower sales information, distribution of grain marketing and resistance management materials, training of personnel, cooperating with GreenLeaf, EPA and/or CFIA audits for compliance, and other activities. 7) Dealer agrees to cooperate fully in efforts to protect intellectual property rights GreenLeaf and/or any third party may have in Licensed Products, and agrees to notify GreenLeaf whenever Dealer has a reasonable basis for concluding that such rights may be infringed. 8) Dealer grants GreenLeaf the right to audit Dealer’s books and records for up to three calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with Dealer’s obligations set forth herein. 9) Dealer acknowledges that Dealer may be prohibited from dealing in Licensed Products and Licensee may terminate this Agreement with Dealer as a result of any breach by Dealer upon written notice from Licensee.

(“Licensee”) has received licenses from both Forage Genetics International, LLC (“FGI”) and Monsanto Company (“Monsanto”) (Monsanto and FGI are collectively referred to herein as the “Partners”) that permits Licensee to offer Alfalfa products incorporating certain technology (“Partners Patented Technology”) protected under patents owned by the Partners. These products are marketed with one or more trademarks owned by the Partners. The license under which Licensee offers Licensee’s Partner authorized brand of seed containing Partner Patented Technology is a limited license that limits who may purchase and sell Licensee seed containing Partner Patented Technology (“Licensed Product”) and the conditions under which those transactions may take place. Before (“Dealer”) may purchase or sell Licensed Product, the Partners require that Licensee obtain Dealer’s commitment to the provisions set forth below, which enforce the limited nature of the Partner’s license to Licensee. In entering into this Agreement (“Agreement”), Dealer understands that: (i) The Partners are a third-party beneficiary of this Agreement; (ii) The Partners may enforce this Agreement as if it had been entered into between Dealer and the Partners; and (iii) The obligations of Dealer under Sections 5 and 9 of this Agreement shall survive termination of this Agreement and such obligations may not be terminated without the written consent of the Partners. Dealer agrees as follows: (1) Dealer warrants to the Partners and Licensee that Dealer will only sell Licensed Product to growers who have signed a Monsanto Technology/Stewardship Agreement that has been accepted by Monsanto. Special agreements may also be required for growers in particular areas. (2) Dealer will not present a Monsanto Technology/Stewardship Agreement or sell Licensed Product to any grower who is listed as “not authorized” by Monsanto at www.corn-states.com or to any grower for whom Dealer has received from Monsanto a specific notice not to sell. (3) Dealer will not sign a Monsanto Technology/Stewardship Agreement for a grower other than when the Dealer is the grower. (4) Dealer will not sell Licensed Product to a wholesaler or other reseller or buy Licensed Product from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to this Agreement. (5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Product. The records for sales and transfers must include the names, addresses, dates, quantities, variety(ies), lot numbers, beginning inventory counts, net seed purchases and transfers in by lot number, ending inventory counts, and seed volumes sold or transferred out including seed given away as promotion seed, test plot seed, replants, and authorized disposals of excess seed. Licensed Product reported as “dumped” will not be sold for planting purposes nor will it be transferred for disposal as packaged goods. Such records will be maintained for at least three (3) years from the close of the Fiscal Year in which they were sold or transferred (with Fiscal Years ending August 31st).(6) Dealer will only sell Licensed Product in accordance with the territorial restrictions, planting permissions, management and use restrictions as specified in the Monsanto Technology Use Guide found at http://tug.monsanto.com. (7) Dealer agrees to participate in Monsanto channeling programs and resistance management programs, including reporting of grower information, distribution of marketing and resistance management materials, training of personnel, cooperating with the Partners and/or EPA audits for compliance, and other activities as may be communicated by the Partners from time-to-time. (8) Dealer agrees to cooperate fully in efforts to protect intellectual property rights the Partners or Licensee may have in Licensed Product, and agrees to notify the Partners and Licensee whenever Dealer has a reasonable basis for concluding that such rights may be infringed. (9) Dealer grants the Partners the right to audit Dealer’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with its limited right to sell and transfer products containing Partner technology. (10) Dealer acknowledges that Dealer may be prohibited from dealing in Licensed Product and Licensee may terminate this Agreement with Dealer as a result of any breach by Dealer upon written notice from Licensee.

The dealer will receive published dealer pricing, provided yearly. The Legend Seeds Dealer will carry out all duties associated with being a Legend Seeds Dealer. This includes promotions, proper handling of paperwork and working with Legend Seeds personnel to increase Legend Seeds sales in the dealer’s area and to ensure good communications and public relations between the dealer, his customers and Legend Seeds. The Legend Seeds Dealer agrees to pay for all products ordered according to Legend Seeds terms and conditions (please refer to 2019 Dealer Manual). If the dealer fails to make payment according to such terms, the dealer agrees to pay a monthly service charge not to exceed 1% or the applicable legal rate on any past due balance and agrees to pay all expenses of collection including reasonable attorney fees. The dealer will also forfeit all discounts and be invoiced published retail prices at this time.

Warranties: Legend Seeds warrants the purity and germination of its product as shown on the tags, labels and shipping documents and that the seed sold in these bags are as described on the label with legally recognized tolerances. Limitation of Warranty: Performances of seeds may be adversely affected by moisture, temperature, improper storage and handling, improper use of fertilizers and chemicals, insects, diseases, environmental conditions or other factors beyond the control of Legend Seeds. The Legend Seeds Dealer is not an agent or employee of Legend Seeds and shall have no authority to make any promise, guarantee or commitment on behalf of Legend Seeds in any manner. Neither party shall voluntarily assign this agreement in whole or in part without prior written consent of the other party. Legend Seeds Dealer warrants that Dealer will sell seed containing patented traits (“Licensed Seed”) only to Customers who have signed appropriate license agreement (herein after referred to as a Technology/ Stewardship Agreement) with the owner or licensee of the patented traits (said owner or licensee is herein referred to after to as “Technology Provider”) and also only if said Technology/Stewardship Agreement has been accepted by the Technology Provider. This request is for Business Credit and authority to be a Legend Seeds Dealer. I authorize my banker, PCA, FLB, or FHA office to disclose full credit and financial information concerning myself and my operations, to my Legend Seed Representative. This information is given to Legend Seeds in confidence and is to be used exclusively by them or their Agents in their administration of my account. MONSANTO Legend Seeds, Inc. (“Licensee”) has received a license from Monsanto Company (“Monsanto”) and where applicable an involved third-party co-licensor that permits Licensee to offer corn products and soybean products incorporating certain technology protected under patents owned by Monsanto and where applicable an involved third-party co-licensor. These products are marketed with one or more trademarks owned by Monsanto. The license under which Licensee offers Licensee’s Monsanto authorized brand of seed containing such patented technology is a limited license that limits who may purchase and sell Licensee seed containing such patented technology (“Licensed Products”) and the conditions under which those transactions may take place. Before (“Dealer”) may purchase or sell Licensed Products, Monsanto requires that Licensee obtain Dealer’s commitment to the provisions set forth below, which enforce the limited nature of Monsanto’s license to Licensee. Dealer agrees as follows: 1) Dealer warrants to Monsanto and Licensee that Dealer will only sell Licensed Products to growers who have signed a Monsanto Technology/Stewardship Agreement that has been accepted by Monsanto. 2) Dealer will not present a Monsanto Technology/Stewardship Agreement or sell Licensed Products to any grower who is listed as “not authorized” by Monsanto at www.corn-states.com or to any grower for whom Dealer has received from Monsanto a specific notice not to sell. 3) Dealer will not sign a Monsanto Technology/Stewardship Agreement for a grower other than when the Dealer is the grower. 4) Dealer will not sell Licensed Products to a wholesaler or other reseller or buy Licensed Products from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to this Agreement. 5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Products and copies of signed Monsanto Technology/Stewardship Agreements. The records for sales and transfers must include the names, addresses, dates, quantities, variety(ies) and/or hybrid(s), lot numbers, beginning inventory counts, net seed purchases and transfers in by lot number, ending inventory counts, and seed volumes sold or transferred out including seed given away as promotion seed, test plot seed, replants, and authorized disposals of excess seed. Licensed Product reported as “dumped” will not be sold for planting purposes nor will it be transferred for disposal as packaged goods. Such records will be maintained for at least three (3) years from the close of the Fiscal Year in which they were sold or transferred (with Fiscal Years ending August 31st). 6) Dealer will only sell Licensed Products in the United States and will only sell Licensed Products for use in the United States. 7) Dealer agrees to participate in Monsanto grain channeling programs and resistance management programs, including reporting of grower sales information, distribution of grain marketing and resistance management materials, training of personnel, cooperating with Monsanto and/or EPA audits for compliance, and other activities as may be communicated from time to time. 8) Dealer agrees to cooperate fully in efforts to protect intellectual property rights Monsanto or Licensee may have in Licensed Products, and agrees to notify Monsanto and Licensee whenever Dealer has a reasonable basis for concluding that such rights may be infringed. 9) Dealer grants Monsanto the right to audit Dealer’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with its limited right to sell and transfer products containing Monsanto technology. 10) Dealer acknowledges that Dealer may be prohibited from dealing in Licensed Products and Licensee may terminate this Agreement with Dealer as a result of any breach by Dealer upon written notice from Licensee.

BASF LICENSEE shall include the following model provisions in its written dealer and distributor agreements prior to the transfer of any soybean seed that includes a BASF LibertyLink® event (“Licensed Soybean Product”) to a dealer or distributor. All model provisions need to be included for authorized dealers or distributors (each a “Dealer”) to distribute/sell Licensed Soybean Product on behalf of LICENSEE (“Legend Seeds, Inc.”). 1) Dealer will only distribute Licensed Soybean Product to growers who have a current and valid executed BASF Grower Technology Agreement (BGTA) from BASF Agricultural Solutions Seed US LLC (“BASF” as successor-in-interest to Bayer CropScience LP) (“BASF”) for planting within the USA. Dealer will not distribute Licensed Soybean Product to growers who have been designated as NOT AUTHORIZED on a BASF website or if the Dealer has received a specific notice not to sell. 2) Dealer is not authorized to sign BGTAs on behalf of other growers. However, Dealer may sign a BGTA on its own behalf if Dealer is a grower. 3) Dealer may not wholesale Licensed Soybean Product unless provided written authorization from Retail Seed Company or BASF. 4) Dealer will keep and retain complete records with respect to the sale and transfer of Licensed Soybean Product. The records for sales and transfers must include the names, addresses, dates, quantities, hybrid or variety names, and lot numbers. Sales and transfers include seed volumes sold or transferred out including, but not limited to, Licensed Soybean Product given away as promotion seed, distributed for test plot, used for replants, and disposed as excess or damaged seed. Dealer must also keep inventory records for Licensed Soybean Product to include beginning inventory counts, net seed purchases and seed transfers, and ending inventory counts. Such records will be maintained for at least five (5) years from the close of the fiscal year in which they were sold or transferred. 4) Dealer will fully participate in BASF product stewardship programs as designated by BASF and/or Retail Seed Company. These programs will include reporting of Grower sales information, distribution of educational materials, training of Dealer personnel and cooperating with BASF and/or audits, and other activities. 5) Dealer will fully cooperate in efforts to protect BASF’s intellectual property rights and agrees to notify BASF and/or Retail Seed Company whenever Dealer has a reasonable basis to believe that these rights have been infringed. 6) Dealer grants BASF the right to audit Dealer’s books and records for up to five (5) calendar years prior to the date of the audit and grants BASF and its agents and affiliates permission to inspect any premises used for Licensed Seed Product to verify Dealer’s compliance with the obligations set forth in this Agreement. 7) BASF is an intended third-party beneficiary of this Agreement and may enforce this Agreement as if it had been entered into between Dealer and BASF. 8) Dealer shall defend and indemnify against, and hold BASF, its affiliates, and the employees, directors, officers and agents of each of them, harmless from, any loss, damage, claim, cost, fines, liability or expense (including court costs and reasonable fees of attorneys and other professionals) incurred or arising from: (i) Dealer’s breach of this Agreement (including without limitation, a breach of or, failure to comply with, its representations and warranties made in this Agreement); (ii) any claim by Dealer or any third party relating to or arising from the production, sale, distribution or use of Licensed Soybean Product, any plant grown therefrom or the performance of any of them; and (iii) any claim whether by Dealer or any third party for any presence of a LibertyLink® soybean event in biological material that is not meant to contain such event; regardless of the cause of such claim. 9) Upon termination or expiration of this Agreement, Dealer will promptly return all Licensed Seed Product to Retail Seed Company.10) BASF and/or Retail Seed Company may terminate this license if Dealer breaches any of the foregoing provisions or in the event that Licensee’s underlying agreement with BASF is terminated or expires. Dealer agrees that Sections 4 through 11 (inclusive) shall survive termination or expiration of this Agreement.

CORTEVA (“Enlist License”) from Dow AgroSciences (“DAS”) and M.S. Technologies, L.L.C. (“MS Tech”), where collectively DAS and MS Tech are referred to herein as “Licensors”, that permits it to offer soybean products incorporating Licensors’ Enlist™ technology protected under patents owned or by Licensors (“Licensed Soybean Products”). Licensed Soybean Products are marketed with one or more trademarks owned by Licensors. The Enlist License is a limited license that limits who may purchase and sell Licensed Soybean Products and the conditions under which those transactions may take place. Each Licensor is a third-party beneficiary of the written distributor agreement between Licensee and a Distributor (“Distributor Agreement”). Licensors may enforce the Distributor Agreement as if it had been entered into between the Distributor and Licensors. The obligations of the Distributor under items 5 and 9 below shall survive termination of the Distributor Agreement. Distributor agrees as follows: 1) Not to sell Licensed Soybean Products to growers who have not entered into a valid, in-force Technology Use Agreement; 2) Not to present a Technology Use Agreement or sell Licensed Soybean Products to any grower who is listed as “not authorized” by Licensors at www.agcelerate.com or another website as indicated by Licensors, or to any grower for whom Distributor has received from Licensee a specific notice not to sell; 3) Not to sign a Technology Use Agreement for a grower other than when the Distributor is the grower; 4) Not to sell Licensed Soybean Products to a wholesaler or other reseller or buy Licensed Soybean Products from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to the subject Distributor Agreement; 5) To keep and retain complete and original records with respect to the sale and transfer of Licensed Soybean Products for at least the prior three (3) calendar years; 6) To only sell Licensed Soybean Products in the United States and to only sell Licensed Soybean Products for use in the United States; 7) Licensors are committed to the proper stewardship of its products and expects those with whom it contracts to handle all Licensor technology and material containing Licensor technology in an appropriate manner. 8) To cooperate fully in efforts to protect intellectual property rights Licensors or Licensee may have in Licensed Soybean Products, together with an agreement to notify Licensors and Licensee whenever the Distributor has a reasonable basis for concluding that such rights may be infringed; 9) To grant Licensors or Licensee the right to audit Distributor’s stewardship compliance during the term of the agreement, Distributor’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Distributor’s compliance with its limited right to sell and transfer Licensed Soybean Products; and 10) To acknowledge that Distributor may be prohibited from dealing in Licensed Soybean Products and Licensee may terminate the subject Distributor Agreement with Distributor as a result of any breach by Distributor upon written notice from Licensee. GREENLEAF 1) Dealer will only sell Licensed Products to Growers who have signed a Syngenta Seeds, LLC Stewardship Agreement (or in Canada, the equivalent agreement) that has been accepted and not revoked by GreenLeaf. 2) Dealer will not present a Stewardship Agreement or sell Licensed Products to any Grower: (i) for whom Dealer has received from GreenLeaf a specific notice not to sell; or (ii) who is listed as not authorized to purchase Agrisure® Licensed Products on a GreenLeaf website in the event GreenLeaf implements a website listing Growers not authorized to purchase Licensed Products and Dealer is so advised and provided appropriate access to such website. 3) Dealer will not sign a Stewardship Agreement for a Grower unless that Grower is the Dealer. 4) Dealer will not sell Licensed Products to a wholesaler or other reseller unless GreenLeaf gives written authorization to Dealer to sell Licensed Products to that specific wholesaler or other reseller. 5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Products and copies of signed Stewardship Agreements. The records for sales and transfers must include the Grower names, Grower addresses, Grower technology number, dates, quantities, variety(ies), lot numbers, beginning inventory counts, net seed purchases and transfers by lot number, ending inventory counts, and seed volumes sold or transferred out including seed given away as promotion seed, test plot seed, replants, and authorized disposals of excess seed. Such records will be maintained for at least three years from the close of the Crop Year in which they were sold or transferred. 6) Dealer agrees to participate in any grain channeling programs and resistance management programs, including reporting of Grower sales information, distribution of grain marketing and resistance management materials, training of personnel, cooperating with GreenLeaf, EPA and/or CFIA audits for compliance, and other activities. 7) Dealer agrees to cooperate fully in efforts to protect intellectual property rights GreenLeaf and/or any third party may have in Licensed Products, and agrees to notify GreenLeaf whenever Dealer has a reasonable basis for concluding that such rights may be infringed. 8) Dealer grants GreenLeaf the right to audit Dealer’s books and records for up to three calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with Dealer’s obligations set forth herein. 9) Dealer acknowledges that Dealer may be prohibited from dealing in Licensed Products and Licensee may terminate this Agreement with Dealer as a result of any breach by Dealer upon written notice from Licensee.

These products are marketed with one or more trademarks owned by the Partners. The license under which Licensee offers Licensee’s Partner authorized brand of seed containing Partner Patented Technology is a limited license that limits who may purchase and sell Licensee seed containing Partner Patented Technology (“Licensed Product”) and the conditions under which those transactions may take place. Before (“Dealer”) may purchase or sell Licensed Product, the Partners require that Licensee obtain Dealer’s commitment to the provisions set forth below, which enforce the limited nature of the Partner’s license to Licensee. In entering into this Agreement (“Agreement”), Dealer understands that: (i) The Partners are a third-party beneficiary of this Agreement; (ii) The Partners may enforce this Agreement as if it had been entered into between Dealer and the Partners; and (iii) The obligations of Dealer under Sections 5 and 9 of this Agreement shall survive termination of this Agreement and such obligations may not be terminated without the written consent of the Partners. Dealer agrees as follows: (1) Dealer warrants to the Partners and Licensee that Dealer will only sell Licensed Product to growers who have signed a Monsanto Technology/Stewardship Agreement that has been accepted by Monsanto. Special agreements may also be required for growers in particular areas. (3) Dealer will not sign a Monsanto Technology/Stewardship Agreement for a grower other than when the Dealer is the grower. (4) Dealer will not sell Licensed Product to a wholesaler or other reseller or buy Licensed Product from a wholesaler or other reseller unless that wholesaler or reseller has an agreement with Licensee obligating them to terms materially similar to this Agreement. (5) Dealer will keep and retain complete and original records with respect to the sale and transfer of Licensed Product. (8) Dealer agrees to cooperate fully in efforts to protect intellectual property rights the Partners or Licensee may have in Licensed Product, and agrees to notify the Partners and Licensee whenever Dealer has a reasonable basis for concluding that such rights may be infringed. (9) Dealer grants the Partners the right to audit Dealer’s books and records for up to three (3) calendar years prior to the date of the audit and to inspect any premises to verify Dealer’s compliance with its limited right to sell and transfer products containing Partner technology. DEALER REQUIREMENTS In order to be classified as a Legend Seeds Dealer the following requirements must be met: 1) Complete and sign a 2019-2020 Legend Seeds Dealer Agreement and return to De Smet office prior to September 1, 2019.

-A  greements must be signed annually and submitted to De Smet office by deadline.

- F or a new dealership, a Legend Seeds dealer agreement must be filled out completely.

4) Accounts are due in full by June 30, 2020. 5) Y  our Account Settlement Sheet must be signed and returned by July 15, 2020. (Unless unforeseen delays) 6) A  minimum of $25,000 (Sales Volume Level 1) in program products must be purchased.

2) Technology Grower Agreements for all growers must be signed and accompany order.

7) T  he sales volume levels are determined each year at settlement time. Dealers must meet or exceed their base sales volume to maintain their current level.

-A  ll Technology Grower Agreements must be submitted to the Legend office prior to June 15, 2020.

8) T  he guaranteed minimum base sales volume level is determined by total net sales (minus program(s) and cash discounts) from the 2019 settlement.

ORDERS Early, accurate orders are the key to providing you with the seed you need. Your orders determine the production schedules, assist in projecting availability and are used to coordinate shipping. To place an order with Legend we encourage you to use SmartAccess. If you need to do a paper product order form you can submit that via email, fax or to your Legend Account Manager directly. Upgrades and changes to your orders should be communicated immediately. SmartAccess can assist this with real time update or you can contact the office and talk to your Legend Account Specialist. The following items must be adhered to if using:  aper Product Order Form – Dealer name, customer name, P appropriate technology license numbers, agronomic county, zone, mailing address, telephone number, program products, 8

discounts, non-program products, any comments necessary for delivery and method of payment. Since Legend Seeds cannot deliver any traited seed without obtaining the customer’s signature and license number, we strongly encourage you to obtain that information at the time of the order. When you provide a check as a payment, you authorize us either to use information from your check to make a one-time electronic fund transfer from your account or to process the payment as a check transaction. When we use information from your check to make an electronic fund transfer, funds

SEED DELIVERY, STORAGE & RETURNS Certain hybrids and varieties may be available for early delivery. Please check with your Distribution Team or Legend Account Specialist. Dealers are liable for seed in their possession.

LEGEND SEEDS CUSTOMER DELIVERY SERVICE:

• $3/unit service charge to deliver direct to your customer. * Does not apply to customers picking seed up in bulk.

• If a dealer asks Legend to pick their seed and palletize by customer there is a $3/unit handling fee.

• Customer must take seed by February 10th

• Anything over 100 miles will also be charged a $2/mile charge

• Dealers must notify Legend Seeds by January 1, 2020 if they wish to have product delivered directly to customers or custom picked.

• If requirements above are not met, delivery becomes responsibility of the dealer. Certain restrictions apply. Services are not available in all areas. Contact Distribution for more information.

The Legend Seeds office must be contacted prior to June 10th if you have seed to return. No seed will be accepted unless in saleable condition. Dirty, torn, or damaged bags of any kind, including rodent damage or opened bags, will not be accepted. No seed will be accepted that is on the non-returnable list.

Before any replant seed is issued, and Agronomy Field Report must be completed by a Legend Seeds representative and returned to the Legend Seeds office. Replants must be planted during the crop year in which the crop was originally planted. Subject to availability, replant seed requests will be honored until July 31, 2020. Legend Seeds will not honor replant pricing on seed that was planted before the crop insurance earliest planting date.

• If soybean seed was originally treated with Preside CL® soybean inoculant, the replant seed may be treated with the same product at no additional cost. • If soybean seed was originally treated with Yield Protector Basic™ (YP Basic), the replant seed may be treated with the same product at no additional cost.

LEGEND SILAGE INOCULANTS Legend Seeds is pleased to offer forage treatments provided by Peak Forage Products: Silo Maxx and Silo Maxx WS 50T (water soluble version) inoculants for silage, haylage and high moisture corn. Producers who utilize silage inoculants have two main objectives:

1) Increase initial rate of fermentation to maximize preservation of feedstuffs

2) Stabilize feed quality during storage and feed out to minimize losses

Silo Maxx accomplishes those tasks efficiently and effectively. If you currently use another inoculant, consider switching to Silo Maxx and capture the value it offers. Why use Silo Maxx? • Lowers pH faster • Doesn’t rely on acetic acid (bacterial byproduct) production to lower pH • Eliminates oxygen faster to facilitate fermentation • Less DM losses due to respiration 10

If you have more than 200 units of untreated soybeans, please contact the Soybean Managers by June 10 at the De Smet office – 800-678-3346.

If you have less than 200 units of untreated soybeans to be dumped, please contact your LAM prior to June 10, 2020 to dump the soybeans. Your LAM will need to count the number of soybean units, record the lot number and seed count. They will also need to know the location, address and phone number of where you plan to dump your excess soybeans.

• All soybeans MUST be priced and sold in Legend Seeds name.

• All dumped soybeans MUST be sold by July 15, 2020.

SOYBEAN DUMP POLICY

The dealer will be charged $1/unit late dump fee for soybeans not dumped prior to July 15th.

SETTLEMENTS ALL DEALER ACCOUNTS DUE IN FULL BY JUNE 30, 2020. Any corrections should be done within 30 days of delivery of seed. A detailed settlement will be completed when all seed has been returned to the appropriate warehouse and paperwork is turned into the Legend Seeds office. Any account not paid by July 31, 2020 will be charged a finance charge at the rate of 1% monthly (approximate rate of 12% annually) until the account is paid in full. If dealer is unable to pay, the dealer needs to contact their LAM or the Legend Seeds Accounts Receivable Manager to develop a payment plan. The dealer becomes financially responsible for all interest charges. There is a $40.00 fee for returned checks.

REFUNDS If requested, dealer accounts with a credit balance will be issued a refund by July 31, 2020. There is no refund on prepaid soybeans. If credit balance is carried over to the following year, the pre-determined cash discount will be applied in August 2020. For John Deere Financial, the customer’s account will be credited back in the month of September by Legend Seeds. Refunds are not eligible on Non-Returnable Products listed in the Dealer Manual.

NON-GMO CERTIFICATES Soybeans: NON-GMO Certificates can be obtained from the Legend Seeds Office. There is a $45.00 fee for each of these Certificates. These Certificates certify that a Negative GMO test has been performed on the requested soybean lot. This is not a guarantee. Corn: A $350.00 fee on each corn lot, requesting a NON-GMO certificate will be charged. This fee is to cover the cost of Adventitious Presence (AP) testing. This request must be made prior to planting. Please allow two weeks for test results. Please provide the following information when requesting a NON-GMO Certificate: variety, lot number, quantity, customer name and address.

UNAUTHORIZED LIST Seed containing Monsanto/Bayer, Corteva, BASF, or Syngenta patented traits, may be sold only to growers who have completed, signed, and submitted a Technology Grower Agreement, is issued a grower license number, and whose names do not appear on the “Unauthroized Grower” list as “UNAUTHORIZED”. Growers may be “Unauthorized” for various noncompliance reasons from seed piracy, IRM noncompliance, patent infringement or unauthorized transfers. DEALER BONUS POINTS PROGRAM For Legend Seeds to show our appreciation of our strong dealer network we offer a rewards trip(s) each year by earning points, one point equals $1. Reward yourself for reaching the goals you have set for your dealership! The trip is a great opportunity to meet other Legend Seeds Dealers and the rest of your Legend Seeds team. 1. Who can qualify for the program?

• Any eligible dealership can earn and utilize their points to attend a trip.

• Any dealership can buy into the trip based on the cost of the trip for that year.

• If a dealer fails to qualify after the reward trip has been taken, the dealer will be charged for the cost of the trip.

GROWER ENGAGEMENT PROGRAMS Our grower engagement programs are designed with your customers in mind. These programs are taken directly to the grower to enhance their Legend experience.

CUSTOMER LOYALTY PROGRAM:

The purpose of this program is to attract and retain customers to Legend Seeds who are 95%+ loyal to Legend Seeds by offering free replants on their 95%+ crop. In appreciation of their business, loyalists will also receive a Legend Seeds softshell jacket, blanket, and seed credits.

The purpose of this program is to incentivize growth for existing and new customers. Qualifying orders will receive a Legend Seeds soft shell jacket after the order is placed. The purpose of this program is to create a grower-level program that incentivizes growth for our current sunflower customers. Qualifying orders will receive a Legend Seeds and Nuseed soft shell jacket when the order is placed. Secondly, a cash back rebate check will provide Legend Seeds Dealers a touch point opportunity to deliver checks in the fall to the grower for their sunflower growth units.

1. WHO CAN QUALIFY FOR THE PROGRAM? • Current Customers: Must have purchased Nuseed sunflowers in the 2017-2018 or 2018-2019 sales year. To qualify, there must be 10% growth over the previous season’s net sunflower unit order AND meet the 10 unit minimum increase.

2. HOW DO GROWERS QUALIFY FOR THE CASH BACK ON THEIR GROWTH UNITS? • The Sunflower Customer Cash Back rebate checks will be paid on growth units only that are new acres to Legend Seeds. To qualify, there must be 10% growth over the grower’s previous season’s (2017-2018 or 2018-2019) net sunflower unit order AND meet the minimum increase listed below:

• Flyer with return postcard: The cash back can be calculated on the flyer for the grower to keep. The return postcard must be submitted to the Legend Seeds office, Attn: Programs. It can also be scanned and emailed to programs@legendseeds.net. • Jacket: After confirming a qualifying order, the soft shell jacket will be mailed to the address specified on the return postcard (physical mailing address required). • Cash back rebate check: Cash back is determined by grower’s final year-end purchases, determined at GPOS time. Checks will be distributed to Legend Account Managers by October 2020 for their dealers to distribute to their growers.

5. WHEN IS THE DEADLINE? • Return postcards must be postmarked to the Legend Seeds office or submitted back by April 1, 2020. Customers who qualified for the program by April 1 are also eligible to receive cash back on additional units purchased after the qualification deadline.

1. WHO CAN QUALIFY FOR THE PROGRAM? • All eligible dealerships can qualify for the program. There is no minimum number of units to qualify.

2. HOW DO DEALERS QUALIFY FOR THE SALES VOLUME LEVELS? • The sales volume levels are determined each year at settlement time. Dealers must meet or exceed their base sales volume to maintain their current level. • The guaranteed minimum base sales volume level is determined by total net sales (minus program and cash discounts) from the 2019 settlement. • Settlement sheet, data capture report and technology agreements are completed according to the dealer manual policy. Account must be settled (settlement signed and returned) and PAID IN FULL by June 30, 2020 to qualify for the sales volume levels. • If a dealer achieves a higher sales volume level for 2019-2020 than they anticipated at the beginning of the sales year, that dealer account will receive a credit at settlement time.

3. WHAT PRODUCTS AND PROGRAMS QUALIFY? Qualifying & Non-Qualifying Products: • All program products qualify. • Seed treatments qualify with the exception of non-program products, silage inoculants, N-Force, planter box treatments, and Avipel boxes.

• Closeout Price List products count towards dealer volume but do not qualify for volume discount. • Free units, replant units, and La Crosse products do not qualify. Qualifying Programs: • Published cash discount apply.

4. WHAT IS THE DEADLINE?

• Sales toward the total volume can be accumulated throughout the entire sales year until settlement time. The final sales volume level is set at settlement time.

Legend encourages the dealers to pass on this opportunity to their grower/customers. This allows Legend and our dealers to secure a sale commitment without cash up-front.

The dealership’s participation in the program will allow the extension of the program to its customer orders. • By January 15, the dealer must have a postmarked check to the De Smet office to receive the 10% early pay cash discount . Orders can be increased and products can be substituted prior to January 15. • To best fulfill the dealer’s needs, Legend Seeds expects the dealership to take early seed delivery once their order has been confirmed and the products become available.

Any product(s) not accepted will not qualify for the program.

3. WHAT PRODUCTS AND PROGRAMS QUALIFY? • Qualifying Products: All Legend Seeds soybean program products. • Qualifying Programs: This program can be used in conjunction with other programs.

4. WHAT IS THE PROCESS FOR UNSOLD UNITS? • Any units delivered into the dealership for the Early Soybean Bulk Fill Program that are not sold, will not be eligible for the Early Soybean Bulk Fill Program discount. • Any unsold units that are canceled or returned and dumped must be delivered by the dealership to their local elevator at no charge to Legend Seeds. • A cancellation fee on any bulk soybeans returned or canceled after December 1, 2019 that were ordered exceeding 15% of ending sales will be subject to a $2/unit fee.

FALL PAY

These documents need to be submitted to Legend Seeds Accounts Receivable Manager prior to April 1, 2020.

2) $2,500 minimum purchase.

3) S tarting August 1, 2020 an interest charge of .5% per month (approx. 6% annual) will be incurred on the account’s unpaid balance.

4) Account balance is due in full November 30, 2020.

5) Any account not paid by November 30, 2020 will be charged monthly finance charge of 1%. (Approx. 12% annual) The finance charge will be retroactively applied starting from August 1, 2020.

6) A  $100 administration fee will be assessed to accounts that use Legend Seeds Fall Pay Plan.

Any dealers and/or customers of a dealer who do not return and complete the Fall Pay documents prior to March 31, 2020 and/or insurance is canceled during this term of agreement will forfeit Fall Pay terms.

Legend reserves the right to withhold any program incentives at Settlement Time for customer(s) of the dealer that are on FALL PAY. If incentives are withheld they will be credited back to the dealer’s account when Fall Pay account(s) are paid in full. Customers of a dealership who’s Fall Pay accounts are not paid prior to January 31, 2021 will be considered delinquent.
