For the Asian Legal Business (ALB) 13th Annual ALB SE Asia Law Awards held on 18 May 2017 at The St. Regis, Singapore, Atty. Estrella C. Camden Associates was created in 2003 and is focusing on international transactions with a particular emphasis on mining, consumer goods, tech and biotech. 1. In spite of fairly difficult business conditions in 2016 we have managed to maintain our activity levels. 2. The overall sentiment remains very cautious when it is not outright negative. In fact business confidence seems to gather momentum but general activity levels well below previous years levels. In other words the feeling is that things will finally turnaround but the upside is not yet in sight. In particular, things remains fairly difficult for the exit market. 3. The mergers and acquisition market is becoming quite difficult as well unlike anything we have seen in years. Traditional private equity firms are being increasingly bypassed . This has to do with fees but with a more critical look taken by clients at the deliverables. In other words , is it worth the money ? Camden being unusual in its reach suffers less from this trend.

In the past few years we have worked for australian firms acquiring canadian firms, chinese firms wishing to get public in Germany, Chilean firm wishing ot acquire properties in the Congo (ROC), a french biotech company for which we have raised finance in the US, and for a well known US biotech company looking for investors in Europe. We have helped a large well known russian energy company get finance for eastern european projects. More recently a group of Russian investors seeking to acquire a private french jewellery company. Our know how is truly international as our track record demonstrates. This protects us somewhat from the downtrend in private equity. We certainly look forward to 2017 which so far looks set to be a good year. What sets us apart is old fashioned dedication to a client’s problem and a belief that creativity is at the heart of every solution. This said, we do have a unique knowledge of cultures and countries which we put to work to solve clients problems when they get hit by strong changes in the local economy or the business environment. We will be busy in the next months to come!

For instance, the introduction of the UK Modern Slavery Act in 2015 has focused attention on slavery and worker exploitation, raising PE houses’ concerns about their portfolio companies’ compliance.
PwC’s global sustainability team works with public and private sector clients, NGOs, private entrepreneurs, policy makers and think tanks to make business and economic sense of sustainability and climate change. We are a team of around 800 globally, with 100 specialists based in the UK.
Aside from external pressures, PE clients are also increasingly seeing that ESG issues can impact more directly on the bottom line. The concept of saving resources, such as water or energy use, by doing more with less (so-called ‘eco-efficiencies’) can lead to significant financial savings as well as environmental benefits. On the upside, tighter regulatory pressures, particularly in relation to carbon, and the continued rise of the ethical consumer, has provided some PE portfolio companies with opportunities to grow revenue streams from more responsible products.
Our award-winning Private Equity sustainability team focuses on environmental, social and governance (ESG) issues faced by our private equity (PE) clients. Whether it’s protecting value through managing risk, or generating value by spotting opportunities, ESG issue management plays an important role in value creation. As shown in our recent survey and report, Are we nearly there yet? Private equity and the responsible investment journey, ESG management is no longer a ‘nice to have’ but rather a business basic. This comes not just from a wish to avoid reputational damage, but because there is strong evidence of commercial advantage. One of the key findings for PE houses is that two fifth of respondents said they would pay a premium for a target company due to its strong ESG performance, and, on the contrary, would walk away or discount an investment based on poor ESG performance. Our findings are also supported by a CFA Institute survey of its members, which found that 73% take ESG issues into account in their investment analysis and decisions in order to manage investment risks. Increased focus on responsible investment Driven by risk management and investors’ expectations, an increasing number of PE houses demonstrate strong interest in embedding consideration of ESG matters in their investment strategy. This is being achieved through the implementation of ESG policies and procedures at house or fund level, conducting “ESG reviews” of portfolio companies to establish baselines for action, and eventually assessing the environmental and social impact of their investments. A number of PE Houses now use our company-specific ESG reviews as part of the fund raising process to demonstrate to potential investors that their expectations around investing responsibly will be met. Our ESG reviews at a portfolio level are also used to communicate to investors that this is a means of protecting and raising the value of their investments. However, investor pressure is only one reason that our PE clients are thinking about these ESG issues. A broader
