Global Tax Adviser Guide Introduction Today’s increasingly complex tax and accounting regimes, and the growing trend towards globalisation, mean that obtaining the right strategic tax advice has never been more important. The key objective in effective corporate tax planning is to identify the main factors in an organisation’s structure that dictate the opportunities for tax efficiencies. Once identified, corporate tax and accountancy professionals can devise and implement tailored strategies for the business or a particular transaction. From a corporate tax perspective, the success of any transaction rests on the close working relationships that are established between the company and their corporate tax adviser. Nurturing these
professional relationships ensures that tax issues are raised and subsequently solved by specialists at the earliest stages of any transaction, when it matters most in structuring the deal. In addition to this, it is crucial to ensure that overall structure after completion of the deal ensures tax efficiency moving forward. When companies acquire a corporate entity, dispose of a non-core business or go into a merger, it is imperative to manage the tax risk by conducting thorough due diligence, in order to provide a detailed review and analysis – of both their own tax position, and also that of the target company. This should comprise an analysis of tax compliance, tax contingencies and aggressive positions, transfer pricing, identification of risk areas and future tax planning and opportunities.
Reaping the benefits overseas Companies today are increasingly realising the financial benefits of establishing operations outside their own country. As a result, more and more companies are setting up a foreign/offshore holding company for tax purposes. However, there are some key issues that need to be taken into consideration in order to fully reap the benefits of the myriad tax incentives in different jurisdictions. A Double Taxation Agreement (DTA) is a convention between two countries that aims to eliminate the double taxation of income or gains arising in one territory, and paid to residents of another territory. They work by dividing the tax rights each country claims by its domestic laws over the same income and gains. More than 1,300 DTAs currently exist worldwide. By operating a business through an offshore com-
pany in a low or no tax jurisdiction, it is possible to minimise taxation exposure whilst maximising profits. The primary benefits of offshore companies vary from country to country in terms of administration, however most jurisdictions make it relatively simple to set up and maintain companies. In addition to this, offshore jurisdictions tend not to impose ‘thin capitalisation’ rules on companies, allowing them to be formed with a purely nominal equity investment. Armed with a deep knowledge of different tax structures and corporate tax rates that are applicable in different jurisdictions, the services of experienced accountants and corporate tax professionals are crucial in planning tax efficient corporate structures, both locally and overseas. See the following pages for information from advisers around the world about tax in their jurisdiction.

BILANZ-DATA Wirtschaftstreuhand GmbH Austria
Bilanz-Data Wirtschaftstreuhand GmbH is a Viennese based tax law and accounting firm, established in 1986 by its owner and CEO, Erich Baier, MBA, LL.M., TEP who works as a Certified Tax Advisor.
Bilanz-Data Wirtschaftstreuhand GmbH renders tax advice and tax planning to its domestic and international clients as well as provide these clients with corporate services like financial accounting, book keeping, payroll accounting, setting up annual accounts as well as preparing and filing tax returns. Being Certified Tax Advisors the firm as well as Mr. Baier are entitled to represent clients before the tax administration and therefore also provide tax litigation services. The firm has celebrated its 25th anniversary last year and has gained significant reputation in creative domestic as well as international tax planning. Taking into consideration the extensive tax treaty network Austria has with other jurisdictions (currently 89), whereby Austria has tax treaties with jurisdictions like Barbados, Belize, Cyprus, UAE, Bahrain, Hong Kong and Liechtenstein, just to name a few, Austria serves as a perfect hub for worldwide investments. The tax administration in Austria is cooperative and liberal and is willing to issue binding rulings, a field of business in which we are active quite often on behalf of our clients. We prenegotiate certain structures or cross-border tax planning with the tax administration upfront, so that we can provide the client with a smooth path into his tax world. Contrary to other jurisdictions Austria does not combat any off-shore countries or tax havens but rather enters into tax treaties with these countries. A typical example for that approach is the fact, that Austria is currently negotiating a tax treaty with Panama. We use all these ingredients and more for preparing marvellous dishes for the client in our tax kitchen and all of our clients appreciate what they get served for tax-lunch by us. Therefore we would like to invite you to go the Austrian way, it pays off!

PBK was founded by four experienced practitioners from other law firms with their respective teams and has since grown to more than 20 professionals. PBK offers the full range of services typically required in the context of international transactions and restructurings, namely corporate, contractual, tax and labor law advice. It assists clients in corporate tax matters primarily by providing tax advice on restructurings and obtaining a ruling from the competent tax authorities. Furthermore, the firm also engages in tax litigation and does corporate tax compliance. In addition PBK has long-standing expertise in providing corporate legal and regulatory advice. Our firm’s unique selling point from a corporate tax law standpoint certainly is the long-standing experience of our tax lawyers and their awareness of current developments as well as the administrative practice in the field of tax which allows us to give concise and well founded advice. As in Swiss tax law the federal and cantonal tax authorities still have a relatively high discretion, in the daily business we face challenges whether the competent tax authorities will accept a given structure from a tax point of view. These issues are typically addressed in a ruling in line with a well established ruling practice. The certainty for the taxpayer achieved this way renders the Swiss market very attractive to foreign investment. But also from the legal perspective, there is certainty of law, especially regarding M&A transactions. Recently we worked on transactions such as share and assets deals and on other various international group restructurings. Of course, we also accompany firms in their establishment as well as liquidation proceedings. Further, we acquired holding status for companies set up in Switzerland and right now, are in the process of applying for the immigration of a foreign company to Switzerland.
