About us

With such a broad range of products and services, it is our staff’s knowledge, experience and professionalism that has helped us build our business and our reputation. They are, indeed, our most valuable asset. Unrivalled in their skills base, our seamstresses are able to provide the most complex of backdrops, shaped and concept curtains – for more detailed information about our custom sewing skills, see pages 89-102. We maintain a constant stock of 1,000,000 metres of fabric, giving you a choice of over 180 different fabrics (including 30 new additions) in over 700 shades and tones. If the specific fabric you require is not here, then please ask – if we cannot source it, the chances are nobody can.

Our world class contracts department has grown to undertake projects worldwide. From our ever growing design, project management, installation and commissioning, our experience grows, to provide products and services encompassing projects as diverse as tracks for studios, school stage systems, powered flying systems and specialising in the restoration of iconic theatrical landmarks. From our HQ in Halifax, England, we service the entertainment industry around the globe. From our 75,000 sq ft facility, we export our products and our expertise to over 75 countries. To continue our commitment to customer service, J&C Joel has expanded with the opening of offices to better serve Africa, the Middle East and Far East regions. Service Excellence All our fabrics are regularly tested by a UKAS accredited independent testing house and Fire Certificates are available on each Flame Retardant fabric purchased. We will simply require your J&C Joel invoice number to ensure the correct certification is provided.

J&C Joel Fabric Labels are sewn into every manufactured curtain, this label gives information as to the Flame Retardancy and batch history of the fabric, curtain sizes and a customer reference. (Should you not require J&C Joel labels to be sewn into your curtains, please confirm this on your Order Acknowledgment.)

J&C Joel Transport Bags are provided free of charge to ensure your manufactured curtain arrives to you in pristine condition. These bags are environmentally friendly due to them being bio-degradable and are therefore unsuitable for long term storage. Joelmat Underlay The main advantage of Joelmat Underlay is it provides a continuous base, which is stabilised and resistant to damp. The underlay cuts laying time as it can reduce normal subfloor drying times. It also allows for a new temporary floor to be laid over an existing floor (without adhesive damage on uplifting). This underlay is only suitable for use with Joelmat, Joelmat Gloss, Joelmat Glitter and Joelmat Crystal.

Weighted Hem Tape Weighted hem tape is used in the base of all gauzes, voile curtains and many lightweight curtains. Small weights are enclosed in a polyester sleeve which is inserted into the bottom pocket for added weight. Weighted hem tape is white in colour. Spot Velcro Spot Velcro is used to temporarily join two or more curtains together on the width, either to create a wall of curtains or simply to connect two together down their leading and trailing edges. Each piece of Velcro measures 150mm long. Chain Pocket The typical finish for most curtains. The chain enables the curtain to hang properly and allows the curtain to flow smoothly when opening and closing. Heavier curtains may not need additional weights. Pipe Pocket Used on cycloramas, scrims and flat curtains. Allows for the addition of a pipe or batten, which gives a flat straight edge.

Tie Tapes The most common finish. A modacrylic or polypropylene tape with 25mm cotton tie tapes. A coloured centre tie is standard. Twin Hooks Twin hooks are used when a curtain heading utilises eyelets and gives the option of attaching to the eye of a curtain runner or other suspension method. They are manufactured from injection moulded black plastic and are tested to take a load of 4.5kg each.

Eyelets Modacrylic or polypropylene tape with 20mm nickel eyelets, typically at 300mm centres. Eyelets can be used in a variety of curtains allowing the simple application or removal of ties, twinhooks and bungees to the required edges. Side and bottom eyelets allow the tensioning of cycloramas or scrims. Rufflette Tape Typically a domestic heading offering a “pencil pleat finish that can give up to 300% fullness dependant on the fabric used. This style of manufacture is not suitable for large or heavy curtains.

Traveller Curtain

Tableau Curtain (also known as a Wagner, German or Butterfly)

The traveller or bi-parting curtain comprises of two sections which are suspended from a track and which open and close from centre to off-stage. The most commonly used curtain style with 50-100% fullness and is generally manufactured in velvet when used as a front curtain or from wool serge when used on stage.

A pair of pleated or gathered curtains, the curves (swag) are obtained by sewing rings on the back of each curtain diagonally from the lower on-stage edge to the upper off-stage edge. A cable or line threaded through the ring lift the curtain open. Large or heavy curtains may need motorised rigging.

Austrian Curtain (also known as a Reefer or Festoon)

Venetian Contour Curtain

Very ornate, with vertical and horizontal fullness sewn into the horizontal pleated swags. Raised evenly by multiple vertical lift lines between each pleat. Usually made with ornate fabrics to give the luxurious look of the grand opera houses.

With the appearance of a simple pleated curtain when down, the Venetian offers a choice of lifts, raise all the multiple vertical lift lines together for an even scalloped bottom edge, or adjust the lift lines for a more elaborate look, as shown.

Appliqué Appliqué is a bespoke, hand applied traditional method of applying embellishments and decoration to your curtains, predominantly front of house curtains. Utilising our extensive range of satins and specialist fabrics we can achieve a variety of shades and textures to suit your needs. By rotating and quilting these fabrics it causes

the light, whether it be natural or specialist, to reflect differently over the applied textured surface. Appliqué can also be “padded” to give extra relief as and when needed. Utilising new design technology we are able to work on the most intricate shapes and patterns to an amazing degree of detail and accuracy, no matter what

Bespoke - Appliqué / Fringes & Tassels

the size or complexity.

Fringes & Tassels Fringing, braids and tassels are found on the base of many curtains and pelmets with each and every design having the capabilities to be different. Many are machine made however we specialise in handmade bespoke details. Manufacture of these embellishments can be synthetic, wool, silk or even mixes to suit. Different colours are often used with the standard being gold, bronze and copper and sizes can range from 50mm to 750mm dependant on the venue. The application of individual or a combination of fringes, braids, jacquards, tassels and ropes adds grandeur and helps to emphasise your design requirements. Typical examples of standard and bespoke embellishments.

Decoration The decoration of any ornate Front of House curtain is of paramount importance, it is after all the main focal point that everyone looks at as they prepare to be entertained. We have spent years refining our skills of decoration and are renowned as experts in the replication of such for many historic refurbishments.

This skill is transposed onto the biggest and most expensive curtain to the smallest school curtain if required, the skill doesn’t diminish dependant on the venue. You can therefore, rest assured that no matter what our team of highly skilled individuals are creating and for whom, it is of the highest standard possible. The art of theatre decoration has been around for centuries and we are specialists in recreating Devon in 1854 and by the mid 1870s had moved to London. His first major project was to complete the Elephant and Castle Theatre and after that went from success to success and over the next 30 years became the most prolific theatre architect of all time. He designed for Sir Oswald Stoll, his masterpiece, The London Coliseum. This theatre still survives and is now the home of English National Opera. J&C Joel were influential in the refurbishment of this venue, which is yet another Matcham Historic project.

As LED technology continues to evolve it’s likely that LED light sources will eventually replace current halogen and metal halide units, and a fibre optic starcloth will be able to benefit from such advances.

Fibre optics have inherent safety advantages. The cloth itself has no electrical components and generates no heat – all the heat and electricity are confined to the compact light source. The fabrics used in the cloth have been treated with appropriate fire-retardant chemicals to conform to required safety standards.

Painted Backdrops / Canvases J&C Joel has an extensive range of canvas fabrics designed for scenic painting. The range starts with the 220g/m2 cyclorama canvas that is ideal for the majority of scenic painting with a good close weave it takes scenic paints perfectly. The most important part of the result is the scenic paint and there is no better in the world than the Rosco range of scenic paints (pages 152-155). It is very important to use a good scenic primer and paint to give the best

result. Never use plastic paint such as house paint as this will only add a layer of plastic to the canvas and will result. The paint and primer is what makes the canvas come alive so this is the first important step. The range of J&C Joel canvases expands from the simple cyclorama canvas to the wide width and cotton canvas which give the perfect base to work upon. These models increase in weight giving a stiffer “handle which professional scenic painters desire and the stability required once it is primed and painted. The width gives the ability to manufacture up to 12m wide seamless cloths.

Acoustic Curtains As well as offering standard durable coloured wool serge curtains, we also provide acoustic curtains for specialist locations that require better acoustic enhancement within a performance space. Traditionally wool serge curtains are a single curtain with 50% fullness. To provide further enhancement, the curtains are provided with a wool serge self lining and utilise Premier Wool Serge at 565g/m2. The Sage, Gateshead, UK

Hoddinott Hall, Cardiff, UK

To provide the complete service it is also possible to have an acoustic curtain with a dress curtain manufactured from a different fabric in front. This method provides the correct acoustics in the room, but design and aesthetics. Due to the flexible nature of our fabrics, it is possible to have a coloured wool serge fabric on one side and a different colour on the other. So effectively having the ability to change the appearance of the performance as each presentation dictates.

To maintain simplicity, control of the system is by a simple wireless handset that has the flexibility to change the configuration and groupings of more than one unit. As a standard the roller banners are generally available up to 3m wide x 4m drop. However, larger special fabricated aluminium rollers can produce banners up to 6m wide x 6m drop.

Top: Sevenoaks School Located within the roof space at Sevenoaks School, the twenty motorised roller banners have been specially dyed to blend into the building. Operation of the units is by a simple hand held control. Middle & Bottom: Royal Horticultural Halls A multi-purpose exhibition and event venue, Lawrence Hall needed acoustic banners that would also double as blackout blinds. J&C Joel and Triple E designed and supplied 56 acoustic roller blinds at the clerestory windows on each side of the Hall. The installation used 2,535sq m of acoustic fabric, which was dyed specifically to match the walls.

Chain Track

Each Chaintrack system is custom designed. Its standard components are the track and a selection of sprockets. All the necessary platework, guides, motor and controllers are designed and specified for each particular project.

Key Features: The chain is rigid and the curtain remains flat when drawn offstage, enabling an image or pattern to remain in view. It is possible to run the curtain around to the reverse side, enabling double sided curtains to be used. By creating a continuous loop, a constantly moving backdrop can be achieved. There is no drive slippage with Chaintrack, so driving an absolute encoder from the gearbox or sprocket makes it totally reliable, precise and capable of recreating exact effects and positions time and time again. Yong Siew Toh, Singapore

Track - Chain Track

Using Duplex chain instead of rope to run and stack curtains, Chaintrack enables a radii of just 25mm. It is, literally the most flexible track system. Used for medium to heavy duty applications where stacking areas are challenging or as a solution for non-conventional applications.

Chain Hoists (Electric)

Easy to move and easy to lift that is the motto of the simple chain block, ideal to use for raising heavy loads to be secured into position. Manual chain blocks are available in 250kg, 500kg and 1000kg lifting abilities, variable chain lifts, with or without chain bags.

For heavier loads it may be prudent to raise into a working position by the use of an electrical chain hoist. Ideally used for a temporary installation (with safety bonds) electrical chain hoists are available in 250kg, 500kg and 1,000kg SWL formats. Each chain hoist has the ability to be used upright or inverted and has a range of lifting heights available. All types of chain hoists have a chain bag, top and bottom hook and 4-pin C-form power and control cables.

Truss Depending on the application there are various sizes and designs of truss units available. Most commonly either triangle or box truss is used for theatre and entertainment. These flexible units come in standard off the shelf straight lengths of 1m, 2m and 3m long units and with standard 90 degree corners and base plates can quickly build a rectangular, square for free standing truss unit that can be covered with J&C Joel track and curtains to form an effective stage or rigging platform. If required specific lengths and orientations can be provided along with a full range of fixings. The IFR seamless Truss sock is a perfect way to cover trussing, which is available in both black and white, where white can be backlit to add a new dimension.

Truss Sock TRU001 Black TRU002 White

Examples of Trusses

The Unibar system is a cost effective way of providing a simple motorised rigging/ lighting bar for smaller venues and educational facilities. With a safe working load of up to 400kg, the Unibar is driven by the use of an electrical chain hoist, and connection to a horizontally travelling clew plate which supports steel cables that pass around a return pulley, and drop vertically down via pulleys to a 48mm diameter suspension bar. Due to their low power requirements, the Unibar is optimal for use in venues with limited power.

Unibar UBA001

Winch Units The manual winch units shown are designed for a single steel wire suspension line and are generally used for lifting light loads in a vertical or horizontal motion. It is generally accepted that in the case of raising suspension barrels or floor traps then a clew arrangement should be used. If a single line is used and adhered to, for example, to raise a chandelier then a non-rotational cable should be used. It is essential that the correct installation and safety standards are applied.

Quotations 3.1 The Company shall, at the Company’s sole discretion, be allowed access to the Premises prior to the issue of any quotation in Order to evaluate the Premises, and the Customer’s requirements prior to issuing a quotation for the supply of Goods and/or Works. 3.2 For the avoidance of doubt, the Company may issue a quotation for any supply of Goods and/or Works without carrying out any such evaluation as detailed in paragraph 3.1 above. 3.3 All quotations given by the Company remain open for acceptance for a period of 30 days from the date of issue by the Company to the Customer. If any quotation shall not be accepted by the Customer by way of Order to the Company within the said 30 day period of validity then the quotation shall be deemed to have been withdrawn. The Company in any event reserves the right to withdraw any quotation issued prior to acceptance by a Customer without notice or reason being given and at the Company’s sole discretion. 3.4 Where any variation to any proposed Goods and/or any proposed Works is agreed by the Company, the Company reserves the right to amend the price in a quotation and/or a Contract accordingly. 3.5 These terms and conditions shall apply to every quotation and Contract. The Company shall not be bound by any terms and conditions which may be inconsistent with these terms and conditions. 3.9 All quotations given by the Company are exclusive of VAT (or whichever equivalent tax is relevant in the jurisdiction) and all other taxes and duties which shall be added to the Contract Price. 3.10 All quotations issued by the Company are exclusive of delivery (unless otherwise stipulated) and are on the basis that Goods will be collected from the Company’s Premises by the Customer or upon the Customer’s behalf. In the event that the Customer shall require the Company to deliver the Goods (or to collect Goods from one of the other Companies not being the Company with whom the Contract is made), then any additional costs incurred by the Company shall be added to the Contract Price.

4. Contract 4.1 A Contract for the supply of any Goods and/or any Works by the Company to the Customer shall only exist when the Company has confirmed and accepted any Order placed by the Customer by way of an Order Acknowledgement. 4.2 No provisions, modifications, amendments, or variations of any Contract by the Customer shall apply unless they are in writing and are agreed and signed by or on behalf of the Company. In such circumstances, the Company reserves the right to amend or alter the Contract Price. 4.3 Any such provision, modification, amendment, or variation as detailed in clause 4.2 above shall be deemed to be an amendment to the Contract and shall not constitute a new Contract. 5. Delivery 5.1 Delivery of Goods under a Contract shall be effective either i) when the Customer or the Customer’s carrier or agent collects Goods from the Company’s Premises (“Collected”), or ii) when the Company delivers the Goods to the Premises and unloads the Goods at the Premises (“Delivered”). 5.2 At the time of placing an Order the Customer shall stipulate whether the Goods are to be Delivered or Collected (failing which the Company shall be entitled to assume that the Goods are to be Collected). 5.3 In the event that the Goods are to be Delivered by the Company, then the additional costs incurred by the Company in so doing shall be invoiced to the Customer and shall be added to and form part of the Contract Price. 5.4 Delivery shall be on a date which may be notified by the Company and wherever possible agreed with the Customer. The Company shall not be liable for any penalty, loss, injury, damage or expense arising from any delay or failure in delivery of the Goods nor shall any such delay or failure entitle the Customer to refuse to accept any delivery under a Contract or performance of any Works, or to repudiate any Contract. 5.5 Any dates quoted or provided by the Company for delivery are approximate only although the Company shall use its best endeavours to supply Goods within any time notified by the Company to the Customer but time shall never and not be of the essence at any point. The Company shall not incur any liability whatsoever for failure to supply or deliver by any given or such date or dates. 5.6 In the event of the Goods being Delivered by the Company to the Customer’s Premises, the Customer warrants in entering into any Contract with the Company to ensure that adequate and safe access is available to the Premises. If the Customer should fail to adhere to this warranty, then the Company shall be permitted to deliver the Goods at the closest point of accessibility which shall be determined by the Company’s employees or agents at their sole discretion and the Customer shall raise no objection or requisition thereto, and delivery shall be effected accordingly. 5.7 The Company reserves the right to amend or alter the Contract Price in the event that the means of delivery should change from that notified in an Order or agreed at the time of the Order Acknowledgement to cover any increased costs or costs of carriage. 5.8 Delivery of Goods may take place separately and on a piecemeal basis. 6. Supply of Works 6.1 The date for commencement of any Works and/or completion of the same shall be on a date notified by the Company and agreed by the Customer in advance. 6.2 Any dates quoted or provided by the Company for the commencement and/or completion of any Works are approximate only although the Company shall use its best endeavours to commence and/or complete any Works within any time notified by the Company to the Customer but time shall never and not be of the essence at any point. The Company shall not incur any liability whatsoever for failure to commence nor carry out any Works by any given or such date or dates, or within any given timescale, nor shall any such delay entitle the Customer to refuse to accept the performance of the Works or to repudiate a Contract. 6.3 The Company shall have the right to employ any subcontractors of the Company’s own choosing to carry out any Works on its behalf at the Company’s sole discretion. 6.4 Where the Company is supplying Goods and also the Works, then the same may take place separately and, if applicable, on a piecemeal basis. 7. Contract Price 7.1 In consideration of the supply of any Goods and/or Works, the Customer shall pay the Company the Contract Price. 7.2 Should the Company by prevented from adhering to any delivery date (whether for the supply of Goods and/or carrying out of Works) by the Customer’s postponement or delay (howsoever arising) then the Company shall be entitled to increase the Contract Price to reflect any extra costs incurred to the Company thereby. 7.3 All prices quoted and the Contract Price are in pounds sterling (unless otherwise requested by the Customer and agreed by the Company) and are exclusive of value added tax, and where applicable, of any substitute taxes in the jurisdiction, levies, duties, import and export duties, fees, or charges whatsoever and howsoever payable, all of which shall be added to the Contract Price and shall be payable by the Customer in full and/or reimbursed to the Company as appropriate. The Customer shall at all times indemnify the Company against non payment of the same. 8. Payment 8.1 In consideration of the supply of any Goods and/or Works by the Company to the

Customer, the Customer shall pay the Company the Contract Price. 8.2 Unless otherwise agreed by the Company at the time of the Contract, payment for the Goods and/or the Works shall be due and paid at the time stipulated by the Company in the quotation or Order Acknowledgement (if different). In the event that no date is stipulated, then payment shall be due 30 days from the date of invoice. 8.3 Payment shall be made in the currency detailed in the quotation or Order Acknowledgement (if different). 8.4 In the event of any late payment whatsoever the Company shall be at liberty to charge interest on a daily basis on any balance due at the rate of 4% over the Bank of England Bank base rate, the interest being calculated from the date the payment falls due until the date of payment in full, plus interest. 8.5 The Customer shall reimburse the Company all costs and expenses (including, but not limited to, legal costs) incurred in the collection of any overdue amount. 8.6 If so requested, the Customer shall pay a deposit of such figure as may be required by the Company to cover any up front costs of a Contract upon the placing of an Order and before any Goods are supplied or Work commenced. 8.7 Invoices shall be raised by the Company upon delivery and/or commencement of any Works. In the event of piecemeal delivery, then the Company may (at the Company’s sole discretion) raise separate invoices as and when each separate delivery is effected. 8.8 In the event that the period of any Work shall take longer than estimated, the Company reserves the right to request an interim payment for Work done upon expiration of each and every 14 day period (at the Company’s sole discretion). 8.9 Payment shall be made in full and the Customer shall have no right of set-off. 9. Risk 9.1 The risk in all Goods shall pass to the Customer immediately upon delivery and the Customer shall take out and ensure appropriate insurance is in place accordingly. 10. Retention of Title 10.1 Notwithstanding clause 9 above, the Company shall retain title and ownership in all Goods supplied until the Contract Price (plus any additions) and all other sums outstanding and owing by the Customer to the Company are paid in full (and whether under the same Contract or any other Contract between the parties). 10.2 Pending payment in full pursuant to clause 8 above, the following sub-clauses shall apply a) The Customer shall store all Goods separately and in such a way as they can be readily identifiable as belonging to and being the Goods of the Company b) The Customer shall at the Customer’s own expense immediately return the Goods to the Company should the Company or its authorised representatives so request at any time after payment is due c) In the event that any Goods shall be in any way mixed, compounded, or entwined with the property of a third party or parties then the product or products thereof shall be deemed to be held in common with such third party or parties d) Without prejudice to clause 9 above, the Customer shall hold all Goods as the Company’s Trustee and Bailee and shall keep the Goods separate, securely stored in appropriate conditions, protected, insured, and marked and identified as being the Company’s property e) The Customer shall not sell, give away, or otherwise dispose of any Goods. In the event that the Customer shall do so (which for the avoidance of doubt is strictly forbidden until the price and all sums outstanding have been paid to the Company), then any monies received and the proceeds of sale, or disposal, including any cheque received or other payment shall be held on trust by the Customer for the Company and the Customer will forward the cheque or payment to the Company immediately. Pending the same, the Customer shall keep any monies received in a separate account so as to be identifiable as being the Company’s monies. In particular, but without prejudice to the foregoing, the Customer shall not pay the proceeds into any bank account which is overdrawn f) The Company shall be entitled at any time following the date upon which payment is due and without additional notice to enter the Premises of the Customer or any third party where any Goods are situate or shall be stored and repossess the same accordingly. For the avoidance of doubt, the Customer irrevocably consents to allow the Company access onto their Premises for this purpose (or any other premises under the control or ownership of the Customer, or, in the event that the Goods shall be on premises outside the Customer’s control or ownership, the Customer warrants to use its best endeavours to facilitate access by the Company to such premises). The Customer shall reimburse the Company for all reasonable expenses and fees incurred (including, but not limited to, legal expenses) in so doing g) The Company shall be entitled to maintain an action for the price of any Goods notwithstanding that title to the same shall not have passed to the Customer h) The Customer will immediately notify the Company of any damage to any Goods and will hold any insurance monies received in trust for the Company absolutely. In the event that a claim is to be made under the Customer’s insurance, the Company may, at the Company’s sole discretion, conduct negotiations and effect a settlement with the insurers in place of the Customer. The Customer at all times irrevocably authorises the Company to collect any insurance monies from the insurers. The Company may apply any insurance money as the Company shall see fit. 11. Guarantee, Warranty and Returns 11.1 At the time of delivery, the Customer shall note on the delivery documentation any defect or damage to Goods which is immediately evident and visible. Otherwise, and if not

whether or not such cause existed on the date when the Contract was made. Non exhaustive illustrations include an act of God, war, riot, explosion, terrorism, abnormal weather conditions, fire, flood, government action, strike, or shortage of materials. 14. Specific Obligations of the Parties in respect of the Works 14.1 The Customer shall, at the Customer’s sole expense, provide by any proposed date given for commencement of any Works (and thereafter maintain throughout the period of the Works) adequate electricity power together with suitable environmental conditions to enable the Company to properly complete any Works. 14.2 The Company cannot guarantee to avoid causing superficial damage to décor in the immediate vicinity of any Works, and repair of any such damage or replacement of such items shall at all times be the sole responsibility of the Customer. 14.3 Whilst the Company shall make good any damage to the Premises or other belongings of the Customer where the same has been caused by the Company’s negligence, in the event that such damage to the Premises is as a result of any inherent defect in the Premises, its construction or make-up, the Company shall not be liable for any repair nor mend of the same, although the Company may at the Company’s sole and absolute discretion agree to do so if instructed by the Customer, upon receipt of payment for the same. In such instance, such increase in payment shall constitute an amendment to any Contract and an increase in the Contract Price. 15. Intellectual Property 15.1 The Company shall have and shall retain the Property, copyright, and all other intellectual property rights in all drawings, designs, plans, proofs, models, prototypes, specifications, and quotations prepared by the Company. 15.2 In the event that the Customer shall submit drawings, designs, plans, proofs, specifications to the Company the Customer warrants that the use or performance of such will not infringe any patent, trade mark, copyright, registered or unregistered design, or other industrial or intellectual property rights of any third party. 15.3 The Customer shall indemnify the Company from all actions, costs, claims, demands, expenses and liabilities whatsoever arising from any actual or alleged infringement brought in connection with clauses 15.1 and 15.2 and at the Customer’s own expense will defend, or at the Company’s option, assist in the defence of any proceedings, which may be brought in that connection, provided that the Company shall be under no liability in respect of any infringement as aforesaid occasioned by use of a design or specification supplied to the Customer by the Company. 16. Termination Due to Insolvency 16.1 In the event of any payment due by the Customer to the Company not being paid on the due date, or in the event of the Customer becoming insolvent or bankrupt or a petition being presented or a resolution being passed for the liquidation or sequestration of the Customer or a receiver, administrator, administrative receiver, or judicial factor being appointed over all or any of the assets of the Customer or if any steps are taken in relation to any of the foregoing (and, in each case, equivalent steps to the same being taken in the relevant jurisdiction) or the Customer making any voluntary arrangements with its creditors generally, or if the Customer shall cease or threaten to cease trading or carrying on business, or if the Company reasonably believes that any of the foregoing events is about to occur (and notifies the Customer accordingly) the Customer shall be entitled to treat any Contract between the Company and the Customer as repudiated and shall be entitled to suspend deliveries and/or Works to or on behalf of the Customer on giving written notice thereof to the Customer and without being liable for any form of loss. 17. Termination Due to Breach 17.1 Either party shall be entitled to terminate any Contract (without prejudice to any other rights in respect of breaches of the terms of the Contract by the other) with immediate effect in the event of any fundamental breach by the other of these terms and conditions, save that in the event of such a breach being remedial, then notice may be given to the defaulting party at the other party’s sole discretion to rectify and remedy any breach within 14 days of such notice. Notice shall at all times be at the non defaulting party’s sole discretion and shall not be compulsory. In the event that such a breach is not subsequently remedied by the defaulting party then any contractual agreement to which the breach relates shall terminate with immediate effect. 18. Entire Agreement Clause 18.1 In entering into a Contract with the Company, the Customer confirms that they have not relied upon any warranty, representation, or undertaking of or on behalf of the Company save for any representation or warranty or undertaking expressly set out in the body of these terms and conditions or in any quotation or Order Acknowledgement. 19. Customer’s Warranties 19.1 At all times it is the sole responsibility of the Customer to ensure that any Goods or Works shall comply with all appropriate laws, codes of conduct, guidelines, and legislation of any kind (whether in England and Wales or in the relevant jurisdiction). The Company shall not at any time be liable in any way shape or form for any information or suggestion provided by the Company (or its employees or agents) to the Customer in relation to the same. In entering into any Contract, the Customer warrants it has ascertained and verified compliance with all such matters with any appropriate third party. This shall include (the list being indicative only and non exhaustive) compliance with building regulations, health and safety guidelines and legislation, fire regulations, planning regulations, and disability access requirements as may apply to the location of the Premises and their relevant jurisdiction and/or any other location

at which the Goods shall or may be stored or used. 19.2 The Customer warrants that it has ascertained that any Goods ordered from the Company or Works to be supplied by the Company are suitable and appropriate for the Customer’s requirements. The Company shall not at any time be liable for any information or suggestion provided by the Company (or its employees or agents) in relation to the use of any Goods, capabilities of any Goods, or as to whether or not any Goods or Works carried out shall be suitable for the Customer’s requirements and/or compatible with any of the Customer’s pre-existing Goods. 20. Cancellation 20.1 The Customer may not cancel any Contract unless the Company agrees it in writing and then only upon the terms of the Customer shall indemnify the Company in full against all loss (including loss of profit, costs (including the cost of all labour, materials, administration costs, and services used), charges and expenses incurred by the Company as a direct result of the cancellation. 21. Miscellaneous 21.1 The Company may at the Company sole’s discretion subcontract the performance of any Contract in whole or in part. 21.2 Where there is reference in these terms and conditions for notice being given in writing (including, for the avoidance of doubt, of any Order Acknowledgment), the same may be made by either first class post (effective the second working day after the date of posting), by electronic mail, or by facsimile transmission (both of which shall be deemed to be effective immediately upon transmission), or any combination thereof. 21.3 In the event of these terms and conditions conflicting with any other terms and conditions, then these terms and conditions shall prevail. 21.4 Any typographical or clerical error or omission in any quotation, Order Acknowledgement, invoice, or any other document issued by the Company shall be subject to correction without any liability on the part of the Company at whatever time and wherever such a correction shall be necessary. 21.5 Whilst the Company shall endeavour to ensure at all times that the details portrayed in any literature (including drawings, specifications, photographs, textures, colours and information relating to any Goods) are accurate, at all times such details are approximate only and shall never form the part of any Contract. The Company shall not be held responsible for any variation of the same nor have any liability in respect thereof. 21.6 These terms and conditions supersede any other arrangement (whether past or present), contract, assurance, understanding, course of dealings, or promises between the Company and the Customer. 21.7 No waiver by the Company of any breach of any Contract by the Customer shall be construed as a waiver of any subsequent breach of the same or any other provision hereof. 21.8 Each right or remedy of the Company under these terms and conditions is without prejudice to any other right or remedy of the Company whether under these terms and conditions or not. 21.9 Failure or delay by the Company in enforcing or partially enforcing any provision of these terms shall not be construed as a waiver of its rights generally under any Contract. 21.10 For the avoidance of doubt nothing in these terms and conditions shall confer upon any third party any benefit nor the right to enforce any term or terms of these conditions or of any Contract between the parties. 21.11 If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part then the validity of the other provisions of these terms and conditions and the remainder of the provision in question shall not be affected thereby. 21.12 Obligations by more than one person are joint and several and where any party at any time is more than one person references to it are to each person individually as well as jointly with the others comprising it. Words importing the singular also include the plural and vice versa where the context so requires. 21.13 These terms and conditions on behalf of the Company have been prepared to reflect the Unfair Contract Terms Act 1977. The Company considers that these terms and conditions are reasonable. Should any Customer consider that these terms and conditions may be unreasonable, given that Customer’s particular circumstances, or given the circumstances of any Contract, then the Customer shall inform the Company before any Order is placed and Contract entered into. In such circumstances, the Company may, at the Company’s sole discretion, either agree to vary these terms and conditions or insist upon the Customer being bound by these terms and conditions which for the avoidance of doubt the Company maintains at all times are fair and reasonable. 21.14 All Contracts shall be governed by and construed in accordance with the law of England and Wales and the parties agree to submit to the jurisdiction of the English Courts in their entirety.
