Proposed Amendments to the Ngāti Tama ki Te Waipounamu Trust Deed of Trust and the Tama Asset Holding Company Limited Constitution

We are proposing updates to the Ngāti Tama ki Te Waipounamu Trust Deed of Trust and the Tama Asset Holding Company Constitution to incorporate changes required by the Māori Fisheries Amendment Act, and to better reflect how we work today. These changes must be made by July 2026 and require the support of registered adult members.

Proposed changes to the Māori Fisheries Act will give Ngāti Tama more control over our fisheries assets. When the changes come into effect we will:

• Collectively appoint directors to Aotearoa Fisheries Ltd (AFL) with other iwi.

• All profits from AFL will go directly to iwi – no intermediaries.

• Have more say in how our asset holding company is governed.

• Be able to trade quota directly with other iwi, with whānau support (75% vote needed).

We are taking the opportunity to make some further changes to our governance documents at the same time to reflect the way we work today. These changes reflect the natural evolution of the way we work and shouldn’t have a noticeable impact on whānau e.g. the storing of digital records.

Under clause 21.1 of the Trust Deed, any proposal to amend the Trust Deed may be made only if a special resolution is passed by the Adult Members.

Under clause 23.2 of the Constitution, any proposal to amend the Constitution may only be made if promoted by the Adult Members by Ordinary Resolution at a General Meeting that the amendment is for the collective benefit of all Members of Ngati Tama ki Te Tauihu.

In accordance with our governance documents and the relevant Acts, the Trust presents the draft Deed of Trust and draft amended Constitution to the members for voting.

It is important that we secure the approval of the adult members to ensure that the Trust can continue to be a recognised Mandated Iwi Organisation under the Māori Fisheries Act. This allows us to continue to receive our share of the profits from Aotearoa Fisheries Limited.
