Evolution of SeneGence

SeneGence is a privately owned, network marketing company that is in the business of developing and selling personal care products through an independent sales network. In April 1999, SeneGence opened for business with only 6 lip colors, a lip moisturizing gloss and a lip color remover. LipSense Liquid Lip Color was its premier product. SeneGence now has a complete long-lasting cosmetic color line, anti-aging skin care, body care, hair care and boutique items. The company will continue to utilize its unique ingredients and technologies for further development of new and exciting ‘products that really work’ for our Distributors to sell. Expansion into the international market began with the opening of Canada in November 2001, and Australia in February 2003. Through the efforts of Founder, CEO and Chairwoman, Joni Rogers-Kante and the organization of Independent Distributors, SeneGence has become a recognized brand name and international leader of long-lasting, anti-aging color cosmetics and skin care in the cosmetics and beauty industry.

Communicating To Build Successful Relationships

Understand how to better communicate, learn, and teach others based upon various personality styles. Better comprehend the 'why's of the SeneGence Demonstration as seen on the Demonstration DVD, the demo opening Company History SeneGence DVD, the use of the SeneGence Beauty Book as a guide, physically placing product on guests hands, suggesting Customer options and Distributor option choices throughout, handing out SeneGence Hostess, Partner for Profits, and Distributor Packs, inviting others to local meetings, etc. It all ties into the way in which others (guests of demos and potential Distributors) process information and make decisions. Once understood and practiced you will maximize the earning potential in both sales income and commission income.

Understanding Yourself and Others - (DISC)

One of the success factors in communicating with your team is understanding your behavioral style and the style of those you lead. When you are aware of this principle while preparing your meetings, business contacts, emails, and all the other ways you communicate your message will be a powerful one and will go a long way toward building successful relationships in your business. There are four very different approaches that appeal to four different behavior styles. But most people prefer one style. How do you decide which approach will work? That is what DISC is all about! We each have our own special way of doing things and a pretty predictable way on how we tend to deal with people and situations. Once you have built knowledge of DISC personal styles, you can easily build rapport with and work effectively with all of the Managers and Consultants on your team! If you haven’t assessed your own behavioral style and the style of your Manager team, the pages that follow will assist you. Remember, these styles are not meant to categorize people, but provide you with a guideline as you communicate and build successful relationships with your team. Behavior under Stress

When tension is high, each style tends to manifest symptoms of behavioral stress, often called “back-up” style. When we’re filled with emotion, we don’t think. We REACT. This behavior results from a need to reduce tension immediately. In dealing with people under stress, you can reduce tension by meeting their primary needs. A review of the basics of the SeneGence product line that really works is the brick upon which your house (business) is built. Lip Products Q: Why do I sometimes feel a tingling sensation when applying LipSenseŽ? A: LipSense users who feel a slight tingling sensation may have dry lips. Using our rich Moisturizing Gloss, which is made of shea butter, for two to three days should alleviate dryness, and the tingling sensation should cease. Consistent use of the Moisturizing Gloss, applied before bedtime or by itself during the day, will help dry, cracked lips. LipSense is not recommended for use on broken skin. Q: How long will one tube of LipSense last? A: Using the same color of LipSense everyday on average lips, one tube can last up to three months. Q: Why is it recommended that first-time buyers purchase the complete Basic Lip Set (one LipSense, one Moisturizing Gloss, and one Ooops!™ Remover)? A: SeneGence recommends the purchase of a Basic Lip Set to the first-time buyer because all three products serve specific purposes to ensure optimal quality and longevity of the SeneGence lip products. To protect the quality of the LipSense color and to keep the lips moist and supple, the Moisturizing Gloss should be applied on top the color. Reapply the gloss throughout the day as it wears off. The Ooops! Remover helps to correct those Ooops! mistakes made while applying LipSense. Q: What do I do if I accidentally spill LipSense on my clothing? A: It has been our experience that most of the LipSense Liquid Lip Colors can be removed from clothing with dry cleaning fluid. Take the garment to your dry cleaner or ask to purchase a small amount of their dry cleaning fluid. Be sure to first spot test the garment to ensure the dry cleaning fluid does not harm the material. Q: Does our product contain lead?

A: These inquiries seem to stem from an internet rumor which began around 2003, concerning the false allegation concerning lead in various lipstick brands. Although LipSense (to our knowledge) was never mentioned in the internet rumor, the inquiry to us on the subject nevertheless began about that same time. Please be assured that it does not and never has contained lead. Eye Products Q: Why do some people experience a tingling sensation when applying EyeSense™? A: EyeSense™ contains a cosmetic-grade alcohol, which is used in countless cosmetics and is an FDA (Food & Drug Administration) approved ingredient. To avoid this tingling sensation when applying EyeSense™, simply blow on the brush for a few seconds before application. Q: Why should I use BrowSense®? A: No, SeneGence does not use animal testing for any of its products. All products are clinically tested and verified by independent labs. Q: Are SeneGence products approved by the FDA? A qualifying Distributor achieves entrance into the Inner Circle Group Sales Volume Court by accumulating a Downline sales volume of $200,000 USD retail sales (200,000 PV) or higher during the Seminar Year. Leaders Conference is an event in which Royals and above (unless otherwise informed) meet to share leadership ideas that are related to building the strengths, productivities and efficiencies of their Downline. These highly-developed lessons are customized for seasoned Distributors in exclusive, intense advanced trainings conducted by varied industry Leaders in a variety of fields of interests. The conference also gives SeneGence an opportunity to celebrate the successes of our Leaders and discuss ways in which we may improve and help one another. Field Leaders, State Founders and State Leaders Programs SeneGence annually evaluates the leadership skill and productivity of Field Leaders in each state. The Annual Leaders’ Conference recognizes and honors those who emerge over the course of the year showing dedication to the growth of SeneGence in their region. These individuals take a vital role within the overall development of the company as their personal business and organization continues to grow. These motivated, high-achieving individuals are called upon to help orchestrate important company and Distributor programs in the year to come. Like State Founders, State Leaders are called upon to help organize company trainings and programs throughout the year. State Leaders are reviewed each year and receive recognition during Leaders’ Conference. Once a State Founder is named, they will always remain the State Founder. This top-level training that specializes in teaching how to manage a successful SeneGence business while training and supporting a Downline. This semiannual program is held every January and July at the corporate headquarters of SeneGence InternationalÂŽ. The Kiss Off Contest provides a fun opportunity to offer others the chance to win free gifts simply with a kiss. Use the Kiss Off Card as a wowing and booking tool. The Kiss Off Contest drawing happens each Tuesday with winners announced during the 6:00 pm (PST) Tuesday Happy Hour web training. Log on, learn, and have fun!

What is Wowing Wowing is the art of impressing others with the product. Wear a stripe of color on the back of your hand, have others try to rub it off.....invariably you will hear 'Wow" as their response. It’s meeting new people, finding new friends and Lead Generation for future business. When people have the opportunity to see our products, especially LipSense, their immediate reaction in WOW! Your goal is to collect names and telephone numbers to follow-up and book new customers and sponsor new Downline members – both can lead to new Demo Hostesses as a customer or as a new Distributor's Launch Demo. Where to go Wowing: You can WOW everywhere you go. That’s how you build an on-the-go business. Just arrive early shopping, at food courts, appointments, banking, etc., and spend 30 minutes (or as long as you like) meeting new business

There are two ways to earn income in SeneGence. The second, Commission Income, is directly related dependent upon the first, Sales Income. The more you sell and build customers (sales income), the more customers you find who will want to join you selling these great products (commission income)! Let's address the sales basics:

Purchasing & Product Discounts - Although there are many options available for a SeneGence Distributor from which to choose methods of product delivery to end consumers (SeneSites, CDO, DDS, AutoShip, and immediate delivery); the best of all of these that will surely increase sales volume and sales income is immediate delivery with plenty of inventory to send guest home with after a Demo. However, if sales of products are made in ways in which the company sends products to the customer on behalf of the Distributor, Distributor's profits are placed in their account. Learn more about this program in the Distributor Back Office>Business>SeneCash. When ordering products for resale, the more you order, the greater your discount. Order discount is based on cumulative PV during the calendar month.  0 to 99.5 PV = 20% discount  100 to 299.5 PV = 30% discount  300 to 749.5 PV = 40% discount  750+ PV = 50% discount The discount percentage for the order plus the order quantity needed to reach the next discount level will appear near the bottom of your basket page as you complete the order. There are many ways to present a SeneGence Glamour Demo. Each have an appropriate usage depending upon location, timing, and needs of the potential customer. To learn more refer to the SeneGence Distributor Glamour Demo Guide. Glamour Demo The Glamour Demo consists of a SeneGence Distributor, a Hostess and three or more adult guests. SeneBlends Demo A SeneBlends Demo consists of one or two women and generally is the follow-up or second demo scheduled and booked at the previous Glamour Demo. If the guest at a Glamour Demo chooses to become a customer of the product, the presenting SeneGence Distributor will book a future SeneBlends Demo with the new customer to teach her proper color application and placement and various glamour techniques. This means more time is spent with the new customer as color application and placement begin with clean moisturized skin. This follow-up demo is usually done privately at a date and time when the customer and Distributor can spend at least an hour uninterrupted. Launch Demo A Launch Demo is a Glamour Demo conducted by the Upline Distributor for a New SeneGence Distributor. If the guest of a Glamour Demo or a SeneBlends Demo chooses to become a Distributor of the product, the presenting (Upline) SeneGence Distributor will book a Launch Demo to help the new Distributor launch his/her new SeneGence business and help teach how to conduct a Glamour Demo. Assorted Demo-ing Opportunities There are multiple opportunities to schedule a booking and conduct a demo in places outside of the home or office. Glamour Demo Hostess Coaching

It is important to do 1 on 1 Hostess Coaching whenever possible: At her home, at lunch, coffee break, after work, etc. Meeting with your Hostess and going through the Hostess Pak in person will help to solidify the Demo date. A Demo is less likely to rearrange or cancel when you establish this relationship, as does booking the Demo in close (within 2 weeks when possible). Here are some important steps in Hostess Coaching: 1. Review the contents of the Pak. 2. Be sure that you have studied and understand the Hostess Appreciation Program on the Hostess Planner page in the Pak. 3. Use the Hostess Planner page in the Pak to establish her “gift goal” for free products and product discounts. 4. Help start her Guest List using the Planner, with a goal to invite 30 people; 15 will say ‘Yes’ and approximately 7 will attend. 5. Coach her on how to invite, using the best word choices to get good attendance…“Can I count on you to come?” 6. Show her how to get outside and absentee orders from those who can’t attend, and to invite them to host their own Glamour Demo. Only give a hostess 5 days after the Demo (and before the close of the month) to collect any extra orders for Demo host credit. 7. Have her mail Reminder Postcards/invites (1 in the Pak), Evites, etc. These should be a reminder only, not the actual invitation. The real invitation is the Hostesses voice inviting them to attend … it does make a difference. 8. Have her also select a “back-up Hostess” in case of an emergency. It should be a neighbor, who could fill-in at the last minute if needed. 9. Follow-up with two enthusiasm calls to your hostess.

First call: within 48 hours of booking the Demo to verify the date & time of the demo. Have her select the time to begin the “demonstration”…30 minutes before will be the “Social Half hour”. Encourage her to over invite, and send the reminder postcards, etc. • Second call: 2 days before the Demo to see how everything is going. Sponsoring is a GUEST CHOICE OFFERED to EVERY guest attending any type of SeneGence demo. SeneGence Distributor Compensation Plan

There are two forms of income; sales, and commission from sponsoring. For details regarding the commission payout, please refer to the SeneGence New Distributor Manual Volume One under the chapter seven "Distributor Compensation Plan". Here is an overview of both forms of income: Sales Income from Retail Sales of Products SeneGence Distributors may earn 25-100% profit on Retail Sales of SeneGence products (minus overhead)! Simply selling the product to an end consumer and in turn building a residual income on product sales alone, offers lucrative options in which to conduct and prosper as a Distributor of SeneGence Product Lines. Commission Income Downline & Group Sales Volume Bonus SeneGence has set a higher standard of earning long term income through Downline and Group Sales Volume (GSV) Bonus Commission Income to attract and support career, success driven individuals as its Independent Distributor Sales Force. Two types of Commission Income is paid to Distributors on a monthly basis. Here are the highlights: • The top payout percentage of 10%, is paid out immediately on the total volume of Point Value (PV) on all orders from first level(personally sponsored) Distributors, with only a 100PV personally placed within the same month to qualify to receive the earnings – regardless of size!!!! Almost anyone who has participated in an MLM compensation plan is astounded by this part of our compensation plan. In many payout plans it is completely reversed. The top payout percentages occur at the bottom levels or with much more stringent

sponsoring and selling efforts. Therefore, most people never receive them. Downline Commission Income on the first 100PV, of 10%, 20% and 30%, are paid out immediately down three levels, with only 100PV personally to qualify. This is very unusual because most MLM companies pay nothing until a Downline Distributor has a proven sales and sponsoring track record. This part of the compensation program was designed to help new Distributors get a taste of earning commission Downline into their organization immediately. •

The GSV Bonus Compresses Up to infinity to pay the Upline Distributor the greatest amount of earnings possible.

The Commission compensation is seamless. That means a SeneGence Distributor may sponsor new Distributors into their Downline and receive compensation for those Distributors anywhere in the world where SeneGence International is sanctioned! This opens a world of opportunity to our Distributors not always found in the world of Direct Selling. This plan affords entrepreneurial types real opportunities to grow as large, as financially sound, as they choose to work.

There is no limitation to growth, size, or volume.

There is no ‘breakage’ meaning the more and better you train others to excel, the more you earn without penalties or fear of them ‘breaking away’ leaving the sponsoring Distributor with less earning potential. Instead the Distributor continues to be rewarded for training those who exceed the Sponsoring Distributors own volumes.

Calculating Downline and Group Sales Volume Commissions Commissions are paid as outlined below based upon the Point Value and its corresponding country Commission Value (CV) of products. • PV – Point Value is equal to 1/2 of the USA suggested retail value assigned to a product, and is the same in every country and is listed on the Product Order Form. • CV – Commission Value is listed on the Distributor Product Order Form in each SeneGence Country. When used to calculate Commissions and Bonuses, CV is multiplied by a unique listed country factor. In the USA one PV equals one CV.

Downline Commission Income The Downline Commission structure helps measure, track, and define the growth of a Downline Organization. No. The balance of the order (CV) is commissionable in the Group Sales Volume Bonus. 2. If a Distributor places more than one order in a given month that is in excess of 100 CV, does the Downline Commission get paid again? No. Downline Commissions are paid on the first 100 CV in a given month, after that, the balance of the order(s) goes into Group Sales Volume Bonus. 3. To receive the 10% Group Sales Volume Bonus on my first level, do I need to have five 1st level Distributors that have each placed 300 PV in a given month? If I have a first level Distributor that does not place an order in a given month, but some of her Downline does, would I still receive Downline commissions on those Distributors? Yes. 8. If I have a first level Distributor that does not place an order in a given month, for purposes of Downline commissions, does the next level get moved up? (compression). No. Downline positions are permanent and do not compress. You still receive commissions for all levels you qualify for on the rest of your Downline. Downline stay in place at all levels. 9. Where in the compensation structure does levels moving up (compression) occur? Compression occurs in the Group Sales Volume Bonus commission structure. If you have a Distributor on a given level that does not place an order in a given month, that Downline will move up a level for percentages paid on the various levels that month. 10. Does a (compressed) Distributor in my second line, who has placed an order and moves up to my first line (due to the recruiter not placing an order that month), count toward my five first line Distributors that I need to qualify for the Group Sales Volume Bonus on levels 2 through 5? SeneCar ManaGence Program

Earn lease reimbursements to Step In at Midsize then Step up to Top of Class. Let SeneGence pave the way to eliminate your car payments. Step into the SeneCar Program and drive away in a Ford. Step Up into luxury with the top of class Cadillac as you pick up the speed and grow your business!

How to Participate: In order for your accumulated Qualifying Value (QV) to count toward SeneCar eligibility, you must personally order at least 750 PV each month for three consecutive months. Then accumulate 18,000 QV for a three month period for each stage of the Ford qualification, or 27,000 QV for the each stage of the Cadillac qualification. Once you have qualified initially, continue meeting these requirements for each successive three month period, to earn the next month’s lease reimbursement. Personal PV not to exceed 6,000 PV per quarter may be combined with first line QV to qualify for the first level lease reimbursement, for both car qualifications. A maximum of 4,500 QV per distributor (on any downline level) may be accumulated per any rolling three months, and a maximum of 2,000 QV per distributor, per month will be counted. Qualification Period: Any three months in a row. Qualify for 1st and 2nd line level SeneCar payments one level at a time or all at once. Earn and receive 1st and 2nd line level SeneCar payments one level at a time or all at once. What you earn: Once you have qualified for the SeneCar Program as set forth above, have completed steps 1-3 above, and SeneGence has received the required documents, you will be eligible to receive from SeneGence your first lease reimbursement, at the level you have qualified for. You will receive the following amounts as reimbursement for your first monthly lease payment on your new Cadillac according to your level of eligibility:

Sales Eligibility Requirements: Ford Fusion - $170.00 per month for each of stage you have qualified for (up to a maximum of $340.00 per month). Stage One Eligibility ($170.00 per month) – Accumulate a total of 18,000 combined personal PV (up to 6,000), plus QV* on your first level Downline for the same three consecutive months. Stage Two Eligibility ($170.00 per month) – Qualify for Stage One. Then, concurrently accumulate a total of 18,000 QV* on your second level Downline for the same three consecutive months. *Note that a maximum of 4,500 QV per distributor (on any level) may be accumulated per any three month rolling period, and a maximum of 2,000 QV per distributor, per month will be counted. Sales Eligibility Requirements: Cadillac - Earn $315.00 per month for each stage you have qualified for (up to a maximum of $630.00 per month). Stage One Eligibility ($315.00) – Accumulate a total of 27,000 combined personal PV (up to 6,000), plus QV* on your first level Downline for the same three consecutive months. Stage Two Eligibility ($315.00) – Qualify for Stage One. Then, concurrently accumulate a total of 27,000 QV* on your second level Downline for the same three consecutive months. Section Eight: Business Management

Building appropriate inventory levels required for the size business you desire is crucial. Here's a discussion outlining methods how:

Managing Your Business and Inventory

As we consider all the aspects of managing your SeneGence business, probably none is more important than Inventory Management. The sales and profits of your business are driven directly by how effectively you manage and control your single largest business asset, your inventory of SeneGence salable products. You can’t sell from an empty wagon. Although it is not required of a SeneGence International Distributor to carry product inventory, it is definitely advantageous to your sales if you have plenty of products with you at your demonstrations. Why carry inventory: • Spontaneous Purchases and Immediate Gratification: When customers can leave a demonstration with the products in-hand, they not only tend to buy more, but they also begin using their new products sooner. In addition, the application techniques you have just showed them will be fresh in their mind as they immediately begin using their new treasures. • Last minute Gift Giving: Especially good at Holidays. Have sets of products “Gift Wrapped” and ready to take-and-go for the upcoming Holiday(s) or occasion(s). • Repeat Customers: You’ll have product on hand for those customers that always call and need more products. Inventory management takes careful planning. Our goal is to have enough product inventories to support our sales, but not too much, which ties up money needlessly. So let’s take a look at how we can help you manage your product inventory more effectively. Recording Inventory Tracking You’ll want to track your current inventory on-hand by product and color, plus your purchases, compared to your sales by product and color. As an example, on April 1st, you have 4 Sheer Berry on-hand, and ordered 8 units; on April 29th you counted 3 units remaining after receiving your total order of all items purchased. This information needs to be entered into a simple format so that your onhand inventory, your merchandise ordered, and your unit sales can be easily seen. As you complete this written inventory tracking with each order preparation, clear sales patterns become obvious and apparent that guide you in effectively managing your inventory. It becomes extremely valuable to track inventory, product purchases, and sales to determine

whether your inventory by items needs to be increased or decreased or if the current formula is working. Some colors will pick up or slow down as we change seasons of the year. Written documentation of your inventory management will help you yearto-year to anticipate your inventory needs. Use this written record to guide you and show you historically your past performance, and where changes can be made. There are at least 3 different approaches a Distributor may choose to track these important numbers: 1. Log on to your back office by visiting www.senegence.com and use the inventory tracking form. 2. Some Distributors have devised spread sheet programs on their home computers to track the information. 3. A simple “inventory control card” with ‘inventory/order date’ columns across the top of the form: down the left hand margin - a brief description of the item such as “LipSense Sheer Berry”. Under each order date is a split showing “Inv OH” (On-Hand) and below that “Bought” showing the quantity ordered based on the Inv OH. You choose the method best suited for you. Making the commitment to track your inventory is what’s essential. We are able to see trends that likely would have escaped us if we did not maintain these goods, via records. What will not work is to simply “eyeball” your inventory and place your order based on what you guess you might need. We may see that a color has slowed down but we are still maintaining a high level of inventory which is really “dead inventory or unproductive inventory”. In either case, we can make better use of our invested inventory dollars by decreasing the level of inventory we are carrying on that item. Tracking enables you to spot these inefficiencies so you can act on them. One last but very important point is that the time required to complete each inventory is really very short, probably 20 to 30 minutes depending on how organized you have your SeneGence product inventory. The small amount of time you spend on your inventory management will pay you large dividends in increased sales and profits, and less money tied up in slower selling items. A SeneSite is simple to set up, SeneGence has already designed a beautiful template that includes professional product images, product knowledge information, and more. You simply fill out personal details about yourself, provide your contact information and select your preferred credit card processing merchant. You can also choose to customize your SeneSite by selecting a background from available options, uploading photos of yourself, and more. How much does it cost? The annual fee for a SeneSite is $300 USD. This fee is inclusive of design, set up and maintenance for a full year from date of activation. It also includes technical support from our corporate headquarters and automatic updates when new features are added.

CDO (Customer Direct Order)

If you are a SeneGence Distributor who cannot manage at this time to carry inventory to sell to your friends and family…problem solved. Now, your SeneGence Customers can order products from you by logging onto SeneGence.com and clicking the ‘Buy Now’ button. We will send the products directly to your customers from our SeneGence Warehouse and we will send you a sales income check (deposited into your SeneCash account) for your portion of the product sales profit. This 'opt in' program is called Customer Direct Order (CDO), and you can opt in to participate and view the details online.
