EXHIBITOR TERMS & CONDITIONS EXHIBITOR FULFILLMENT KIT - A complete Exhibitor Fulfillment Kit covering services and prices for shipping, warehousing, setting up, and dismantling and move-in and move-out dates will be sent to each exhibiting firm. Any additional rules and regulations will be furnished to each exhibiting firm before the event.

SALE OR TRANSFER OF EXHIBITOR’S BUSINESS In the event of the sale or transfer of a substantial portion of the assets of an Exhibitor’s/Sponsor’s business, or of the controlling stock interest in Exhibitor’s/ Sponsor’s business, or in the event of a substantial change in the management of the Exhibitor, Golden Key may, at its option, terminate this Agreement.

ASSIGNMENT OF EXHIBIT SPACE - Priority is given to Sponsors. General Exhibitors are on a first-come, first-served basis. Exhibit space will be assigned by Golden Key. Management reserves the right to modify the floor plan to accommodate space sales or relocate Exhibitors to avoid conflict, as necessary, after consultation with the affected Exhibitors. In all instances, Golden Key reserves the right to determine final placement of the Exhibitor.

DISPLAYS AND DECORATIONS - Merchandise, signs, decorations or display fixtures shall not be pasted, taped, nailed or tacked to walls. No exhibit, merchandise, equipment, trunks, cases or packing materials shall be brought into or out of the Exhibit Space during exhibit hours. No signs, advertising devices or merchandise shall be displayed outside the Exhibit Space or project above or beyond the limits of the assigned Exhibit Space.

CANCELLATION OF TABLE - Upon providing written notice, an Exhibitor or Sponsor may cancel subject to the following conditions and restrictions: (A) If a written cancellation notification is received at Golden Key on or before 30 April 2010, 50% of the amount of payment received will be refunded (B) If a written cancellation notification is received after 30 April 2010, no refunds will be issued.

UNION LABOR - Exhibitor must comply with all union regulations applicable to set-up, display and dismantling of its exhibit, at the sole cost and expense of the Exhibitor.

GOLDEN KEY LOGO USAGE - Exhibitors and Sponsors are prohibited from using the Golden Key logo without prior written approval by Golden Key. LIABILITY AND INDEMNITY - The Exhibitor assumes all responsibility for any and all loss, theft, or damage to Exhibitor’s displays, equipment and other property while on the Westin Kierland Resort & Spa premises, and hereby waives any claim or demand it may have against Golden Key, Westin Kierland Resort & Spa, or its affiliates arising from such loss, theft, or damage. In addition, the Exhibitor agrees to defend (if requested), indemnify, and hold harmless Golden Key and Westin Kierland Resort & Spa, and their respective parent, subsidiary and other related or affiliated companies from and against any liabilities, obligations, claims, damages, suits, costs and expenses, including without limitation, attorney’s fees and costs, arising from or in connection with the Exhibitor’s occupancy and use of the exhibition premises or any part thereof or any negligent act, error or omission of the Exhibitor or its employees, subcontractors, or agents. EVENT HOURS AND DATES - Hours and dates for installing, showing, and dismantling exhibits shall be those specified by Golden Key. All exhibits must be open for business during exhibit hours, and no dismantling or packing may be started before the official close of the Event. Golden Key reserves the right to change show dates or location. Golden Key will provide Exhibitor with proper notification in writing of any change in dates or location. Exhibitor reserves the right to cancel, without penalty, upon a reassignment of dates or location, except as noted in this agreement, without cause. Such cancellation must be made in writing by Exhibitor within 10 business days of notification of reassignment of dates or location. SHARING AND SUBLETTING - An Exhibitor shall not assign or sublet to a third party the whole or any portion of the exhibit space covered by this agreement.

FIRE RULES - No smoking is allowed in any Golden Key conference and Exposition area. Exhibitor shall not pack merchandise in paper, straw, excelsior or any other readily inflammable material. All cartons stored in the Event Building shall be emptied of contents. Exhibitor shall use no flammable decorations or covering for display fixtures, and all fabrics or other materials used for decoration or covering shall be flameproof. All materials used in exhibit construction, decoration or as a temporary cover must be certified as flame retardant or a sample must be available for testing. OBSERVANCE OF LAWS - Exhibitor shall abide by and observe all laws, rules, regulations and ordinances of any applicable governmental authority and all rules of the Event Building. EXHIBITOR CONDUCT - All Golden Key events at which members are present are alcohol-free. Exhibitor is expected to honor this policy in all facets of the Event. EXHIBITOR’S REPRESENTATIVE - Each Exhibitor’s organization must name at least one person to be its official representative, with authorization to enter into such service contracts necessary for the installation and removal of exhibits and the provision of services for which the Exhibitor will be responsible. At least one person must be in the exhibit table during all hours the Exhibition is open. SOLICITATION - The aisles and all other spaces in the Exhibit Hall and in Westin Kierland Resort & Spa shall be under the control of Golden Key. All displays, interviews, conferences, distribution of literature, lectures or any other type of activity shall be conducted inside the exhibit table space. Standing in aisles or in front of exhibit tables of other Exhibitors for advertising purposes is strictly prohibited. Persons connected with non-exhibiting concerns are prohibited from any dealing, exhibiting or soliciting within the Exhibit Hall. No direct sales of products and/or services are permitted in the Exhibit Hall by exhibitors or sponsors.

PHOTOGRAPHS - No photographs may be taken by non-Golden Key staff or delegates of exhibit spaces or merchandise without the prior consent of Golden Key and the Exhibitor involved. Golden Key reserves the right to take photographs and video and will use these for Golden Key purposes only. SOUND RESTRICTIONS - Exhibitors operating sound producing equipment must keep the sound at reasonable volume that of a normal speaking voice, in order to avoid disturbing other Exhibitors. Sound and noise should not exceed 85 decibels when measured from the aisle immediately in front of a table. Public address systems, radio broadcasts and other devices used only to attract attention by sound are prohibited. Exposition Management reserves the right to regulate and/or restrict sound and electricity of any Exhibitor who violates this rule. MUSIC LICENSING - Exhibitor represents and warrants that it shall comply with all copyright restrictions applicable to Exhibitors. Exhibitor further represents and warrants that it shall obtain any additional license or grant of authority required of Exhibitors under the copyright laws and be prepared to present Exposition Management with a copy of such license or grant no less than 30 days prior to the start of the Exposition. AMERICANS WITH DISABILITIES ACT - Exhibitor warrants and represents that it is in full compliance with the Americans with Disabilities Act and all regulations hereunder and agrees that it shall be responsible for the readily achievable removal of barriers relating to its exhibit and the provision of auxiliary aids and services where necessary to ensure effective communication of Exhibitor’s/Sponsor’s product or services to disabled attendees at the Event. INABILITY TO HOLD SHOW - If, because of war, fire, strike, exhibit facility construction or renovation project, logistical problems, government regulation, public catastrophe, terrorist attack, act of God or the public enemy or other cause beyond the control of Golden Key, the Event or any part thereof is prevented from being held, is cancelled by Golden Key or the Event Building or Exhibit Space or any part thereof becomes unavailable, Golden Key shall have no liability to the Exhibitor, except that Golden Key, in its sole discretion, shall determine and refund to the Exhibitor its proportionate share of the balance of the aggregate exhibit fees received which remains after deducting expenses incurred by Golden Key and reasonable compensation to Golden Key, but in no case shall the amount of the refund to Exhibitor exceed the amount of the exhibit fee paid. GOVERNING LAW; AMMENDMENTS - This Agreement, having been executed in Atlanta, GA, shall be governed by and construed and enforced in accordance with the laws of the State of Georgia as if it is in an agreement made and to be performed entirely within such State. This Agreement may not be amended or modified except by a written communication by Golden Key.
