Wyoming Capitol Club, Inc. Bylaws

Article I. Purposes

The Capitol Club is organized for the purposes of undertaking action on behalf of its members or any matter or project of common interest. For the purposes of these bylaws, “common interest� is to be determined by the procedures herein set forth. The Capitol Club shall:

1. Maintain and support the highest level of professional responsibility. 2. Maintain the integrity of the Capitol Club and provide, on behalf of its members, continuing liaison with the members of the Wyoming Legislature and appropriate state agencies. 3. Support and maintain the Legislative Message Center. Article II. Members and Membership

1. Eligibility for membership: Regular membership shall be open to all lobbyists who are registered with the Wyoming Legislative Service Office.

2. Dues: The membership dues shall be established by the Board of Directors. Special assessments may be required at any time, subject to the approval of a majority of those members present and voting at a membership meeting. Dues shall be due and payable by December 1 of each year.

3. Discipline: The Board of Directors may, by a 2/3 vote of its members, expel, suspend or reprimand any member for any conduct that is likely to endanger the welfare, interest or harmony of the Club. Any expelled or suspended member may be reinstated with such conditions as set by the Board of Directors upon a 2/3 vote of its members. Article III. Meetings of Members

1. Annual meeting. The annual meeting of the members shall be at the call of the President and notice shall be provided to all members. Notice of the annual meeting, on even numbered years, shall include a list of nominees for office.

2. Special meetings. Special meetings of the members may be called by the President, or upon written request by at least 10 members, and it shall thereupon be the duty of the Secretary to give notice of such meeting. 3. Quorum. The presence of a majority of those members present and voting at a membership meeting shall constitute a quorum for the transaction of business at all meetings of the members.

4. All meetings shall be subject to Robert’s Rules of Order, unless otherwise provided in the bylaws.
