PH TECHNOLOGIES, INC. is a bioscience company focused on commercializing products based upon extremophile, naturally-occurring microbes and the byproducts produced from the reactions these microbes have in the presence of long chain hydrocarbons. “EPH” is referred as “we”, “our” and “us”

A BRIEF HISTORY“From Saving the Environment to Saving Lives” EPH’s initial line of products provided a “green” solution to problems plaguing the oil industry. A team of researchers discovered that when microbes are pumped down an underperforming oil well, they caused a chemical reaction

that broke apart paraffin and asphaltine reducing the clogs in the well annulus and equipment and increasing the flow of oil. E3OR also decreased harmful sulfur dioxide in oil and gas production. During the initial testing of E3OR at a few trial sites in Bakersfield, CA, it was observed that the contaminated soil, saturated with waste water from the E3OR-treated wells, contained growing organics. This raised questions regarding the degree of hydrocarbon structure reduction. The chief technology officer and co-founder (Michael Saunders) conjectured that the stimulated growth was the result of nonessential protein production, remnant enzymatic activity, or an

unexpected beneficial microbial interaction. Mr. Saunders expanded his research to include the causes of the observed benefits on organics. In a bio reactor in an EPH lab in New Mexico, it was found that it triggers chemical reaction of microbes that causes production enzymes and separate out and filter significant quantities of enzymes. These enzymes are “liquid gold” and form the basis of soil amendment, nutritional supplement and skin care products under development. The evolution of EPH and its products now involve a “clinical trial” being run by a doctor at National Autonomous University in Mexico City (UNAM) where his research staff first confirmed that the serum is non-toxic and without any observable side-effects. Over the past six months this doctor has enrolled approximately 40 patients with various pre-existing health issues, including cancer. EPH PRODUCTS The following is a brief summary of current EPH product offerings. Each of these products consists of, or is derived from, extremophile microbes using our proprietary processing and procurement methods.

E³OR (Oil Recovery): Is a microbial treatment introduced into oil well borings to convert paraffin and asphaltene compounds into profitable ones through a cold, hydrocarbon cracking effect. When E³OR penetrates the formation, the extremophile bacteria continue colonize at the oil/water interface. Even after remediating blockages, the E³OR microbes continue to break down longer chain hydrocarbons that congregate at the oil/water interface increasing the quality of recoverable oil and increasing the API Gravity, while reducing the wear and tear on the extraction equipment. In “survival mode” the E³OR microbes also reduce the production of harmful sulfide and hydrogen sulfide gas. E³SA (Soil Amendment): E³SA is soil additive comprised of nonGMO microorganisms, microbial metabolites, and water soluble microbials that are nontoxic, nonhazardous, nonpathogenic and noncorrosive. The use of E³SA in limited trials demonstrated improved growth of organic matter. We are currently formulating E³SA for applications in commercial agriculture production and retail home garden products.

and enzymes extracted from extremophile microbes. Protenza IS as a natural, ingestible serum, that can be used immediately as a dietary supplement which, through the promotion and replication of healthy normal cells and immune cells, has proven qualitative health benefits, the market for which we have only begun to identify. Protenza SKIN: Protenza SKIN consists of two distinct lines of skin support products fortified with our proprietary serum: (i) Protenza DX (dermal repair), skin crème and tonic spray used together to treat skin ailments (including eczema and psoriasis) and (ii) Protenza SC (skin

care), a line of skin care products, including facial toner, facial serum, facial cream, facial scrub, body cream, body wash and hair mask. E³CP products are intended for use and marketed as dietary supplements and nutriceuticals and not as over the counter (“OTC”) or pharmaceutical grade drugs. Nevertheless, the empirical results suggest that these supplements may, with further research and development, be appropriate for consideration as drugs. However, we believe the cost of regulation and compliance is prohibitive at this time.

E³OR System Hydrocarbon Cracking- A Green Solution The E³ line of products have evolved from a decade of research focused on the use of extremophile bacteria and their enzymatic byproducts as non-toxic, “green” solutions for the treatment of oil wells, transportation pipelines and storage tanks. The E³OR system is suitable for wells of any depth, is highly effective (typically penetrating production quantities in one to three days), and is less costly than re-entering production with most conventional technologies. Traditional control methods such as hot oil chemical treating and paraffin scraping are expensive, marginally successful, and temporary at best. In addition, these methods have demonstrated, serious long-term effects (especially in the case of hot oiling) on the economic productive life of the well. E³OR is nontoxic, nonhazardous, nonpathogenic and noncorrosive. It will not harm humans, animals or plant life, and does not require permits from the Environmental Protection Agency for transportation, use, or disposal. One of the most significant problems plaguing the production of oil from existing wells is the build up of paraffin and asphaltene. Paraffin crystallization and deposition in well annulus and tubing structures clogs reservoir flow paths. In addition to reducing the amount of oil extracted, paraffin deposits also increase maintenance costs. Asphaltenes occur in crudes when colloidally suspended solid particles precipitate and collect usually at the bottom of wells. EPH has reported the following empirical data points from wells

treated with our E³OR system: Asphaltene Reduction: oil produced from wells treated with EPH microbes and enzymes has a significantly lower C30>asphaltene range and has a greater purity in both chemical and physical appearance; Paraffin Reduction: EPH microbes and enzymes reduce the paraffin content in wells by as much as 24% within 90 days of inoculation; and Hydrogen Sulfide Reduction: EPH microbes and enzymes reduce naturally occurring hydrogen sulfide gas levels an average of 80% (200 ppm to 40 ppm) within 60 days of inoculation. In addition, the initial documented trial program conducted on approximately 100 wells in the Sooner Trend Field in Oklahoma generated data demonstrating improved yields per well of crude oil of 25-100% and natural gas of 10-30%. The Treatment Process : E³OR is introduced by gravity feed, or pumped into the wellbore annulus by the EPH on-site technicians. Little or no modification of wellhead plumbing is required to accommodate the treating program. Cutting to the ChaseTreatment of Cancer E³CP natural supplement promotes cellular health by infiltrating the immune system with specialized proteins and enzymes, resulting in a reduction in the presence and/ or replication of infected cells while conversely promoting replication of healthy normal cells and immune cells.

While E³CP natural supplement are not marketed as a cure for cancer (unless, under very limited circumstances such marketing is allowed under regulations in foreign market), empirical results demonstrate that the E³CP may assist in the reduction and/or eradication of tumor cells.


The measurable effect of using of E³CP natural supplement is that certain cancer tumors and free radicals have been destroyed in voluntary users. The aggressive nature of the disbursement of the cancerous cells tends to suggest that the E³CP enzymes and proteins which facilitate the reaction are very prolific and likely have more involvement in the immune system response than simply breaking down infected cells, inhibitors or blockers, but also aid in the innate immune system signaling process. Packaging, clarification, purification and specification of the E³CP natural supplement are essential to the development of large scale manufacturing and distribution infrastructure. Let’s Take Step Towards Change It’s time for moving the “E³CP” 18

project to commercialisation phases. The basic infrastructure required to achieve this are similar to that in pharmaceutical companies. The environment in which E³CP treatment technology is developed and clarified must conform to pharmaceutical standards of sterility, contamination and cross-contamination control and precision in production processes. Specific production process sampling and testing procedures require advanced technology and consequently substantial capital investment. The E³CP natural supplement is comprised of beneficial enzymes, microbes and proteins. Additionally, E³CP is comprised of non-essential, unnecessary or perhaps even adversely effective enzymes, microbes and/or proteins. These are categorized as “contaminants”. The bioreaction resulting in E³CP has to be clarified, meaning that all of the contaminants need to be removed and culturing processes created for the resultant clarified blend of microbes, enzymes and proteins.

Human Cell Culture

Biopharmaceutical industries are currently facing the challenge of producing biological recombinant medical products in a quick and cost-effective manner. They must do this while also complying with the security requirements set by the corresponding regulatory agencies. Many of these biological drugs are large, complex proteins which require post-translational modifications (PTM) to retain their biological activity. Mammalian cell lines, particularly the Chinese Hamster Ovary (CHO) cell line, are the eukaryotic systems of choice for many biopharmaceutical industries to large-scale produce biological products, such as recombinant proteins and monoclonal antibodies (mAb), due to the ability to grow them in high density suspension cultures as well as to produce proteins with human-like-PTM. The human retina-derived cell line constitutes an improved alternative expression system. It is characterised by its ability to grow at an extreme high density (up to 108 cells/ml),

thus yielding the highest protein expression levels achieved so far. Moreover, its human nature provides the recombinant protein with the whole fully-humanised PTM, which drastically improves the activity and minimises the inmunogenicity of the final product. Curaxys is focused on the research, production and commercialisation of recombinant proteins with high technological added value through the utilization of CuraMab® with specific human cell lines. Each step of the procedure fulfills the GMP policy and takes place within the CuraMab® technological platform; from the gene translation and protein production in mammalian cell lines, to the production and purification of the recombinant proteins that constitute the final product. As a result of this, the technological platform, CuraMab®, allows the production of up to 27g/L in 200L bioreactors in perfusion. Curaxys’s expression system allows them the reach of recombinant protein levels

that are clearly above all those currently available. The project includes all of the steps related to the production of recombinant proteins production, with facilities and equipment specifically designed to work under the GMP (Good Manufacturing Practice) conditions. The initial stages in the laboratory include the development, characterisation, safekeeping and storage of cells in the form of Master Cell Bank and Working Cell Bank. Once it is accomplished, the optimisation of the production process is transferred to factory where it is escalated using bioreactors with 500L and 1000L cultures in fed-batch, and 2L, 50L, 100L, 200 L in perfusion systems. This technology also allows the generation of stable cell lines to produce recombinant proteins with an efficient quality assurance system, thanks to the high technology equipment and qualified staff of Curaxys, therefore guaranteeing the high standards of the final product. Purification Curaxys has developed a downstream technological platform on the basis of its own laboratory data, using the most advanced techniques successfully applied in the biotechnological and biopharmaceutical industries. This platform is compromised of a sequence of well-defined procedures,

where most of the parameters are clearly defined, and some others will be specifically adapted to each product. summer areas as well as torrid areas, most countries use only 3 cm thermal insulation or no thermal insulation at all, whereas BSBs adopt 15 cm and 3 or 4-paned windows, which make BSBs like a sleeping bag in winter and a cooler in summer. Another significant energy-saving technology of BSB comes from BROAD-invented heat recovery fresh air system. By exchanging heat between outdoor fresh air and indoor exhaust air, it recovers 70% to 90% of energy and ensures extreme freshness of the indoor air of BSBs with little energy loss. 20X Purer Air WHO certifies that 68% of human diseases are related to indoor air pollution. However, the value of air purification can be ignored most easily, because air pollution is invisible to naked eyes. BSB installs air quality detectors in each room. At present, for the whole world, only IT chip assembly lines and surgical operating rooms are using “super filtration” equipment that is even more costly than the building itself. Nevertheless, BROAD invented a low-cost “super filtration” technology and integrated it into the heat recovery fresh air machine. It is a combined system with 3–stage filters. The first stage adopts the traditional coarse filter, collecting big particles; the second stage utilizes BROAD-invented "electrostatic cleaner", following the principle of "positive attracts negative” to filtrate 98% of PM0.3, PM2.5 & PM10, and then the remaining PM is filtrated by expensive "HEPA filters". The final air filtration efficiency can be as high as 99.8%. When the fresh

air is completely purified, PM can only be brought in by people from outside. Therefore, indoor air is at least 20 times purer than outdoor air BSB is the most profound innovation in human history. It has broken all the preconceived concepts of people in all aspects from revolution scope to innovation profundity, integration intensity of resources to classification density of information, architectural industry mode to real estate consumption mode. The most revolutionary element about BSB is its construction mode: a 3.9×15.6m “main board” including flooring and ceiling, embedded shafts of ventilation, water supply & drainage, electricity and lighting. All needed pillars, diagonal bracings, doors, windows, walls and even sanitary & kitchen wares for the room installation are placed on main board for factory shipment. One truck can carry 120m2 main boards and then deliver them to the construction site to be hoisted in installation place. All that the workers need to do is just screwing bolts and painting, like Lego building blocks.

Such a high-efficiency construction mode makes on-site installation only account for 7% of the total construction hours. Therefore, BSB can be 93% factory-made, whereas the current world’s highest is only 40%. ith a total development area of 173 km² (66.8 sq mi), the city is located along the coast of the Red Sea, around 100 km north of Jeddah, the commercial hub of the kingdom, the city will also be approximately an hour away from the holy Islamic cities of Mecca and Medina by car and an hour away of all Middle Eastern capital cities by plane. The total cost of the city is $86 billion, with the project being built by Emaar, The Economic City. A Tadawul-listed company created from Emaar Properties, a Dubai-based public joint stock company and one of the world’s largest real estate companies, and SAGIA (Saudi Arabian General Investment Authority) which is the main facilitator of the project. Industrial zone

The industrial zone is estimated to cover 63 km². The 4,400 hectares (11,000 acres) of land will be dedicated to industrial and light manufacturing facilities—identified as key growth drivers for the Saudi economy—and can now host 2,700 industrial tenants. The jobs created estimated to be in industrial and light industries (330,000); research and development (150,000); business and office (200,000); services (115,000); hospitality (60,000) and education and community services (145,000). The "Plastics Valley"[5] planned within the zone will use raw materials readily available in Saudi Arabia to produce high-end plastics used in automotive, biomedical, construction and food packaging industries.

Sea port

The seaport is estimated to cover 13.8 square kilometers, it will be the largest in the region with a capacity of over 10 million twenty-foot equivalent units (TEU) of containers per year. The port will have facilities to handle cargo and dry bulk, and will be equipped to receive the world’s largest vessels. Another key component of the Port will be a custom-built Hajj Terminal with a capacity to handle up to 300,000 pilgrims on their way to Mecca and Medina, the holy Muslim cities.

The residential area is planned to include 260,000 apartments and 56,000 villas. It will be divided into

The Resorts Area will be designed to feature services and amenities, hoping to draw both local and international tourists. Set to become a major destination on the map of Saudi Arabia and the map of the Middle East as a whole. It will include hotels, shopping centers and other recreational facilities. The number of hotel rooms and suites are proposed to be 25,000 hotel rooms in more than 120 hotels. Among the tourist draws at the resort is an 18-hole golf course, with training facilities and driving range. An equestrian club, yacht club and a range of water sports will also be constructed.

Educational zone

The Educational Zone is a part of plan to bring the Saudis capabilities and aspirations in technology to globally competitive levels. The Educational Zone is planned to consist of multi-university campus flanked by two Research & Development parks. The multi-university campus is designed to accommodate 18,000 students, and a 7,500 faculty and staff members.

Central business district

The central business district (CBD) is planned to offer 3.8 km² of office space, hotels and mixed-use

commercial space. The Financial Island, within the CBD, has now been doubled in area to cover 14 hectares (35 ac) of land, which will be the largest regional financial nerve center for the world’s leading banks, investment houses and insurance groups.

The honour of designing the world's tallest tower was given to the global leader in creating ultra-tall structures, the Chicago office of Skidmore, Owings & Merrill LLP (SOM) with Adrian Smith FAIA, RIBA, consulting design Partner. The selected design was subject to an extensive peer review program to confirm the safety and effectiveness of the structural systems. The architecture features a triple-lobed footprint, an abstraction of the Hymenocallis flower. The tower is composed of three elements arranged around a central core. The modular, Y-shaped structure, with setbacks along each of its three wings provides an inherently stable configuration for the structure and provides good floor plates for residential. Twenty-six helical levels decrease the cross section of the tower incrementally as it spirals skyward. The central core

emerges at the top and culminates in a sculpted spire. A Y-shaped floor plan maximizes views of the Arabian Gulf. Viewed from the base or the air, Burj Khalifa is evocative of the onion domes prevalent in Islamic architecture. Over 40 wind tunnel tests were conducted on Burj Khalifa to examine the effects the wind would have on the tower and its occupants. Even the temporary conditions during the construction stage were tested with the tower cranes on the tower to ensure safety at all times. Special studies were carried on Burj Khalifa to determine the magnitude of the changes that would have to be dealt with in the building design. Construction Highlights Over 45,000 m3 (58,900 cu yd) of concrete, weighing more than 110,000 tonnes were used to construct the concrete and steel foundation, which features 192 piles buried more than 50 m (164 ft) deep. Burj Khalifa's construction has used 330,000 m3 (431,600 cu yd) of concrete and 39,000 tonnes (43,000 ST; 38,000 LT) of steel rebar, and construction has taken 22 million man-hours. Exterior cladding of Burj Khalifa began in May 2007 and was completed in September 2009. The vast project involved more than 380 skilled engineers and on-site technicians. At the initial stage of installation, the team progressed at the rate of about 20 to 30 panels per day and eventually achieved as many as 175 panels per day. The tower accomplished a world record for the highest installation of an aluminium and glass faรงade, at a height of 512 metres. The total weight of aluminium used on Burj Khalifa is equivalent to that of five A380 aircraft and the total length of stainless steel bull nose fins is 293 times the height

of Eiffel Tower in Paris. In November, 2007, the highest reinforced concrete corewalls were pumped using 80 MPa concrete from ground level; a vertical height of 601 metres. Smashing the previous pumping record on a building of 470m on the Taipei 101; the world’s second tallest tower and the previous world record for vertical pumping of 532 metres for an extension to the Riva del Garda Hydroelectric Power Plant in 1994. The concrete pressure during pumping to this level was nearly 200 bars. The amount of rebar used for the tower is 31,400 metric tons - laid end to end this would extend over a quarter of the way around the world. Burj Khalifa was truly an international collaboration between more than 30 on-site contracting companies from nations around the world. At the peak of construction, over 12,000 workers and contractors were on site every day, representing more than 100 nationalities. The interiors of Burj Khalifa match up to its grand exteriors. Interior design of public areas was also done by the Chicago office of Skidmore, Owings & Merrill LLP and was led by award-winning designer Nada Andric. It features glass, stainless steel and polished dark stones, together with silver travertine flooring, Venetian stucco walls, handmade rugs and stone flooring.

The interiors were inspired by local culture while staying mindful of the building's status as a global icon and residence.

The exterior cladding is comprised of reflective glazing with aluminum and textured stainless steel spandrel panels and stainless steel vertical tubular fins. Close to 26,000 glass panels, each individually hand-cut, were used in the exterior cladding of Burj Khalifa. Over 300 cladding specialists from China were brought in for the cladding work on the tower. The cladding system is designed to withstand Dubai's extreme summer heat, and to further ensure its integrity, a World War II airplane engine was used for dynamic wind and water testing. The curtain wall of Burj Khalifa is equivalent to 17 football (soccer) fields or 25 American football fields.

It is an understatement to say that Burj Khalifa represents the state-of-the-art in building design. It’s scientifically innovative design spreads from its very foundation, which is a mat 3.7 meters thick, and was constructed in four separate pours totaling 12,500 cubic meters of concrete, to Podium, Exterior Cladding, Structural System, Spire, Mechanical Floors, Window Washing Bays, Broadcast and Communications Floors, Mechanical, Electrical & Plumbing, Fire Safety, Elevators & Lifts, every element holding uniqueness and innovation. The Government is proposing a $20 billion innovative instrument for the financing of Africa’s infrastructure. The government said it has fast-tracked a legal framework to facilitate the creation of the world-class Konza Technology City.


The 2,000 hectare city will be located on a Greenfield site 60km south of Nairobi. It is a location with excellent transport and communication links. The A109 Highway connecting Nairobi with Mombasa runs adjacent to the site, the mainline Konza rail station is less than 4km away and Jomo Kenyatta airport covers under 50km. The commercial engine of the new city will be a cluster of technology businesses, financial services firms and other enterprises. Konza will be developed with world class infrastructure, especially ICT infrastructure, which will enable firms located there to compete on a global stage.

Main Features of the KTC

High class shopping centers, sport, schools, cultural and leisure facilities as well as amenities like a district hospital. Safe, well designed neighbourhoods, providing 35,000 new homes for employees. A radial road structure with the public transport roads providing the preferred means of access to all parts of the proposed city.

A site for a university campus which will provide an area for academic buildings, student residences and sports and leisure facilities for students. It is accessible and will assist in the cross-fertilization of ideas between the university and businesses on the site.

A central park is proposed to be laid out as a public park, providing a green lung for the residents and workers. Green corridors are proposed along the alignment of the watercourses which are protected in the Plan. This will help avoid flood risk to the new buildings and also provide additional open space. These could also serve as ecological corridors through the site. The Konza Road is proposed to be paved to provide easy access for all vehicular traffic. A “Greenbelt� control zone of approximately 2 km is proposed around the site to protect the setting of the Technology City and guard against the development of informal settlements on the boundary of the site; to reserve land for the possible future expansion of the Technopolis; and to institute rigorous control of development in the area around the site. Wastewater will be collected in a network of sewers, separate from the surface water (i.e. Rainfall) drainage system. The existing topography facilitates a gravity driven sewerage system following ground contours to a wastewater treatment works located at the southwestern

Flood lagoons, placed at strategic locations on the dry rivers, will control the rate of flow in the rivers, improving flow efficiency and reducing the risk of scarring in flood conditions. The strategy for solid waste management is based upon principles of sustainable development and the protection of human health and the environment by producing less waste and by using it as a resource wherever possible. Sustainable waste management aims to apply the ‘waste hierarchy’ of reduction, re-use, recycling and composting (to use waste as a source of energy) and only disposing as a last resort. A Strategic Environmental and Social Assessment (SESA) has been undertaken based on the guidance provided by the National Environment Management Authority (NEMA) and International Finance Corporation (IFC)

to evaluate the impact of the proposed Konza Technology City, recommend appropriate mitigation and assess legal and institutional aspects relevant to the impacts and risks. The SESA is based on a master-plan for 80,000 jobs. It is proposed that this be increased to 175,000 jobs in which case a revised assessment will be needed. A significant challenge however, is the large increase in the demand for water resources; the area already experiences water shortages with demand outstripping supply. With no feasible on-site sources, water will need to be sourced from offsite. Within the development itself, a state-of-the-art access network will comprise four exchanges, linked by dual redundant fiber optic networks, distributing outwards via star-configuration fiber optic cables.

KTC presents a promising opportunity for Kenya to develop an alternative and complimentary path for economic development in line with Vision 2030 by exploiting ITES and IT Products in the ICT Park1. Konza also provides an opportunity as noted in the comparator countries to transform the country into a knowledge economy. Thus, this is a policy driven initiative as a tool for job creation, national transformation to launch the country to new frontiers. t’s difficult for those who have always lived with electricity to imagine life without it.

well, coal-burning plants are being planned and are under construction at a rapid rate.

But it’s a very harsh reality for about 1.2 billion people, the areas that are dark, primarily still emerging economies, do not have access to electricity. That’s about 20 percent of the world population.

The problem is growing faster than the solution. Working through the UN, most of the nations of the world set 2030 as the year that the entire world would have electricity. But that’s now considered unlikely. A new report prepared by International Energy Agency and the World Bank, cites statistics that indicate that goal will not be met. The key reason is that the rate of growth in electrification has been slower than population growth: access to electricity grew at about 1.2 percent per year between 1990 and 2010, while the global population grew at 1.3 percent per year.

These places get their electricity from non-renewable resources that threaten the world environment. That leads to a global dilemma: The usual solutions for bringing more electricity to people also bring more damage to our environment. Thus far, to bring electrical power to the people and areas needing it, the primary response has been an explosion in the generation of electricity by coal-burning plants. Although the use of wind- and solar-generated power systems has increased as a solution as

billion per year over and above existing levels, entailing a doubling or tripling of financial flows over current levels.” Only about one-fifth of that price tag is for expanding energy access to poorer countries — the rest is for cleaning up the energy supply. Progress on the latter has also been slow. The report notes that the world’s share of renewable energy has ticked up only slightly since 1990, from 16.6 percent to 18 percent in 2010. When people think of the cost of using fossil fuels to produce electricity, they usually consider such issues as land use, waste management, and water and air pollution caused by the recovery of these fuels from the earth. But there are also severe health effects caused by burning fossil fuels. According to reports issued by the World Health Organization

study known as Externalities of Energy, undertaken over the period of 1995 to 2005, found that the cost of producing electricity from coal would double over its present value, when factoring-in external costs such as damage to the environment and to human health. There is no single solution. There are several. For example, electricity generated from wind turbines didn’t become a serious alternative until the energy crisis in the 1970s; today wind generates about three percent of all electricity in the US. Similarly, the use of solar power has also grown; for example, residential installations of solar energy systems grew 53 percent in 2013 over the same quarter in the previous year. For the past several years, research and development efforts and initial deployments have shown that water currents can also be a viable source to generate electricity. Much progress has been made to develop electricity from sources, such as the wind and the sun, that will not damage the environment. For years, marine kinetic energy has also been considered a possible source for generating clean electricity. Today, that prospect is moving to reality. An Ocean of Power exists all around us.

The currents can be thought of as rivers that exist within the oceans, with predictable directions, pace, and borders. Then, the electricity generated by currents can be connected directly to the grid. In addition to using ocean currents, electricity can also be generated by tidal flow.

In 2008, Verdant Power deployed the turbines in New York’s East River as an important test to determine how much electricity they could create. Since that first test, the project has moved to its third stage to build a system of 30 turbines in the river. Now, some five years since that first test,Hydro Alternative Energy( HAE) is deploying a turbine about the size of a ten-story office building in a similar project in the Indian Ocean, several miles off the shore of the eThekwini Municipality of South Africa. It is envisioned that, as in the case of the East River project, HAE’s project in South Africa will also enter staged construction of a more complex system that would have the capacity to generate as much as 100 MW of electricity. Unlike the wind, which dies down, and solar energy, which is not available after the sun sets or when hidden by clouds, ocean currents are non-ending and basically unchanging. The electricity generated by ocean currents can be connected directly to the grid rather than to an additional system to store electricity needed when solar panels or wind turbines are not able to operate. The elimination of a storage system simplifies and reduces the expense of marine kinetic power generation solutions. Ocean current-generated electricity is quickly becoming a reality. Ocean current-generated electricity is following the same evolution as wind and solar systems, moving from concept to initial tests to deployment of the first systems. Eventually, ocean current generating systems are also likely to become a commonly used approach

to produce electricity, albeit they will not be visible because they will be moored under the surface of the ocean to avoid any intrusion into shipping lanes.

What role is HAE playing in making that become a reality? Since 2009, HAE has been positioning itself as an emerging independent power provider. Today, HAE is initiating the process to the first installation of its Oceanus™ system. After more than four years of design, development, and testing, HAE is now moving to the next level: becoming an independent provider of power (IPP) generated from ocean currents. HAE’s Oceanus™ system offers the flexibility of utilizing various different engine turbine systems to allow for more efficient operation in different site-specific locations. | December 2013 | FranTechnovation

Oceanus™ consists of two primary modules: the “shroud” and the engine module, which is housed in the shroud. But the shroud does more than simply house the engine module, it is designed to accelerate the velocity of the water flow as it passes through the engine module, thereby making it easier to extract more kinetic energy. This makes Oceanus usable in offshore locations worldwide that wouldn’t generate electricity efficiently at the pace of normal incoming water flow from the currents. Many computational fluid dynamic (CFD) simulations have been performed on several different variations of the shroud to confirm design characteristics, identify potential weaknesses and help engineers make design changes. These computer simulations were then used so that the optimized shroud design could be fabricated and tested multiple times in real world environments, thereby verifying ccuracy of the CFD. Testing different turbine systems allows HAE to understand the most efficient operation in different site-specific locations. The Company has considered Perpendicular Access Turbines, a Gorlov turbine, a Darrieus turbine and an Axial turbine. The engine module that is ultimately used will depend on which turbine system proves most efficient. Although HAE has developed its own proprietary technology and continues to test various approaches, as an IPP the Company is focused on using whatever engine module will provide the most power at the best cost. Durban, which is the major city in the eThekwini Municipality (population about 3.5 million), HAE’s Oceanus system will be the first in the South African region to harness the power of ocean

currents to generate electricity. Russell Curtis, head of the Durban Promotion Agency, noted that the project will “transform” the region’s green initiative, provide electricity to the people who live there and help fuel economic development for the region while neither creating any noise or interference with sea life. ELIUS CORDE 8.3 MWE About The Site The Site in Potters’ Crouch, St. Albans is an existing wood recycling site, part of which will be re-designed to serve its new purpose as a waste wood biomass power plant. With excellent links to the M1, the Project will receive c146,000 tones of wood per annum and generate 14.2MW of green electricity to be supplied to the National Grid, providing sufficient carbon-neutral energy to power the equivalent of several thousand homes.

Having received a grid offer from E.oN, NE has comfort over grid connection options available to a power plant developed on the Site, and are currently developing these further. In particular there is potential scope to renegotiate the grid connection agreement with E.oN to sub-contract a substantial element of the grid connection works and cost to a 3rd party, delivering substantial cost savings to the Project. The Site is currently leased by NE who prior to financial close have negotiated a new extended lease of 45 years. This will be put in place directly with the

Project SPV in relation to the land required by the Project. This will be more than sufficient to cover a minimum of 25 years of plant operation. Planning Structure Planning consent was granted in relation to the Site on 2 December 2010 subject to certain conditions. The permission has a 3 year life and therefore is valid till 1st December 2013. The conditions that are contained in the planning consent are considered to be standard and NE is currently in the process of discharging all the conditions within the appropriate timeline before demolition and construction starts 22nd November 2013. An application for the required Environmental Permit has been submitted and NE has received confirmation that the Environment Agency has processed a draft to be considered internally before being granted in Q4 2013. Technology Following a thorough review by Fichtner, NE have selected Aalborg Energie Technik (“AET”) as technology providers for the Site. AET provide a proven “combustion” technology and were deemed the preferable supplier for a number of reasons, but most notably i) efficiency benefits around both the boiler start-up time and the maintenance burden; ii) a good operational UK reference plant in Western Wood (Port Talbot, financed partly by senior debt Project Finance) as well as suitable operating plants across Europe, and a number of other plants being progressed in Europe; iii)

their proposal to guarantee annual plant availability in excess of 90%; iv) a strong security and warranty package. With 13 reference plants throughout Europe, AET are deemed to have the appropriate experience and track record to deliver the best technology solution. NE has entered into a commercial arrangement with a leading biomass project developer. AET will engaged to provide a full EPC contract in relation to all above ground works in relation to the Project. NE is currently in the process of tendering suitable contractors to undertake the civil works. AET will be engaged tom maintain and operate the Project under a fixed price long term contract. This is a role that AET currently undertake on a number of their operating installations and therefore have the relevant experience and resources. Project Working Details The Project has been developed by NE to take advantage of a strong and proven supply of waste wood in the Site at St. Albans since 2004. Historically the Site has received c80,000 tpa of waste wood, despite not having a dedicated end use for the wood. Up to 90% of this has been provided by Local Authorities and large commercial customers. NE have developed a range of fuel supply strategies to provide the Project with processed waste wood suitable to be fed direct into the plant – in accordance with AET parameters – which feature the following characteristics:

NE is progressing towards these discussions and will engage with potential funding equity partners in relation to preferences/requirements for risk mitigating factors such as fixed and floor pricing. NE is looking to secure an investment partner(s) to fund the construction of the Project with total capital costs of circa £60m. NE is seeking to ascertain a level of interest from the private equity market and feedback to transaction structures that would be favorable by interested equity parties. NE would prefer to secure an equity

funder with strong relationships with project finance lenders in relation to the Project. NE would favorably consider a full equity funding solution and the contracting flexibility benefits this offers to the Project. The equity partner / project will be eligible to secure a Danish Export Credit Guarantee for up to 80% for the operating plant and equipment supplied by AET. This is an opportunity to secure an equity purchase in a 15.2MW Waste wood biomass power plant in Hertfordshire (“the Project”). Navitas Environmental (“NE”) are the developers on a 5 acre site located near St. Albans, Hertfordshire, which holds a planning permission to construct and operate a 14.2 MW (net) biomass fuelled power plant (“the Site”). The Project will benefit from green incentives, Renewable Obligation Certificates (“ROCs”) and will have minimal fuel input costs due to the use of waste wood as the main input fuel. Initial financial modeling therefore forecasts a Project level IRR in excess of 14%.

CE’s Karachi thermal power project involves the setting up an approximate 500 MW power plant (the "Project") on BOO (Build Operate Own) basis for a period of 25 years. The Project will be a thermal Independent Power Plant (“IPP”) using Liquefied Petroleum Gas (“LPG”) as fuel. CE is the Project Sponsor and will hold the concessionary rights of the Karachi thermal power plant project for 25 years.

The O&M contract of the LPG plant will be multi-year long-term O&M contract to run CE’s LPG plant, with an option for extension of the contract. The O&M contractor guarantees plant availability, heat rate and net plant output for the contracted period, thus minimizing the technical risk of the project to Cavalier. Full details of the technology to be used will be provided by CE and are provided in the Appendix. The setting up and management of the power plant will be as follows:

The project entails setting up an approximate 500 MW power plant (the "Project") on the BOO (Build Operate Own) concept. Cavalier Energy (CE) is setting up a combined cycle technology based Power Plant on duel fuel (LPG as primary fuel and natural gas as secondary fuel) in Karachi at Port Qasim. The project will obtain a No Objection Certificate from the Environmental Protection Agency, and the plant specifications of CE’s Karachi power plant are designed with World Bank emissions guidelines in mind. As such, the project is not expected to be to the material detriment of the environment.

The selected EPC will act & serve as the EPC (Engineering, Procurement and Construction) for the project. The selected EPC will be a world class and leading supplier of power plants for the decentralized power generation market. It will have extensive experience in power plant solutions based on oil, gas, specifically LPG and dual-fuel gas turbines and combined cycle power plants. Being the EPC contractor for Cavalier’s Thermal Project, the EPCC will have access to its international technical resources and parts distribution networks. Most investment funds which offer capital guarantees utilize a bond as the underlying security. This is usually a bank bond, a corporate bond, a sovereign bond or an insurance wrap underwritten by a bond. All of these guarantees are subject to the performance of the bond itself and not the entity issuing the bond. In other words if the bond does not perform as well as expected, the investor will lose all or part of their capital. Since 2007 investors have lost hundreds of millions of dollars of their capital which they had assumed to be fully protected, by using Bonds as protection instruments. In addition to this the maximum term deposit allowed by financial regulators in Australia is 5 years, while many investors require up to 10 year terms. Therefore the Term Deposit as a standalone is not suitable as a capital guarantee.

In order to achieve the safety and ranking of a Deposit, the features and tax benefits of a Bond, our engineers designed a Structured Transferrable Certificate of Deposit (TCD) with formulas and policies that combined the required features of each instrument. Once completed, all of Australia’s major 4 banks were approached with this unique concept of a Term Deposit which performed the same as a Zero Coupon Bond. After eighteen months of negotiations with one of Australia’s 4 pillar banks; this was able to be achieved and approved as a specialized Transferrable Certificate of Deposit to offer to our investors as a capital guarantee. If the guarantee is to rely on the credit worthiness of the issuer (the Bank) then it is necessary to utilize one of the safest and profitable banks in the world. All of Australia’s big 4 banks are ranked on the list of the world’s top 20 safest banks and this particular bank is rated as AA (Stable) by S&P, it is rated as the fourteenth most stable bank in the world, and the special TCD

offered is its senior, unsecured, and unsubordinated obligation. The TCD itself is rated AA (Stable) as a financial instrument and therefore the risk to invested capital is near zero. This newly designed process has been patented using this TCD as a Capital Guarantee. The TCD is structured according to the term the investor intends to invest for. A portion of the investor’s capital is allocated to the acquisition of the TCD depending on the Term selected by the Investor, and the remainder of the capital is then deployed into the investment pool and allocated according the investment strategies of the Fund Manager. Fidelis MMF is a private fund Coal Fund (TCD) and formed from a subsidiary of Petróleos de Venezuela, S.A. (Pedevesa), one of the largest Oil Companies in the world. Fidelis MMF’s funds are specifically dedicated for business investing under the Fidelis Modified Mezzanine parameter, for shortterm business investment purposes. Fidelis MMF’s original banking relationship was established through Fidelis Banco Bilbao Vizcaya’s (BBVA) private banking division in Puerto Rico and New Zealand. The Fidelis clearing accounts for New Zealand, Westpac Bank and Puerto Rico are conducted through The Bank of New York Mellon Corporation (BNY Mellon), in New

Fidelis MMF underwrites all of its FNZ projects prior to any recommendation for bank financing. Fidelis Underwriting guidelines vary due to the specific FNZ project level of assets, liabilities, cash flow, deal structure, location, management experience, collateral value and project stabilization, once fully operational. The main purpose is to bridge the capital gap that exists in the marketplace today, thus to shore up any capital shortfalls that may hinder a FNZ project's potential launch.


Our position in the Project is one of a partnership with the Bank and the Fidelis MMF, as an investor only. The development of the Fidelis Modified Mezzanine Fund was established, due to today’s capital restrictions along with stricter underwriting parameters. Additionally, it was designed to compliment and not violate any international laws. Notably, Fidelis MMF does not take any equity position within the company or take a seat on the FNZ Company Board, thus no equity dilution will occur. Fidelis MMF’s model mirrors that of the banking underwriting guidelines, thus allowing the bank to be in first lien position throughout the project’s development period and at the final take-out, once completed. This allows the bank to stay in the lead position, thus mitigating some of the inherent financial risks. The Fidelis funding triggers will mimic that of the final from the issuing banks term sheet and (TCD). Fidelis MMF works in conjunction with the banks term sheet, negotiating mutually beneficial benchmarks for the FNZ project and the investment. However, the final

Fidelis (TCD) credit facility must be negotiated between the company and the bank.

Once approved by the issuing bank, an LOI should be issued to the applicant listing our full banking information and Fidelis MMF general information. Upon full concurrence by all parties, Fidelis MMF will fund up to 60% of the bank’s guarantee (TCD). The bank will then coordinate all funding through Fidelis MMF’s Bank directly, through specific SWIFT protocols for settlement and DVP/RVP. Once Fidelis (TCD) funded, all funds will be under the control of the lead bank, with full project control (fund controlled) throughout the duration of the project. Once the project is completed, or after 12 months (whichever is the lesser), the bank will take out Fidelis MMF’s position at its' agreed upon term sheet value. Fidelis MMF’s guarantee needs to be structured under the ICC URDG 758 format to be accepted. The Fidelis (TCD) specifics will need to be determined between both banks and may vary from institution to institution. Fidelis Capital Guarantee Patent Approved Fidelis Capital Guarantee patent has been approved. With our ability now to place pension fund money into our "Fidelis 10 year TCD" in 100M traunches, and provide the pension fund only a 2 year lock on the TCD and the cash flow to pay out their payments, in full, per their drawdown schedules, we can now provide 100% protection of the capital at Westpac, certified tax credits using our patented technology, while earning 20 to 100 percent per month returns on our capital consistently.

ver the past few decades the rapid expansion of home ownership throughout the United State can be traced back to the creation of The Federal National Mortgage Association (FNMA). How times have changed since. According to 1940 government statistics the median price of a single family home in the US was approximately $2,938.00. SIMP based loans offer a significantly lower risk to bond investors which will translate into lower mortgage rates. Higher bond yields will be achieved through significantly lower defaults and prepayment risk averages. A new amortization model that is mutually beneficial to both borrowers and bond investors in today’s economy is essential. Borrowers who have more skin in the game have been known to be least likely to default on their loans. SIMP base loans allow borrowers to build equity thirty percent faster which will mitigate future mortgage defaults. SIMP is a new amortization model that once the marketplace is exposed to it, it will render the existing standard 30 year amortization model obsolete. The media has reported the number of financially stable borrowers who have chosen to walk away from their properties is pretty much on the rise. Reporting further, it has been observed that the mindset behind this decision is a belief that homeowners and investors are viewing paying their mortgage as a business decision rather than a moral obligation. The SIMP model takes into account the average borrower will either sell or refinance their home within ten years and this model will reduce the number of years a borrower will take to pay back a mortgage from 30 to 20 years,

while providing the same or higher bond yields. In contrast to other compounding interest options, SIMP based loans on average not only will rapidly generate 20% equity in four years, monthly payments between the years 11- 20 are reduced, leaving little reason for borrowers to refinance during periods mortgage rates have fallen. SIMP based loans offer a significantly lower risk to bond investors which will translate into lower mortgage rates. Higher bond yields will be achieved through significantly lower defaults and prepayment risk averages. SIMP would reduce risk as it increases mortgage amortization, accelerating equity while reducing risk for investors and bond holders. At the height of the housing bubble, the asset value of total outstanding commercial real estate debt was estimated to be around $6 trillion. Since then, new loans originated (Residential FNMA/ FLMC and other loans) are in excess of $14 Trillion. If SIMP captures “only� 10% of the refinance of this entire indebtedness, this would mean that $2 Trillion of SIMP mortgage loans would be originated. Multiple SIMP based revenue streams will enable SIMP to be profitable from day one. One of the more lucrative investment platforms which will enable SIMP to be profitable from day one requires the participation of a funder. The platform would appeal to pension funds and Ins companies currently funding commercial loans. It would also appeal to more risk adverse institutions waiting to jump back into the market. SIMP based loans return investors principal over 40% faster than 30 year amortized loans while providing investors with the same or higher yields. The benefits over the

Therefore bonds that are based on SIMP amortization will out perform the over all coupon rate of bonds that are base on a 30 year amortization.

SIMP bond pools will have approximately 40 percent more AA/Aa - AAA/Aaa rated tranches than 30 year based bonds which will translate into a greater weighted average of higher yield bonds within a SIMP bond pool. Not only nearly all of the principal has been paid back, Investors will receive compounding interest on their deferred interest. We anticipate these tranches will continue to trade at much lower margins than any tranches a 30 year based bond has to offer.

Increased Production In any well, the higher the casing pressure, the less fluid is allowed into the well bore. Any time the pumping system is stopped, the pressure increases, reducing flow into the well. SALT maintains minimum intake pressure to the well by varying the speed to match the well’s productivity, thereby minimizing the shutdowns that reduce well productivity.

This greatly increases production. SALT eliminates shutdowns and their resulting periods of well recovery and pump-down. into the well, maximizing its production capacity. On rod pumps, SALT will dynamically vary the pump speed within each stroke to maximize efficiency, regulate rod stress and maintain the appropriate average strokes per minute based on reservoir level. The use of a VFD allows operating the motor above base speed. This allows for a faster pump-down of high fluid levels. Minimize energy consumption Traditional pump-off systems allow fluid to flow back down through the pump every time the pump shuts off. By operating the pump continuously, SALT eliminates this problem altogether. Fluid that has already been produced does not have to be produced again. Upon gas detection, SALT increases speed to pass the gas through the pump. If this fails, the pump is slowed to minimum speed to let the gas pass while allowing the fluid level to increase. The system will then repeat the process until the gas is eliminated. SALT provides a power factor of .97, eliminating the need for power correction and the power losses associated with such equipment. SALT’s soft start and load limit features also reduce peak demand charges by as much as 50% when compared to standard pump-off controllers. SALT is able to benefit from the affinity laws of pumps, which state that power is proportional to the cube of speed change. Essentially, this means that even a small reduction in speed results in a substantial reduction in power

needed to run the pump. As SALT TM automatically reduces pump speed when reservoir levels are low, there is a significant energy savings associated with reducing centrifugal pump speed. SALT reduces the excess power delivered to rod pumps by slowing down during peak demands. Any excess energy delivered to the rod pump is then retained as mechanical energy instead of being converted back to electrical energy. Since the excess energy is kept within the system instead of returning to the power grid, less energy from the power grid is required for the next peak demand. This patented system reduces kilowatt usage by 22% or more. In unbalanced systems, the kilowatt usage is reduced even further. speed within each stroke. As SALT regulates down the pump strokes per minute based on reservoir levels, mechanical stress is reduced. For example, operating at 6 SPM 24 hours per day is less taxing than operating at 8 SPM 20 hours per day. Furthermore, SALT soft starts do not exceed the load limits of the rod or gearbox even if the pump is stuck due to solids or mechanical problems. In fact, by slowing the unit down rather than stopping entirely, SALT eliminates altogether the potential for solids to fall back into the pump. Four-quadrant control for rod pumps provides adjustable speeds and load limits within portions of each stroke. This function can be used to eliminate rod float and rod compression, allowing the use of fiberglass rod. SALT decreases speed during peak mechanical loads, eliminating peak load setting violations. Traditional pump-off controllers cause wide temperature and pressure variations in the pump motor. Because SALT operates continuously, motor temperature and pressure are more consistent, prolonging the longevity of submersible pump motors.

Moreover, the light oil is continuously produced since 1859 and more and more wells producing such oil are becoming marginal. All the conventional artificial oil lifting technologies were designed for the production of light oil. Given this purpose, their lifting efficiency decreases dramatically when the oil viscosity increases, as opposed to the COVA technology unique ability of having the lifting efficiency increased when the oil viscosity increases. COVA oil lifting technology is a new, patented and internationally protected technology is different than any other existing and widely applied artificial oil lifting method. Continuously tested and improved, the last version of the artificial oil lifting unit (the 8th one) is currently operating since June 1st 2009, with outstanding results: As seen from the test results(results certified by our test client), the new technology provides an overall reduction of 65% of the production costs. Savings on energy consumption alone is 75% less than conventional oil lifting method. In some tests, Energy Consumption with the COVA technology dropped to only 10% of the previous energy consumption on the same well. In all cases where employed, the COVA technology produced a minimum 50% more oil than the conventional technologies previously used on the same well. However, the current test shows an increase of 100% of the oil production, which made our client to book an extra production of more than 800 bbl from a formerly marginal well in less than seven months.
