In recognition of the increasing bilateral trade between Canada and Thailand, the informal Thai-Canadian Business Club expanded to become the Thai-Canadian Chamber of Commerce, which was officially registered in 1991. CanCham Thailand - the current name of the Chamber - provides a forum for business people with a mutual interest in Thai-Canadian commercial relations. The Chamber continually strives to support, promote and enhance its members’ business interests by fostering Thai-Canadian relationships.

MESSAGE FROM THE EMBASSY OF CANADA Dear CanCham Thailand members, Another year in this country has allowed me to view first-hand the resiliency and entrepreneurialism of Canadian business in Thailand. As Canada’s Ambassador to Thailand, it is an honour to represent Canadian business interests, and to support the advancement of Canada-Thailand commercial relations. This is primarily executed through both the Canadian Trade Commissioner Service (TCS), to which our team of trade commissioners are always at your avail, but also through CanCham Thailand, including its team of dedicated individuals led by CanCham’s President, John Stevens. The rules-based international trading system is under pressure. From the imposition of protectionist measures, to calls for economic isolationism, global commerce may be entering a period of turbulence. While this is certainly a regrettable trend, I can assure you of Canada’s longstanding position: we remain committed to international trade and investment and to our international treaty obligations. In 2019, Canada’s engagement with Asia remains a top priority. This is reflected in the recently ratified Comprehensive and Progressive Agreement for Trans-Pacific Partnership (CPTPP) between Canada and ten other countries in the Asia-Pacific region. The substantive investment protections, legal rights and dispute settlement mechanisms of this progressive agreement offer new opportunities for Canadian businesses in Asia. In addition, Canada is committed to exploratory talks for an ASEAN-Canada Free Trade Agreement, which will create new openings in Southeast Asia, including Thailand.

Here in Thailand, the rapid development of the Eastern Economic Corridor (EEC) and the wider Thailand 4.0 initiative has proven to be more than a political slogan. It provides room for Canadian expertise, technology and capital. While Thailand has undergone, and continues to experience, rapid changes, its business fundamentals remain strong. Thailand’s presence on the international stage is significant, especially this year, which marks Thailand’s tenure as Chair of ASEAN. In 2018 alone, total trade between Thailand and Canada grew by 7.6% (exports grew by 6.6%, while imports grew by 7.8%). Our bilateral trade growth amidst global uncertainty speaks volumes regarding the continued stability, confidence and predictability of the Canada-Thailand commerce, making Thailand Canada’s second largest trading partner in ASEAN. However, what do these larger legal and economic assemblages mean to you as an international business person? What do these macro level trends mean for your business as a Canadian entrepreneur? It means a diverse and multifaceted trade and investment ecosystem that is here to support you. You are spearheading Canada’s continued successes in the vital AsiaPacific market, creating and forging economic links that will continue to provide benefits to the wider Canadian economy. PRESIDENT’S MESSAGE Dear CanCham Thailand members and friends,

CanCham is pleased to present our 2019 Annual Resource and Membership Directory. Special thanks to Scott Murray, Paulo Guedes and the team at Lexicon for their efforts in producing this top-shelf publication. Thailand is Canada’s second largest trading partner in ASEAN – and the relationship between the two countries continues to grow. Canadian interests in Thailand have expanded in recent years with significant investments by such large companies as Scotiabank, Celestica, Magna, Fairfax, Bombardier and Canadian Solar. Going the other way, CP Foods recently acquired a majority stake in Manitoba-based HyLife, which, pending regulatory approval, will mark one of the largest investments in Canada ever by a Thai firm. Other Thai corporations with significant interests in Canada include PTT Exploration, Indorama and Thai Union Group. Opportunities for Canadian companies and Canadians operating in Thailand are fostered by the country’s transition from a manufacturing-based to a service-based economy. The Thailand 4.0 initiative is focused on shifting export production from commodities and labour-intensive manufacturing to innovative products. The commitment to building and promoting the Eastern Economic Corridor (EEC) is testament to Thailand’s drive towards creating a more dynamic economy and a business-friendly environment. CanCham serves as the commercial and social hub for the Canadian community in Thailand. Our mandate is to support our members by providing information flow, networking and contacts, advocacy and community events to foster business


and Thai-Canadian linkages. We are an active chamber hosting upwards of 30 events per year, including many multichamber and Canadian Embassy joint initiatives. The past year has been a strong one for CanCham: our membership has risen by 40%, community engagement is high, and our events have been well received and better attended than ever before. CanCham’s ability to operate and excel is highly correlated to the support provided by our annual partners. INTRODUCTION TO CANCHAM THAILAND CanCham Thailand was officially registered in 1991 as the Thai-Canadian Chamber of Commerce after expanding from the Thai-Canadian Business Association which was formed in 1988. Our objectives are to provide a forum to promote the exchange of ideas, information and opportunities for individuals and companies with an interest in commercial relations between Canada and Thailand. We also actively foster the expansion of business links between the two countries, while providing social and business networking opportunities in Thailand.

BUSINESS BRIEFINGS CanCham Thailand puts a real emphasis on providing its members with a variety of business briefings featuring a range of topics presented by field experts. Members receive a constant stream of relevant information to stay current about developments in Thailand and the region and can gain in-depth knowledge about particular sectors or topics of choice.

NETWORKING Networking opportunities are often considered a key reason for joining a Chamber. CanCham Thailand recognizes this need and works diligently to ensure its members are offered numerous opportunities to expand their networks and socialize. We offer business and educational events, Canuck Connections networking nights, joint foreign chamber gatherings and brand Canada events such as Canada Day, Maple Leaf Ball and the Great Canadian BBQ. ADVOCACY CanCham Thailand members’ interests are best represented to Thai Government officials and agencies through a shared joint foreign chamber of commerce voice. CanCham Thailand, along with other foreign chambers of commerce have been involved with many issues over the years including: BOI incentive packages, changes to the Foreign Business Law and Retail Act, as well as other business issues associated with tax, labour and customs legislation.

SUSTAINABILITY & SMART BUSINESS CanCham Thailand believes that Sustainability is Smart Business. We have renewed the “Sustainability and Smart Business” platform to foster member interest and expertise in work place quality issues, clean energy, environment, education and more. The Sustainability and Smart Business platform serves as a focal point for members and other stakeholders to engage and collaborate on some defining challenges and opportunities of our time. CANCHAM THAILAND BOARD MEMBERS 2019 John Stevens is a Canadian entrepreneur living in Bangkok with business interests in Asia Pacific. John is Managing Partner of Stonelotus Ventures - which provides angel investment and strategic support to early stage businesses in Southeast Asia. Since 2011, the group has funded and provides ongoing management support for several investee companies. John’s key areas of expertise include deal origination, fundraising, strategy, marketing and investor relations. Formerly, John was Founder and Managing Director of Rabbit Rewards - the loyalty and membership program for Rabbit Card - Thailand’s leading mass transit and retail smartcard under BTS Group.

Derek van Pelt has been in the Kingdom of Thailand since 1997 when he came to work for the Thai Royal Family at Chitralada Palace School for a year. Mr. van Pelt is currently a Partner & Director in Smiling Albino Ltd. His prior work experience also includes working for TravelGuide.com as well as starting and subsequently selling Datcorp Co. Ltd. Mr. van Pelt joined the CANCHAM THAILAND Board in 2010 and was previously a past Vice President. He is frequently seen at CANCHAM THAILAND events either behind the scenes or behind the microphone. He looks forward to continuing his work with, and support of, the Canadian community in Thailand.

With over 20 years’ experience in Start-ups, Aviation Ground Handling, Investment, Marketing, and Customer Service principles, Caroline now leads the MBMG’s Corporate Solutions team to provide corporate/ investment advice and facilitate strategic business transactions on behalf of a wide range of clients in South-East Asia and further field. Notable achievements include the successful start-up of a new operation for a then US Fortune 500 company at Macau International Airport and Hong Kong International Airport as well as setting up the first Asia Pacific office in Hong Kong for the world’s largest philatelic agency headquartered in New York. Caroline first joined Cancham Thailand in 2017, narrowing the gender gap as the only female Director on the Board. During her term, her proactiveness and attention to details have put her stamp on Cancham’s premier activities including Canada Day, Maple Leaf Ball, as well as chairing the Women in Leadership event.

David has been a representative at CanCham Thailand for four years, and has served as a director at the chamber for the past two years. He is originally from Ottawa, but his last home in Canada was in Montreal where he attended law school. David has been in Asia for over ten years, having previously lived in Japan, Mongolia and China. David is a Counsel at Chandler MHM Limited (CMHM). Prior to joining CMHM, he gained experience as a consultant at a respected international law firm in Bangkok. He regularly represents lenders and borrowers in cross-border lending in oil, gas, mining, renewable energy, and manufacturing sectors. David has also advised on numerous complex commercial transactions such as cross-border joint ventures, M&As, loan portfolio acquisitions, and greenfield infrastructure projects.

Beginning in 1998, Dan McKay spent 10 years in Thailand with the Churchill Pryce Group working in corporate financial advisory, with a focus on debt restructuring and boutique M&A. He managed a team of 30 advisory staff (ex-patriots & Thai nationals), completing financial restructures carrying over USD 625 million of debt. Industries covered included: petroleum, property development, manufacturing, agriculture, and media. After returning to Canada with SGS for 7 years, Dan returned to Thailand to focus on investing in, and working with, early-stage businesses. As a director of the Stonelotus Group, Dan assists businesses in raising capital, setting strategy, and implementing business management systems.

Mr. John Casella has more than 25 years of professional experience in accounting, consulting and management positions for a wide range of companies and projects in S.E. Asia and North America. John is the Managing Partner at PKF Tax and Consulting Services (Thailand) Limited where he has successfully built a strong team over the past +10 years providing a broad range of expertise, including: taxation compliance and tax advisory services, outsourced accounting and payroll, corporate legal support, and risk management services. During the past 5 years, John also opened PKF Audit and PKF Advisory for PKF Thailand, which both acquired SEC License status last year. Previously, John spent 10 years providing corporate advisory services for Churchill Pryce Capital throughout SE Asia, including corporate debt restructuring, operational consulting, M&A due diligence, business valuation, etc from 1998 to 2008. John started his professional career in 1992 as an auditor at the Canadian head office of Arthur Andersen & Co. in Toronto

Lawrence has been in Asia for over 17 years and over 28 years of experience in Canada and Thailand in the hotel/restaurant operations. Lawrence has worked as an Food and Beverage Director and General Manager in 5 star Hotels at Hotel Muse /ACCOR, Toscana Valley Hotels and Golf Resort, Six Senses Resorts and Spa’s private business club and Group General Manager with several franchise restaurants such as Jones the Grocer, illy Caffe, Mejico and Zambrero Mexican restaurants. Today, Lawrence enjoys being brand ambassador for Evian and Badoit mineral waters from France for Thailand concentrating on expanding the global brands reach into hotels and restaurants.

Mr. Surachit (ART) Chanovan is a Cancham member in ‘good standing’ and well known to the Cancham Board.  As an active member of the Chamber’s Education Sector, he has been a strong advocate of quality education for Thai students and served as the Country Director of Cancham member company, Canadian Education Centre Network (CECN) – Thailand Branch until the network’s global closure in January 2010.    He served as a Cancham Board Director for many years from his first year in 2003.  Mr. Chanovan received the Cancham’s Business Excellence Award in the “Best Canada-Thai Linkages” Category in 2003 for his efforts in promoting Canada as education destination for Thai students.     Mr. Chanovan became the Managing Director of “Success Canada. org” from February 1, 2010 to the present.  Like CECN, this new entity follows the same pattern in promoting Canadian education to Thai students.   Mr. Chanovan is an expert with extensive knowledge in areas of Education/ Travel/ International Relations and Transportation & Communications with his experiences working at various multinational corporations such as Regional Manager Asia Pacific of Amadeus and Country Manager of Air New Zealand.      He was a graduate in International Relations from one of the finest State Universities in the U.S., University of Delaware, in which one of its distinguished graduates was former U.S.VP Joe Biden.

Ron Livingston Director President & CEO, International Environmental Management (IEM) Mr. Ron Livingston has more than 30 years of professional experience in the management of natural resources. He holds a BSc. and a Masters Degree in Natural Resource Management from the University of Manitoba. Mr. Livingston is currently the President and Chief Executive Officer of International Environmental Management, which has offices in Thailand, Cambodia, Vietnam and Myanmar. Mr. Livingston is also Chairman of Oxigon, a software company that specializes in Health Care Solutions. Mr. Livingston is a former Vice-Chairman and Director of the Board of Trade of Thailand; past President of the Canadian Chamber of Commerce of Thailand and currently the Vice Chairman of the Joint Foreign Chambers of Commerce of Thailand.

Dean Outerson Director Head of Marketing & Communications, Sasin School of Management, Chulalongkorn University Dean Outerson has worked in Thailand for the past 11 years and has 27 years experience living and working in Asia, having previously lived in Japan and Indonesia. Currently, he is Head of Marketing and Corporate Communications at Sasin Graduate Institute of Business Administration of Chulalongkorn University, Thailand’s first internationally accredited business school. Dean heads the team that handles the marketing and recruiting efforts of the graduate business school. In his previous position as Director of Publications/Managing Editor at Veritas Graphics, he worked closely for a number of years with the British Chamber of Commerce, Australian Chamber, and the New Zealand Chamber on their publications. He has been an active member of the Rotary Club of Bangkok South since 2007 and has served on the Board of Directors seven out of the past nine years. He has a background in writing, editing, and journalism and has a keen interest in digital marketing and social media, education, literature and history.

Currently Managing Director at Trends Digital Ltd, providing Social Media & Digital professional services for International companies. Sample partner clients include Lenovo, Motorola, Mars International, Unilever, Minor International, among others. Trends Digital was founded in April 2013 and based in Bangkok, Thailand with a team of ~40 specialists providing solutions with platform partners such as Google, Facebook, Instagram, Youtube, Line (Naver), Twitter, and others. Services also include Social Media Monitoring, Social Listening, and Consumer Management software & tools for sentiment and social media intelligence. Sunny is originally from Montreal, Canada and attended University of Western Ontarion (UWO) in London, Ontario with a BA (Honors) in Philosophy, MBA from INSEAD, and CFA designation.

Rajiv is the CEO and Director of A & II (Thailand) Co Ltd. The company focuses on Digital Transformation and E Business strategies. He is based in Thailand. Rajiv has worked within the IT&T industry (including IBM Canada), in various industry and government sectors and brings to the company experiences gained over the last 40+ years.

Natasak Rodjanapiches is currently a Senior Advisor for KPMG Phoomchai Business Advisory Services; an advisor to board members at Elernity Thailand; and an Independent Director at the CIMB Thai Bank Public Company Limited. He is also a Vice Chairman of the Creative Digital Committee at The Board of Trade of Thailand. He was a Managing Director for Oracle Corporations (Thailand ) from 19972018. He’s well recognized in the Information Technology arena in Thailand and the ASEAN region.

Senior executive positions have included strategy, operations, services, business development (including channels), sales, marketing, international product development and consultancy positions. Past roles have included CEO and Managing Director roles within the Consolidated Press Holdings Group of Companies (CPH) in Australia, CEO / MD of various companies, including global entities and regional company(s) in both ANZ, Asia, Middle East, North America and Europe. Rajiv holds an Electrical Engineering degree from the University of Waterloo, Canada and has participated in Finance and Accounting studies in Canada.


YEAR IN REVIEW JUNE 2018 - MAY 2019 CHAMBER EVENTS & ACTIVITIES The following is a quick overview of CanCham Thailand’s major and recurring events. Our chamber maintains a full events schedule that is competitive with many of Thailand’s larger foreign chambers of commerce. In addition to its own functions, CanCham supports the Canadian community, the Embassy of Canada and other foreign chamber events as it strives to offer its members with a broad range of business and social networking opportunities.


MAPLE LEAF BALL SATURDAY, OCTOBER 27, 2018 BANGKOK MARRIOTT HOTEL, THE SURAWONGSE On October 27, over 250 Thai, Canadian and other expatriate business people, diplomats, officials and influential guests gathered for the annual Canadian Thanksgiving Dinner, called The Maple Leaf Ball. The Maple Leaf Ball is CanCham Thailand’s highest profile and most anticipated event of the year with all of its members, colleagues, business acquaintances and friends in attendance. It’s a formal, red carpet affair, with a fun and different theme each year. This year’s theme was THE OSCARS as guests dressed as their “favorite movie star” or came as their best version of “The Oscars – glamour style”. The event included a cocktail reception with free flow libations, a delicious 4-course meal, live and silent auctions and raffle prizes.

CanCham Thailand joined in with the Canadian International School of Thailand in celebrating our diversity for Canada’s 151th birthday on Saturday, June 16th at Bangkok’s British Club. The festivities were bigger and better than ever as those in attendance indulged their senses and celebrated Canada’s multicultural heritage with a variety of beverages including Canadian beer, Bloody Caesars, and some good wine. A range of food vendors served up a variety of tasty dishes. As usual, people gathered for a range of games and activities, including ball hockey and axe throwing, while kids enjoyed the bouncy castle, interactive and fun games, and challenged each other to a tug-of-war competition. Live music and a DJ entertained the attendees and as usual, H.E. Ms. Donica Pottie, Canada’s Ambassador to Thailand, cut the official, big Canada Day cake.

MULTI-CHAMBER CRYSTAL BALL BUSINESS LUNCHEON WEDNESDAY, JANUARY 16, 2019 THE LANDMARK BANGKOK HOTEL The first premier multi-chamber event of the year, CanCham Thailand in collaboration with DFDL and MBMG hosted a Multi-Chamber Crystal Ball Business Luncheon at the Landmark Bangkok, which brought together business leaders from many sectors, offering guests a lively and interactive discussion for a look ahead at some of the key financial, political, labour and communications trends likely to impact Thailand’s economy in the coming year.


WOMEN IN LEADERSHIP THE PATH TO BECOMING A LEADER WEDNESDAY, FEBRUARY 13, 2019 RENAISSANCE BANGKOK RATCHAPRASONG HOTEL. Our third annual Women in Leadership – “The Path to Becoming a Leader” event, was staged by CanCham Thailand in collaboration with the Embassy of Canada and Trends Digital. This unique event received support from Bombardier Transportation Signal (Thailand) Ltd, Vitallife, L’Oreal and Spaces as well as multiple foreign chambers. The event aimed to open up a discussion about what makes leadership possible for women in all sectors of society and was led by a panel of esteemed panelists and a moderator who sparked engaging conversations. LEADERSHIP IN ENERGY INNOVATION WEDNESDAY, MARCH 6, 2019 SO SOFITEL BANGKOK CanCham members received a glimpse into Thailand’s Updated Power Development Plan, an Energy Roadmap to 2037. Dr. Veerapat Kiatfuengfoo, the Director of the Power Policy Bureau at the Energy Policy and Planning Office, for Thailand’s Ministry of Energy explained that the government’s Power Development Plan is the cornerstone of the Minister of Energy’s overall policy and the strategy for the development of energy markets in Thailand moving forward. From Dr. Veerapat’s speech we learned that the Thai government is anticipating huge increases in demand over the coming two decades. The revised PDP envisions most of the additional energy coming from natural gas and solar, along with energy efficiency mechanisms and energy storage.

CANCHAM THAILAND HALL OF FAME Origin of the Award: The CanCham Thailand Hall of Fame was established in 2012 to honour the Chamber’s key founders and members who have made significant contributions to the formation, development and growth of CanCham Thailand and Canadian-Thai relations over the years. Basis for selection: Candidates for selection to the CanCham Thailand Hall of Fame shall be chosen by CanCham’s Executive Board based on their contributions to the Chamber’s managerial or executive ability; the development of the Canadian-Thai business community and their character.

“The heart and soul of CanCham Thailand” is how Sam Cohen has been described. Indeed, if CanCham had a favourite member award, Sam would have probably won it as many times as it was contested. The Calgary native studied petroleum engineering at the University of Oklahoma. He first came to Thailand in 1982 to develop the fields in the Gulf of Thailand. In 1988, he came back to stay working with the Petro Canada International Assistance Campaign (PCIAC) to set up the exploration and production side of the Petroleum Authority of Thailand (PTT-EP). Not long after being called up to Thailand for his second assignment, Sam met Sumon, who became his second wife and has been his constant companion ever since. Sam has three children (Gil. Don and Chari) with his first wife, Gea. An avid sailor and motorcyclist, Sam has sailed many of Thailand’s waterways and driven many of its highways on his 1300cc Harley. Besides being President of CanCham (then the TCCC) in 1994 and 1995, Sam served as a representative of the government of Alberta in Thailand, chaired the Joint Foreign Chambers of Commerce in Thailand, and was the secretary for the organizing committee of the Phuket King’s Cup Regatta. Sam’s mantra is the three P’s: patience, perseverance, and presence. Follow these, and you will do well in Thailand he says; they’ve certainly worked for Sam. Many people have been touched by Sam’s strength in his time in Thailand and few people have had an impact on a foreign chamber the way Sam has had on CanCham. Finding someone who has a nasty word to say about Sam is almost impossible and that’s very difficult in this day and age. A loveable bear of a man, Sam, one of the founding members of CanCham, has been a tremendous representative for the Canadian community in Thailand.






Article 4

The name of this Chamber shall be “The Thai-Canadian Chamber of Commerce”, herein referred to as “the Chamber”. The Chamber has its registered office situated at no. 139, Sethiwan Tower, 9th Floor, Pan Road, Silom Subdistrict, Bangrak District, Bangkok, Thailand.

Membership shall be divided into three categories: 4.1

Ordinary membership


Affiliated membership


Honorary membership

Article 5

“Ordinary members” shall be natural persons or juristic entities who have links with the country of Canada.

Article 6

“Affiliated members” shall be natural persons or juristic entities who are qualified for ordinary membership, but do not wish to be categorized as an ordinary member.

Article 7

“Honorary members” shall be persons who have brought or will bring honor to the Chamber, or who are engaged in activities that enable them to be of assistance to the Chamber, and who are approved by a majority vote of the Board of Directors.


The objectives of the Chamber shall be as follows: 2.1

To promote closer relations between Canada and Thailand.


To provide a business forum for increasing the knowledge of developments in Canada and Thailand by learning through speakers and other organized events; to keep the members informed of current Canadian and Thai Government policies and procedures, as it affects two-way trade.



To provide advice, ideas, and suggestions for Canadian business interests in Thailand in the fields of trading, services, independence professions, industries, investment, and in other related matters. To promote and organize any activities for assisting worthy causes as approved by the Chamber. CHAPTER III MEMBERSHIP

Article 3

This Chamber is comprised of members who are domiciled in the Kingdom of Thailand. More than fifty percent (50%) of the entire membership comprises natural persons of Canadian nationality, or juristic persons fifty percent (50%) or more whose capital is provided by partners or shareholders who are natural persons of Canadian nationality. This requirement for juristic persons also extends to branches there of that are registered in Canada. All members of this Chamber are engaged in the following enterprises: trading, services, independent professions, industries, agriculture, finance or economic activities.

Honorary members shall have all the rights of Ordinary members, except the right to vote or serve as the Board of Directors. Article 8

The Canadian Ambassador to the Kingdom of Thailand shall be an Honorary Member and Patron of the Chamber. CHAPTER IV APPLICATION AND ELECTION

Article 9

Application for membership shall be as follows: 9.1

Application forms shall be submitted in writing to the Chamber office stating the following information: • Name, address, telephone and facsimile numbers of the applicant. • Category of membership for which the applicant is engaged.


Upon receipt of an application, the Chamber office shall submit it to the Board of Directors at its next meeting. Applications may be approved only by a resolution of the Board of Directors passed by a majority vote of at least twothirds (2/3) of the Board members present at the meeting.

When the Board of Directors has accepted an applicant for membership, the applicant shall be notified promptly.

Members who wish to resign from membership should notify the Chamber office in writing. The Chamber may expel a member who has conducted himself / herself in an unbecoming manner, or when it is felt that allowing him / her to remain as a member would bring discredit to the Chamber. Such expulsion must be approved by at least a two-thirds (2/3) majority vote of the membership of the Board of Directors. Written absentee votes shall be permitted provided they are submitted to the Chairman or Secretary before the meeting is called to order. A written notice will be provided to the member in question by the Board of Directors.


The Board of Directors shall elect among its members to be the following officers: a. President b. Vice Presidents (2) c. Secretary d. Treasurer


The position of President shall not be held by the same person for more than three (3) full consecutive terms. Other Board members may not hold any position as an officer for more than five (5) consecutive terms.


The Immediate Past President and the Counselor (Commercial) shall serve as ex officio non-voting members of the Board unless he / she has been re-elected as a regular member of the Board.


The President must be a person residing in Thailand who is either a citizen of Canada or a person of Thai nationality.

The ordinary members at the Annual General Meeting shall elect the Board of Directors. 12.1

The Board of Directors shall manage the affairs of the Chamber, and shall be elected from the ordinary members at the Annual General Meeting. The Board of Directors shall consist of at least 9, but not to exceed 15 elected ordinary members, including either individuals or designated representatives of Corporate Members. The Board of Directors shall be in office for a term of 1 year at a time. Nominations for Directors shall be proposed and seconded during the nomination period. The nomination shall close at least fourteen (14) days prior to the Annual General Meeting. If, however, at the time the nomination process is scheduled to close there are fewer than nine (9) qualified candidates, the nomination period shall close and re-open on the day of the Annual General Meeting wherein nominations will be proposed and seconded from the floor during the meeting.

The election of the Directors for the Chamber shall take place by secret ballot after the regular business of the Annual General Meeting. Each ordinary member is entitled to one vote for each vacancy to be filled. After the votes have been cast, all candidates shall be ordered based on the number of votes received, and shall be appointed to the members of the Board of Directors in the same order. If, however, appointing a candidate on the list to the Board of Directors


Membership shall be terminated by the Board in any of the following cases: 13.1

Death, in the case of a member who is a natural person


On a member being declared bankrupt by a Court of Law


Termination of business


Expulsion from membership under Article No. 11


On being declared by a court of law to be legally incompetent or incapable


Arrears of payment of subscription for a period of longer than three (3) months after the date of receipt of a reminder(s) from the Chamber


On a member being convicted of a criminal charge.

CanCham Thailand Constitution CHAPTER VI RIGHTS AND DUTIES Article 14

Chamber members have the following rights and duties:


The Secretary shall keep all records, except financial, of the Chamber, and shall cause proper minutes of all Annual General Meetings or Board meetings to be reviewed and signed by the President and shall dispatch a signed copy of the minutes to each Board Member.


The Treasurer shall keep an account of all monetary transactions and shall be responsible for their correctness.


The Board will establish a nomination committee to be responsible for defining nomination procedures and to identify eligible ordinary members to run for election to the Board.


The Board will establish a remuneration committee to determine salaries and bonuses for staff and the Board as deemed appropriate.

The Board shall have the power to authorize the collection of special fees from members, but a resolution for such a motion must be passed by at least a twothirds (2/3) majority vote of the members present at an Extraordinary General Meeting called for this purpose.


The Board is entitled to appoint committees consisting of at least one Board member to deal with special matters. The Board shall establish the powers, duties and procedures for such each committee.



Any elected Board member may at any time resign from the Board by giving notice to the Secretary in writing of his / her wish to do so.


Within the scope of the objectives of the Chamber, and of the Chambers of Commerce Act of B.E. 2509 (A.D. 1966), members shall have the right to receive assistance and advantages connected with trade and economic affairs.


Members must comply with the Constitution and Regulations laid down by the Chamber. CHAPTER VII MEMBERSHIP SUBSCRIPTION

Ordinary members and Affiliated members shall pay membership subscriptions as set by the Board within two (2) months of the beginning of the fiscal year of the Chamber which is deemed to start on the first day of January.

The Board of Directors shall function as follows: 17.1

The President shall serve as the Chairman of General Meetings of the Chamber. The President shall sign his / her name together with the Secretary on documents concerned with the business of the Chamber. He / she shall also sign the annual Balance Sheet of the Chamber, after its certification by the Auditor. In the absence of the President, the Vice-President shall act in his / her stead and shall have the same powers as those of the President. In the absence of both the President and the Vice-President, members at the General Meeting will elect one of their members to serve as temporary Chairman.


A quorum for all meetings of the Board should consist of not less than half of the members. The Board must meet at least once a month.

If an elected member of the Board is the designated representative of a Corporate Member and terminates employment with the Corporate Member, that elected Board Member must, in order to remain as a Director, become an individual member; or become the officially designated representative, upon employment, with another corporate member in good standing; or resign from the Board. The elected officers of the Board shall have the right to terminate the membership on the Board of an elected member in the event the latter fails to attend three (3) consecutive Board meetings and is unable to provide a satisfactory explanation for such consecutive absences. The request for such an explanation must be made in writing. Notification of the decision of the elected officers must also be made in writing.


CanCham Thailand Constitution In the event of this or other vacancies occurring in the Board before the expiration of the normal tenure of office for whatever reason, the Board shall have the power to elect an Ordinary member to fill the vacancy. The elected Board Member shall remain in office only for the period remaining of the normal tenure of office of the member he/ she replaced. Article 18

A Board member’s term of office shall begin and cease as follows: 18.1


The Board of Directors or one-third (1/3) of the entire membership of the Chamber, at any time may propose an Extraordinary General Meeting be called. Notice of the meeting shall be sent to all members at least seven (7) days in advance of the date of the meeting; this notice shall also state the purpose, date, time and venue of this meeting.


At all General Meetings, at least 25% of the Ordinary Members must be present to constitute a quorum. Proxies held by members attending meetings in the place of other members shall be counted in determining a quorum. If after a period of 30 minutes subsequent to the scheduled time for the meeting there is not a quorum present, then the meeting shall be postponed for seven (7) days thereafter and shall be held at the same time and place.

A Board member’s term of office shall cease in the following instances: a) At the normal expiration of his/her tenure of office or in the event of his/ her resignation in accordance with the provisions of Article 17.8. b) When his/her membership of the Chamber ceases under the provisions of Articles 10, 11 and 13 herein.

Further notification to the members shall be required. A quorum shall be deemed to exist at the subsequent meeting irrespective of the number of members present.

c) When the Ministry of Commerce orders termination under the provisions of Article 40 of the Chamber of Commerce Act of B.E. 2509 (1966). Article 19


Aresolutionpassedbyanymeetingshallbea simple majority vote of the members present at the meeting, unless otherwise prescribed in this Constitution.

General Meetings shall be organized as follows: 20.1



Members shall have the right to cast one vote or in the case of a member holding a proxy or proxies for another member or members, he or she shall have the right to vote as proxies. No member shall have the right to represent more than five (5) other members at any meeting.

An Executive Director may be appointed by the President, with the approval of the Board, to execute the general affairs of the Chamber in accordance with the objectives, policies, constitution and regulations of the Chamber under the supervision of the Board. CHAPTER IX GENERAL MEETINGS

Article 20


An Annual General Meeting shall be convened not later than the 31st day of March in each year, to consider the annual report of the affairs and activities of the Chamber; to consider and approve the balance sheet; to elect a new Board of Directors; to appoint an Auditor; and to conduct any other matter notified at least seven (7) days prior to the meeting. All members shall be notified of the Annual General Meeting by post or messenger delivery, not less than seven (7) days prior to the date of the meeting. The notice shall include the date, time, venue and agenda of the meeting.


One or more persons not members of the Board will be elected as Auditors at each Annual General Meeting. They will be required to audit the annual Balance Sheet of the Chamber including the Chamber’s accounting records for any period as required by the Board. CHAPTER XI ALTERATION OF THE CONSTITUTION

Article 22

The Constitution of the Chamber may be altered only by a resolution passed by an Annual General Meeting or at an Extraordinary General Meeting.


The Chamber can be dissolved by: 23.1

In accordance with Article 43 of the Chambers Act of B.E. 2509 (A.D.1966).


A resolution passed by at least a two-thirds (2/3) majority vote of the members present at an Extraordinary General Meeting called for this purpose.


After dissolution of the Chamber of Commerce, if any property or assets remain after liquidation, they must be transferred to a non-profit organization deemed worthy by the Board.


Once the Chambers Registrar to the Bangkok Metropolis has approved the establishment of the Chamber, all promoters of the establishment shall act as temporary Board members until an election of the Board under this provision is held. In this regard, the election shall be held within one hundred and twenty (120) days from the approval date of establishment of the Chamber.

Article 25

In the interests of the provisions in Article 9, all of the promoters shall act as Ordinary members.

Article 26

This Constitution shall apply as from the date the Chambers Registrar to the Bangkok Metropolis approved the establishment of the Chamber

The RVYC was established in 1957 as the Varuna Marine Club. Prince Bhisadej was in charge of the sailing programme and Swiss resident Walter Meyer was the first flag commodore. The club was bestowed royal patronage (ในพระบรมราชูปถัมภ์) by the King of Thailand on April 26, 1965, becoming the “Royal Varuna Yacht Club”. The Royal Varuna is a well-equipped sailing club outside Pattaya town on a secluded public beach limited by rocky cliffs on one side. The club’s facilities include boat storage, boat repair, parking, a beach bar and a swimming pool. It also rents accommodation with rooms of varying standard. Prior to that she was with UNDP’s Bureau for Crisis Prevention and Recovery in New York where she worked as a Crisis Policy Specialist since 2010. She was recruited into the UNDP through Leadership Development Programme (LEAD) from the UN’s Department of Political Affairs. Ms. Batamuliza has a 20+ year career in post-conflict reconstruction, the promotion of human welfare and advancement of social reforms and economic development. She was one of the first humanitarian workers to enter Rwanda during the 1994 Genocide. She is a member of the Rwandan diaspora, born and raised in a refugee camp in Tanzania. Working for the International Committee of the Red Cross (ICRC), during and immediately after the Genocide, she played a critical role in strategically positioning the ICRC for their many postconflict initiatives. Her efforts at ICRC contributed to thousands of nonaccompanied children being reunited with their families as well as detainee registration, counselling and care. Her portfolio also included ensuring that women were supported to play a participatory role in the reconstruction, which opened the doors for them to hold strategic positions in the transition government and for Rwanda to become a model for women’s participation in governance worldwide. Ms. Batamuliza played a key role in creating a Team of Eminent Persons (TEP) in Kenya to negotiate for women’s political participation in the 2013

General Elections. The TEP also contributed to the relatively peaceful Election, in comparison to the 2007/2008 process. She was also the lead focal point and drafted both the United Nations Development Assistance Framework (UNDAF 2014-2018) and the subsequent UNDP Country Programme Document (CPD 2014-2018) for Kenya. In 2016 Ms. Batamuliza was deployed in Central African Republic to support the elaboration of the Recovery and Peace Consolidation Strategy 2017-22 and advocated successfully for Parliament’s adoption (9 Nov. 2016) of CAR’s first-ever Gender Parity Law. Most recently, she has been deployed to provide advisory services to South Sudan, Uganda, Papua New Guinea and Solomon Islands on peace and governance issues. Ms Batamuliza has served on a number of global and regional initiatives for peace and reconciliation, authored publications on Women, Peace and Security and is the recipient of several public awards, including the Royal Roads University Founders’ Award in recognition of leadership and personal development.
