TERMS OF AGREEMENT Estate Agents must by law give Sellers written details of the payments they will have to make for Estate Agency Services and explain how payments will be calculated and when they will be due. These details are set out in this Agreement.

STANDARD COMMISSION RATE

(See the Standard Commission Rate section overleaf) 2.

COMMISSION ENTITLEMENT

The fee will be earned by Carrington & Partners Ltd if they introduce, directly or indirectly a person who contracts to purchase the property.

This contract constitutes the entire agreement between parties and is not capable of amendments/variations without written consent of a Director of Carrington & Partners Ltd.

COMMISSION DISCOUNT/PAYMENT OF ACCOUNTS

Any discounts or reduction made from our standard commission rate is dependent on payment being made in full within 7 days of legal completion of the sale otherwise interest will be added. This condition is the essence of this part of the agreement.

THE AGREEMENT

INCLUSIVE SERVICE

The asking price does not represent a formal valuation of the property and may change during the term of the agency but this will not affect the agreement itself.

Our fees* cover advertising and promotional costs including boards, photography, information details, property guides, local advertising and mailing. In addition to our fees you will be charged for any special advertising or promotional costs which we agree with you in writing. We will keep any discounts we may obtain through the bulk buying *subject to variation in local practice, of advertising media.

PRICE

FIXTURES AND FITTINGS

To comply with the requirements of the Property Misdescriptions Act 1991, all fixtures and fittings that are mentioned in the sales particulars will be deemed to be included in the sale unless otherwise specified in writing.

SOLE AGENCY

You will be liable to pay remuneration to Carrington & Partners and anyone taking over its right under this agreement to sell your property on the following terms, in addition to any costs or charges agreed, if at any time unconditional contracts for the sale of the property are exchanged with a purchaser introduced by us during the period of our sole agency, or with whom we had negotiations about the property during that period. 7.

SOLE AGENCY PERIOD

The sole agency period may be extended by written confirmation from the Vendor to the Agent. In the absence of written confirmation, the commission rate will automatically revert to the standard commission rate at the expiry of the sole agency period. The sole agency period will be effective for 12 weeks and can be terminated giving 4 weeks notice in writing.

MULTI AGENCY

You will be liable to pay remuneration to Carrington & Partners and anyone taking over its rights under this agreement to sell your property on the following terms, of the price obtained at any time unconditional contracts for the sale of the property are exchanged with a purchaser introduced by us during the period of this multiple Agency. 9.

SUB-INSTRUCTIONS

Carrington & Partners Ltd reserves the right to sub-instruct other agencies at any time during our agency if we consider that this would be in your best interests. This will not involve any extra costs and all viewings and negotiations will be co-ordinated by Carrington & Partners Ltd. 10.

SALE BOARDS

We will erect a Sale Board as soon as possible. The Law allows the display of one board at the property and you agree to this requirement. 11.

PAYMENT OF ACCOUNTS

Your obligation to pay our fees arises on exchange of contracts for the sale of your property. Our fees must be paid on or before completion of the sale of your property unless we agree otherwise in writing. In signing this agreement you authorise your solicitor or licensed conveyancer to pay our fees on completion out of the sale proceeds by direct transfer into our bank account.

UNOCCUPIED PROPERTY

We are not responsible for the maintenance or repair of your property if it is unoccupied unless we have agreed otherwise in writing. It is your responsibility to ensure that mains services are turned off, water and heating systems professionally drained and the insurers notified.

DEPOSIT

Any deposit paid to us by a prospective buyer will be refunded to the prospective buyer if contracts for the sale of the property are not exchanged with that buyer. After exchange of contracts we will hold any deposit as stakeholder which means that we will pay it to the person entitled to it under the terms of the contract for sale of your property.

SALES DETAILS AND PROPERTY MISDESCRIPTION ACT 1993

Under the Property Misdescription Act regulations, we are obliged to ensure that any information used in the marketing of your property does not misrepresent the position to any material extent. Accordingly it is important that you provide us with accurate answers to the Attached Schedules which are applicable to your property, as any prospective buyer may rely upon this information when negotiating a sale. Misrepresentation of the omission of a material factor could give rise to serious legal consequences. We must by law ensure that all information supplied about your property is accurate and is not misleading. We will ask you to confirm that everything in the sales details is correct. It is essential that you tell us if the sales details are incorrect or if any changes take place later which may require the particulars to be amended.

KEY SYSTEM

Carrington & Partners Ltd secure a key system which ensures the third parties will not be able to identify the keys and the property the key belongs to, in the event the keys are lost or damaged. Carrington & Partners Ltd will only be liable for the cost of cutting replacement keys.

Our fees are payable in full if contracts are exchanged after this agreement has been brought to an end and we introduced the buyer or had negotiations with the buyer during the period of this agreement.

We may offer prospective buyers services relating to the purchase of your property. Services may include mortgage advice or the arrangement of mortgages, insurance, surveys, valuations or property sales. We will tell you if a prospective buyer asks us to provide any such service.
