2009 COMMITTEE ON ELECTION (COMELEC) RULES AND REGULATIONS GOVERNING THE CONDUCT OF THE ELECTION OF THE YEAR 2010 DIRECTORS DATE, TIME, AND PLACE OF ELECTION Date

1. NOMINATION PROCEDURES The following procedures will be followed for the nomination of candidates: 1.1 WHO CAN NOMINATE: All members on record and paid as of September 30, 2009 are qualified to nominate candidates. 2. QUALIFICATIONS OF MEMBERS TO BE NOMINATED The following are deemed qualified to be nominated: 2.1. The member shall have been a duly-inducted and paid principal delegate of a regular/corporate member for at least one (1) year prior to the election (inducted not later than September 30, 2009. 2.2. An associate/individual member cannot be nominated. 2.3. The member must: (a) be a Filipino citizen; (b) be a voting member; (c) be an active member who have attended at least one (1) general membership meeting. 3. DISQUALIFICATION OF CANDIDATES The following are automatically disqualified as candidates: 3.1. Members of the Committee on Election. 3.2. The members who failed to pay their dues for year 2009 by 12:00 noon of Wednesday, September 30, 2009. 4. NOMINATION FORMS: The COMELEC shall send each member a nomination form with a request that this be fully filled out, and sent to:

THE IMMAP COMELEC , C/O IMMAP Secretariat <djeguia2001@yahoo.com> not later than: 5:00 pm of Friday, October 2, 2009. Note: The COMELEC has the exclusive power to disqualify as candidate, members who were inadvertently included in the list of nominees and who were subsequently nominated.


Page – 2 5. TALLY OF NOMINATIONS All nominations shall be tallied starting 6:00 pm of Friday, October 2, 2008 only by the COMELEC at a closed-door session. 6. ACCEPTANCE OF NOMINATION The top fifteen (15) qualified nominees will be notified by the COMELEC of their nominations by SMS and e-mail and request to signify their acceptance – first by SMS, followed by an e-mail. In case of non-acceptance by any of the top fifteen (15) nominees, other qualified nominees gaining the next highest number of nominations may accordingly be advised by the COMELEC by SMS, etc. until desirably at least ten (10) nominees finally signify their acceptance on or before 12:00nn of Monday, October 5, 2009. These nominees numbering at least ten (10) shall be declared official candidates for the year 2010. 6.1. The COMELEC reserves the right to declare the number of nominees as official candidates to resolve ties in the number of nominations received by the tail-ender nominees or lesser number of candidates due to non-acceptance of other nominees. 7. ANNOUNCEMENT OF OFFICIAL CANDIDATES In announcing the official candidates for the year 2010 election, the candidates’ names (with their company’s name) will be listed in alphabetical order, without indicating therein the number of nominations that each obtained. 8. WHO CAN VOTE Individual members and principal delegates of Corporate members (or alternate delegates with expressed written authorization from the principal delegates) who have paid their membership dues on or before 12:00 noon of September 30, 2009 and attended at least one (1) GMM will be allowed to vote. They will be certified as such (“members in good standing”) by the Treasurer. 9. ELECTION PROCEDURES 9.1. Members in Good Standing The Treasurer shall issue to the COMELEC a certified list of all members who have paid their dues and assessments up to October 12, 2009 a day prior to election time on October 13, 2009. (It shall be the responsibility of its each member to check on the status of his/her account). 9.2. Members with Arrears All members who have not fully paid their dues for 2008 should first settle their Accounts as early as possible but not later than September 30, 2009 and secure their Certification as members “in good standing” by the Treasurer before they can register to vote.


Page - 3 9.3 Registration All members “in good standing” should register as early as possible at designated registration tables. Registered alternate delegates of regular corporate members duly certified by the membership committee voting in lieu of their principal delegates should present their authorization letters from their principal delegates upon registration. 9.4. Official Ballots Official ballots will be issued to members upon registration and should be filled out immediately in the designated polling booths. Voters must cast their votes and leave the polling places immediately. 10. VOTING PROCEDURES ALL VOTING MEMBERS MUST VOTE FOR EIGHT (8) DIFFERENT OFFICIAL CANDIDATES FOR THE BOARD OF DIRECTORS. ALL BALLOTS WITH MORE THAN EIGHT (8) NAMES OF OFFICIAL CANDIDATES OR WITH NAME OR NAMES OF NON-CANDIDATES, OR LISTING AN OFFICIAL CANDIDATE’S NAME TWICE OR MORE TIMES SHALL BE CONSIDERED A MARKED BALLOT AND DECLARED NULL AND VOID. WHERE TWO OR MORE CANDIDATES HAVE THE SAME FAMILY NAME, THE FIRST NAME OR INITIALS (UNLESS THE SAME) OF THE CANDIDATES SHOULD BE WRITTEN ON THE BALLOT. OTHERWISE THE VOTE FOR THAT NAME SHALL BE NULL AND VOID. 11. ELECTIONEERING COMELEC shall exert efforts to provide the membership with background information on each official candidate before and during Election Day. Candidates may also send in enough number of one-sheet “campaign” materials not bigger than 8 ½” x 11” which COMELEC shall distribute via e-mail to all members. On Election Day, no campaign materials will be allowed in the polling places other than COMELEC-issued materials. No one will be allowed in the polling places except the following: 11.1. Those who are casting their ballots; 11.2. Members of the Election Committee; and the 11.3. IMMAP Secretariat staff. 12. PROXIES Proxies for absent members shall be used only for the purpose of establishing a quorum, and not for the purpose of voting. However, alternate delegates with written authorization from principal delegates of corporate members duly certified by the Membership Committee will be allowed to cast their votes. 13. CANVASSING OF VOTES Immediately after the casting of votes by qualified electors, or shortly after 2:00 p.m. on Election Day, the COMELEC shall start counting the votes.

PROCLAMATION OF WINNING CANDIDATES Eight (8) candidates garnering the highest number of votes shall be proclaimed by the COMELEC duly-elected members of the Board of Directors starting the year 2010. They shall join the seven (7) directors from the 2009 Board who have 2-year (2009-2010) tenure and who are serving for one more year. In case of ties for the last place, they shall be determined by drawing lots – with or without the presence of the affected candidates. 15. PROTESTS Any protest on the election results must be done in writing and filed with the COMELEC Chairman within three (3) days from the date of the election. 16. COMELEC DECISIONS Should any question arise which may not be covered by these rules and regulations, the (COMELEC) Election Committee shall decide the same in accordance with the By-Laws of the Association and its decision shall be final. The COMELEC also reserves the right to revise or amend any of the rules contained herein, provided these are in conformity with the spirit of the Association’s Articles of Incorporation and By-Laws.
