The mezcal will capitalize on the growing global demand for super premium agave spirits and for responsible, regenerative, original, quality consumer products. The mezcal will principally be sold through an on-site distillery and restaurant on the property where margins can be maximized. The mezcal will also be distributed through partners in the US and Europe. The production of the mezcal will sequester carbon and will make productive use the bagasse and vinasa by-products, thereby generating no waste.

WORLD’S FIRST METHANE-REDUCING AGAVE-BASED CATTLE FEED SUPPLEMENT

The feed supplement combines the agave leaves and other ingredients in order to increase birth rate, milk production, and overall animal health, while significantly reducing the production of methane in cattle. The company expects that the feed supplement will be the most effective and lowest cost methane-reducing and healthimproving animal feed supplement available in the U.S. or Mexico.

HIGH-QUALITY, AGAVE, TREE AND SOIL-BASED CARBON CREDITS

The company is in process of deploying its proprietary Agavesse System on 1,200 hectares of the property. The agave-based system restores biodiversity, ecosystem, soil and aquifer health, and will generate significant carbon credits that will be registered with a leading carbon registry.

OVERVIEW

THE AGAVE The agave is a hearty desert plant that is native to Mexico. It reproduces on an exponential basis, requires little water, sequesters significant amounts of carbon, produces large quantities of valuable biomass and can begin a process of ecosystem and land restoration. It can also be successfully propagated in semi-arid regions around the world.

Commercial Uses and Carbon Sequestration Depending on the particular species, each agave produces, on average, a ton of leaf biomass during its lifetime. This leaf biomass can be used for the production of low-cost, highly nutritious, animal feed, or feed supplements. Its fibers can also be used for the fortification of industrial foods, or for the manufacture of bioplastics. The processing of the agave leaf biomass increases overall plant growth and sugar production in the agave heart. Additionally, use of the agave leaf and heart biomass is necessary in order to permanently sequester carbon captured by the plant.

One hectare of agave can sequester 94 tons of carbon over ten years.

CAÑADA DE LA VIRGEN For more than twenty years, CDLV has been a recognized leader in Mexico in terms of profitable, regenerative, organic ranching, agriculture and ecosystem restoration. CDLV is currently the largest producer of organic, grass-fed beef in Mexico where it is also pioneering the use of magueys for economic value-added products. RANCH AND THE PYRAMID The CDLV property consists of a 5,000 hectare, organic and regenerative ranch that includes one of the oldest haciendas in Mexico. The largest Otomi pyramid in Mexico is located within the property.

The property is also a federally recognized and protected nature reserve, boasting unique and endangered animal and plant life, including one of the last breeding pairs of Golden Eagles in Mexico. OVERVIEW

SAN MIGUEL DE ALLENDE A UNESCO recognized Word Heritage Site, the town attracts up to 2 million visitors a year. The company and its partners expect that the property will become a major tourist destination within Mexico and will draw more than 200,000 visitors on an annual basis.

The company’s on-site distillery will be the first agave spirit distillery in the San Miguel de Allende metro area and will be part of a tourist offering on the CDLV property that will include an eco-luxury restaurant, hotel, spa, vineyard and winery, as well as nature bathing, pyramid tours, glamping and horseback riding. Based on current partner numbers, the company anticipates that it can sell all of the mezcal onsite and generate a gross margin of 90% on these sales.

THE AGAVE SPIRITS 150% Increase in global sales of agave spirits in the next five years Agave spirits, including Tequila and Mezcal are on track to surpass vodka as the most popular hard spirits in the U.S. Sales of super premium agave spirits have outstripped agave spirits as a whole by a factor of four during the past twenty years driven by a movement upmarket and increasing consumer demand for responsible products, demonstrating a long-term favorable trend. U.S. sales of super premium agave spirits are expected to reach USD 7.6 billion in 2028.

MARKET SEGMENT

METHANE-REDUCING MEASURES USD 82 billion to USD 164 billion annual value of methane-reducing measures – Methane is 25x more powerful than carbon dioxide as a greenhouse gas. Dairy and beef cows are a leading source of methane emissions. These industries are under increasing pressure from consumers and regulators to curb methane production even as demand for beef rises. Globally, the cattle industry is actively seeking cost-effective solutions that can reduce methane emissions. McKinsey projects that methane abatement could save the cattle industry between USD 20 billion and USD 40 billion on an annual basis.

MARKET SEGMENT

DEMAND FOR CARBON CREDITS 15x Increase in demand for carbon credits and 4x increase in prices in the next eight years – Carbon Streaming projects an increase in the demand for carbon credits from 0.1 gigatons in 2020 to between 1.5 and 2.0 gigatons by 2030 under a voluntary regime, driven in large part corporate net-zero commitments. Other experts forecast a price per ton for carbon credits in 2030 of more that USD 100.

BUSINESS LINE

1. MEZCAL Casa Agave has begun preliminary off-site production of the world’s first carbon-negative, zero waste, certified organic mezcal. The mezcal is super premium quality, artisanal, organic and results in no bagasse (fibers) or vinasa (liquid) waste streams in its production. The company anticipates that the majority of sales of the mezcal will occur at the on-site distillery located at the property, or through an adjacent eco-luxury hotel and restaurant that is in development by two of its partners. The company anticipates selling 556 cases of mezcal in its first year of operation and that by the seventh year of operation, it will sell approximately 8,300 cases of mezcal, generating USD five million in revenue and USD 3.3 million in EBITDA.

2. FEED SUPPLEMENT CDLV is in the testing stage for the feed supplement, which builds upon three years of work using the agave as forage for its livestock, and its development of a proprietary blend of mineral-based supplements to eliminate the need for anti-parasitics, anti-biotics and medicines in its own animals, which are recognized as the best in the local market. CDLV has received strong indications of interest for the feed supplement from local and U.S. dairies representing more than 13,000 cattle. The company anticipates that in the seventh year of operations, the feed supplement will be administered to 55,000 animals and will generate revenue and EBITDA of USD 14.6 million and USD 4.2 million.

Note: Revenue projections for the feed supplement business are very conservative. Year 7 revenue figures assume a share of the US and Mexican markets that is less than 0.0006% and 0.004%, respectively. As such, the feed supplement business could be considerably larger than projected.

3. CARBON CREDITS CDLV has signed a memorandum of understanding with one of its partners, Hudson Carbon, in order to accurately measure biomass and soil carbon sequestration on the property and to register and sell high-quality, carbon credits based on the Property’s sequestered carbon. The Company will plant 1,200 hectares of the property with agaves that will be used to produce the mezcal and the feed supplement. These plants will also sequester a significant amount of carbon and, along with the soil-based carbon and carbon sequestered in other biomass sources (Spanish Oak, Mesquite, and Huisache trees), will be used to generate carbon credits that will be sold into the market and that will offset any carbon created by the mezcal production process. Based on Hudson Carbon’s calculations, the Company estimates that it will generate approximately USD 1.4 million in Carbon Credit revenue in the first seven years of operation.

BUSINESS LINE

AGAVESSE SYSTEM CDLV’s proprietary Agavesse System underpins much of the Company’s work with respect to the mezcal, the feed supplement and the carbon credits.

The system is a flexible, revolutionary, agave-based program for commercially accretive ecosystem restoration in semi-arid regions. The system, has been developed by Sophia Trapp of CDLV in conjunction with leading research institutes. It draws upon indigenous plants and proven techniques and uses microorganisms, bioreactors, keyline systems and other land and water management methods in order to boost regenerative farming practices and ecosystem restoration. The system also builds upon existing economic activities in order to return biodiversity, renew soil health and replenish water sources while creating multiple, long-term revenue streams.

MASTER DISTILLER Germán González Gorrochotegui Germán González Gorrochotegui, one of the most celebrated working tequileros, was born in Mexico City with strong spirits running through his veins. He is the son of prominent tequilero Guillermo González Diaz Lombardo, who created Chinaco, the first ultra-premium tequila imported into the United States. Fascinated by the family business and eager to follow in his father’s footsteps, Germán chose to pursue a hands-on experience in tequila-making at his family’s distillery.

Germán immersed himself in every element of the tequila-making process, from working the agave fields, to spending time in the laboratory mastering the many intricacies of distillation. Today, Germán is considered to be one of the best living master tequileros by many aficionados and spirit experts.

Utilizing learning from his father, coupled with his passion and expertise, Germán created the very first bottle of Tears for his personal enjoyment— but it was too good not to share. In 2012, Germán shared his special reserve with a close group of friends: a small-batch, artisanal expression boasting a rich and complex flavor profile. These friends encouraged Germán to release a limited supply for others’ enjoyment.

Germán named his creation Tears of Llorona, after La Llorona, the legend told to him by his father, and began distributing to select U.S. markets in 2014. Today, spirit aficionados and critics recognize Tears of Llorona as a masterpiece and a true expression of Germán’s genius.

German will create the first carbon negative mezcal for Casa Agave using only 100% agave Salmiana for a very unique expression.

SOPHIA A. TRAPP CEO Sophia is a pioneer in terms of sustainable and regenerative farming in Mexico. She effectively created the market for organic grass-fed beef in Mexico and made CDLV the premier producer within this sector. Sophia is an expert in the field of business and eco-system restoration and blended these two competences on major projects in Spain, Argentina, Mongolia and China. Sophia holds a MA in landscape architecture from the University of Greenwich in the United Kingdom.

Gunther Maier CMO Gunther is the founder and creator of Santo Cuviso Bacanora which is distributed in the US and Europe, and currently CMO of Casa Santeros. He holds a bachelor’s degree in marketing communications/design from Stuttgart, Germany. He worked with clients such as Mercedes-Benz, IBM, Hitachi, Jägermeister, and others. Gunther co-founded SFGT Advertising in Philadelphia, which attracted clients such as the Dow Jones Global Indexes, the Philadelphia 76ers professional basketball team and Sandoz Pharma.

Casa Agave’s projected financial performance results in an attractive unlevered equity IRR based on a forecast sale of the Company in seven years at a standard EBITDA multiple. This expected return does not take into account the potentially accretive effect of a professional institutional investor to the financial performance of the business or its valuation. Given the potential size of the market for the feed supplement, an investor that could lend expertise with respect to capturing a larger portion of this opportunity could result in a significantly increased exit multiple.

Convertible Note Terms We are seeking : USD 500,000 SIX PERCENT CONVERTIBLE NOTE INITIAL TRANCHE OF USD 2.0 MILLION EQUITY CAPITALIZATION Enterprise Valuation and Note Conversion The Company estimates that the pre-money value of Casa Agave is USD 13.3 million, which would equate to a 15% ownership interest for purchasers of the Note, and subsequent equity investors, on the basis of the Company securing USD 2.0 million in funds. For those initial investors who contribute the first USD 500,000 in the form of the Note, a ten percent discount will be applied to Casa Agave’s pre-money valuation. This would translate into an enterprise value of USD 12.1 million and a pro-rated ownership interest of 16.5% of the Company.

The Note will convert at the lesser of USD 12.1 million or the lowest share price for the subsequent USD 1.5 million equity capitalization.
