Message From Our Managing Partner To our friends across and beyond our footprint, Last October, a reporter from The Legal Intelligencer, a daily, legal industry newspaper, asked me a question that seemed so simple on its face. It was the same question the reporter asked to the managing partners at two much larger, Philadelphia-based international law firms. How did your firm make it through the pandemic? Less than 10 words. But it set off a flurry of thoughts of the trials and tribulations our entire industry, and really, our entire population, has dealt with for nearly two years now. The query also brought up its own questions. Is the pandemic even over? And if it is over, how did we make it through? In leading our firm against the brutally strong, external force of the pandemic – much of it being day-to-day tasks of extinguishing fires that have fiercely multiplied since the beginning of the lockdown – it’s often easy to lose sight of the big picture, or how you arrived at your preferred destination. When I took a minute to flash through the still-vivid memories of late-night, collaborative, decision-making sessions, infused by the tenacious resolve of our entire team, I immediately thought of two sets of people that successfully steered us through some of the murkiest waters we’d ever seen – our clients and our team members. We had just two goals: to provide our clients with uninterrupted service of the highest quality and to keep our team together, engaged and on the payroll. Now, we can confidently say we succeeded in both. We kept our team together and added to it. We survived 2020, and then we thrived in 2021, with our team members adjusting to their altered work environments. We supplied the firm’s clients with unparalleled service. In return, our clients continually told us how much they appreciated both our work and the solutions we provided. In 2022, we will continue to answer questions for our clients that no one ever believed they would have had to ask, offering solutions to issues once thought unimaginable. And we will take care of our people. Above all else, we look forward to being your business’s partner on its path to success.

Leisawitz Heller Joins Barley Snyder After months of working on the deal in 2021, we welcomed the Wyomissing law firm Leisawitz Heller to our firm on January 1, 2022. The move further strengthens what already is a robust presence in the Reading, Pa., area for our firm. We now have 28 attorneys in two offices in Berks County. The Leisawitz Heller team bolsters Barley Snyder’s work in business law, mergers & acquisitions, litigation, trusts and estates, elder law, employment law and more. “We’ve been in the Reading market for more than 25 years,” Barley Snyder managing partner Jeff Lobach said. “Adding this new office is only going to enhance our presence there. We are delighted to be adding these excellent and highly regarded practitioners to our team.” All attorneys and staff of the former firm have been retained and have moved to Barley Snyder. New Teams at Barley Snyder As the world changed, Barley Snyder changed with it by adding a number of new service teams and industry groups that pool the talent of the firm’s attorneys into a group to further help clients be successful.
Crisis Management If the pandemic has taught businesses anything, it’s that they need to be ready for the unthinkable. Our attorneys aided clients though some of their worst times and devised new and innovative methods to help a business plan for the worst. The firm formed the Crisis Management Service Team for that reason – to help clients when they need it the most and to proactively discuss processes to protect clients before the worst happens. Alternative Dispute Resolution (ADR) There are alternatives to enduring the often long and costly process of a court case. The Barley Snyder ADR team offers trained third-party mediation and arbitration attorneys that have helped clients achieve favorable, amicable and cost-saving solutions that can save business relationships. The team is led by the Hon. Stephen A. Linebaugh (Ret.), who retired as a York County Court of Common Pleas judge prior to joining Barley and establishing the ADR team.

M&A and Financing Update Beginning in March 2020, the business environment was challenging from almost all perspectives and the transactional area was no exception. Nevertheless, financing and M&A transactions proceeded during this period and the “deal environment” was actually quite active. Companies faced challenges, including labor availability shortages and supply chain disruptions, but parties to transactions still saw opportunities for growth through financings and acquisitions and successful business exits for sellers. The need for business succession, fatigue from the pandemic and concerns about capital gain tax rates on the seller side, coupled with a great deal of dry powder on the buyer side, created a bit of a “perfect storm” driving transactions. Our financing work during this period included representation of issuers and placement agents in public and private offerings to raise capital for general corporate purposes or to fund acquisition activities. In February of this year, we published a representative list of transactions in which we participated during 2020 and 2021 to our clients and friends in the “deal community.” These “tombstone announcements”, as well as tombstones for earlier transactions, can be found at www.barley.com/mergers-acquisitions. We are fortunate to have a “ deep bench” in the M&A and financing areas, with 18 of our business attorneys (supplemented by our colleagues in other practice areas in some cases) taking active roles in the 29 transactions included in our 2020-2021 tombstones. We appreciate the relationships that we have with clients, deal participants and referral sources and are thankful for the opportunities to work on these transactions. So far, the transactional market has maintained a fair amount of momentum in 2022.

David Freedman and his U visa immigration volunteer work Barley Snyder partner David Freedman set out on a mission in 2021. With the help of nearly a dozen Barley Snyder attorneys and staff, the Pennsylvania Immigration Resource Center, volunteer law students at the University of Pennsylvania School of Law and local bar associations, David orchestrated a pro bono program to help immigrants across central Pennsylvania and beyond cut the bureaucratic red tape of the federal U visa program. U visas provide immigrant victims of violent crimes protection from deportation and a path to legal, permanent residency by cooperating with a criminal investigation that otherwise could have no leads. But under both President Donald Trump’s and Joe Biden’s administration, the process stalled and hundreds of thousands of immigrants promised a chance at a U visa have had to wait more than five years just to get a decision regarding their applications. David and his team worked to compel the courts to hear their cases, with dozens of central Pennsylvania immigrants receiving U visa approvals because of the team’s efforts. Barley Snyder attorneys Lauren Berkowitz, Michael Crocenzi, Stephanie DiVittore, J. Quain, Joshua Schwartz, Martin Siegel, Luke Weber, and Gabriel Wertz, as well as paralegal Amy Shirk and summer associate Elizabeth Castillo all answered David’s call for assistance and aided his goal of helping as many U visa applicants as possible. The program garnered international media attention in 2021.

Charles F. Snyder Funeral Homes & Crematory Attorneys Reilly Noetzel and Caroline Hoffer (Ret.) are part of a large team that is helping the 75-year-old Lancaster County funeral home open a new location – its sixth overall – in Willow Street, Pa. The company broke ground at the 3-acre site in the summer of 2021 and expects to open the new funeral home and crematory in 2022. Reilly and Caroline and the rest of the Barley team helped in real estate, zoning, subdivision and land use matters for the new location. “We really enjoyed working with Reilly Noetzel and Caroline Hoffer on this project,” Charles F. Snyder Funeral Homes & Crematory President Chad Snyder said. “They were a huge part of helping us execute our vision and mission of building a footprint and growing our family business into the southern end of Lancaster County. They were great to work with and brought the knowledge and expertise we needed.”

The Reserve at Willow Ridge A near 36-acre property in Lancaster County will soon be The Reserve at Willow Ridge, a planned 160-unit, Class A, age-targeted, residential community comprised of 88 townhomes, 72 garden apartments and a community center full of amenities. The Barley Snyder team of Tom Nehilla, Don Geiter and Reilly Noetzel worked with the developers on financing, land development plans and zoning. Maria Elliott assisted with construction contract documents, and Martin Siegel helped push the project forward on Pennsylvania Department of Environmental Protection permitting. REI Co-op The wildly popular, nationwide, outdoor retail store REI Co-op came to central Pennsylvania in October, and Barley Snyder helped bring the company here. Camp Hill-based developer Smith Land & Improvement Corporation entrusted partner John Coles to work on the legal real estate specifics of the deal to help REI get into the former Toys ‘R’ Us store in Hampden Township, Cumberland County. The location is in Smith Land’s highly trafficked and visible Silver Creek Plaza located along the Carlisle Pike. John worked on real estate issues, including lease negotiations and financing, and in less than a year from the time REI announced its intentions to set up shop in the Capital Region, the store opened its doors.

Stadium Row The innovative apartment project will usher in a high-end urban living to downtown Lancaster, bringing more than 100 state-of-the-art apartments. From the rooftop deck, residents can view Clipper Magazine Stadium, home of the Lancaster Barnstormers baseball team and other events. The first all new construction apartment building in Lancaster City in over 50 years opened in August 2021 with the help of partners Caroline Hoffer, Dan Desmond, Mike Davis and Derek Dissinger, who assisted the developers of the apartments with their real estate and environmental needs.

YMCA of the Roses Justin Tomevi and Alex Puskar represented the York and York County YMCA in a merger with the Lancaster Family YMCA. Justin and Alex navigated the process for combining the entities and obtained all regulatory and court approvals required to bring the two organizations together to become the YMCA of the Roses.

Litigation Victories Our litigators vigorously defend their clients. Here are somes examples from 2021.
Commercial A minority shareholder of a medical device company was in danger of being frozen out of the business until Lindsey Cook, Justin Tomevi and Alex Puskar came to his defense. The Barley team immediately took efforts to prevent the freezeout through litigation in the Montgomery County Court of Common Pleas, and along with other tactics, forced the majority shareholder into settlement negotiations. The client received a $3 million settlement payment. Justin Tomevi and Lindsey Cook successfully defended an international manufacturing company in a dispute with a supplier in the York County Court of Common Pleas. The supplier alleged the manufacturing company interfered with a contract, breached fiduciary duties, breached a contract, committed fraud and engaged in civil conspiracy. The vendor sought $3.8 million in damages, but the Barley team convinced the court to dismiss all claims against its client. Matt Hennesy and Luke Weber successfully defended a sales company in a lawsuit brought by another company involving an alleged breach of contract in federal court. While the plaintiff claimed damages of over $500,000, Matt and Luke were able to convince the court to dismiss the complaint at the earliest possible stage.
Ejectment Katelyn Rohrbaugh and Justin Tomevi successfully represented an elderly woman who wanted to eject her stepdaughter from her York County home after a verbal altercation that left the client feeling unsafe. The court granted the judgement for ejection of the stepdaughter and placed the elderly woman back in her home after a short time.
Fiduciary Justin Tomevi, Alex Snyder and Katelyn Rohrbaugh represented the beneficiary of a trust in a complicated dispute in the Mifflin County Orphans Court. The Barley team convinced the judge to favorably resolve several complex trust interpretations, yielding their client $2.6 million. Latisha Schuenemann, Bill Blumer and John Speicher handled a case involving disputes between siblings over a lifetime conveyance and will changes made approximately seven months prior to the death of the siblings’ mother. The Petitioner, the decedent’s daughter, alleged that her mother was the victim of undue influence by her brother resulting in the brother becoming the owner of the mother’s real estate prior to her death. The mother’s prior will had devised the real estate to her son, but had an equalization clause which was removed in the new will. The daughter alleged that the mother’s declining health prevented her from having testamentary capacity. Through the extensive use of the mother’s medical records and expert testimony, Latisha, Bill and John were able to show that the Petitioner had failed to prove her case by not having the necessary expert medical testimony concerning the mother’s mental capacity in the months leading up to the execution of the deed and the amended will.
Injunction Matt Hennesy and Luke Weber represented a commercial tenant in a complex dispute stemming from the landlord’s longrunning dispute with its lender that the tenant had no stake in. After the landlord disputed its lender’s ability to exercise an assignment of rents and threatened to evict the tenant from its business location, Matt and Luke successfully obtained preliminary injunctive relief to maintain the tenant’s access to and use of its business location.

Insurance Justin Tomevi represented a physician covered by a disability insurance policy in a dispute in the U.S. District Court for the Western District of Pennsylvania. The disability insurance company refused to make a full payment to the doctor under the policy. After Justin defeated the insurance company’s summary judgment attempt, the insurance company agreed to make payment of $300,000 to the physician.
Land Use Appeal Matt Hennesy and Derek Dissinger worked to successfully defend a property owner from a zoning violation that threatened to eliminate a portion of the business’s operations. After the local zoning board found the business in violation of the zoning ordinance, the Barley team convinced the court to reverse the zoning board’s decision, and the reversal was affirmed in a further appeal to the Pennsylvania Commonwealth Court. The appeal victory allowed the owner to maintain its normal business operations that generated over $100,000 in revenue a year.
Medical Malpractice Lauralee Baker successfully defended a pediatrician who allegedly missed a bowel abnormality in a newborn child that led to a bowel rupture, bowel resection and ostomy placement. Despite being called to testify over four days of the nearly twoweek trial, the pediatrician remained consistent and credible. Defense experts from Massachusetts, Florida and Pennsylvania further bolstered the pediatrician’s testimony to ultimately convince the jury that the standard of care was met in the treatment of this child. Partner Peter Faben assisted during the trial.
Regulatory Matt Hennesy and Lindsey Cook represented an industrial manufacturer in a matter before the Pennsylvania Public Utilities Commission concerning an electric utility dispute. Matt and Lindsey convinced the commission to overrule unfavorable aspects of the initial administrative decision and to make additional findings in support of their client’s position. As a result, the manufacturer was able to obtain an important declaration about its ability to obtain electric distribution service.
Workers’ Compensation Michael Crocenzi successfully represented an employer in a workers’ compensation matter on appeal before the Commonwealth Court of Pennsylvania. The court found in favor of the employer after the employee attempted to invalidate an impairment rating evaluation.

Practice Excellence® Our commitment to our clients starts with our own improvement. That led us in 2008 to establish Practice Excellence® at Barley Snyder, our shorthand for Lean Six Sigma methodology, principles and practices. These Lean Six Sigma principles and practices drive the quality improvement and client satisfaction efforts to which we have dedicated ourselves and the work of the firm. With purpose, these Lean Six Sigma tools will unleash the creative power and energy of our staff, attorneys and our clients. We’ve taken our Practice Excellence® efforts to a new level recently, working in process mapping, template documents, best practices and our software infrastructure.
