Messages from the Management Company

To

Unitholders TICON Property Fund

BBL Asset Management Company Limited (“the Management Company�) would like to submit the Annual Report of the performance of TICON Property Fund in 2013 to all unitholders. In the year 2013, the private sector consumption slowed down in every region of the country due to lessened consumer buying power, however, many businesses in the export sector slowly started to show positive signs. Nevertheless, due to the slow-down, most business operators had deferred their investments plans. Such deferment is expected to continue into 2014, consequently, the export sector is expected show apparent positive signs, in line with the world economic recovery. Moreover, the launch of the ASEAN Economic Community (AEC) in 2015 is another positive factor for Thailand due to the strategic geographical location, Thailand is more likely become the center of the AEC. During the year 2013, TICON Property Fund (the Fund) sold 3 factories, or equal to 7,035 square meters of rental space, resulting in the Fund realizing a profit of Baht 20.4 million. However, the Fund had made a decision to purchase 2 additional factories with a total space of 4,125 square meters, thus, as of December 2013, the Fund had total assets of Baht 12,990.2 million which include investments in 245 factories on 878 rais of land. These factories are situated in 9 industrial estates, industrial zones and industrial parks with a total of 583,400 square meters of rental space. As for the performance of the Fund for the 12-month period ended 31 December 2013, the Fund had income from rent and service fees of Baht 998.8 million, up from Baht 804.0 million in 2012. The net investment income was Baht 853.7 million and the net assets from operations increased by Baht 1,136.2 million. The total dividend payment in 2013 was Baht 0.76 per unit or a total of Baht 873.65 million. The Management Company would like to extend our sincere appreciation to all unitholders for entrusting us to manage your investments. Our management policy is to operate the funds under our management for the best interest of the funds’ unitholders in accordance with Good Corporate Governance.

Objectives To mobilize funds from general investors, both natural persons and juristic persons in both domestic and foreign countries. The funds mobilized shall be used in purchase or lease of immovable properties, taking transfer of immovable properties and/or immovable property leasehold right, and utilization of such immovable properties, including improvement, change, development of potentiality and/or disposal of various properties as invested or possessed by the Fund, regardless of rental and/or sale or whatsoever operation for the benefit of the properties with intention to generate incomes or returns to the Fund and the unitholders, including to invest in other properties and/or securities and/or to seek other fruits by whatsoever mean as prescribed by securities law and/or any other relevant laws.

Dividend Payment Policy The Fund has a policy to pay dividends to unitholders at least twice a year. (1) In case that the Fund has net profits in each year, the Management Company shall pay dividends not less than 90% of annual net profits to unitholders. Provided that the aforementioned net profits are exclusive of unrealized profits or losses from appraisal or reappraisal of the immovable properties, securities and/or assets of the Fund. (2) In case that the Fund has retained earnings, the Management Company may pay dividends from retained earnings to unitholders. However, the dividend payment from the aforementioned net profits and retained earnings can be made only when such payment does not increase accumulated losses to the Fund.

The Management Company shall pay the said dividends to unitholders within 90 days from the end of the accounting period or any other operating period.

Additional Conditions: In considering for making dividend payments, if the amount of interim dividends per unit to be paid is lower than or equal to Baht 0.10, the Management Company reserves the right not to pay dividends at that time and to combine such dividends together with next dividend payment. The Management Company shall proceed in accordance with dividend payment criteria as specified. However, if such criteria are otherwise amended, supplemented, announced, prescribed, instructed, approved and/or relaxed by the SEC, the Office of the SEC, and/or any other competent authority under law, the Management Company shall proceed accordingly. In such event, it shall be deemed that approval has been obtained from Unitholders and it shall not be deemed as an amendment to the Project.

Obligations: 1) Factory no. 147 - 161: The land where such asset (s) is located on has registered the servitude regarding construction and other rights to the land under Title No. 1073 which is owned by Navanakorn Public Company Limited. In this regard, the investment in such immovable property attached with such servitude has already been approved by the Office of the Securities and Exchange Commission. 2) Factory no. 189 - 238: The land of such location are the land under the regulations of land utilization in Rojana Industrial Park which is the Annex to the land use agreement between the land user (the Fund and/or the lessee of land) and Rojana Industrial Park Public Company Limited (“Rojana”). The Annex stipulated that the user of land agrees to give consent on the registration of servitude for the owner of the adjacent land for the development, installation and construction any facilities and property commonly used in the Rojana Industrial Park as requested by Rojana. Factory no. 187 - 188 have been purchased on September 27, 2013 - used as investment price (before due date of appraisal review or appraisal) according to rules and regulations of the Office of SEC. 3. The Management Company appointed TICON Industrial Connection Public Company Limited, which was the previous owner of the properties that the Fund invested as set out in the table “Summary of the Details of Properties Invested by the Fund” to be the Property Manager of the properties that the Fund currently invested. 4. Both independent appraisers utilized income approach in undertaking the assessments for the properties since such properties are income-producing assets. Investors may review the appraisal reports at the Management Company. 5. Factories no. 84, 85 and 233: At time the assets are transferred to the Fund shall pay for its common utility charge Bath 2,000 per month to TICON Industrial Connection Public Company Limited. 6. Information Disclosure on Factory No. 41 and No. 194 TICON Property Fund (“the Fund”) was established in April 2005 under the management of ING Asset Management PLC and was later transferred to BBL Asset Management Company Limited (“the Management Company”) on 2 July 2008. Subsequent to the transfer, the Management Company discovered that 2 of its factories (invested on 22 April 2005) had discrepancies between the rental areas recorded in the details of the Fund Scheme and the blueprint. 34


Currently, Factory No. 41 and Factory No. 194 have total rental areas of 5,500 square meters and 2,625 square meters respectively. However, the area discrepancies were on the office areas on the mezzanine floor which TICON Industrial Connection Public Company Limited (“TICON”), as the seller of the assets, explained that TICON intentionally did not build the mezzanines in both factories since the tenants did not want the mezzanine floor. Both factories are still being rented by the same tenants. Nevertheless, the Fund has signed an agreement with TICON which specifies that TICON will promptly build the mezzanines in both factories once permitted by the tenants or once the rental contracts have expired, to be in accordance with the intention of the Fund at TICON’s own expense. The Management Company would like to inform the Fund’s Unitholders that the price of such assets was set based on the appraisal price by an independent appraiser who used the income approach calculation based on the contractual rental fee at the time of the calculation; therefore, the Fund did not overpay for the assets. Consequently, the Management Company will promptly rectify the matter so that the areas will to be in accordance with the abovementioned details of the project.

Ready-Built Factory (RBF) Market Situation and Outlook Industrial Situation and Outlook 

In the 4th Quarter of 2013, the private sector consumption slowed down in every region due to lessened consumer buying power, however, many businesses in the export sector slowly started to show positive signs. Such slow-down in the economy coupled with the export sector that had not fully recovered resulted in most businesses deferring their plans for new investments, they only continued on the existing investments. It is expected that the private sector consumption will continue to be weak in the 1st quarter of 2014 due mainly to the ending of various economic stimulus programs. Nevertheless, the investment of the private sector will expand in line with the expansion in the export sector which is expected pick up as the world economy recovers.

The launch of the ASEAN Economic Community (AEC) in 2015 will be another positive factor for Thailand’s economy due to the strategic geographical location centering among member nations. Moreover, Thailand has more skilled workers than its competitors such as Vietnam and Indonesia. Thailand also has more efficient infrastructure and logistics systems than the average AEC members.

The supply in the Ready-built Factories (RBFs) market as of June 2013 totaled 2,378,616 square meters in which TICON Property Fund and TICON Industrial Connections Public Company Limited together owned 1,011,306 square meters of space or 43% share, highest in the market, followed by Hemaraj Land and Development Public Company Limited and SME Factory Company Limited respectively. When considering the locations of the RBFs, approximately 53% are situated in Chonburi and Rayong provinces since most foreign investors view that these areas are Thailand’s strategic areas for export of goods to countries around the globe through deep-sea ports and the main international airport.

As of June 2013, CB Richard Ellis (Thailand) Company Limited forecasted that the total rental space of factories being built or renovated was 525,896 square meters. Of this figure, 85% was being developed by TICON Industrial Connections Public Company Limited, Hemaraj Land and Development Public Company Limited and SME Factory Company Limited.

As of June 2013, the occupancy rate was at 84%. When separated by location, the occupancy rate of spaces located in Chonburi Province and eastern Bangkok (including Samutprakarn Province and the northeast Bangkok area) averaged at 90%. While the occupancy rate of spaces located in north Bangkok, which used to be popular for manufacturers and distributors selling goods locally, decreased after the big flood in 2011.

The positive factors for 2014 for RBF business would be the growth in the automobile manufacturing industry due to the growing demand of the middle-class population of the AsiaPacific region. The auto-manufacturers in Thailand are mainly invested by world-renown 38


Japanese companies. Moreover, the industry would also benefit from additional benefits from the BOI investment promotion policies, in order to attract high-tech industries to Thailand, as well as benefiting from the increased demand for consumer products from middle-class population with higher income.
