Parties and Obligations: Q Virginia magazine, published by Unite Virginia, LLC (“Publisher”), will not be bound by any condition appearing on order blanks or copy instructions submitted by or on behalf of the Advertiser when such condition conflicts with any provision contained in Publisher’s rate card. All references herein to “Advertiser” include Advertiser’s agency, if there is one, and Advertiser and its agency shall be jointly and severally liable for Advertiser’s obligations hereunder. 2. Advertiser Responsibility: When new rates are announced, Advertiser is protected at their agreement rate throughout the term of their contract. Contact Publisher for more information. Publisher reserves the right to reject any advertisement submitted, as well as the right to print the word “advertisement” on any ad that, in its opinion, resembles editorial copy. Publisher assumes no responsibility for artwork or photographs left with Publisher 30 days or longer after the last contract insertion date. 3. Liability: Advertiser agrees prior to placing ads that if there is a publication error by Publisher, the liability of Publisher is limited to the cost of the advertisement and may be recouped through advertising credits only. Publisher accepts no responsibility for errors or omissions in any published advertisement. Advertiser agrees upon submission of any materials for publication to assume all liability for any expense, loss or damages incurred as a result of publication. Advertiser represents that it not only has the right to authorize the publication of any advertisement it has submitted to Publisher, but that it is fully authorized and licensed to use (i) the names and/or the portraits or pictures of personas, living or dead, or of things; (ii) any trademarks, service marks, copyrighted, proprietary or otherwise private material; and (iii) any testimonials contained in any advertisement submitted on behalf of Advertiser and published by Publisher, and that such advertisement is neither libelous, an invasion of privacy, violative of any third party’s rights or otherwise unlawful. As part of the consideration and to induce Publisher to publish such advertisement, Advertiser agrees to indemnify and save harmless Publisher against all loss, liability, damage, and expense of whatsoever nature (“Losses”) arising out of copying, printing or publishing of such advertisement (“Claims”). All orders accepted are subject to acts of God, fires, strikes, accidents, unforeseen events, business circumstances and/or other reasonable occurrences (whether like or unlike any of those enumerated herein) that prevent Publisher from partially or completely producing, publishing or distributing Q Virginia magazine. 4. Placement: Unless guaranteed and noted in writing, the placement and location of all ads are at the exclusive discretion of Publisher. 5. Approval: All advertising copy and its classification is subject to the approval of Publisher, at its exclusive discretion and without recourse of liability.

Terms and Conditions 6. Payment: Payment in U.S. currency required. Full payment is net due 30 days from invoice date for existing advertisers. New advertisers must remit payment with order. Interest of 1.5% per month accrues on any unpaid balance over 15 days plus all legal and/or collection fees incurred in the collection of any unpaid balance(s). Loss of credit due to account delinquency may affect frequency rates. Advertiser agrees to pay the amount of any and all invoices rendered by Publisher within the time specified on the invoice. 7. Rates: Advertising rates are net and effective 1/1/2017. Advertising rates are subject to change. Publisher will notify Advertiser 60 days prior to a rate change. If Advertiser does not complete a committed schedule, Advertiser will be subject to a short rate back to the rate that was actually earned. 8. Termination: Publisher reserves the right to terminate any advertising agreement at any time for any reason solely by giving Advertiser fifteen (15) days written notice of such cancellation. Advertiser cancellations must be in writing. Cancellations for orders are not binding on Publisher unless in writing and received at least 45 days prior to the advertising closing date. Thereafter, orders may not be canceled or changed by Advertiser without the acknowledgment and acceptance of Publisher. If orders are not timely cancelled, Advertiser agrees that it will be responsible for the cost of such canceled advertisements.

9. Governing Law: All issues related to advertising will be governed by the laws of the Commonwealth of Virginia applicable to contracts to be performed entirely therein. Any action brought by an advertiser against Publisher relating to advertising must be brought in the state courts in Richmond, Virginia and the parties hereby consent to the jurisdiction of such courts. Launched in 2015, the magazine—along with its various digital outlets and events—promotes equality through storytelling by covering the latest innovations in business, politics, culture and style while remaining nonpartisan, non-activist and family-friendly.
