Article 10 Mandate Duration
1. O mandato dos membros dos órgãos da Associação que não assumam essa qualidade por inerência do cargo que ocupam, ou em virtude de contrato, tem, salvo disposição específica contrária, a duração de três anos, podendo ser renovado.
1. The duration of the mandates of the members of the Association, who do not hold the chair as a consequence of the position they have, nor as a result of the functions they hold as members of the Board, or as a result of a contract, is of three renewable years, unless otherwise specified.
2. O período de duração de tais mandatos corresponde a anos civis, contando-se como completo o ano em que se inicia, salvo nos casos de inerência de funções, em que a substituição será automática. Artigo 11.° Constituição da Assembleia Geral 1. A Assembleia Geral é constituída por todos os associados fundadores, institucionais ou convidados e benfeitores da Associação. 2. A mesa da Assembleia Geral, que dirige os trabalhos, é constituída por um Presidente, um VicePresidente e um secretário. 3. O Presidente e o Vice-Presidente da Assembleia Geral são, rotativamente e por um período de um ano, o Presidente da Câmara Municipal de Coimbra e o Reitor da Universidade de Coimbra. 4. O Presidente da Assembleia Geral escolhe, de entre os demais membros do órgão, um secretário para a mesa. Artigo 12.° Competências da Assembleia Geral 1. Compete à Assembleia Geral: a) elaborar e aprovar o seu próprio regulamento interno; b) definir a política geral da Associação mediante proposta da Direção; c) aprovar o orçamento e os planos de atividade anuais ou plurianuais propostos pela Direção; d) aprovar o relatório de atividades apresentado pela Direção; e) discutir e aprovar o relatório de contas de cada exercício; f ) autorizar a alienação de bens imóveis; g) autorizar a Direção a contrair empréstimos; h) aprovar alterações aos estatutos; i) pronunciar-se sobre quaisquer outras matérias respeitantes à atividade da Associação. 2. Compete ao Presidente da Assembleia Geral representar externamente a Associação, podendo tal representação ser delegada no Vice-Presidente.
2. The duration of the mandates corresponds to civil years. The year in which the mandate starts is counted in full, except in cases of ex-officio, in which replacement will be automatic. Article 11 General Assembly 1. The General Assembly consists of all the founding members, institutional or guests and benefactors of the Association. 2. The board of the General Assembly, which directs the work, consists of a President, a Vice-President and a Secretary. 3. The President and Vice-President of the General Assembly are, in rotation, for a period of one year, the Mayor of Coimbra and the Rector of the University of Coimbra. 4. The President of the General Assembly chooses, from among the other members of the board, the secretary. Article 12 Powers of the General Assembly 1. Powers of the General Assembly: a) draw and approve its own regulation; b) define the general policies of the Association by proposal of the Board; c) approve the budget of the annual and multi-annual plan of activities by proposal of the Board; d) approve the annual report present by the Board; e) discuss and approve the financial year-report; f ) authorize the acquisition of movable property; g) authorize the Board to acquire loans; h) approve changes to these statues; i) comment on any matter concerning the activity of the Association. 2. The Chairman of the General Assembly represents the Association externally, however, such representation may be delegated to the Vice-President.
