SECTION 1 – INTRODUCTION 1.1 - Marketing Strategy People have limited access to affordable Health Care: treatments, procedures, products and services given by health care providers. The internet and ease of travel now provides access to Global Health Care with worldwide providers, hospitals, physicians, insurers, suppliers, airlines, hotels, resorts, and other MTM Partners, creating the tools of access to alternative choices for healthcare and health related products. The Internet and Social Media has revolutionized Health Care, and consumers driven primarily by access, quality and price, now can do their own shopping, and they have bi-passed the rising costs. The future of the healthcare industry is clear: the Internet and Global Health Care. Word-of-mouth advertising and Internet marketing has been well documented since the beginning of the dot com days and now the advent of social media has created this opportunity MTM believes that network marketing is the best form of word-of-mouth advertising and is the perfect distribution model to expand our business in providing Global Health Care Products..

1.2 - Health Team Tree MTM’s growth is driven by our Independent Health Coaches. If our Health Coaches as a whole are successful, MTM will be successful. The Company has designed our Compensation Plan to reward Independent Health Coaches for: (1) Successfully selling MTM products and services; (2) Successfully building sales through Health Team organizations by recruiting, training, and motivating others to do the same. Health Coaches who take the initiative to build Health Team sales organizations benefit by earning a piece of the sales revenue their Heath Team generates. To reward these leaders equally and proportionally to the success they have building Health Teams. MTM tracks the relationships between all of the Health Coaches, as they are added by word-of-mouth marketing. We track these relationships in three ways: (1) Descendants of a Health Team and (2) Duo Health Team Members and (3) Registered Clients as End Consumers to Health Coaches

This organizational structure is called the Health Team Tree .

1.2.1 - Descendants of a Health Team The Descendants of a Health Team is very simple concept - Who cared for or "Mentored" whom? If a Health Coach personally Mentored seven Health Coaches, then he or she has seven different lines (sometimes called “Health Team Trees”) of Descendants. Each is independent from the other, and each will probably have a different number of Active Health Coaches and Clients over time. A Health Coach’s Descendants within their Health Team only includes Health Coaches and Clients.

1.2.2 - Duo Health Team The Duo Health Team is built on two's. Each Health Coach has a left side and a right side and may be related to only one Health Coach on each side. It looks like this: A B | C In the example above, Health Coach A has one relationship on his left, Health Coach B, and one relationship on his right, Health Coach C. Health Coach B and C each have exactly the same relationships under them, left and right. If Health Coach A mentors another Health Coach, they must go under B or C and A chooses where they go. This is called “Team Building”. Health Coach D would drop over into B or C’s Health Team. Note: A Health Coach may have Health Coaches in his or her Duo Tree who are not in their Descendants because of “Team Building”. These Health Coaches are a part of his or her Duo Health Team, but they are not a part of his or her Descendants Health Team.

SECTION 2 - THE DIFFERENCE BETWEEN HEALTH COACHES AND CLIENTS 2.1 - Description To understand the MTM Compensation Plan, it is important to understand the distinction between Health Coaches and Clients who are actual End Consumers. MTM is in the business of acquiring new Clients who purchase MTM retail products (either the Global Health Care Treatment Packages (GHCTP), Global Health Care Memberships (GHCM), Partner Products (PP), MTM Solutions (MTMS) or a combination of). Health Coaches are compensated based strictly on the sale of MTM’s products (both their personal sales, and the sales made by their Health Team). No commissions are paid out for recruiting new Health Coaches. Additionally, only Health Coaches are placed in the Duo Tree (much like an organizational chart in any other business containing management and levels of achievement).

2.2 - Health Coach Business System (HCBS) Purchase Requirement In order to familiarize new Health Coaches with MTM products, services, sales techniques, sales aids, and other matters, the Company requires that all Health Coaches purchase a Health Coach Business System (HCBS) (Optional in North Dakota) for $149.50 and then $14.95 per month moving forward. Except for the purchase of the Health Coach Business System, no person is required to purchase MTM products, services, sales tools or sales aids, or to pay any charge or fee to become a Health Coach. The Health Coach Business System (HCBS) is an online package of business tools that includes a Personalized Health Coach Account Including a Marketing Webpage on MTMweb.info/yourusername, Digital Media Banners and Links, Digital Media Tracking and a MTM Virtual Office as well as online Training Programs. A Health Coach can optionally purchase separately various Sales and Marketing Tools to help Health Coaches build their MTM businesses.

HCBS purchases are not commissionable. Enrollment as a Health Coach, through the purchase of the HCBS, creates a “Health Team” in the MTM Duo Tree which tracks the sales generated by you and your team. Health Coaches can also be, and often are, Clients or End Consumers. However, Retail Clients who are NOT Health Coaches are listed separately and are NOT displayed in the Duo Tree.

2.3 - Personal Retail Client "Only" Sales When a Health Coach makes a sale of one of MTM’s products to a Retail Client who does NOT purchase the HCBS, the Client will be listed in the Health Coach’s virtual office under contacts as “Clients” and will not be displayed in the Duo Tree. Client Sales of this type are kept in a separate tally and the weekly and or monthly sales credits they represent are automatically accounted (Auto-Account) as necessary in order to maximize the Health Coach’s compensation. See additional details under Weekly Bonuses, Monthly Residual Commissions, and Promotional Levels. Clients Sales Volume is credited in the Duo Tree starting with the Health Coach who personally generated the volume and moving upwards. If Health Coach A makes a Client Only sale, the credit for the sale would count towards Health Coach A’s account, but would not benefit any team members below Health Coach A in the Duo Tree. In the event that the Client later elects to become a Health Coach and purchase the HCBS, they may be assigned to the first available Health Team in the Health Coach’s Duo Tree.

SECTION 3 - ACTIVE STATUS REQUIREMENT 3.1 - Description MTM Health Coaches must be “Active” to be eligible to accumulate sales credit for achievement levels or to earn most commissions and bonuses. A Health Coach becomes and remains Active by: a) Paying their Monthly HCBS Fee, and EITHER;

b) Making one new sale of a Retail Product: (1) Global Health Care Memberships (GHCM); or (2) Partner Products (PP); or (3) MTM Solutions (MTMS); or (4) Global Health Care Treatment Packages (GHCTP); or (5) A combination, to a Retail Client or a Client who is also a Health Coach every month. On the monthly anniversary date of their enrollment, if the Health Coach has made a retail sale they will remain Active for the next month, or; c) By making a Personal Purchase of a Retail Product: (1) Global Health Care Memberships (GHCM); or (2) Partner Products (PP);or (3) MTM Solutions (MTMS) (4) Global Health Care Treatment Packages (GHCTP); or (5) a combination, and remaining current on monthly billing.

Once the Health Coach becomes Active, he or she begins to accumulate sales credit toward earning achievement levels, commissions and bonuses. 3.2 - Limitations a) If a Health Coach remains Inactive for more than four (4) consecutive weekly periods, the sales volume they have accumulated will expire indefinitely. b) If a Health Coach remains Inactive for more than twelve (12) consecutive weekly periods at any time, the Health Coach’s Agreement shall be terminated and the Health Coach shall be reclassified as a Preferred Client or Preferred End Consumer if he or she is also a current Client of one of MTM’s products.

3.3 - Billing Grace Period Once a Health Coach achieves the achievement level of Qualified Health Coach or higher, he or she is eligible for a Billing Grace Period for their HCBS fees of up to one month. A Health Coach may have multiple Billing Grace Periods in a calendar year. To return to Active status the account must be brought current before the next recurring order billing date. If, for an explanation, their recurring order did not process on January 15th, they would go into a grace period. If it was corrected, bringing them up to date, prior to the 15th of February they would become Active and would then continue to bill normally on the 15th of February. If the February 16th recurring order date were hit without correcting the grace period, the Health Coach would go inactive and at that time new volume would no longer accrue, but previously accrued volume would continue in their Health Coach account. If the Health Coach has not paid his or her fees for the two missed months prior to the third recurring order date (in this explanation, March 16th) and that payment also fails, all account volume counters will be reset to zero.

SECTION 4 - DIRECT COMMISSIONS 4.1 - Health Team Publishers (MTM Affiliate Program) Health Team Publishers are not Health Coaches, they do not receive the benefits of a Health Coach and are not required to purchase a Health Coach Business System (HCBS). They are solely affiliate publishers of MTM's affiliate marketing program.

4.1.1 Health Team Publishers (HTP) Only - Enrollment is Free All Health Team publishers (HTP) cannot be enrolled by a Health Coach unless they purchase a Health Coach Business System (HCBS). They are not part of any Duo Tree, Health Team Bonus programs or Health Team promotions. An active Health Coach can additionally be a Health Team Publisher and therefore follow the Health Coach Business System (HCBS) Compensation Plan under section 4.2

4.1.2 Health Team Publishers (HTP) Commissions MTM Marketing pays our Independent Health Team Publishers (Affiliate Publishers) a commission as follows: (1) Global Health Care Memberships (GHCM) receive a flat (5) five percent of the gross paid amount; or (2) Partner Products (PP) receive a flat (5) five percent of the gross paid amount of an MTM Partners Products commissionable payment amount for a Partners Product; or (3) MTM Solutions (MTMS) receive a flat (5) five percent of the gross paid amount; or (4) Global Health Care Treatment Packages (GHCTP) receive a flat (2) two percent of the gross paid amount of a Client for an MTM Treatment Package. (5) Health Team Business System (HTBS) receive a flat (5) five percent of the gross paid amount, (6) Sales by HTP's are not applied to any Health Coaches statistics, commissions or bonuses.

4.2 - Health Coaches MTM Marketing pays our Independent Health Coaches a $20 Direct Commission for every initial sale of a Global Health Care Treatment Packages over $1000.00 (GHCTP), Global Health Care Memberships (GHCM) Annual Fee of $99.50, or MTM Solutions over 99.50 (MTMS) creating a sale from: (1) a Retail Client or (2) a Client and a Health Coach, the Direct Commission is paid to the new Client’s Enroller.

4.2.1 - Active Status Requirement Direct Commissions are paid to the Enroller regardless of his or her Active status, but his or her Health Coach Agreement must still be in effect; not cancelled or terminated.

4.2.2 - Qualification Direct Commissions are paid to the Enroller regardless of his or her qualified status, but his or her Health Coach Agreement must still be in effect; not cancelled or terminated.

4.2.3 - Limitations MTM will recover Direct Commissions paid to Health Coaches any time a product or service purchase is refunded to the Client.

SECTION 5 - WEEKLY HEALTH TEAM BONUSES 5.1 - Description MTM Health Coaches earn Weekly Health Team Bonuses based on the initial product sales generated by their entire Health Team duo sales. The Health Coach accumulates sales credits based on the initial product purchase of each Client they initially make. A Product Client Purchase Pays Sales Credit of: Global Health Care Memberships (GHCM) $99.50 ...............................................1 Credit Global Health Care Treatment Packages (GHCTP) $1000.00 and Up .................4 Credit Partner Products (PP) $99.50 and Up ...................................................................1 Credit Both GHCM and PP ..............................................................................................3 Credits Sales credits accumulate throughout the pay period as new sales are completed and payment is confirmed. A “succession ” is generated for every four sales credits on the left side that match up with four sales credits on the right side of the Health Coach’s Duo Health Team. Each Weekly Health Team Bonus succession pays up to $100*. 4 sales credits Left + 4 sales credits Right = 1 succession = up to $100* The qualifying product sales shown above include all sales by all Health Coaches in your Duo sales Health Team, whether the sale is made to a retail Client or to a Client who also decides to become a Health Coach. When Weekly Bonuses are calculated, oldest sales credits are used first. Weekly Sales Credits are also called Weekly Sales Volume, Weekly Volume, or Primary Duo Volume.

5.1.1 - Client Only Credit Equalization For Weekly Health Team Bonuses, if a Health Coach has generated sales credits on their left and right that do not yet complete a succession and has Retail Client Only sales credits (sales of either GHCM, PP, or GHCTP products to non-Health Coaches that are therefore not placed in the Duo Tree) that have not yet been paid on, the system will Equalize the Health Coach’s credits and apply any available credits to the weaker team’s volume. For instance, Health Coach A has made two Retail Client Only Sales. This week his left team generates nine (9) sales credits and his right team generates seven (7) sales credits. Seeing that the right team needs an additional sales credit to complete a second succession , the system will Equalize and assign one of the two Client Only Sales to Health Coach A’s right team. With eight (8) sales left and eight (8) sales right, he would thus earn two (2) succession Bonus.

It is important to understand that when a Retail Client Only sales credit is “assigned” to the Rep’s left or right side, that no changes are actually made to the Duo Tree of the Health Team. The Client still exists outside of the Duo Tree and does not belong to the Health Team. 5.1.2 - Global Health Care Treatment Package (GHCTP) Equalized Exception Global Health Care Treatment Packages (GHCTP) sales generate four (4) sales credits. When a Global Health Care Treatment Packages (GHCTP) is sold as a Retail Client Only sale (and is therefore not attached to a Health Coach’s Health Team in the tree) it becomes eligible for equalization. However, all four sales credits are assigned to a single side when equalized and are not broken up. So, in the event that a Health Coach had two (2) sales left and two (2) sales right, and made a sale of the Global Health Care Treatment Packages (GHCTP) product to a retail Client, their sales counters would read six (6) and two (2) and a succession bonus would not generate.

5.2 - Active Status Requirement Health Coaches must be active to accumulate sales credits (also called volume). If a Health Coach is in Inactive status, no new sales credits will accumulate until he or she becomes "Active" again, and will not be credited retroactively if he or she does become Active again. Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the weekly pay period to be qualified to earn the Weekly Bonuses.

5.3 - Qualification Health Coaches must also be qualified to earn Weekly Bonuses. To be eligible for a Weekly Bonus, a Health Coach must be a Qualified Health Coach or higher achievement level.

5.4 - Weekly Pay Period Direct Commissions and Weekly Bonuses are paid every Friday, with a one week delay. The weekly pay period begins Saturday 12:00:00 AM Central Time and ends Friday 11:59:59 AM (Midnight) Central Time.

5.5 - Limitations 5.5.1 - Maximum Payout by Achievement level There is a maximum amount that a Health Coach may earn at each achievement level. Health Coaches will not be paid more than the maximum amount, regardless of the number of successions completed for the pay period. If the 60% rule comes into play in a given week, Health Coaches will be able to use all completed succession s for that week, up to the point where the maximum weekly commissions are met. The amounts below are approximations, as every sixth succession pays 50 HealthDollars instead of the $100.00 Succession Bonus. Thus, depending on the timing, a percentage of the Succession s below will pay out HealthDollars. However, the combined value of Succession Bonuses and HealthDollars will equal the amount listed. The limits for the MTM Health Team Compensation Plan are: Maximum Amount When Qualified per Achievement Level Health Coach $1,000 Health Coach Manager $1,000 Health Team Director $2,000 Regional HTD $10,000 Nacional HTD $15,000 International HTD $15,000 Example of rule: Mary is a Health Team Director. She has 44 sales credits on her left and 55 sales credits on her right in weekly duo sales volume on Friday night at 11:59:59 PM. When the bonus process runs, 11 succession s are calculated (44 á 4 = 11). Since she is a Director, she is limited to $2,000 per week, but because she earned more than three (3) succession s in the week they are doubled (due to the Double Succession Bonus), so her Weekly Bonus would be $2,000, subject to the 60% Payout Rule, and she will have 0 sales credits on her left and 10 on her right carry over to the next pay period.

5.5.2 - Weekly Bonus Sales Volume Expiration and Counter Resets 5.5.2.1 - Expiration 1 – Volume Expiration for Qualified Health Coaches Duo Sales Volume expires after 26 FULL weekly pay periods for Qualified Health Coaches. If a sale is not used to generate a succession within that time frame, the sales volume expires at the beginning of the next pay period and can no longer be used to create a bonus succession . All accumulated sales volume that is 25 weeks or newer will remain.

5.5.2.2 - Bonus Reset 1 – For Unqualified Health Coaches If a Health Coach is not Qualified and is more than 8 full weekly pay periods from his or her enroll date, all un-succession volume from orders older than four full weekly pay periods will expire and sales volume counters will reset.

5.5.2.3 - Bonus Reset 2 – Billing Grace Period Expiration After his or her first 8th FULL weekly pay periods, if a Qualified Health Coach (Q) or higher achievement level falls out of that achievement level qualification for any reason, including going inactive, he or she has a four-week grace period to re-qualify. The grace period begins the day after the last day he or she was qualified. If he or she does not re-qualify during the grace period, all duo sales volume counters will be reset. A Health Coach may have multiple billing grace periods in a calendar year. To return to Active status the account must be brought current before the next recurring order billing date. If, for example, their recurring order did not process on June 20th, they would go into grace period. If it was corrected prior to the 20th of July they would become Active and would then continue to bill normally on the 20th of July. If st the July 21 recurring order date were hit without correcting the grace period, the Health Coach would go inactive and at that time new volume would no longer accrue, but previously accrued volume would continue to hold. If the Health Coach has not paid his or her fees for the two missed months prior to the third recurring order date (in this example, August 21st) and that payment also fails, all volume counters will be reset.

5.5.3 - 60% Cap Rule The Weekly Bonus program is subject to the 60% Cap Rule. For details, please see Section 9.

One “succession ” is generated for every four sales credits on the left side that match up with four sales credits on the right side of the Health Coach’s Duo Health Team. Each Monthly Bonus succession pays up to $10.00*. 4 sales credits Left + 4 sales credits Right = 1 succession = up to $10.00*. Monthly Sales Credits are also called Monthly Sales Volume, Monthly Volume, or Secondary Duo Volume. Once a Health Coach Manager qualifies at an achievement level of Health Team Director, the value of each succession increases to $20.00*.

6.1.1 - Client Only Credit Equalized For Monthly Residual Commissions, if a Health Coach has generated sales credits on their left and right that do not yet complete a succession and has Retail Client Only monthly sales credits (monthly fees from either Global Health Care Memberships (GHCM), Global Health Care Treatment Package over $1000.00 (GHCTP) or MTM Solutions (MTMS) Clients who are non-Health Coaches and are therefore not placed in the Duo Tree) that have not yet been paid on, the system will equalize the Health Coach’s credits and apply any available credits to the weaker Health Team’s volume. For example, Health Coach A, has ten Retail Clients (non-Health Coaches) who are actively paying their monthly fee(s). This month her left team generates 100 monthly fee sales credits and her right Health Team generates 90 monthly fee sales credits. Seeing that the right team is lower by ten credits, the system will equalize and assign the monthly fee credits of the ten Retail Clients (non-Health Coaches) to Health Coach A’s right team. This would thus cause Health Coach A to have a succession of 25 times for a monthly residual check of $250.00 (assuming full $10.00 successions).

It is important to understand that when a Retail Clients "Only" monthly sales credit is “assigned” to the Health Coaches' left or right side, that no changes are actually made to the Duo Tree of the Health Team. The Client still exists outside of the Duo Tree and does not belong to the Health Team. 6.1.2 - Global Health Care Treatment Package Equalize Exception Global Health Care Treatment Package (GHCTP) sales generate three (3) sales credits. However, all three sales credits are assigned to a single side when equalized and are not broken up.

6.2 - Active Status Requirement Sales Health Coaches must be active to accumulate sales credits (also called volume). If a Health Coach is Inactive status, no new sales credits will accumulate until he or she becomes active again, and will not be credited retroactively if he or she does become active again. Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Monthly Residual Commission.

6.3 - Qualification Health Coaches must have achieved and be at the Senior Health Coach or higher achievement level at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Monthly Residual Commission.

6.4 - Monthly Pay Period th

Monthly Residual Commissions are disbursed monthly, on the 15 day of the month following the end of the monthly pay period. The Monthly Residual Commission pay period begins on the first day of each month at 12:00:00 AM Central Time and ends on the last day of each month at 11:59:59 PM (Midnight) Central Time.

6.5 - Limitations 6.5.1 - Maximum Payout by Achievement level There is a maximum amount that a Health Coach may earn each month at each promotion achievement level. Health Coaches will not be paid more than the maximum amount, regardless of the number of succession s completed for the pay period. If the 60% rule comes into play in a given month, Health Coaches will be able to use all of their completed succession s for that month, up to the point where the maximum monthly commissions are met. The limits are: Achievement level Maximum Amount HC $300.00 HCM $500.00 HTD $2,000.00 RHTD $5,000.00 NHTD $10,000.00 IHTD $20,000.00 Example: Mary is a Director. She has 444 sales credits on her left and 600 sales credits on her right, in monthly sales volume on the last day of the month at 11:59:59 PM. When the bonus process runs, 111 successions are calculated (444 รท 4 = 111). Since she is a Director, she is limited to $2,000 per month (in this case 100 successions), so her Monthly Residual Commission this month is up to $2000, subject to the 60% Payout Rule.

6.5.2 - Monthly Residual Commission Sales Volume Expires All Monthly Residual Sales Volume that does not match up to create succession s expires and does not carry over to the following monthly pay period.

6.5.3 - 60% Cap Rule The Weekly Bonus program is subject to the 60% Cap Rule. For details, please see Section 9.

SECTION 7 – BONUSES 7.1 - Personal Sales Bonuses 7.1.1 - Description When a Health Coach personally mentors five (5) new Clients or End Consumers, or Clients that are also Health Coaches, within a rolling calendar of four Full Weekly Pay Periods, or less, he or she will earn a $200.00 Personal Sales Bonus. New Clients count towards a Personal Sales Bonus for four weeks. For example, if a Health Coach enrolls four (4) Clients in one week and then two (2) in the following week, they have earned one (1) Personal Sales Bonus of $200 (in addition to $100.00 in Direct Commission for the five (5) personal qualified sales). In the following week, they now have one (1) sale carried over towards their next five (5). Every time five (5) Clients are Mentored, the Health Coach earns a bonus; there is no limit per month or per week. Twelve personal Clients in a week would generate two (2) $200 Personal Sales Bonuses. Any sales over five (5) in a four week period apply towards earning the next bonus. Every sale counts towards bonus earning potential for four weeks. Another example: if a Health Coach generates one (1) sale in week one, no sales in week two, two (2) sales in week three, and one (1) sale in week four, they would not have earned the required five sales (they would only have four), so when week five begins, the one (1) sale from week one would no longer count toward the total (they would then be at three sales going into the 4th week to qualify for the required five (5)).

7.1.2 - Active Status Requirement Personal Sales Bonuses are paid to the Health Coach regardless of his or her Active status, but his or her Health Coach Agreement must still be in effect; not cancelled, suspended, or terminated.

7.1.3 - Qualification Personal Sales Bonuses are paid to the Health Coach regardless of his or her Qualified status, but his or her Health Coach Agreement must still be in effect; not cancelled, suspended, or terminated.

7.1.4 - Limitations Health Coaches may earn as many Personal Sales Bonuses as they can qualify for, based on every five Clients acquired. This may mean one Bonus per four weeks, one per week, one per day, etc. There is no limit to how many a Health Coach may earn. Further, MTM will recover Personal Sales Bonuses paid to Health Coaches any time an initial product purchase is refunded to the Client. Finally, Clients who purchase these MTM Products at these required amounts will qualify for the Personal Sales Bonus: (1) Global Health Care Treatment Packages(GHCTP) over one time purchase amount of $1000.00 (2) Partner Products (PP) over one time purchase amount of $1000.00

(3) Global Health Care Memberships (GHCM) Annual Payment in full of $99.95 (4) MTM Solutions (MTMS) Annual Payments in full over $99.95

Monthly membership or subscription payments for GHCM or MTMS do not count towards the Personal Sales Bonus, they must meet the requirements above. Upgrades to MTM Solutions (MTMS) products do not count either. 7.2 - HealthDollars 7.2.1 - Description MTM Health Coaches are awarded 100 HealthDollars for every sixth weekly succession. They earn this instead of the $100 Succession Bonus. HealthDollars may be redeemed only through the company and are designed to reward our Health Coaches by covering some or all of the costs of their health expenses.

7.2.2 - Active Status Requirement Health Coaches must be active to accumulate sales credits (also called volume). If a Health Coach is of Inactive Status, no new sales credits will accumulate until he or she becomes Active again, and will not be credited retroactively if he or she does become Active again. Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the weekly pay period to be qualified to earn the Weekly Bonuses, and thus HealthDollars.

7.2.3 - Qualification Health Coaches must also be qualified to earn Weekly Bonuses, and thus HealthDollars. To be eligible for a Weekly Bonus, a Health Coach must be a Qualified Health Coach (Q) or higher achievement level.

7.2.4 - Award Timing HealthDollars are awarded concurrently with Weekly Bonuses.

7.2.5 - Limitations For details on redeeming HealthDollars, see Appendix B: HealthDollars Redemption Policy.

7.3 - Health Team Director Bonus 7.3.1 - Description When a new Health Coach achieves the Health Team Director achievement level within 16 Full Weekly Pay Periods, they will earn $3,000.

7.3.2 - Active Status Requirement Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the weekly pay period to be qualified to earn the Health Team Director Bonus.

7.3.3 - Qualification Health Coaches must have achieved the achievement level of Health Team Director (DIR) or higher at 11:59:59 PM (Midnight) Central Time on the last day of the 16th full weekly pay period from the date of enrollment to be qualified for the Director Bonuses.

7.4 - Car Bonus 7.4.1 - Description When Health Coaches achieve the Regional Health Team Director level, MTM pays them up to $1,000 monthly as a Car Bonus. This bonus increases to up to $1,500 monthly when they reach International Health Team Director.

7.4.2 - Active Status Requirement Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Car Bonus.

7.4.3 - Qualification Health Coaches must have earned the achievement level of Regional Health Team Director (RHTD) or higher at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Car Bonus for the following month. Health Coaches are not eligible for Car Bonuses for the month in which they first achieve RHTD; there is a one-month lag. As an example: Sally reaches the achievement level of RHTD on April 14th. She will be eligible for the May Car Bonus, which is paid on June 15th.

7.4.4 - Payment Frequency Car Bonuses are disbursed to the Health Coach monthly, on the 15th day of the month following the end of the car bonus pay period.

7.5 - Dream Bonus 7.6.1 - Description MTM pays Health Coaches who achieve the International Health Team Director level a Dream Bonus of up to $2,000 monthly.

7.6.2 - Active Status Requirement Health Coaches must have an Active Status at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Dream Bonus.

7.6.3 - Qualification Health Coaches must have achieved the achievement level of International Health Team Director (IHTD) at 11:59:59 PM (Midnight) Central Time on the last day of the monthly pay period to be qualified to earn the Dream Bonus for the following month. Health Coaches are not eligible for Dream Bonuses for the month in which they first achieve IHTD; there is a one-month lag. Sally earns the achievement level of IHTD on February 5th She will be eligible for the March Dream Bonus, which is paid on April 15th.

7.6.4 - Payment Frequency Dream Bonuses are disbursed to the Health Coach monthly, on the 15th day of the month following the end of the Dream Bonus pay period.

7.6.5 - Limitations For more details on the Dream Bonus program, please see Appendix D: Dream Bonus Policy.

SECTION 8 - PROMOTIONAL LEVELS 8.1 – Active Health Coach (AHC) and Health Team Publisher (HTP) 8.1.1 - Requirements An Active Health Coach may be additionally a Health Team Publisher (HTP) by: • Becoming a Health Team Publisher (HTP) in their Health Coach Account, • Follow MTM guidelines for our Affiliate Marketing Program within their Health Coach Account and

8.1.2 - Commissions & Bonuses MTM Marketing pays our Independent Health Coaches acting as Independent Health Team Publishers (Affiliate Publishers) a commission as follows: (1) Global Health Care Memberships (GHCM) receive a flat (10) ten percent of the gross paid amount; or (2) Partner Products (PP) receive a flat (10) ten percent of the gross paid amount of an MTM Partners Products commissionable payment amount for a partners product; or (3) MTM Solutions (MTMS) receive a flat (10) ten percent of the gross paid amount; or (4) Global Health Care Treatment Packages (GHCTP) receive a flat (2) two percent of the gross paid amount by a Client (non-Health Coach) of an MTM Treatment Package. (5) Health Team Business System (HTBS) No commissions are Paid.

8.2 - Enrolled Health Coach (EHC) 8.2.1 - Requirements Entry-level position; A Health Coach who has enrolled, but is not Active.

8.2.2 - Commissions & Bonuses • Direct Commissions 8.3 - Active Health Coach (AHC) 8.3.1 - Requirements A Health Coach who is Active, but has not met the minimum requirements for advancement.

8.3.2 - Commissions & Bonuses Until a Health Coach becomes Qualified, sales volume will irrevocably expire after one month from the date and time of the sale.

8.4 - Qualified Health Coach (Q) 8.4.1 - Requirements An Active Health Coach may become a Qualified Health Coach (Q) by: Making four Retail Product sales to Retail Clients or Clients who may also be Health Coaches. Client enrollment dates must all be on or after their enrollment date. Sales can be credited to either Left Duo Team or Right Duo Team, based on Auto Balance. All four personally Mentored Health Coaches and or Clients must remain Active for the Health Coach to remain at the qualified achievement level.

The Qualified Health Coach’s following month’s HTBS fees are credited. So, if Health Coach A enrolls his four (or a combination of new enrollments and monthly product fee(s) from previous Clients, per the rules above, in December, he would become Qualified. Thus, his paid January fee(s) would be credited. Upon obtaining Qualified status, the Health Coach’s monthly fee(s) of $14.95 for your Health Team Business System (HTBS) and $9.95 for the Global Health Care Memberships (GHCM), will be waived and their status will still be considered Active. The four sales that qualify the Health Coach may be any mix of qualifying MTM Products: (1) Global Health Care Treatment Packages(GHCTP) over $199.00 (2) Partner Products (PP) over $199.00 (3) Global Health Care Memberships (GHCM) (4) MTM Solutions (MTMS) (5) Health Team Business System (HTBS)

8.4.3.1 - Limitations All four personally Mentored Clients must remain Active for the Health Coach to maintain the Q classification. In the event that one of the four Clients goes into Grace Period or Inactive Status, the company will attempt to charge the Health Coach based on the billing information on file. In the event that billing is unsuccessful, the Health Coach will also go into Grace Period or Inactive Status. In the event that one or more of the four who helped the original Mentoring Health Coach reach Qualified Status ALSO becomes Qualified, they will still be designated as Active and therefore still count towards the original Mentoring Health Coach’s Qualified status.

It is important to understand that Qualified Health Coaches will not generate any monthly sales credit(s) into the Duo Tree and will not contribute to his or her up line monthly successions.

8.5 - Health Coach Manger (HCM) 8.5.1 - Requirements An Active Health Coach may become a Health Coach Manager (HCM) by: • Becoming a Qualified Health Coach (Q), and; • Having at least twenty (20) Active Clients or Active Health Coaches on his or her Left Duo Health Team and at least twenty (20) Active Clients or Active Health Coaches on his or her Right Duo Health Team, based on Team Sales and Equalize of Personal Retail Client Only Sales. This is also called being “20 of 20”. • Earning at least $3,000 cumulatively in the preceding three calendar months, $1,000 per month average (HealthDollars are included). Personal Retail Client Only sales will also count towards the total Descendants, although they will not be assigned to a Health Team. To maintain the HTD achievement level, the Health Coach must continue to average at least $3,000 in the preceding three calendar months.

Personal Retail Client Only sales will also count towards the total Descendants, although they will not be assigned to a Health Team. To maintain the HTD achievement level, the Health Coach must continue to average at least $12,000 in the preceding three calendar months.

Personal Retail Client Only sales will also count towards the total Descendants, although they will not be assigned to a specific line. To maintain the RHTD achievement level, the Health Coach must continue to average at least $24,000 in the preceding three calendar months.

8.8 - National Health Team Director (NHTD) 8.8.1 - Requirements An Active Health Coach may become a National Health Team Director (NHTD) by: • Becoming a Regional Health Team Director (RHTD), and; • Building lines of Descendants with a total count of at least five hundred (500) Active Client or End Consumers with no more than two hundred and fifty (250) counted from any one Health Team duo, and; Earning at least $36,000 cumulatively in the preceding three calendar months, $12,000 per month average. Personal Retail Client Only sales will also count towards the total Descendants, although they will not be assigned to a specific line. To maintain the NHTD achievement level, the Health Coach must continue to average at least $36,000 in the preceding three calendar months.

8.9 - International Health Team Director (IHTD) 8.9.1 - Requirements An Active Health Coach may become an International Health Team Director (IHTD) by: • Becoming a National Health Team Director (NHTD), and; • Building lines of Descendants with a total count of at least two thousand (2000) Active Client or End Consumers with no more than one thousand (1000) counted from any one Health Team duo, and; • Earning at least $60,000 cumulatively in the preceding three calendar months, $15,000 per month average. Personal Retail Client or End Consumer Only sales will also count towards the total Descendants, although they will not be assigned to a specific line. To maintain the IHTD achievement level, the Health Coach must continue to average at least $60,000 in the preceding three calendar months.

8.10 - Bonus - Health Team Split 8.10.1 - Description When a Health Coach Manager generates at least $5,000 in income during a single calendar month, from a single Health Team, the Health Team Director will be issued a bonus in the form of a onetime creation and insertion of a new Health Team directly next to the existing Team. The original Health Team will be directly Mentored by the new Health Coach Manager, thus creating its first line of Descendants.

8.10.2 - Limitations The new Health Team will maintain the same ownership as the original Health Team and will not be sellable or transferable except under the provisions of section 4.28 in the MTM Policies and Procedures or in the event the Health Coach’s complete divestiture of all MTM business interests. The original Health Team is only eligible to generate a Bonus Center one time. The new Split Health Team will also be eligible for awarding of a Bonus Center upon generating at least $5,000 in income during a single calendar month.

8.11 - Monthly Achievement level Grace Periods Available three per calendar year, non-consecutively, to Directors and above, the Monthly Achievement level Grace Period is independent of the Recurring Order (Active Status) Grace Period. Once a Health Coach achieves the achievement level of Director, he or she will be eligible for Achievement level Grace Periods. In the event that a Health Coach was a Director in one month, but then drops out of Director qualification when month-end achievement levels are calculated in the following month, due to insufficient Client volume (alternatively due to insufficient Earnings, at higher achievement levels), they will still be paid their prior monthly commissions as a Director, as well as all weekly commissions for each month as Directors. If they do not regain their Director achievement level by the end of the second month, they will not receive their third month of commissions as a director. To clarify, if they are unable to regain the Director achievement level, they would no longer be eligible for Monthly Achievement level Grace Periods until they successfully regain the Director Achievement level. Likewise, if a Health Coach has previously achieved the IHTD achievement level for September but drops out of IHTD qualification when month-end achievement levels are calculated for October (due to either insufficient Client volume or insufficient earnings) he or she would still be paid their September monthly commissions and Car and Dream bonuses. However, if they were unable to regain their IHTD achievement level by the end of their grace month, they would forfeit their higher monthly commissions and their Car bonus and their Dream bonus would be paid as an NHTD in October. Monthly Achievement level Grace Periods can only be initiated at the beginning of a calendar month. If a Health Coach is not in a Monthly Achievement level Grace Period, and drops below the Client volume required for their achievement level during a weekly pay period, that will not trigger a Monthly Achievement level Grace Period and the Health Coach would be compensated based on their actual achievement level at the time the weekly pay period is run.

SECTION 9 - 60% PAYOUT CAP RULE MTM commits to pay up to 60% of all sales revenue generated by our Health Coaches back to the field, and sets these amounts aside into separate commission accounts. To ensure the long term viability of MTM and protect the future opportunity for our Health Coaches, the Company must limit the percentage of total commission payout to this percentage. This 60% maximum is called the 60% Payout Cap. Here is an example of how it works. If weekly sales volume for a given week were $1,000,000 companywide, then MTM would pay a maximum of $600,000 in commissions to our Health Coaches. If the weekly commissions process generated $700,000, or 70%, then all commission checks would be "shaved" an equal percentage to bring the total payout back to 60%. This would cause a weekly succession to payout less than $100. The same is true of Monthly Residual Commissions. The 60% Payout Cap is necessary to insure the long-term health and continued growth of MTM and to provide long term opportunity for our Health Coaches. We all want a company that will be profitable and secure for many years to come. Each of the two MTM commission programs; weekly and monthly, is self-contained and the 60% Payout Cap is applied separately to each one. In addition, any surplus funds from commission runs will be used to cover any shortfall before commission checks will be shaved, within each of the commission programs.

SECTION 10 – MISCELLANEOUS 10.1 - Charge Backs & Refunds MTM reserves the right to recover sales volume credited or commissions paid to a Health Coach any time a commissionable purchase of any kind is refunded to a Client.

APPENDIX A: GLOSSARY OF TERMS Achievement Level ~ The “title” that a Health Coach has earned pursuant to the MTM Marketing and Compensation Plan. Active Achievement Level ~ The term “Active Achievement Level” refers to the current achievement of a Health Coach, as determined by the MTM Marketing and Compensation Plan, for any calendar month OR volume period. To be considered “Active” relative to a particular achievement, a Health Coach must meet the criteria set forth in the MTM Marketing and Compensation Plan for his or her respective achievement. Active Client ~ A Client or End Consumer who has an active and paid-up subscription to either of MTM’s products and services (Global Health Care Treatment Packages (GHCTP), Global Health Care Memberships (GHCM) and or Partner Products (PP)) for the subject calendar month. Active Health Coach ~ An Active Health Coach is a Health Coach who has either: 1) generated the sale of at least one of MTM’s products (Global Health Care Treatment Packages (GHCTP), Global Health Care Memberships (GHCM), Partner Products (PP)) to a Retail Client or End Consumer during the current month; or 2) who has a current and Active Global Health Care Treatment Packages (GHCTP), Global Health Care Memberships (GHCM) or the required purchase amount of Partner Products (PP). Agreement ~ The contract between the Company and each Health Coach includes the Health Coach Agreement, the MTM Policies and Procedures, the MTM Marketing and Compensation Plan, and the Business Entity Registration Form (where appropriate), all in their current form and as amended by MTM in its sole discretion. These documents are collectively referred to as the “Agreement.” Cancel ~ The termination of a Health Coach’s business. Cancellation may be either voluntary, involuntary, through non-renewal, nonpayment or inactivity. Commissionable Products and Services ~ All MTM products and services on which commissions and bonuses are paid. A Health Coach Business Systems and sales aids are not commissionable products. Company ~ The term “Company” as it is used throughout the Agreement means Medical Treatments Management, Inc. Descendants ~ The tree in your marketing structure that were initially started by you Mentoring a personal Health Coach, and then extended by them recruiting Health Coaches personally and that process duplicating. You can think of your descendants as your mentorship Health Team tree. It comes from those whom you personally enrolled and who they personally enrolled, etc. Team Building will not add to your descendants. Downlink Activity Report ~ A monthly report generated by MTM that provides critical data relating to the identities of Health Coaches, sales information, and enrollment activity of each Health Coach’s Health Team. This report contains confidential and trade secret information which is proprietary to MTM. Downlink ~ Each one of the individuals enrolled immediately underneath you and their respective Health Teams represents one “tree” in your Health Team. Each Health Team has two trees-one on the left and one on the right. End Consumer ~ A person who purchases MTM products for personal use rather than for resale to someone else.

Enroller ~ A Health Coach who recruits and enrolls another Health Coach into the Company. The Enroller receives the $50 Direct Commission if the new Health Coach also purchases a product. The Enroller is typically also the Mentor of the new Health Coach. Health Coach Business System (HCBS) ~ The HCBS is an online tool that includes a Personalized Website and Virtual office System as well as online Training and access to essential Sales and Marketing tools to help Health Coaches build their MTM business. The Company requires that Health Coaches purchase a Health Coach Business System (HCBS) for $149.50 and a $14.95 per month maintenance fee. The Health Coach Business System is sold to Health Coaches at the Company’s cost. Health Coach Production ~ Moving product to a Client or an end consumer for personal use. Health Coach Sales Volume (HCSV) ~ The commissionable value of services and products sold in a calendar month: (1) by the Company to a Health Coach; and (2) by the Company to the Health Coach’s personally enrolled Clients. Health Team ~ The Health Coaches Mentored below a particular Health Coach Manager. The term “Health Team” is further defined in the MTM Marketing and Compensation Plan. Health Team Sales Volume ~ The commissionable value of MTM products generated by a Health Coach’s Health Team. Team Sales Volume does not include the Personal Sales Volume of the subject Health Coach. (Health Coach Business Systems and sales aids have no Sales Volume.) Immediate Household ~ Heads of household and dependent family members residing in the same house. Left Side Team Sales Volume (TSV) ~ The commissionable value of MTM products and services sold in the left downlink tree of a particular Health Team. Level ~ The layers of downlink Health Coaches in a particular Health Coach’s Health Team. This term refers to the relationship of a Health Coach relative to a particular uplink Health Coach, determined by the number of Health Coaches between them who are related by mentorship. For example, if A mentors B, who mentors C, who mentors D, who mentors E, then E is on A’s fourth level. Mentor ~ The Health Coach to whom front-line descendants are credited when a new Health Coach is enrolled into the Company. Official MTM Material ~ Publications of: literature, audio or video tapes, and other materials developed, printed, published and distributed by MTM to Health Coaches. Page 27 of 29


Recruit ~ For purposes of MTM’s Conflict of Interest Policy (Section 4.8), the term “recruit” means actual or attempted solicitation, enrollment, encouragement, or effort to influence in any other way, either directly or through a third party, another MTM Health Coach to enroll or participate in another multilevel marketing, network marketing or direct sales opportunity. This conduct constitutes recruiting even if the Health Coach’s actions are in response to an inquiry made by another Health Coach. Resalable ~ Products and sales aids shall be deemed "resalable" if each of the following elements is satisfied: 1) They are unopened and unused; 2) Packaging and labeling has not been altered or damaged; 3) The product and packaging are in a condition such that it is a commercially reasonable practice within the trade to sell the merchandise at full price; 4) Products are returned to MTM within one year from the date of purchase; 5) The product expiration date has not elapsed; and 6) The product contains current MTM labeling. Any merchandise that is clearly identified at the time of sale as nonreturnable, discontinued, or as a seasonal item, shall not be resalable. Retail Client ~ An individual or entity who is not a MTM Health Coach and who purchases MTM products or services from or through a Health Coach. Right Side Team Sales Volume (TSV) ~ The commissionable value of product(s) sold in the right downlink tree of a particular Health Team. Uplink ~ This term refers to the Health Coach or Health Coaches above a particular Health Coach in a mentorship line up to the Company. Conversely stated, it is the line of mentors that links any particular Health Coach to the Company.

APPENDIX B: HEALTHDOLLARS REDEMPTION POLICY HealthDollars can be redeemed through the company and used in two ways: 1. HealthDollars can be redeemed toward the purchase of any Global Health Care Treatment Packages (GHCTP), if the Health Coach is also a Global Health Care Member (GHCM). HealthDollars will be redeemed for the price of the GHCTP, plus an additional 5% charge (example - If the GHCM cost is $4000, an additional $200 will be added for a total HealthDollars redemption of $4200), on a reimbursement basis. OR 2. HealthDollars can be used by any Health Coach purchasing Partner Products (PP) on a reimbursement basis. After providing the necessary receipts and proof of purchase, MTM will reimburse said Health Coach. A Health Coach need not be a Global Health Care Member (GHCM) to use HealthDollars in this way. Each product needs to be ordered and

paid in full before the HealthDollars expiration date. The entire HealthDollar amount on each HealthDollar must be used for any particular product(s) purchase. A Health Coach does not need the entire amount in HealthDollars for the product purchase to be redeemed. No partial reimbursements will be issued. Products must have been consumed, used or taken prior to submitting reimbursement request. Entertainment and food expenses, are not eligible. HealthDollars expire if not used within one year from the date awarded. HealthDollars are not transferable, but can be redeemed within one’s immediate family. Immediate family is defined as the Health Coaches spouse and dependent children. Dependent children are those children residing with their parent(s) or legal guardian(s) who are un-married, in school and 25 or under. In addition, a child that is handicapped (of any age) and under the direct care of his or her parent(s) or legal guardian(s) is a dependent child.

APPENDIX C: CAR BONUS POLICY Payments by MTM will be maintained as long as the Health Coach maintains HTD status. The Health Coach must be willing to provide a promotional picture and their Health Coach biography for marketing purposes. Requirements: • The car must be new. • Purchase or lease is acceptable. • Must place MTM logo, available for purchase from MTM, in a visible location. • MTM will make payment to the Health Coach, up to $500 monthly for HTD status ,or $750 monthly for RHTD, or $1,000 monthly for NHTD or $1,500 at the IHTD status. MTM will issue this bonus to a Health Coach in the amount of the actual bonus amount of the monthly achievement level, not the car payment amount. • Payments by MTM will be maintained as long as Health Coach maintains the required status and that the car is maintained in a "like new" state and appeal.

APPENDIX D: DREAM BONUS POLICY At the Health Team Director level, MTM Health Coaches qualify for a Dream Bonus. The Health Coach must be willing to provide a promotional picture and their Health Coach biography for marketing purposes. Requirements: • A Dream Bonus can be used by a Health Coach in any way the individual or entity chooses. • MTM will make payment to the Health Coach, up to $500 monthly for HTD status ,or $1000 monthly for RHTD, or $1,500 monthly for NHTD or $2,000 at the IHTD status. MTM will issue this bonus to a Health Coach in the amount of the actual bonus amount of the monthly achievement level. • Payments by MTM will be maintained as long as Health Coach maintains HTD status.
