El Código de Cadbury complementado y muy perfilado en nuestro país por los informes Olivencia y Aldama, ha decantado y clarificado las normas que deben regular los Consejos de Administración, clasificando cuáles son las funciones primordiales del Consejo. Así pues, los principios de buen gobierno, reconocen un conjunto de obligaciones para el Consejo que podemos agrupar en las siguientes áreas:
